When you bid on a job you need to understand what work is involved, what materials you will use, and what subcontractors or material sup-pliers you will be using. But do you understand the rest of the contract? In the Greg Opinski Con-struction, Inc. v. City of Oakdale case, it is seen why it is important to have a complete under-standing of what is in your contract. This matter went to trial for various other issues, but the is-sue at hand in the appeal is all that is discussed for purposes of this article.
This particular case came about because of sev-en months of job delays, unapproved change orders, construction defects and non-payment. The contract called for the job to be completed within 300 days. It laid out very specific change order procedures for which either the contract time or price could be changed. There were two acceptable avenues to have a change order ac-cepted. The first was execution of the change order by mutual agreement in writing. In other words, the contractor determines that a change order is necessary and submits the written change order to the City, which in turn approves and signs the change order making it an accept-ed change order. The second way was to ask the engineer for a formal decision on the requested change order and to give written notice of the claim to not only the engineer but the other party no later than 30 days after the event of the occurrence. To clarify this, if a change order that the contractor submitted to the City was not ac-
cepted (signed), the contractor could petition the engineer for a decision with respect to that same change order, if it is done within 30 days of the need for that change order first being real-ized, and the City was also notified in writing of the petition.
The liquidated damages were $250 per day for those days after the 300 in the contract. The proj-ect was 7 months late. The City refused to pay almost $200,000 towards the balance of the con-tract and change orders, which the City refused to approve, and kept the funds in retention. The City also alleged defective conditions. During tri-al, it was determined that the cause for the delay was actually the fault of the City, not the contrac-tor. However, the City still claimed that the liqui-dated damages were due it because Opinski not only did not submit a change order for the time increase to finish the job, but Opinski also did not submit a claim to the engineer for the time increase or the other change orders that the City refused to approve.
After careful review of the contract documents, prior case law, and statutes, the court ruled in favor of the City for $54,000 plus interest, and just over $3,000 for the defects. The court fur-ther stated that the City withholding the monies in retention was reasonable because it was al-lowed to withhold up to 150% of the amount in

LADDERS - MAKE LADDER SAFETY A HIGH PRIORITY
Many work site injuries are caused by accidents involving ladders that are not placed or used safely. Following these safety guidelines can
help prevent ladder accidents.
Before using any ladder, check its condition. Make sure there are no broken, cracked, or missing rails and that rungs are not slippery from
grease or oil. Check for damage or corrosion on metal ladders. If a ladder is in poor condition, don’t use it. Report the problem so it can be
tagged and repaired. A competent person should periodically inspect all ladders and remove damaged ladders from use until they are
repaired.
When choosing and using a ladder, keep the following in mind:
Choose the appropriate type and size ladder for the job, including correct fittings, and safety feet.
Near electrical conductors or equipment, use only ladders with non-conductive side rails.
Set the ladder on solid footing, against a solid support.
Place the base of a straight ladder out away from the wall or edge of the upper level about one foot for every four feet of vertical
height.
Be sure straight ladders are long enough so that the side rails extend above the top support point by at least 36 inches.
Single cleat job-made ladders should be 15 to 20 inches wide with ladder cleats uniformly spaced 12 inches apart.
Never try to increase the height of a ladder by standing it on other objects, such boxes or barrels, or by splicing two ladders
together.
Portable ladders should be tied, blocked or otherwise secured against movement.
Keep ladders away from doorways or walkways, unless they can be protected by barriers.
Keep the area around the top and base of the ladder clear. Don’t run hoses, extension cords, or ropes on a ladder; these may
create obstructions.
To avoid slipping on a ladder, check your shoes for oil, grease, or mud and wipe it off before climbing.
Climb the ladder carefully, facing it and using both hands. Use a tool belt or hand line to carry materials.
Most ladders are designed to hold only one person at a time. Two persons may cause the ladder to fail or be thrown off balance.
Don’t lean out to the side when you’re on a ladder. If something is out of reach, get down and move the ladder.
Ladders should never be used sideways as platforms, runways or scaffolds.
Choosing and using ladders wisely is a step in the right direction.

Muchas lesiones en el sitio de trabajo son causadas por accidentes que involucran escaleras que no están colocadas ni se util izan con seguridad. Siga las pautas de seguridad que se definen a continuación para ayudar a evitar accidentes.
Antes de usar cualquier escalera, verifique el estado de la misma. California contractors reading this will dis-cover a quirk in licensing law they might ben-efit from learning, unless they are ‘shocked’ we would reveal it. While you can transfer a sole owner license to a corporation, you can’t share a contractor’s license because you are ‘related’…
Q: I have a bid limit in Nevada of $250,000. I have a customer who wants me to do a proj-ect for them that will be well above $500,000. Is there any way to increase my bid limit? How quickly can this be done?
A: There are two ways to raise your bid limit in Nevada. You can complete a One Time Raise in Limit application, or you can submit a Perma-nent Raise in Limit application. For a single proj-ect such as you are describing, you can submit the application for a single project limit increase at least five working days prior to the bid date. If submitted in that time frame, the application will be approved prior to bidding the project (as-suming you meet the financial requirements of course).
Q: You helped my company get a CA license 18 years ago and I have another question for you. I am an “A” Contractor (General Enginering) and I
heard recently that I could have an electrician on payroll that is not certified by the Division of Ap-prenticeship Standards. Is that correct?
A: That is indeed correct, only a “C-10” (Electri-cal) contractor is required to have their electrical employees certified by the Division of Appren-ticeship Standards (DAS). An “A” is not required to have their employees certified through DAS even if performing the same type of electrical work.
Q: I currently have a Sole Proprietorship contrac-tor’s license and I am in the process of incorpo-rating. Since I will be the only shareholder, will the corporation be assigned my existing license number?
A: That’s your choice to make. When you sub-mit the license application for the corporation, you are required to also submit a “Licensed Sole Owner Applying for Corporate License” form (available on the CSLB’s website or by calling Capitol Services). The CSLB allows a Sole Owner-ship license number to be reissued to a corpora-tion if: 1) The Sole Ownership license is in good standing, 2) The corporation was formed by the individual licensee, and 3) The Sole Owner li-censee has at least 51% ownership of the new
corporation. You should be aware that once the number is transferred, it belongs to the corpora-tion and cannot be reissued to an individual at a later date.
Q: Can you confirm that we can use the license owned by our Parent company or a company of our same Group, such as a sister company?
A: No, you cannot use a license that doesn’t belong to your company, even if the company is “related”. Each entity performing contracting work is required to have it’s own contractors li-cense. As a subsidiary of the Parent company, you may be able to use the same Responsible Managing Employee (RME)/Responsible Manag-ing Officer (RMO) that is currently qualified for your Parent, however you will be issued a sepa-rate license number.

dispute. The court went on further to state that Opinski’s claims were rejected because Opinski did not submit its claims in the manner laid out by the contract within the correct time frame laid out by the contract.
The appellate court sent the case back to the trial court to figure out the difference of what was awarded to the City and what was left of the retention in escrow. The difference of which was to go to Opinski.
Because Opinski was not familiar enough with the contract that was signed, Opinski lost out on a large sum of money that was initially due to it. When change orders were denied, Opinski needed to follow the second course of action by petitioning the engineer, who required that particular work to be done and would have ap-proved the change orders. When Opinski was done with the job other contractors were still working on the project, Opinski should have had substantial completion signed off on for its part of the work or submitted a change order so as not to be responsible for the liquidated damages as laid out in the contract.
If Opinski knew its contract, this would have only cost $3,000 for the defects rather than over $65,000! Make sure you know what your con-tract says and that you refer to it frequently on the job so that something like this does not hap-pen to you!

Unlicensed Operators
Like legitimate contractors, unlicensed operators sometimes use advertising to find new clients. Ads without license numbers or with numbers that are not issued by the CSLB are frequently used by the Board to identify sting targets.
The CSLB and other enforcement agencies use two sections of the law—B&P Sections 7027.1 and 7099.10—to take legal action against unlicensed contractors and, on occasion, against licensed contractors who advertise illegally.
If an unlicensed operator advertises as a contractor in a telephone directory, and if an investigation determines the entity doing the advertising is unlicensed, under B&P Section 7099.10 (a), the Registrar can issue a citation for a fine or other civil penalty assessment. The citation will also include an order of correction that requires:
any phone number in the unlawful ad and to not refer subsequent calls to any new number obtained by that person. If the order of correction isn’t made, the Registrar can have the Public Utilities Commission disconnect the phone service.
If you believe that an unlicensed contractor is actively working on a construction project, contact the CSLB at 1-800-321-CSLB (2752) or fill out a “SWIFT Lead Referral” form, which is available on the CSLB Web site, www.cslb.ca.gov.
