A regular meeting of The Board of Chosen Freeholders of the County ofMorris, State of New Jersey, was held on September 25, 2013, in the Townshipof Jefferson, 1033 Weldon Road, Lake Hopatcong, New Jersey. The meetingbegan at 8:00 p.m.

Clerk of the Board Diane M. Ketchum announced that adequate notice of

1. The Mendham Township and Borough PBA Golf Tournament Committee isasking permission to hang a banner across Main Street (CountyRoute 510) in Mendham Township from October 7 – 21 to advertise thegolf outing taking place on October 21 to benefit the PBA’s of Mendham.

2. The West Morris Mendham High School is asking permission to hang abanner across Main Street (County Route 510) in Mendham Township fromOctober 22 to November 2 to advertise their fall drama show takingplace November 1 – 2.

Request from the Road Inspection Supervisor for the following road openingpermit:

Freeholder Krickus stated: “I second the motion.”

The Clerk called and recorded the following vote:

Freeholder Lyon moved that the Clerk be authorized to publish theOrdinance in summary form in the local newspaper together with the notice ofpublic hearing and consideration of final passage of this Ordinance whichwill take place at the Freeholder meeting to be held in the Administrationand Records Building, Fifth Floor, Court Street, Morristown, New Jersey, onOctober 9, 2013 at 8:00 p.m.

Freeholder Krickus stated: “I second the motion,” which passed withseven YES votes.

PUBLIC PORTION

Jay Dunham, resident of Oak Ridge and Councilman of Jefferson Township,asked the Board what will happen to the Mosquito Commission since it will bereorganized under the Public Works Department. Director Mastrangelo saidthat the Commission is being integrated into the Department of Public Works,and it is more of an organizational structure that the County is creating todrive some cost savings, but will give some additional benefits to thecontrol of the mosquitoes. The public will continue to see communityoutreach.

Michael Sanchelli, resident of Oak Ridge and Councilman of JeffersonTownship, said the biggest concern is that the Commission itself is made upof directors and other health officials. His concern is in the event thereare on-going updates in changes, will this advisory board be “on call.”Mr. Sanchelli also asked if members of this board will be appointed.Director Mastrangelo said we appreciate all levels of volunteers throughoutthe County so whether advisory board or commission, there are stillvolunteers that will continue to serve the County well.

Director Cabana said we took over the Board of Social Services, andthere were several concerns from the public at that time. The Countycombined social services with human services, and Freeholder Cabana feels itis better than ever now.

James Perrier, volunteer with Milton Township EMT expressed concernsabout the EMT training at Morris County. Scott DiGiralomo, Director of Lawand Public Safety, said that Atlantic Healthcare’s position is that theydon’t get reimbursed. Mr. DiGiralomo’s suggestion is to work through theMunicipal Alliance so they can look at all the options. Director Mastrangelosaid if the Township sends a letter to the Board, the freeholders can writeto our legislators to help resolve this situation.

RESOLUTIONS

Freeholder Cabana introduced the following resolutions:

reviewed and agrees to accept a Grant of Easement For Roadway Improvementsand Utilities (“Easement”) between Paul Rossetti and Valerie Rossetti, hisWife, whose address is 7 South Hall Court, Wayne, New Jersey 07470 (Grantor)and the County of Morris, having its principal address at Court Street,P.O. Box 900, Morristown, New Jersey 07963-0900 (Grantee) which Easementconveys property known as Tax Block No. 59, Lot No. 11, located in theTownship of Montville, and State of New Jersey, more particularly describedin the attached Easement, a copy of which is on file in the Office of theMorris County Administrator; and

WHEREAS, on October 24, 2012, the County of Morris entered into anagreement with FastER Urgent Care, LLC for comprehensive medical services toCounty employees in 2013; and,

WHEREAS, the original amount of the agreement was for $297,406.00; and,

WHEREAS, the aforesaid agreement was amended on July 24, 2013 byincreasing the amount from $297,406.00 to $302,986.00; and,

WHEREAS, it has become necessary to amend the aforesaid agreement againby increasing the dollar amount by $15,680.00 to $318,666.00; and,

WHEREAS, FastER Urgent Care LLC has agreed to perform the service; and,

WHEREAS, the Local Public Contracts Law [N.J.S.A. 40A: 25-5(1)(a)(i)]requires that the resolution authorizing the award of contract for“Professional Services” without competitive bidding, and the contract itself,must be available for public inspection;

NOW, THEREFORE, BE IT RESOLVED, by the Board of Chosen Freeholders ofthe County of Morris in the State of New Jersey as follows:

1. The amendment to the agreement between the County of Morris and FastERUrgent Care LLC, 130 Speedwell Avenue, Morris Plains, N.J. 07950,increasing the amount as set forth above, a copy of which is on file inthe Office of the County Purchasing Agent and made a part hereof byreference, is hereby approved and entered into by this Board.

2. The Director of the Board of Chosen Freeholders is hereby authorized tosign and execute this amendment, conditioned upon the contractor’scompliance with the requirements set forth in paragraph 4 below.

3. The Treasurer is hereby authorized to issue an amended Certificate ofAvailability of Funds #70683, reflecting the increase in the amount of

5. An official notice of this action shall be published in accordance withthe law.

WHEREAS, pursuant to (i) Section 510(c) of that certain Lease PurchaseAgreement dated as of August 1, 2011 (the “Original Lease Agreement”) asamended and supplemented by that certain Amendment No. 1 to Lease Agreementdated as of June 1, 2012 (the “Lease Amendment No. 1” and together with theOriginal Lease Agreement, the “Lease Agreement”) by and between The MorrisCounty Improvement Authority (the “Authority”) and the County of Morris, NewJersey, and (ii) Section 5.02 of the Authority’s bond resolution entitled"RESOLUTION AUTHORIZING THE ISSUANCE OF LEASE REVENUE BONDS OF THE MORRISCOUNTY IMPROVEMENT AUTHORITY" duly adopted by the Authority on July 20, 2011as amended and supplemented by a Certificate of an Authorized Officer of theAuthority dated August 30, 2011, as further amended and supplemented by aCertificate of an Authorized Officer of the Authority dated June 28, 2012collectively, the “Lease Revenue Bond Resolution”, U.S. Bank NationalAssociation, as Trustee for the holders of the captioned bonds (the “Bonds”),is hereby requested to pay from moneys on deposit in the Acquisition Fundbills associated with the Public Safety Academy project Block 7, Lot 2 inParsippany-Troy Hills, New Jersey, and

WHEREAS, Requisition Number 12 in the amount of $173,834.36, payable toAPS Contracting, Inc. is being sent to U. S. Bank on September 29, 2013.

THEREFORE, BE IT RESOLVED that the action of the Treasurer in

submitting the bill for payment, to the Trustee U. S. Bank, as approved bythe Director of Engineering, is hereby approved.

WHEREAS, it is necessary to formally cancel said balances so that theGrant program may be closed out and removed from the open balances, and

WHEREAS, it may be necessary to refund any excess funds received fromthe Grant Agency if Morris County receives funding in excess of therequirement of the program.

NOW, THEREFORE BE IT RESOLVED by the Board of Chosen Freeholders thatthe above listed balances in the grant fund be canceled and any excess fundsreceived be returned to the appropriate Grant Agency.

That the action of the County of Morris in signing and executing anagreement for $188,649.00 with County College of Morris for printing servicesin 2014 a copy of which is on file in the Office of the Director of Financeand made a part hereof by reference.

WHEREAS, on April 17, 2013, pursuant to the fair and open process underthe State Pay to Play Law , and pursuant to N.J.S.A 40A:11-5(1)(A)(ii) andthe applicable regulations regarding the procurement of extraordinaryunspecifiable services (collectively, the “EUS Law”), the Morris CountyImprovement Authority (Authority) appointed the following firms to perform

financial advisory services (the “Services”) for the Authority for a one yearperiod ending April 17, 2014: (A) For all services, excluding energy relatedservices, Acacia Financial Group, Inc.; and (B) For all energy relatedservices, NW Financial Group, LLC (collectively, the “Authority FinancialAdvisors”);

WHEREAS, the County of Morris (County) requires financial advisoryservices and has requested to enter into an agreement with the Authority forthe use of the Authority’s Financial Advisors pursuant to either (i) theUniform Shared Services and Consolidation Act, constituting Chapter 63 of thePamphlet Laws of 2007 of the State, and the acts amendatory thereof andsupplemental thereto (as codified at N.J.S.A. 40A:65-1 et seq., the “SharedServices Act”) or (ii) a cooperative purchasing program (CooperativePurchasing Program”) and all other applicable law, the terms of whichagreement shall be set forth in an agreement to be entered into by the Countyand the Authority (as amended and supplemented from time to time inaccordance with its terms, the “Shared Services Service Agreement” or“Cooperative Purchasing Program Service Agreement”, as the case may be andcollectively, the “Service Agreements”);

WHEREAS, in the event the Authority and the County enter into (i) theShared Services Service Agreement, the County shall pay the Authority and theAuthority shall pay the Authority’s Financial Advisor and (ii) theCooperative Purchasing Program Service Agreement, the County shall pay theAuthority’s Financial Advisors directly.

WHEREAS, on April 25, 2012 in accordance with Resolution #26, the Boardof Chosen Freeholders (“Board”) granted Preliminary Approval for floodmitigation acquisition funding to the Borough of Lincoln Park’s Fast Trackapplication for national disaster #4021, Hurricane Irene, to cover 25% costshare and soft cost reimbursement, including the parcel located at 10 WalnutStreet, Block 120, Lot 56 (“property”). The remaining 75% cost share will be

provided by a Hazard Mitigation Grant from the Federal Emergency ManagementAgency (FEMA); and

WHEREAS, the County Treasurer (“Treasurer”) has issued a Certificate ofAvailability of Funds designated as #64800 for the property; and

WHEREAS, the Borough of Lincoln Park (“Grantee”) has provided the Boardan executed Grant Agreement and requests the 25% cost share in an amount notto exceed $38,799.17 for the purchase of the property; and

WHEREAS, each grantee listed below has requested and the Committeeapproves a second grant extension to each due to the complexity ofnegotiations and the delay of certain necessary tasks prior to acquisition.

WHEREAS, the Morris County Board of Chosen Freeholders and the MorrisCounty Park Commission (hereinafter “MCPC”) have decided to undertake a studywhich will take a thorough and objective look at the projects completed sincethe founding of the Fund and to help determine what future investment in landacquisition, water resource protection, historic site preservation, farmlandpreservation, and park development and maintenance is needed; and

WHEREAS, proposals from qualified professionals are being solicited by

the MCPC through a fair and open process in accordance with N.J.S.A. 19:44A-20.1, et. seq. for the preparation of an Analysis and Strategy Report for theMorris County Preservation Trust Fund (hereinafter “Report”); and

WHEREAS, the Board of Chosen Freeholders (hereinafter “Freeholders”)established the Morris County Flood Mitigation Committee (hereinafter

“Committee”) by resolution dated March 14, 2012; and

WHEREAS, the Committee reviewed and evaluated the CORE applicationsfrom the Township of Long Hill (hereinafter “Long Hill”), in the Project Areadesignated as “Stirling-2”; and

WHEREAS, on September 16, 2013, the Committee adopted Resolution 2013-35 that recommended the following parcel for preservation in Long Hill:

1336 Valley Road – Block 11601, Lots 28 & 29

WHEREAS, the total property acquisition cost of this parcel in theStirling-2 Project Area is estimated to be $326,800; and

WHEREAS, Long Hill will be deriving the required 25% property cost-share match from the homeowner’s donation of value in the amount of $81,700;and

WHEREAS, Morris County’s 75% participation in the property cost-shareis $245,100; and

WHEREAS, Morris County will reimburse up to 75% of eligible softcosts, not to include demolition, the Committee estimates these soft costs atapproximately 15% of the property’s cost ($245,100), for a total soft costallowance of $36,765; and

WHEREAS, the combination of $245,100 in property cost-share and $36,765in soft cost allowance yields a total project area cost of $281,865; and

WHEREAS, the specific dollar amount per property will be determinedupon approval of a fully signed contract and the execution of a grantagreement between Long Hill and the County for each property listed.

NOW THEREFORE, BE IT RESOLVED that the Morris County Board of ChosenFreeholders accepts the recommendation and dollar amount submitted by theCommittee and directs the Treasurer to issue a Certificate of Availability ofFunds indicating that funds in the amount of $281,865 are available from theMorris County Dedicated Open Space Account #13-290-56-580550-888 to preservethe herein described parcels of property in Long Hill.

WHEREAS, there exists a need for professional auditing services toassist the Law Enforcement Merger Committee in the review of financialaspects of any potential merger of law enforcement agencies; and,

WHEREAS, the County Administrator was authorized by the Board of Chosen

Freeholders by Resolution Number 47, adopted at their August 28, 2013 PublicMeeting to solicit three quotes and execute a contract for the above service;and,

WHEREAS, the contract needs to be awarded as a “Professional Service”in accordance with N.J.S.A. 40A:11-5(1)(a)(i) et seq. ;

NOW THEREFORE, BE IT RESOLVED by the Board of Chosen Freeholders of theCounty of Morris in the State of New Jersey as follows:

1. The agreement between the County of Morris and

3. The Treasurer is hereby authorized to issue a Certificate of

4. A notice of this action will be published in accordance with the law.
