Wipro Upgrade/Update/fixation of Patches Notwithstanding anything contrary elsewhere mentioned in the contract any

Time is of essence of the contract. LDs -

In case the contractor fails to complete the

whole work within the stipulated period, he

shall be liable to pay liquidated damages of

0.5% of the value of contract per week and

or part thereof of the delay subject to a

It is clarified that delivery of goods & serives

shall be as per mutually agreed delivery

schedule. LDs shall be applicable only for

delays solely attributable to PwC. Further, LD

shall be the sole remedy for Client in case of

delay in delivery.

liability for any part of our scope of work which

following:

(a) In the event of breach of any Applicable

Law;

(b) In the event of fraud, willful misconduct

or illegal or unlawful acts, or gross

negligence of the Contractor or any person

acting on behalf of the Contractor; or

(c) In the event of acts or omissions of the

Contractor which are contrary to the most

elementary rules of diligence which a

conscientious Contractor would have

followed in similar circumstances; or

(d) In the event of any claim or loss or

damage arising out of infringement of

Intellectual Property; or

(e) For any damage to any third party,

including death or injury of any third party

caused by the Contractor or any person or

firm acting on behalf of the Contractor in

executing the Works.

Our overall liability shall not exceed the amount

of fees paid to us under the engagement without

any exceptions. We will not be liable for

indirect/consequential losses.

evidence or any lien or claim for which

BPCL might have become liable and which

is chargeable to the Consultant, BPCL shall

have the right to retain out of any payment

then due or thereafter to become due an

amount sufficient to completely indemnify

BPCL against such lien or claim and if such

lien or claim be valid, BPCL may pay and

discharge the same and deduct the amount

so paid from any money which may be or

may become due and payable to the

Consultant.

It is clarified that lien on any amounts payable to

PwC is not acceptable.


PwC Non-technical 8 126 Sec 35 Risk Purchase clause It is clarified that Risk Purchase is not

acceptable as PwC does not assume a liability

for any part of our scope of work which is

performed by anyone else, or for the payment

obligations to such person/ entity.


PwC Non-technical 9 Right to Audit We will retain our records as per our record

retention policies. Upon reasonable notice we

will allow client to inspect our invoicing records

under this engagement; such inspection shall be

done in a pre agreed manner and during normal

business hours. For avoidance of doubt, such

inspection should not cause us to be in breach of

our organisational confidentiality requirements

other PwC firms’ ability to perform services for

our other clients so long as we do not use or

disclose your confidential information

other PwC firms (each of which is a separate

and independent) legal entity and may share

confidential information with them in

connection with this engagement. However we

remain solely liable to client for their acts;

claims (if any) in relation to this engagement

will be routed solely through client and us

work or any part thereof to another party

without the written consent of BPCL and no

such sub-letting or assignment shall relieve

the Consultant from full and entire

responsibility of his obligation under the

Agreement.

As part of our proposal, OEM would like to sublet to

other agencies to give the best and most optimum

proposal to BPCL. We will clearly state in the

proposal which external parties we are subletting

the work to. If BPCL finds external agencies in

Holiday Listing, BPCL has the right to cancel our bid.

While we will be sub-letting the work to other

partner agencies, we will own the entire delivery of

the project and BPCL shall hold us liable for

execution of this project.For execution ease &

utililize our internal best resources effectively and

to offer our best & optimal proposal, we will

subcontract this order to its affiliate group entity as

clearly stipulated in our proposal. Hence

consulatant will have right to sub-contract/ sublet

this order to any of their affiliate group entity

without BPCL approval..
