Compliance is a process by which an organisation ensures that it observes and complies with the external statutory laws and regulations. Compliance in Corporates are placed at all levels of the organization. We (Shriram City) are also required to comply with different applicable regulations.

1. The Companies Act, 2013 (the Act) and the rules made there under 2. Secretarial Standards issued by The Institute of Company Secretaries of India (ICSI) 3. The Securities Contracts(Regulation) Act, 1956 (‘SCRA’) and the rules made there-

under 4. The Depositories Act, 1996 and the Regulations and Bye-laws framed thereunder; 5. Foreign Exchange Management Act, 1999 and the rules and regulations made

thereunder to the extent of Foreign Direct Investment 6. The Securities and Exchange Board of India (Substantial Acquisition of Shares and

Takeovers) Regulations, 2011 7. The Securities and Exchange Board of India (Prohibition of Insider Trading)

22. The Maternity Benefit Act, 1961 23. The Sexual Harassment of Women at Workplace (Prevention, Prohibition and

Redressed) Act, 2013 Industrial Employment (Standing Orders) Act, 1946 24. Professional Tax Act, 1975

The said Acts are complied by different departments of the Company in terms of filing of necessary returns, payment of required amount etc. Shriram City not only needs to comply with all these Acts, but also needs to keep an update on the amendments made in these Acts and comply with all the circulars issued with respect to the Acts from time and time. In addition to following these Acts, Shriram City has formulated policies required under these various statutes, which are displayed on the website ,which also need to be adhered to .

The Companies Act, 2013 has placed a responsibility on the Organization about the compliances with all the laws applicable to the Company. It is not only preparation of report, payment of amount or filing of returns, but also compliance in every thing. It cannot be successfully done by few departments or by few per-sons. The compliance and the report cannot be made by a de-partment in isolation, hence it requires participation from all the de-partments to identify the Acts applicable to their area of work and to chalk out a way by which it can be ensured that adequate compliances are made by under the appli-cable laws.

Compliances under different acts should not only be in letter but in spirit. We must strive to be reach the position of highly compliant company in the days to come. We must try to ensure compliance and achieve excellence in Corporate Governance thereby aiming to ensure that all the stakeholders, employees, directors would feel proud to be associated with the Company. Think Before You Judge

A doctor entered the hospital in hurry after being called in for an urgent surgery. He changed his clothes and went directly to the surgery block. He found the boy’s father pacing in the hall waiting for the doctor. On seeing him, the father yelled, “Why did you take all this time to come? Don’t you know that my son’s life is in danger? Don’t you have any sense of responsibility?” The doctor smiled and said, “I am sorry, I wasn’t in the hospital

and I came as fast as I could after receiving the call and now, I wish you’d calm down so that I can do my work”. “Calm down?! What if your son was in this room right now, would you calm down? If your own son dies while waiting for doctor then what will you do??” said the father angrily. The doctor smiled again and replied, “We will do our best by God’s grace and you should also pray for your son’s healthy life”. “Giving advises when we’re not concerned is so easy” Murmured the father. The surgery took some hours after which the doctor came out happy, “Thank goodness! your son is saved!” And without waiting for the father’s reply he carried on his way running by saying, “If you have any questions, ask the nurse”. “Why is he so arrogant? He couldn’t wait a few minutes so that I ask about my son’s state” Com-mented the father when seeing the nurse minutes after the doctor left. The nurse answered, tears coming down her face, “His son died yesterday in a road accident, he was at the burial when we called him for your son’s surgery. And now that he saved your son’s life, he left running to finish his son’s burial.”

Moral: Never judge anyone because you never know how their life is and what they’re going through

HEALTH IS WEALTH EARLY TO BED AND EARLY TO RISE, MAKES A MAN HEALTHY, WEALTHY AND WISE. But how many of us take the trouble of trying to

understand the importance of this? Health is the greatest blessing that a human can enjoy on earth. It stands on a higher level than wealth. Health is at the root of prosperity and success. A man may be intelligent, may be endowed with powers and may be genius. But all these are useless unless he has good health. A wealthy man not of good health is always miserable. A man who is stuck with diseases can never have a cheerful mind. Comfort and peace of mind are unknown to him. A sound mind is no less than a sound body. So here are the four principals for preserving our health. REGULARITY: Regularity is an important thing in eating, drinking and sleeping. These three regulate the functions of our organs. EXERCISE: The human body can be kept in a proper condition only by exercise and also to increase energy to work. MODERATION: Moderation in eating, drinking and sleeping is important because one who eats or drinks more or sleeps excessively is sure to fall sick often. AVOIDANCE OF OVER-EXERTION:

We should allow our bodies to have rest after work. Some amount of strain upon our

bodies are easily borne, but one must not one excite.

Great advice from the Richest person in China Mr. Jack Ma. Mr. Jack Ma says, ........ "Please tell your children that the world is changing every day and no one is going to wait for you in the past. When lighter was invented, matches slowly disappeared. When calculator was created, abacus was

to fade away. When digital camera was designed, the market of negative film no longer existed. When direct market selling/internet-based selling arises, traditional marketing declines.

When smart phone with 4G (wireless internet access) was introduced to the world, you no longer need to turn on your computer at home. When We Chat and WhatsApp (mobile text/voice/video messaging) traditional text messaging is no longer as popular as before. Let's not blame "Who took over Whose business." It's only because people are more adjustable and adaptable to new ideas and changes in the world.

When someone asked Mr. Jack Ma, "What is your secret for success?" He says, "Really simple...I am doing (action) while you're only watching." Please remember that the world keeps changing every day. If you don't change, you'll be left behind. You reap what you sow with your time. If you spend time to drink, you may become an alcoholic. If you spend time to complain, you may become a blamer.

If you spend time to beautify yourself, you may become a pretty girl/handsome guy. If you spend time to stay healthy, you may enjoy a healthy good life. If you spend time to be picky, you may become a 'mean' person. If you spend time to learn, you may gain wisdom. If you spend time with your family, you may foster a warm and loving relationship with your loved

ones. You reap what you sow!!
