This agreement is applicable to all goods and a service supplied in the United Kingdom by " Company", whether ordered from this cat-alogue or otherwise and supersede or cancels all previous printed Terms and Conditions of Sale.

1. CUSTOMER CONDITIONS.These conditions apply to any contract of salebetween the Company and the Customer to theexclusion of any different terms and conditions issued by theCustomer, except insofar as the Company and theCustomer may have otherwise agreed.gpsurgicalservices.com does not supply goods to thegeneral public via its website. However, enquiries areinvited from the general public to [email protected]

2. PRICES.While every effort is made to maintain prices, the Companyreserves the right to alter prices without notice at any time beforedelivery, to reflect increases imposed by manufacturers and whencurrency exchange rates adversely affect the cost of importedgoods.

3. V.A.T.Prices are exclusive of V.A.T. at 20% (where applicable). TheCompany will vary prices to reflect any changes in V.A.T. rate ofV.A.T. due in respect of the sale.

4. CARRIAGE.Carriage and packing will be charged on orders under £50 at£7.95 per box of less than 25kgs (excluding V.A.T.).

5. PAYMENT.Full payment must be made within 30 days of statement date.The Company reserves the right to remove discounts for latepayments.

6. OVERDUE ACCOUNTS.Orders received from a customer whose account is overduemay not be processed until the account is settled in full.

7. DELIVERY.Any date or period for delivery or any date of delivery stated inany contract is intended by the Customer and accepted by theBuyer as being an estimate only, not giving rise to contractualobligations.

8. SHORTAGES, DAMAGES AND NON DELIVERY.Should goods not arrive within 14 days of the despatch datesshown on the invoice, the Company must be advised immedi-ately so that a claim may be made on the carrier. In the caseof damage or shortages the Company must be notified within 3working days of receipt of goods. In case of a claim all cartonsand packing material should be retained for examination eitherby the carrier or insurance company.


13. CONDITIONS AND WARRANTIES.The following provisions apply in contacts for the sale of goods asdefined by Section 62 of the Sale of Goods Act 1893 as amendedhereinafter referred to as &ampldquoThe Act.&rdquo (a) In the case ofa consumer sale as defined by section 55 (7) of the Act, the goods aresupplied with the benefit where the same are applicable of the conditionsand warranties implied by Sections 12-15 inclusive of the Act. (b) In anyother case goods and materials are supplied with the benefit (where thesame are applicable) of the conditions and warranties implied by Section12 of the Act. (c) Save as aforesaid and save as herein expressly set outthe goods are not supplied with, or subject to, any conditions warranty orother term whether express or implied unless specifically stated by theCompany in writing.

14. RETENTION OF TITLE.Goods that are supplied by the Company to the Buyer shall remain theproperty of the Company until full payment for the goods supplied tothe Buyer and all other payments whatsoever due from the Buyer to theCompany have been made. The separate identity of these goods shouldbe maintained by the Buyer. The Buyer may, however, sell such goods inthe normal course of business as agent and bailee for the Company andthe proceeds of the sale shall be held separately to the account of theCompany up to the amount of the full purchase price of the goods sold.The Customer&amprsquos right to sell the goods shall terminateimmediately upon whichever is the earlier of, written notice from theCompany or the appointment of any Receiver, Manager or AdministrativeReceiver to the whole or any part of the undertaking, business or assetsof the Customer or if any petition is presented applying to the Court forthe winding up of, or for an Administration Order to be made in relationto, the Customer or a resolution is passed for its winding up of ordissolution, or the Customer becomes bankrupt or enters into acomposition or voluntary arrangement with its creditors.

9. CANCELLATION OF GOODS.The Company shall endeavour to meet Customer & individualrequirement but the Company shall be under no obligation toaccept cancellation or amendment of any order or any part ofan order. Where such cancellation or amendment is acceptedit is on the understanding that a cancellation or amendmentcharge may be levied.

10. PROOF OF DELIVERY.Where a customer requests such proof and this is provided, theCompany reserves the right to charge for any costs incurred inobtaining this information.

11. GOODS RETURN PROCEDURE.Subject to prior arrangement goods may be accepted back forcredit or replacement providing the goods were not obtainedspecially and that they are in sound and saleable condition. Thename and address of the sender must be enclosed with eachpackage and accompanied by an advice note showing fulldetails. A handling charge could be incurred for late returns.

12. SPECIFICATIONS.Descriptions and illustrations are accurate at time ofpublication. Due to continuing development, the Companyreserves the right to supply later versions of the goodsdescribed. Every effort has been made to ensure the accuracyof the information contained in this catalogue. However, theCompany cannot be held responsible for any mistakes or forany damages resulting from the use of materials describedherein.
