ing: (A)(1) the acquisition of aninterest in a parcel or parcels ofland containing approximately1.0 acres of real estate and lo-cated at 120-130 Water Streetin the Town of Milo and the Vil-lage of Penn Yan, Yates County,New York (the “Land”), togetherwith the existing improvementscontaining approximately25,000 square feet of space lo-cated thereon (collectively, the“Facility”), (2) the reconstructionof the Facility, (3) the acquisitionand installation of Equipmenthereinafter collectively referredto as the “Project Facility”), all ofthe foregoing to constitute acommercial facility to be ownedand operated by the Companyfor use as commercial spaceand residential apartments andany other directly or indirectlyrelated activities; (B) the grant-ing of certain “financial assis-tance” (within the meaning of

Section 854(14) of the Act) withrespect to the foregoing, includ-ing potential exemptions fromcertain sales and use taxes, realproperty taxes, real estatetransfer taxes and mortgagerecording taxes (collectively, the“Financial Assistance”); and (C)the lease (with an obligation topurchase) or sale of the ProjectFacility to the company or suchother person as may be desig-nated by the Company andagreed upon by the Agency.

The Agency is consideringwhether (A) to undertake theProject, and (B) to provide cer-tain exemptions from taxationwith respect to the Project, in-cluding (1) exemption frommortgage recording taxes withrespect to any documents, ifany, recorded by the Agencywith respect to the Project in theoffice of the County Clerk ofYates County, New York of else-where, (2) exemption from deedtransfer taxes on any real estatetransfers, if any, with respect tothe Project (3) exemption from

quisition, reconstruction, reno-vation and installation of theProject Facility, and (4) in theevent that the Project Facilitywould be subject to real prop-erty taxation if owned by theCompany but shall be deemedexempt from real property taxa-tion due to the involvement of

the Agency therewith if any, withrespect to the Project Facility,subject to the obligation of theCompany to make payments inlieu of taxes with respect to theProject Facility. If any portion ofthe Financial Assistance to begranted by the Agency with re-spect to the Project is not con-sistent with the Agencyʼsuniform tax exemption policy,the Agency will follow the proce-dures for deviation from suchpolicy set forth in Section 874(4)of the Act prior to granting suchportion of the Financial Assis-tance.

If the Agency determines toproceed with the Project, theProject Facility will be acquired,reconstructed and installed bythe Agency and will be leased(with an obligation to purchase)or sold by the Agency to theCompany or its designee pur-suant to a project agreement

(the “Agreement”) requiring thatthe Company or its designeemake certain payments to theAgency.

The Agency has not yetmade a determination pursuantto Article 8 of the EnvironmentalConservation Law (the “SEQRAct”) regarding the potential en-vironmental impact of the Proj-ect.

The Agency will at said timeand place hear all persons withviews on either the location andnature of the proposed Project,or the Financial Assistancebeing contemplated by theAgency in connection with re-spect to the Project. A copy ofthe Application filed by the Com-pany with the Agency with re-spect to the Project, includingan analysis of the costs andbenefits of the Project, is avail-able for public inspection duringbusiness hours at the offices of

the Agency. A transcript or sum-mary report of the hearing willbe made available to the mem-bers of the Agency.

The renovations will includeinstallation of drywall and re-placement of windows, electri-cal outlets, ceiling fixtures andtiles, and floor tiles in the meet-ing room, entry way, office, and

kitchen as described in thespecifications adopted by theBoard of Fire Commissioners.Bid Proposals for the renovationwork and supplied materialsmust comply with those specifi-cations. sioners reserves the right to in-vestigate and evaluate anybidderʼs capacity to completethe work in a high quality man-ner; to reject any and all bids; towaive any informalities; and, forreasons of overall cost as de-scribed in the specifications, toaward a contract for only someof the building areas.
