These Supplementary Instructions complement the Instructions to Proponents, which shall apply to the RFP except as amended below: 1 Submission Requirements - In order to aid the TTC in determining the capability of Proponents, each Proponent shall submit

the following: .1 Mandatory Requirements - The following information must be submitted with the Proponent’s Proposal: A signed copy of the Proposal Form including:

.1 Proponent’s name and address.

.2 The Price Schedule including the proposed hourly rates or fixed fee

.3 Proposed schedule for completion.

.4 Acknowledge that any Addenda issued by the TTC form part of the Proponent’s Proposal.

.5 Signature of the Proponent.

.6 Ensure all pages of the Proposal Form are submitted.

.7 Optional Requirements from next page include here within 48 hours of request. 8. The Proponent must complete and submit the following documents that are part of this RFP:

.2 Other Requirements –

The Proponent shall furnish evidence, satisfactory to the TTC, of its ability to complete the Work in accordance with the Proposal Documents by submitting the following information with its Proposal.

1. Company’s methodology and capability to precisely locate recorded data in underground sections, 2. Rail wear scan frequency, portion of the cross-section covered (in deg.), 3. Operating speed, and rate of parameter accuracy degradation related to speed. 4. Data output format; 5. Method of dealing and identifying the spirals and curves; 6. Any limitations; 7. The Company must specify the computer file format of saved scan data. 8. Samples of previous and similar reporting should be submitted. 9. A document setting out the specific quality practices, resources and sequence of activities relevant to the

Contract. This document (Quality Plan) shall outline applicable QA and QC activities, including regulating methods, calibration, inspection, testing, post processing, document control, records, and management responsibility so as to ensure a compliance with the standard of quality required by the Contract Documents.

.3 Optional Requirements -

.1 Any standard agreement(s), which the Proponent proposes to be executed as part of the award of the Contract. Failure by the Proponent to supply this documentation for the TTC’s review with their Proposal will constitute that the Proponent agrees to perform the Work in accordance with the RFP Documents.

.4 Information to be Submitted after Proposal Closing –

Submit the following within five days, if requested by the TTC, after closing of the Proposal:

.1 A certificate of incorporation as evidence that the Proponent is registered to transact business in the Province of Ontario. .2 Latest audited, financial statements. .3 Bank and credit information, including the name and telephone number of the branch manager to whom inquiries may be

directed. .4 Insurance Requirements: The successful Proponent shall be required to comply with the requirements as specified in SC2 –

INSURANCE REQUIREMENTS of the Supplementary Conditions and provide the evidence of insurance as specified. .5 A list of the Proponent’s principal officers, directors/owners and its parents company if applicable.

2 Proposal Pricing

.1 Unless specifically shown to the contrary, Proposal prices shall be considered firm, in Canadian funds, and inclusive of all applicable costs, all applicable federal taxes (including but not limited to GST and HST which has been passed into legislation and is effective July 1, 2010) and duties and all applicable Ontario provincial taxes, either in force or announced prior to the Proposal closing, even if the effective date is subsequent to the Proposal closing, allowances, freight, and including fees for applicable permits, approvals and notices, with the exception of permits identified in the Specifications as being supplied by the TTC.

.2 Proposal pricing shall also include all applicable federal taxes (including but not limited to GST) and duties and all applicable

Ontario provincial taxes either in force or announced prior to the Proposal closing, even if the effective date is subsequent to the Proposal closing, in accordance with GC4 - TAXES AND DUTIES.

This Contract is intended to be awarded to a single company for Perform a Geometric Survey of TTC Subway Track, and will be established as an upset limit amount. The TTC reserves the right to negotiate for greater discounts should actual expenditures/usage exceed estimated expenditures/usage.

3 Proposal Evaluation and Acceptance of Proposals

.1 The TTC is under no obligation to accept the lowest or any Proposal. .2 Proposals will be evaluated on the basis of all information provided by the Proponent. Each Proposal will be reviewed to

determine if the proposal is responsive to the submission requirements outlined in the RFP. Failure to comply with these requirements may deem the Proposal non-responsive.

.3 Following the Proposal closing, the TTC reserves the sole right to negotiate acceptable terms and conditions and to clarify

any other matter in the Proposal from a Proponent(s) the TTC has determined to have offered the best overall proposals. .4 The TTC reserves the right to award Contracts to more than one Proponent at its discretion. In any event, the unit prices

included in the Proposal shall be open for acceptance and applicable for all or any portion of the Work that may be awarded and performed to the upset limit price as stated in the Purchase Order.

.5 The TTC will review the qualitative portions of all Proposals received and subsequently shortlist Proponents for further

evaluation. A minimum evaluated score of 80% must be obtained by the Proponent in order to be considered qualified and only qualified firms are short listed for consideration for award. If a presentation/interview is required, based solely on the qualitative aspects of each proposal (e.g. qualifications, experience, methodology etc.) a short listed Proponent will be given a minimum of 3 working days advance notice of same. The TTC reserves the right to adjust its technical evaluation score on the basis of the interview, if applicable.

SC1 SCOPE OF SUPPLEMENTARY CONDITIONS: The General Conditions shall apply to the Contract except as

amended in these Supplementary Conditions. SC2 INSURANCE REQUIREMENTS: Throughout the term of the Contract [and any warranty period], the Company shall

obtain and maintain at their own expense the following insurance in relation to the Work, any services required to be performed by the Company under the Contract Documents, or otherwise, each such policy to be issued by an insurance company licensed to carry on the business of issuing such policies in Ontario, and possessing a Best’s Financial Strength Rating of at least B+.

Comprehensive General Liability Insurance – Which shall include, but not be limited to:

Section 1 REQUIREMENTS The Toronto Transit Commission (TTC) requires a Company to perform a track geometric survey of its entire subway system and conduct rail profile scanning using mobile scanning technology. The TTC’s subway system is comprised of double concrete box structure, bored tunnel, and at grade track sections, including 61 stations and 13 bridges. Nominal dimensions for the box structure is 5m wide x 4m above top of rail, and for the tunnels, the diameter is 5m, both as depicted on drawings attached herewith. Work conducted on mainline is governed by a strict set of operational rules and with traffic directed by the Transit Control Centre. Revenue hours generally run from 6:00 am to 2:00 am, daily; except for the extended Sunday morning shift, starting from 8:00 am. TTC track gauge is non-standard, ranging from 4’10 7/8” to 4’11 1/8”. There is a 600V DC power rail centred approximately 22” from the gauge face, with top of rail 4” higher than the adjacent running rail. Typically, the power rail is located to the left of track centreline, relative to the direction of travel, but can change from side to side when necessary. Horizontal restraining rail is used on curves having radii less than 2600 ft. with flange way of 1 7/8” to 2 1/8” (see applicable drawings for undercar clearance dimensions). Running rail is normally #100RA and #115RE. Special track work includes cross overs with different rail profiles and guarded crossings (“frogs”), thermal expansion joints, also guarded. The subway is a double track system, accommodating single direction travel only. Hi-rail type vehicles are not utilized. The survey should not take place in freezing temperatures to allow for “soft spots” detection and measurements, subject to the TTC’s revenue operations schedule requirements.

Section 2 SCOPE OF WORK

2.1 The Survey must be done twice in both directions, and along the entire length of each of the Yonge / University / Spadina, Sheppard and Bloor/Danforth subway lines for a total distance of 120 km (single track length).

2.2 The measuring equipment must be capable of:

1. Mounting onto a TTC T1 rail car. 2. Measuring at service speeds (up to 80 km/h) during the revenue hours with contact power

(600VDC) live. 3. During the measurement process, momentary stoppages at TTC stations to re-set measuring

equipment may be acceptable subject to TTC operational requirements. However, if the equipment is mounted on a revenue vehicle, this cannot interfere with the operation of the TTC’s regular revenue service.

4. The survey instrumentation must not, in any working or non working position, infringe on the

dynamic envelope of the TTC’s Subway System.

2.3 The survey must measure following geometric condition: a. Track Gage b. Superelevation c. Flangeway d. Curvature (degrees or radius) e. Lateral Alignment, 62-ft MCO (or metric equivalent) f. Lateral Alignment, 31-ft MCO (or metric equivalent) g. Lateral Alignment Space Curves, of user definable cut off wavelength. Any degradation of

accuracy with lower speed to be quantified by the Company in the submission. h. Vertical Alignment (Surface), 62-ft MCO (or metric equivalent) i. Vertical Alignment (Surface), 31-ft MCO (or metric equivalent) j. Vertical Alignment Space Curves, of user definable cutoff wavelength. Any degradation of

accuracy with lower speed to be quantified by the Company in the submission. k. Variation in Cross level over 62 and 31 ft l. Lateral Twist m. Warp

2.4 In addition to the above geometry parameters, Measuring System is required to provide: Rail cross section profiles at the frequency of max every 1’ and min 2’ on each rail;

a. Identification of the rail size and correct reference rail applied to obtain the profile; b. Vertical and lateral acceleration of the un-sprung mass.

v. Rail wear vertical and horizontal wear measurements at accuracy and repeatability of ±0.5mm

w. System should be able to measure all of the above parameters on the special track work (switches and turnouts)

x. Acceleration of the un-sprung mass within: NA y. Imperial measurements shall be used.

2.4.2 Interface fixture - design:

I. Design of an electromechanical interface to mount the measuring system to the designated TTC’s vehicle. This Work shall include a visit by Company’s Representative(s) to physically measure the required parameters of the TTC vehicle. Design based on the vehicle drawing only will not be deemed acceptable.

II. Mandatory 1 day Contractor Safety Rulebook Training will be required and provided by the TTC.

III. This portion of the Work shall also include the design of a gauge calibration fixture for TTC track gauge.

2.4.3 Interface fixture - manufacturing:

I. The Company will manufacture and validate the electromechanical interface fixture and gauge

calibration fixture.

II. This stage will commence upon approval of the Company’s design by the TTC’s Representative.

III. Exclusive ownership of the interface fixture will transfer to the TTC upon completion of the survey.

2.4.4 Installation, survey, processing and report: This portion of the Work shall include include all of the following items:

I. Installation of the measuring equipment on the vehicle, using the above interface by the Company Technician or under his (her) supervision

II. Validation of the measuring system in the yard; III. Calibration and any adjustments as needed; IV. Removal of the measuring system and restoring vehicle in the previous condition by, or

under guidance of, a Company’s Technician.

2.4.5 Survey:

The full survey (data acquisition) is expected to take place over one shift. However, the Company must be prepared for contingencies if circumstances such as inclement weather or TTC revenue operational requirements prevent the measurement from being completed in one shift. The TTC anticipates that to minimize disruption to the TTC’s revenue service, data collection will be scheduled to take place on a Saturday, subject to approval from TTC Subway Operations and TTC Transit Control.

I. The same train set up with measuring module will cross over between each of the three lines to perform survey.

II. Attendance and support of Company’s Technician or other technical representative will be required during the data acquisition;

III. Sufficient memory should be provided to contain data for minimum of 8 hrs of recording. IV. Sufficient power supply should be arranged to last minimum 8 hrs or change over of batteries to

take no more than 30min total over the whole shift; V. The design should allow for adjustments to the measuring modules from within the vehicle

(without descending to the track level during measuring run). VI. It is anticipated that the shift will be 8 consecutive hrs and can happen in any 8 hr period

between 6 am to 2 am depending of the operational condition of the mainline on the day of the survey;

VII. Company’s Technician will have the full responsibility for functionality and set up of the equipment to assure valid data is obtained.

2.4.6 Transportation and Work Permits

The Company shall provide transport to and from designated TTC Yard for the Company’s equipment and personnel, plus meals, lodging and all other accommodations and incidentals during performance of the Work. Provide customs clearances and work permits, as applicable, and cover all associated expense to enable measuring and scanning services to be accomplished.

2.4.7 Data Processing and Report A summary spreadsheet shall be tailored to suit the data in question and should address, but not be limited to, the following:

Track Geometry: The location of data captured should be indicated relevant to the main line chainage, Station (if applicable), track direction, and track alignment (including curve data where necessary). All records should indicate a unique “chainage” (position relative to the relevant track markers), top of rail elevations and include other necessary “location” parameters; Rail profile: Should be shown with the unique chainage. Profile of rail head should be scanned from the lower radius at intersection of field vertical surface and head underside to the intersection of gauge vertical surface to the head underside on gauge side, at minimum.

The horizontal rail wear in [mm] should be shown at “gauge side” at 5/8” below the top of the measurement The vertical rail wear will be shown as the vertical distance from the top of the new rail at intersection with the Rail centerline to the top of the rail measurement at intersection with the rail center line. Size and cant of the rail should be recognized by measuring system and included for each measurement. Alignment of the template and the measurement should be achieved by aligning non contacting feature(s) of the rail. Ideally reference point can be field side of the rail head lower radius, but other feature may be acceptable upon approval by the Commission. Rail profiles which cannot be aligned due to foreign material on the rail head (grease, dirt) must be detected by the software and flagged for manual alignment with possibility of elimination from the spreadsheet. Measurements of the rail wear on the restraining rail and Special Track Work such as switches should be possible to exclude from other measurements but should still be able to measure the rail wear by individual analysis of the scan profile.

Acceleration of the un-sprung mass: Should be shown with the unique chainage. The format of this characteristic is best if shown in a graphic form, similar to strip charts and separately for vertical and lateral acceleration. However, the most convenient method of acceleration display can be agreed upon based on the industry acceptable standards. The accelerometer should have a measuring range of min 200g and its sensitivity must be capable of detecting short pitch corrugation at 80km/h speed.

Observations/Comments: “Comments” column should be included for input of notes during the survey indicating any abnormality along the surveyed track.

2.4.8 Report

I. Upon completion of the survey, the Company shall submit a formal report summarizing the data gathered. The report shall cover all track geometry properties, obtained scan accuracy, and include any data, observation obtained during field works:

Strip charts for each channel and derived values; III. Exception reports as per TTC and APTA standards (for comparison purposes); IV. Geometry measurement values from each channel in Excel Spreadsheet; V. Rail wear profiles and rail wear measurements in electronic format. VI. Subsequent to review, the Commission may request content or format change at no additional cost. VII. The Company shall be able to provide rail wear profiles in commonly available computer aided design

(CAD) software formats as per 5.9.VI. VIII. All survey data shall be provided to the Commission in both hard copy and electronic formats. The

electronic data shall be in a format that can be manipulated by either proprietary software, or commonly available commercial software. This format should provide various “sort” options and allow the user to quickly identify exception areas. If proprietary software is required to view and/or manipulate the data, the Company shall provide this software and unlimited user license to the Commission at no additional charge.

2.4.9 Quality Assurance

I. The Company shall be responsible for complying with all aspects of Quality Assurance including, but not limited to implementing and regulating quality control procedures, equipment testing, calibration and inspection, and compliance with referenced standards and documents.

II. Company personnel shall have a thorough working knowledge of the Quality Control Program and the requisite training/experience to properly conduct all QC processes/ techniques to be practised.

III. The Company shall submit the calibration records of measuring system. IV. The Company shall conduct the static and dynamic verification of the accuracy, repeatability

and linearity of the system at the TTC track yard after the installation of the instruments on the vehicle and in the final configuration intended to use on the mainline.

V. The survey will not proceed without approval of TTC engineering representative of the results of dynamic and static calibration and validation of the measuring system.

VI. The Commission reserves the right to conduct its own independent audit of the Work for conformance with Contract requirements.

Section 3 REFERENCES

1. The attached figures, drawings and other information are an integral part of this specification

and, as such, together form part of this Contract.

2. Figures, drawings and/or specification shall not be used alone. Any item or subject omitted from one, but mentioned or reasonably implied in the other, shall be considered as properly and sufficiently specified, and therefore, must be provided by the Company.

3. Any omission or error in, or possible misinterpretation of these specifications shall not relieve

the Company of responsibility for completing the Work of this Contract in a manner

Section 4 TTC-SUPPLIED SERVICES The TTC shall provide the following services to the Company as required:

4.1 TTC track safety training for all members of the Company’s Work party. This is a mandatory ‘one day’ course for all contractors which must be attended and successfully completed prior to working at track level on TTC property. 4.2 Provide a T1 vehicle – either a revenue vehicle or dedicated measurement vehicle - to mount the

instrument.

Section 5 TTC-SUPPLIED INFORMATION

1. Any service provided by the Company from information supplied by the TTC will be undertaken on the basis that it is the best information available. The Company shall immediately notify the TTC in writing of any condition or information known or discovered by the Company that conflicts with the information supplied by the TTC. In any event, the Company shall not be liable for any loss or damage arising from the inaccuracy of such information. This exclusion does not alter or modify in any manner the Company’s liability for negligence, as detailed in other sections of the Contract Documents.

1. Traction power is provided to vehicles in the subway through a ‘third rail’ system energized at

600 volts, DC. Equipment to be operated in the subway environment must adequately clear the third rail and must function properly near high voltage.

2. Applicable track types, clearance envelopes, curve data, curve layouts, and other pertinent data

(including track maintenance standards) are attached to this specification.

Section 6 TERM OF THE CONTRACT

1. The TTC anticipates that the Survey will take place maximum 90 days from the award of the contact, subject to inclement weather or TTC revenue operations issues.

2. The report is to be submitted maximum 30 days after the completion of survey.
