As entrepreneurs, we are naturally confident and aggressive. Often times, it is not simply a good business model or strong leadership that causes a company to succeed, but rather is the positive outlook that allows us to see and take advantage of opportunities others miss that makes the difference between success and failure. The successful business makes its own luck by being prepared to seize the opportunities that present themselves.

Despite this, it is difficult to escape what seems like more and more bad news about the national and world economies. It is apparent that after finally reaching bottom and slowly growing again, the rate of growth in the U.S. economy is slowing again. Job growth continues to be bleak. As of May, the number of unemployed persons grew by another 350,000 to 100.9 million and the number of employed persons shrunk again from 58.5% to 58.4%. In July 2012, the unemployment rate rose to 8.3% while the underemployment rate continued to hold at approximately 17%. Durable goods orders dropped in May 2012 by 4% with inventories rising. The trend continued in June with new orders, excluding transportation, falling another 1.1% and inventories increasing 0.3%. Home prices continue to stagnate and consumer confidence dropped four consecutive months until rising in July.

What does this mean? Continue moving forward and take advantage of your opportunities and contacts, such as through the Shelby County Chamber of Commerce. But at the same time, business owners should play defense. The following are a few low-cost, high-reward strategies and techniques that are often times overlooked but should form the foundation of your defensive business strategy to protect your personal assets:

1. Incorporate your business. It is relatively simple and inexpensive to incorporate your company with the Secretary of State. If you do not and your company fails, your personal assets are subject to collection for the company’s debts. 2.Get your business records in order. Even if you have incorporated, if you do not maintain the business properly, creditors can attempt to “pierce the corporate veil” and collect from your personal assets. Do you have written bylaws or an operating agreement? If required, do you have annual minutes? Do you have all of your records in a readily-accessible corporate binder?3.File your biannual reports. Even if you properly incorporate, you must file a biannual report every 2 years with the Secretary of State or risk having your company administratively dissolved and placing your personal assets again at risk.4.Market under the business name. If you have a properly-formed company but market (especially in writing) under your individual name, creditors can

attempt to argue that they did business with you and not your company, placing your personal assets in jeopardy.5.Sign contracts for the company. Be sure all contracts are written in the name of your company and that you sign them with the word “President, Shareholder or Member,” as applicable, after your name to avoid any confusion of who is entering the contract.6.Pay attention to taxes. Unlike most other debts that, in a worst case scenario, are dischargeable in bankruptcy, taxes are not and business owners can be held liable for them. They rarely go away and the interest and penalties that accrue on top of the principal can be breathtaking. If you are forced to decide between paying taxes or other bills, think long and hard before placing other debts ahead of taxes.7.Monitor your employees. Many of us are graced with having extraordinary employees that truly keep us up and running. Unfortunately, in difficult times, the incentive for employee theft is greater. Be vigilant, especially with employees having access to bank accounts and

company credit cards.

8.Check your insurance coverage. If you are operating on a tight margin, one uninsured claim can take down even a long-standing business. Find an agent you can trust to not give you a hard sell but that will objectively tell you whether you have enough coverage.9.Get audited. I know to most of us, that is a terrible thought. However, this is not an IRS audit. There are companies, such as Sherpa Performance Improvements in Indianapolis, that perform audits on things such as credit card processing charges, shipping fees, energy use, property taxes and other matters at no cost to you unless they save you money. Because companies such as Sherpa Performance only get paid a portion of any money they save you, it is a no risk, all reward proposition that can save your business substantial money every month and free up more cash for future investment or to pay down debts.

Major Internal Medicine welcomes Holly Furdge-White, M.D., Internal Medicine, to its growing practice and to Shelby County.

Dr. Furdge-White joined Major Health Partners in early July and is seeing new patients at the Major Internal Medicine office located inside the Intelliplex. Dr. Furdge-White is Board Certified by the American Board of Internal Medicine. She earned her Medical Degree from the University of Arkansas for Medical Sciences, and completed her internal medicine residency there as well.

Jack Horner, CEO of Major Health Partners, noted that the addition of Dr. Furdge-White continues an expansion of primary care services at Major Health Partners. “We are very pleased to have Dr. Furdge-White on board. She is a key addition to the team of providers at our Internal Medicine office”, said Horner. “Dr. Furdge-White has strong clinical skills, believes strongly in our mission to deliver high quality, compassionate health services, and will rapidly become part of our community.” She joins Dr. Lamberto Abeleda, Dr. Nancy Miles and Dr. Stina Wedlock.

In addition to Dr. Fudge-White, the Major Health Partners also welcomed Dr. Mary Beth Hensley to Bala and Associates in October 2011 and general surgeon, Dr. George Wairiuko in June of 2011. The addition of these physicians represents a great opportunity for the hospital and the community. “We are very pleased to make additional services available to our community,” Horner said. “Bringing this number of new providers to the county provides the hospital with some great opportunities for service expansion and, more importantly, improves access to medical care for patients who otherwise wouldn’t be able to see a physician.”

Cost Stewardship brings new program to non-profitsThe Cost Stewardship Initiative spawned from necessity at a faith based entity in February of 2010. Difficult economic times caused program and ministries budget cuts. Does it sound common? As Finance Chair at this church, I chose to draw the line on program cuts and find a more positive path.

As an alternative, we combined not for profits to enhance agreements with suppliers. Our primary leverage tool was a block of 1200 churches buying $30,000,000 a year of STUFF one location at a time. The results for both suppliers and not for profits were very positive and a unique group was born.

Fast forward ... our not for profits now share ideas and resources to help our entire group. We have transcended from traditional agreements on office supplies and food to areas like energy, copy and imaging, telecom/data, tax refunds/exemptions and more. We believe as a combined group we gain strength, momentum and leverage. Standing alone we diminish our opportunities.

We offer no fee programs from companies that have earned the right to be introduced to you. We recognize offerings that fit our mission and are of good will and value. Many looking for the catch are afraid to ask “Monte, do you do this out of the goodness or your heart?” No, I have a family to support too.

We are funded almost exclusively by finding tax refunds for our clients. We ask for sharing of little known federal and state tax refunds derived from expenditures on health care premiums, utilities, petroleum, etc. Refunds are in the thousands and ongoing costs improve. It’s like finding free money.
