TERMS AND CONDITIONS OF SALE

ORDER AND DELIVERYThe particulars endorsed on the front of this order form read in conjunction with these terms and conditions of sale shall constitute the Retailer’s offer. Fox shall be entitled to accept the Retailer’s offer in whole or in part. The dispatch to the Retailer of any of the subject goods shall be deemed to constitute acceptance of the Retailer’s offer to purchase the goods so dispatched. Fox shall not be bound by any oral statements, recommendations, or representations by its agents or any of its employees. No modifi cation of any contract shall be binding upon Fox unless done so in writing and signed by a duly authorized representative of Fox. Notwithstanding anything to the contrary herein, if any terms or conditions of this sales order, sales confi rmation or other sales documentation confl icts with the terms and conditions of these Terms and Conditions of Sale, then the terms and conditions of the Fox Racing USA, Inc. Non-Exclusive Retail Agreement Terms and Conditions, which is hereby referred to and incorporated by reference herein, shall control. Further, and notwithstanding anything to the contrary herein, if any of these Terms and Conditions of Sale confl ict with the terms and conditions of the Fox Racing USA, Inc. Non-Exclusive Retail Agreement Terms and Conditions, then the latter shall control.

PRICE AND PAYMENTThe price of the goods shall be stated on the order form unless modifi ed by written agreement prior to dispatch of any goods to Retailer. Fox’s prices are exclusive of excise, sales, use, G.S.T. or similar taxes, freights or other shipping or delivery costs and expenses, insurance charges and duties, if any, all of which shall be borne by Retailer. Any notice canceling or otherwise rescheduling any portion of a purchase order must be in writing addressed to Fox and, unless such written notice is received by Fox’s sales representative at least thirty (30) days prior to the scheduled shipment date, Retailer shall be subject to and agrees to pay, within ten (10) business days upon receipt of invoice, Fox’s standard cancellation, rescheduling and restocking charges pursuant to Fox’s policies in effect, which may be subject to change by Fox, without prior notice. On approved credit, Retailer shall pay Fox for all goods shipped to Retailer within thirty (30) days of shipment by Fox. In the absence of such approved, credit, all goods shall be paid in cash or by cashiers check upon delivery in United States currency. Failure to make payment pursuant to the terms and conditions herein shall constitute a default by Retailer which shall give Fox the right to elect to terminate its obligation to ship further goods to Retailer or request adequate assurances from Retailer, said assurance to be satisfactory to Fox, in its sole and subjective discretion. Invoice payments past due shall bear interest on a daily balance at the rate of one and one-half (11/2%) per month (i.e. 18% APR) or the maximum interest rate allowed by law, whichever is lower.

DELIVERY AND SUSPENSION OF DELIVERIESShipment will be F.O.B. at Fox’s shipping point, at which time risk of loss and title shall pass to Retailer and all freight, insurance, shipping or other delivery costs and expenses and duties shall be borne by Retailer. Fox shall have the right to deliver goods contained on a single order form in whatever quantities and on however many separate occasions as it, in its sole and subjective discretion may elect. Fox’s delivery note signed or countersigned by any employee of Retailer shall, for all purposes, be deemed to be accurate in all respects and binding on Retailer. In so far as the delivery of goods is concerned, time shall not be of the essence of any contract between Fox and Retailer and in the event of any delay in delivery or the failure to effect delivery for any reason whatever, then the contract shall not be subject to cancellation and Fox shall not be liable to the customer in damages. If any amount due and payable by Retailer to Fox is in arrears, Fox shall have the right until such amount has been paid, to suspend any deliveries under this and/or any other contract then in force and effect between Fox and Retailer.

EXCLUSIONSIf goods are ordered by reference to illustration, sample, or description, or specifi cation, such sample, illustration, description or specifi cation is for general identifi cation and general style only. Delivered goods may vary from samples, description and/or specifi cation. If any of the goods are latently or otherwise defective and a claim ties against the company in respect of the goods, then the company may at its option decide either to (1) replace the defective goods, or (2) reimburse the Retailer in respect of the price of the goods as against delivery by Retailer thereof. Fox shall not be liable under any circumstances whatsoever for any loss of profi t or any direct or consequential damages arising out of any breach by it of any of its obligations under the contract or breach of any warranty, and in any

event its liability to the customer shall not exceed the price of its goods.

CLAIMS AGAINST FOX AND RETURN OF MERCHANDISERetailer shall be obliged to re-deliver any defective goods to Fox at its own cost and expense. Claims against Fox are limited to either the cost price of the goods or their replacement. Goods may only be returned to Fox for material defects or non-conformity with the order. Claims for non-conformity of orders must be made to Fox in writing within fi ve (5) business days of delivery of the goods to Retailer and Fox must authorize its return in writing. Defective goods must be returned to Fox within one (1) month of receipt by Retailer or any person to whom the Retailer has resold, whichever date is later. Fox shall not be obliged to settle any claims after the times specifi ed above. RESALEFox sales to Retailer are for the purpose of Retailer selling at retail prices and in reliance upon Retailer’s representation that it will sell the goods only at retail prices. Unless otherwise agreed by Fox in writing, Retailer shall not dispose of the goods other than by way of retail

sale to the public in the normal course of business.

ATTORNEYS FEES AND COSTSIn the event of collection of moneys owed by Retailer being placed in the hands of attorneys or any other agents as a result of default in payment, Retailer shall pay an additional charge equal to the cost of collection, including any and all attorneys’ or any other agents’ fees and costs associated therewith, including, but not limited to court costs, and permitted by laws governing these transactions.

GOVERNING LAW, JURISDICTION AND NO OTHER CONDITIONS BINDINGThis Agreement shall be governed and interpreted by the laws of the State of California. All disputes regarding the interpretation and/or performance of this Agreement shall be litigated in Santa Clara County, California. All sales of goods by Fox are subject to these terms and conditions of sale and no other terms and/or conditions shall be valid and/or enforceable except in a writing signed by a duly authorized representative of Fox.
