On July 3, 2012, the United States Marine Corps (USMC) awarded Darley an $85.1 million contract to provide over 1,500 trailer mounted pumps to protect our troops. Under the contract, Darley will deliver the LE600 pump systems to the USMC over the next 5 years. The pumps will be used for fuel and potable water transfer to Marines in combat. They are coupled to a John Deere Model 4045HFJ85 which is a 4 cylinder 149 hp liquid-cooled engine mounted on a two-wheel chassis. It has far exceeded the USMC’s requirement of pumping 600 gpm at 150 psi. Darley’s LE 600 is actually capable of pumping 1000 gpm @ 150 psi, exceeding the USMC requirement by 67%. Due to higher flows, US Marines will spend far less time in harm’s way because they can complete their required critical tasks quicker. The pump is controlled by the Darley Smart Panel which brings all the pump and engine controls and diagnostics into a simple-to-operate and easy-to-read panel. The Smart Panel features a large vernier-type throttle control that easily allows the pump to operate in either pump pressure or engine RPM mode. It is the same panel offered on our pumps for fire service applications. According to Darley CEO, Paul C. Darley, “We have worked closely with the USMC on a variety of pump projects for the last 20 years. Our Ohler Division has provided roughly $10 million in pumps to this same customer since we acquired them in 2007. We listened closely to the customer’s need and designed a product for this specific application. The USMC needed the most reliable pump system on the market.” The LE 600 pump is a self-priming pump and was designed for this specific fuel pumping purpose based on our proven L series pump. Darley Engineer Doug Seitz led the engineering effort for the pump, in which Darley invested heavily over the past several years. Doug retired after completion of the project, having served Darley for 36 years. Doug commented, “This was an exciting project. On July 31, 2012, the NationalEconomic Commission of theAmerican Legion presented W. S.Darley & Co. with the OutstandingAchievement in the Employment ofVeterans Award for our hiring of veterans during the year 2011.

Qualifications for the award requirethat the nominee must be a private sector employer and at least 10% of the workforce must be veterans.The award is given to one small, one medium, and one large employerin each state with outstanding recordsin the hiring and retention of veterans. Darley was awarded in the Large ClassDivision in the State of Illinois for having the highest percentage of veterans for 2011.Darley’s workforce is now 18% veterans. Darley is now eligible to receive the NationalAward as the representative for the State of Illinois.

Since January 1, 2012, Darley has hired an additional eight veterans in our expandingDefense Division. Hopefully we’ll qualify again next year!

Paul Darley, President & CEO, commented, “We are extremely impressed with thequality of the veterans that we have hired for our Defense Division. As our culturechanges, we are looking to hire more veterans in our other divisions, as well. Theyare hard-working, dedicated and focused employees who understand and embraceour core values as a family business.”

Making the presentation at Darley’s Itasca headquarters on behalf of the AmericanLegion was Cornel Thomas, M.A., and Maria E. DiMuzio, both from the IllinoisDepartment of Employment Security.

For years, the Darley 11/2 AGEpump coupled to the 26 hp or34 hp Briggs and Stratton dieselengine has been the preferredchoice of the largest wildlandfirefighting agencies in the U.S.as well as many other depart-ments, large and small. Due tonew EPA emissions regulationchanges, the engine has beendiscontinued.

Darley engineers have been infront of this change and have been working on testing several different makes and models of engines. Performance, reliability, package size,and many other considerations are involved inmaking the right call for the replacement, in additionto frequent communication with end users.

The replacement engines we have determinedto be best suited to stand up to the fire are the 24 hp “902” and 39 hp “1505”Kubota models. We have had much experience with Kubota and the performance,longevity, and serviceability are second to none. In testing these products, ourengineering team was able to nearly match the performance of the now discontinued models ensuring continued success in wildland firefighting operationswhile adding new key features.

You can probably recite your missionstatement, strategic direction, core values andorganization’s goals. Culture is different. It’s theunwritten rules and values that organizationsfollow, which truly define who they are anddetermine appropriate behavior – how peopleact and respond to situations.

Whether you’re a fire department, militaryorganization or a company, each has its ownunique culture.

I’ve discovered that most companies spendlittle time discussing and embracing their culture – especially with new employees, customers and stakeholders. A clear under-standing of culture can help companies improvetheir competitive advantage and ensure thatemployees understand and act by the accept-able methods.

At Darley, we are a company steeped in historyand culture. We’re a family business with deeproots in the fire service. We work hard, put ourcustomers first and treat our employees right.

Our company is changing drastically andevolving as we move into new markets such asdefense, water purification, homeland securityand residential sprinkler systems, in addition tonew fire export markets. As we move into thesemarkets, I’ve been concerned that our rich culturemight not be aligned and communicated properlyin these new markets and with our new employees.

At a recent company board meeting, we hadan extremely insightful discussion on changingour company culture. As our business changes,does our culture need to change, too? We determined that our culture must be adaptive tomeet our changing business goals. We’ll makeincremental, not radical, changes. We shouldn’ttry to be something we’re not.

Culture can make or break a company. Studiesshow that companies that have adaptive culturesoutperform their competitors by 200% or more.

As we expand our business, we will adapt ourculture to assimilate these new markets. Then,we’ll move everyone toward this new mindset,without losing the essence of what’s made ussuccessful in the past.

So, while culture is hard to define, it is a defining issue for any organization. I would loveto hear your comments on how you perceive ourculture as we refine it and move forward.

Over the past several months we have conducted several DarleyDefense Days (DDD for short). These Darley-organized tradeshowsare focused on the warfighter at the brigade or local level. We haveconducted shows at Fort Lewis for the 1st Special Forces Group and at Fort Campbell for the 4th Brigade, 101st Airborne Division (Air Assault). Each went off with resoundingsuccess. Key leaders from each of the unitsgot to see and try out some of the criticalgear they will be purchasing before theydeploy to Afghanistan.

Our next DDD shows will take place atFort Drum, NY and at Camp Pendleton, CAon August 8 and 29, respectively.

The Defense LogisticsAgency recognizes contrac-tors for their excellent performance. To qualify foran award, a supplier mustdeliver on a minimum of 50 contract line items during the year. The Darley VersaPak™ water purification system was successfully launched and testedat this year’s FDIC and ExFOB shows. Soon after, two modules of the VersaPak™ systems were displayed in Singapore at the World Water Expo 2012 (the largest watershow in Asia), by David Krause, Darley’s sales representative in Southeast Asia.

This is the first time that Darley’s water purification systems were displayed outside ofthe USA. Darley was one of seven companies in Illinois funded by the Illinois Departmentof Commerce to participate in the World Water Expo. The trade mission is to approachwater technology–related products/service opportunities in South Asia, establishincreased export to Southeast Asia, and put Illinois on the map as a leader in water-relatedproducts, research and development.

The Expo helped Darley build distribution and establish partnerships in SoutheastAsia, as this region’s market for water purification products in humanitarian and commercialapplications emerges. The recent patent filings on PuriFire®/VersaPak™ products willprotect Darley’s IP on water purification technologies while exploring markets worldwide.

Are there any improvements inpacking for pump shaft sealing?

Answer.Packing has been used to seal pump shafts for

hundreds of years, and while it is a very mature method, new materials and science are showing us how we can improve even thisold technology.

In 1957, Darley revolutionized the fire industry by introducing thefirst injection-style packing for a fire pump. Unlike conventionalpacking, which at the time consisted of rope cords, this packing wasformed into pellets and was self-renewing, so it never needed to bereplaced in ordinary use – a new pellet could simply be added, andthe laborious job of changing the pump’s packing was eliminated.

Recently, we started looking at the small pieces of lead that act as a lubricant and sealant on the shaft. We wanted to eliminatethem. The problem was that our current formulation needed thelead to bind the material into a workable form. For one test, wehand-picked out the lead, piece-by-piece, so we could see what happened without it. It was an exhaustive and ultimately futile effort.Without the lead, the pellets were too spongy and wouldn’t sealconsistently around the shaft.

This left us with a challenge: we wanted to eliminate lead, but we

needed a product that worked reliably. Thinking outside of the box,rather than reformulating our existing packing, we decided to trynew materials. After dozens of experiments on various products, we found it. Our latest formulation works even better than our current variety, operating without issue at higher pressures and at higher shaft speeds than our current material can tolerate. We’ve done endurance tests at crazy pressures and speeds that I could never recommend out in the field, including long dry-runtests, which again I recommend against. Astonishingly, this new formulation works.

We’ve tested it in combination with our current packing and foundthat it was completely acceptable to mix the two types. There is noneed to remove your old packing and start fresh. The two main differences our customers will notice is that the pellets aren’t quiteas cylindrical and uniform, and the color has changed to white.

Bye-bye to black, lead-filled pellets and welcome to the future.This change-over is expected around December, 2012. Even in theold world of packing, we continue to make improvements.

Kevin Sofen has joined Darley as Product Manager for Business Development in the WaterPurification Division. He graduated from the University of Wisconsin at Madison in 2012 with aBachelor of Arts degree in Political Science and Human Geography with a minor in SoutheastAsian Studies. Kevin traveled extensively during his college years and says this helped shape his interest in globalecological challenges. During his freshman year, Kevin traveled to the Middle East, where the future of water is ascritical as oil. In his junior year, he participated in the Semester at Sea program through the University of Virginia.Kevin circumnavigated the globe and visited twelve countries with classes in international relations and global issues

while aboard the ship. For the past few months, Kevin has studied at Beijing University in China, completing a language immersionprogram while living with a Chinese family.

When asked what brings him to Darley, Kevin replied that it is his excitement to bring Darley’s solutions for clean water andresource conservation to emerging markets. He says, “There is a cultural aspect to the adoption of these solutions that I hope tobring to my role with Darley.”

Kevin is outgoing and enjoys political activism. While at Madison, he was busy with student roundtables to debate today’s keyissues, such as the Euro Zone impact on the global economy. In 2010, Kevin interned for Wisconsin State Senator, Joe Leibham.

Kevin is the fourth of seven children. A Los Angeles native with Midwest ties, Kevin spent every summer of his life younger yearsin Wisconsin. The last two years, Kevin’s entire family has spent Christmas in the stands at Lambeau Field cheering on the Packers.

Matt Darley joined Darley full-time as aProduct Manager for the equipment division inJuly 2012. Matt is the first member of the Darleyfamily’s 4th generation to begin a career at theItasca Headquarters. In 2010, Matt graduatedfrom Purdue University’s Krannert School ofManagement with a B.S. in Economics and minorsin Management and International Business.

While at Purdue, Matt was active at theEntrepreneurship Center where he earned an additional Certificate in Entrepreneurshipand Innovation. According to Matt, “Innovation is one of Darley’s Core Values. I’m excited to join Darley at a time where we’re expanding our business and exploring new markets. It is great to be a part of Darley’s equipment division, wherewe continue to produce a catalog that goes out to every fire department in thenation. We are also in the process of growing our online stores, edarley.com, darleydefense.com, and homelandsecurityequipment.com where we can build ourproduct offering beyond the catalog.”

Matt reflects, “My greatest mentor growing up has been Bill Darley. He hasinstilled in me the values, work ethic, and life lessons that will help me succeed at Darley.”

Matt would like to continue his education while at Darley and is interested in Law School. He enjoys travel and had the opportunity to study abroad at a businessconsortium in Northern Italy where he explored different places around Europe. In his personal time, he also enjoys summer activities like wakeboarding, skiing, and golfing.

EMPLOYEE PROFILE

On June 29, 2012, we celebrated 4,000 days sincethe last Lost-Time Injury foremployees in our ChippewaFalls machine shop andoffice area. This record goesback to July 17, 2001, whichequates to more than 1.4million worked man hours.

All employees must becongratulated. This truly is ateam accomplishment and wouldn’t have happened without everyone’s attention tosafety. The safety committee conducts regularly scheduled safety meetings andshop inspections, and our engineers and management team incorporate safety intoall our equipment and processes, but most of our improvement ideas come fromthe shop employees.

Of course, nobody ever wants to get injured at work, but our employees go muchfurther than that and take pride in what they are doing and have accomplished.

Al Wilcox, our most senior shop employee, noted, “As a shop employee of over43 years with Darley, I must say I am proud to be on the team of a company thatworks so hard at keeping its workplace a safe place to work and building a productthat is equally as safe for our customers to use while protecting the general public.”

Union representative Bob Lane also claims teamwork as a major component ofour safety program. “Working as a team, with engineering seeking input from theemployees working in the shop, helps us to perform our jobs better and work saferto produce a great product. We have great representation on our safety committeethat will help us to reach higher goals.”

I had a discussion lastweek with my teenagers onthe subject of flashcubes.They had no idea what I was talking about. Itseems like just a few years ago we all usedflashcubes for indoor photography, but nowthey’re a relic of the past.

The conversation turned to my son asking,“Are you going to continue to make the Darleycatalog?”

I told him it’s a bit like your textbooks. Whilethere are newer technologies available, I see nosigns of book fees going away any time soon.Call it a conspiracy between the publishers,bookstores, backpack makers, highlighter manufacturers and universities, but textbookshave been around forever and continue to havetremendous staying power.

It’s hard to remember back to the days beforecomputers and cell phones dominated our lives.We spoke with customers on the landlines andactually wrote real letters. The black and whiteDarley fire catalog was still as high tech as it hadbeen since the early editions.

For a while our catalogs were a little like the“Wizard of Oz” - a curious mix of color andblack and white, but it didn’t take long for us togive it a complete makeover.

E-commerce sprung up and transformed howwe market firefighting equipment. Those whoembrace technology love the online experienceof being able to surf any hour of the day or night.Rather than seeing just one view, products cannow be displayed from every conceivable angleand color. Even better, we now have hundredsof videos on edarley.com. Our Facebook pagesare a source for fresh news and company information for the hard core fans.

Darley customers come in all shapes and sizesand for many, the simpler the better. They’venever felt a need to “tweet.” They enjoy gettinga catalog in the mail and leisurely thumbingthrough it even earmarking pages. For thesecustomers, locating product is so much faster ina catalog than waiting for a computer to bootup, hoping your home internet is working andlearning the navigation that is unique to everywebsite.

Successful companies work hard at cateringto both techies and traditionalists. Our next fireequipment catalog will be released shortly, anddoes a great job of driving internet orders.

Darley is a goal-driven organization, so it’s no surprise that one of those common goals is to promote the well-being ofemployees on a companywide level through the implemention ofthe Darley Wellness Program Challenge. The Challenge involvesemployees logging hours of exercise and receiving healthscreens. Goals are reached by logging increments of 5, 10, 15,25, 30, 35, 60, and 70 hours. When reached, participants aregiven motivational prizes or entered into raffle drawings for giftssuch as organic/all-natural grocery gift cards, gym bags, andiPods. Employees can also receive bonus extra credit hours for signing up for a monthly gym membership, which is also reimbursed by the company up to a specific dollar amount.

Michael Whitlaw, who has been an employee at Darley since 2004, is an active participant in the Wellness Program Challenge, recently won a gift card from the 30-hour raffle drawing and has a goal to win the top spot for most hours logged. He has some strong competition out there as all the participants are committed toexercising and staying healthy.

Long time Darley employee Tony Rodriguez has always beena perfectionist. He proved it recently by bowling three perfect300 games in February and March of 2012. Tony started bowlingwith his father, uncle and brothers at a young age and todaybowls in three men’s leagues. For over 30 years, Tony hasbowled with his wife Lori on Saturday nights. His average is 218.

Tony joined Darley 38 years ago when he started in our shipping and receiving department. He worked in customerservice for a number of years and today is our Director ofPurchasing. Tony – Congratulations on your success!

My name is Mike Darley. I am 21 years old and theyoungest son of Jeff andPatti Darley. I gained a lotof interest in business andhow companies run andoperate growing up aroundthe family business. Thisultimately led to my educational choices. I recentlygraduated from the University of Minnesota-Duluth with a Bachelor's degree in OrganizationalManagement and a Minor in Finance.

I also played baseball for four years while atUMD. During this time, I played seven different positions starting at catcher my senior season andearned Academic All-Conference twice. I wasrecently invited to play for Team America throughthe American International Sports Teams (AIST) atthe Prague baseball tournament in the CzechRepublic. Prague was very different compared to the United States in many ways such as transportation, food, beverages, lifestyles, etc.

In the tournament, we won our pool and madeour way into the Championship game. We overcame two deficits to beat the Czech RepublicNational team by a final score of 12-6. I can tellyou that there isn’t a better feeling than hearingyour national anthem played after the game.

I am now headed to work for TargetCorporation in Bemidji, Minnesota, where I willbe an Executive Team Leader as I continue to pursue my interests in Management.
