WHEREAS:

The SELLER, hereby qualified with full corporate, legal authority and under penalty of perjury declares that he is ready, willing and able, and he makes an irrevocable commitment to sell the cession of credit rights of XX (xxx) Brazilian National Treasury Letter, Series 0001, Blue Color, with TRR and henceforth called LTN, to be purchased by the BUYER through Secretaria do Tesouro Nacional da República Federativa do Brasil/Companhia Brasileira de Liquidação e Custódia and henceforth called STN/CBLC for the price stated on item 2.2 and the Annex “A” of this Contract, with assured payment by BUYER’s Bank and warrants that it can fulfill the requirements of this Contract and provide the product mentioned herein as per the delivery schedule agreed in this Contract. O VENDEDOR, aqui qualificado com total responsabilidade corporativa, autoridade legal e sob pena de perjúrio, declara que está pronto, disposto e capaz e faz o compromisso irrevogável de vender a cessão dos direitos creditórios de XX (xxx) “Letra do Tesouro Nacional”, Série 0001, Cor Azul, com TRR, doravante simplesmente chamada de LTN, para ser comprada pelo COMPRADOR através da Secretaria do Tesouro Nacional da República Federativa do Brasil/ Companhia Brasileira de Liquidação e Custódia, doravante denominada STN/CBLC ao preço estabelecido no item 2.2 e no Anexo “A” deste contrato, com pagamento garantido pelo Banco do COMPRADOR e assegura que tem as condições para preencher todos os requisitos deste Contrato e fornecer o produto aqui mencionado entregando-o como aqui pactuado. The BUYER, hereby qualified with full corporate responsibility, legal authority and under penalty of perjury declares that he is ready, willing and able, and he makes an irrevocable commitment to purchase the cession of credit rights of XX (xxx) Brazilian National Treasury Letter, Series 0001, Blue Color, with TRR and henceforth called LTN, to be sold by the, through Secretaria do Tesouro Nacional da República Federativa do Brasil/Companhia Brasileira de Liquidação e Custódia and henceforth called STN/CBLC, by the price state on item 2.2. and the Annex “A” of this Contract, with payment assured by BUYER´s Bank, under terms and conditions herein stated, assuring and warranting that it can fulfill all the requirements of this Contract.

CLAUSE 02: PRICE, PAYMENT AND CONDITIONS/PREÇO E CONDIÇÕES DE PAGAMENTO 2.1. The BUYER will settle the contractual payment via SWIFT MT-103 or another equivalent

payment instrument previously accepted by the SELLER & SELLER’s Bank, and the payment will be made directly to the Paymasters stated in the Annex “A” of this Contract, in order to purchase and pay the cession of credit rights of the LTN;

O COMPRADOR liquidará o pagamento contratual via SWIFT MT-103 ou outro instrumento de pagamento equivalente, previamente aceito pelo VENDEDOR e o Banco do VENDEDOR, e o pagamento será realizado diretamente aos Paymasters estabelecidos no Anexo “A” deste Contrato, para comprar e pagar a cessão de direitos creditórios das LTN.

2.2. BUYER and SELLER agree that the Unit Price per LTN is USD$ XX.X00.000.00 (XXX of USA

Dollars). The total contractual value of USD$ XX.X00.000.00 (XXX of USA Dollars) should be paid by the BUYER to the Paymasters of this transaction, directly to the bank coordinates stated in the Annex “A” of this Contract.

COMPRADOR e VENDEDOR concordam que o valor unitário por LTN é de USD$ XX.X00.000.00 (XXX de Dólares Americanos). O valor total contratual de USD$ XX.X00.000.00 (XXX de Dólares Americanos) deverá ser pago pelo COMPRADOR para os Paymasters da transação, diretamente para as coordenadas bancárias indicadas no Anexo A.

2.3. The BUYER recognizes that this purchase and sale of the Cession of Credit Rights from the

LTN and their subsequent transference to the BUYER, must be performed through the CBLC Contract for Cession of Credit Rights with Blockage, previously approved and authorized by the STN (Secretaria do Tesouro Nacional da República Federativa do Brasil) and issued by CBLC (Companhia Brasileira de Liquidação e Custódia). Simultaneously the blockage of the mentioned CBLC Contract will be confirmed by the Bilingual Screen of STN/CBLC.

O COMPRADOR reconhece que esta compra e venda da Cessão dos Direitos Creditórios da LTN e sua transferência posterior ao COMPRADOR, será feita através do Contrato CBLC de Cessão de Direitos Creditórios com bloqueio, previamente aprovado e autorizado pela STN (Secretaria do Tesouro Nacional da República Federativa do Brasil) e emitido pela CBLC (Companhia Brasileira de Liquidação e Custódia). Simultaneamente, o bloqueio do Contrato CBLC mencionado será confirmado pela Tela Bilíngue da STN/CBLC.

2.4. The BUYER furthermore recognizes that he will pay the expenses and fees with the

amount of USD$ 60,000.00 (Sixty Thousand USA Dollars) related to the issuance of CBLC Contract for Cession of Credit Rights, with blockage of the bonds in his favor and the Bilingual Screen of STN/CBLC to be requested by the SELLER. In order to accomplish the activities needed for the issuance of the referred CBLC Contract and Bilingual Screens, the BUYER will contract the services of a consultancy firm to be indicated by the SELLER in Brazil.

O COMPRADOR, além disso, reconhece que pagará as despesas e taxas no montante de USD$ 60.000,00 (Sessenta Mil Dólares Americanos) para a emissão do Contrato CBLC de Cessão de Direitos Creditórios, com bloqueio dos títulos em seu favor e a Tela Bilíngue da STN/CBLC a ser requerido pelo VENDEDOR.

Para realizar as atividades necessárias para a emissão do referido Contrato CBLC, o COMPRADOR contratará os serviços de uma empresa de consultoria a ser indicada pelo VENDEDOR no Brasil.

2.5. The fees for the optional WINDOW TIME SESSION between the STN/CBLC/CME (Chicago

Mercantile Exchange) Group officer and BUYER’s bank officer are estimated in USD$60,000.00 (Sixty Thousand USA Dollars) and will follow the same contract and payment procedures as indicated above in the section 2.4.

As taxas para a execução da confirmação “WINDOW TIME” opcional entre o oficial da STN/CBLC/CME (Chicago Mercantile Exchange) e o oficial bancário do COMPRADOR estão estimados em USD$ 60.000,00 (Sessenta Mil Dólares Americanos) e seguirão os mesmos procedimentos contratuais e de pagamento como indicado acima no item 2.4.

CLAUSE 03 : PROCEDURES/PROCEDIMENTOS 3.1. BUYER issues a copy of this Contract to SELLER, initialed in all pages and with the Bank

coordinates fulfilled of Clause 5, signed and notarized as well as the Annex of the Consent Agreement, as a proof of his agreement with their Clauses and Terms;

O COMPRADOR emite cópia desse Contrato para o VENDEDOR, rubricado em todas as páginas e com as coordenadas dos Bancos preenchidas na Cláusula 5, assinado e autenticado em cartório, bem como o Anexo do Acordo de Consentimento, como prova de sua concordância com seus termos e condições;

3.2. SELLER issues a copy of this Contract to BUYER, initialed in all pages, signed and notarized

as well as the Annex of the Consent Agreement, as a proof of his agreement with their Clauses and Term;

O VENDEDOR emite cópia desse Contrato para o COMPRADOR, rubricado em todas as páginas, bem como assinado e autenticado em cartório, bem como o Anexo do Acordo de Consentimento, como prova de sua concordância com seus termos e condições;

3.3. The PARTIES will initially exchange electronically the original Contract copies, previously

fulfilled in counterparts by each respective Party and duly signed and notarized. These two copies fulfilled and signed by the PARTIES will become the only 2 (two) original copies of this transaction, until they will be replaced by the Final Contract, duly signed and notarized by both PARTIES and fulfilled with the exact compilation of the information included in the counterpart originals.

For the purpose of attending the STN/CBLC procedure of issuance of the CBLC Contract

for Cession of Credit Rights, the Counterpart Contract signed by both PARTIES will be presented, and replaced by the Final Contract in 4 (four) copies at the moment of the contractual payment. As PARTES trocarão eletronicamente as cópias originais desse Contrato, previamente e respectivamente preenchidas em separado pelas PARTES e devidamente assinadas e autenticadas. Estas duas cópias preenchidas e assinadas pelas PARTES se tornarão os únicos 2 (dois) originais desta transação, até que sejam substituídas pelo contrato Final, devidamente assinado e notarizado por ambas as PARTES e preenchido com a compilação exata das informações incluídas nos originais executados em separado pelas PARTES.

Para atender o propósito de atender o procedimento STN/CBLC de emissão do Contrato CBLC de Cessão de Direitos Creditórios o Contrato assinado em contrapartes por ambas as PARTES será apresentado e substituído pelo Contrato Final em 4 (quatro) cópias no momento do pagamento contratual.

3.3.1. Both BUYER and SELLER are obligated, simultaneously to the electronic exchange act above described, to submit along with this contract, the following documents: a) Client Information Sheet (CIS) of the Corporation and their Representative Directors; b) Board Resolution authorizing its representative mandate for the legal signatory ;c) Corporation Registration Document from the Country of origin. Ambos, COMPRADOR e VENDEDOR, estão obrigados, simultaneamente ao ato de troca eletrônico acima descrito, de submeter juntamente com este contrato, os seguintes documentos: a) Ficha de Informação do Cliente (CIS) da Corporação e seus Diretores Representantes; b) Resolução da Diretoria autorizando o mandato de representante do seu signatário legal; c) Documento de Registro Corporativo do país de origem.

3.4. Upon electronic exchange in accordance with clause 3.3 above, within 1 (ONE) working days, the PARTIES will provide the following:

Com a troca eletrônica de acordo com a cláusula 3.3 acima, dentro de 1(UM) dia útil, as PARTES providenciarão o seguinte:

3.4.1. SELLER shall demonstrate the existence, ownership and availability of the LTN, as the proof of product (POP) through a Bilingual Screen issued by STN/CBLC containing the status information of ownership, validity, interest rates, original face value, registration of codes and numbers of the bonds, TRR, CODIP/CODIV, BACEN, CETIP, PU VALUE.

O VENDEDOR deverá demonstrar a existência, a propriedade e disponibilidade da LTN, como a prova do produto (PDP), através de Tela Bilingue emitida pela STN/CBLC contendo status de titularidade, validade, taxas de juros, registro de códigos e números dos títulos, TRR, CODIP/CODIV, BACEN, CETIP, VALOR DO PU.

3.4.2. BUYER, in sequence, shall provide proof of funds (POF) through official Account

Statement or Tear Sheets issued by the BUYER’s bank, as well as to present and request the approval of the payer’s bank to the SELLER.

O COMPRADOR, na sequência, deverá apresentar prova de fundos (PDF) através de Extratos Bancários ou Demonstrativos oficiais emitidos pelo Banco do COMPRADOR, bem como apresentar e requerer a aprovação do banco pagador para o VENDEDOR.

3.5. With both PARTIES satisfied, the BUYER will assure the payment as referenced in

section 2.4 for the issuance of the CBLC Contract for Cession of Credit Rights with Blockage and the STN/CBLC Bilingual Screen confirming the LTN blockage.

Com ambas as PARTES satisfeitas, o COMPRADOR garantirá o pagamento conforme referenciado na seção 2.4 para a emissão do Contrato CBLC para a Cessão de Direitos Creditórios com Bloqueio e da Tela Bilingue STN/CBLB confirmando o bloqueio das LTNs.

3.6. With the above payment settled, the SELLER represented by his legal signatory, will

write a handwritten letter to STN/CBLC requesting the due diligence for approval of

the BUYER, the issuance of the CBLC Contract for Cession of Credit Rights with blockage and the STN/CBLC Bilingual Screens confirming the blockage of the LTNs. Also, the SELLER will send to STN/CBLC this Contract completed, signed and notarized in original and/or by electronic format as well as the BUYER’s documents presented on section 3.3.1.

Com o pagamento acima garantido, o VENDEDOR, representado por seu signatário legal, escreverá uma carta de próprio punho para a STN/CBLC requerendo uma verificação para aprovação do COMPRADOR, e a emissão do Contrato CBLC de Cessão de Direitos Creditórios com bloqueio e a emissão das Telas Bilingues STN/CBLC confirmando o bloqueio das LTNs. Também, o VENDEDOR enviará para a STN/CBLC este contrato completado, assinado e autenticado em original e/ou formato eletrônico bem como a documentação do COMPRADOR apresentada na seção 3.3.1.

3.7. The SELLER receives the CBLC Contract for Cession of Credit Rights with blockage in

favor of the BUYER as its Assignee, and send it to the BUYER to get the mentioned contract immediately printed in three (3) original copies that should be initialed in all pages, signed, notarized and returned to the SELLER in hard copy by courier email. An electronic scanned copy of this CBLC contract duly signed and notarized by the BUYER should be sent to the SELLER, who will sign and notarize the scanned document and will send it to CBLC, while keeping the original copies to sign and seal the Section “E” of the same CBLC Contract when the BUYER performs the contractual payment within 48 (FORTY-EIGHT) calendar hours, directly to the SELLER’s Coordinates indicated on the Annex A.

O VENDEDOR recebe o Contrato CBLC de Cessão de Direitos Creditórios com bloqueio a favor do COMPRADOR como seu Cessionário, e envia para o COMPRADOR para ter o contrato mencionado imediatamente impresso em 3 (três) cópias originais que deverão ser rubricadas em todas as páginas, assinadas e autenticadas e retornadas para o COMPRADOR via correio ou courier. Uma cópia eletrônica digitalizada deste Contrato CBLC devidamente assinada e autenticada pelo COMPRADOR deverá ser enviada para o VENDEDOR, que assinará e autenticará o documento escaneado e o enviará para a CBLC, enquanto mantém as cópias originais para serem assinadas e autenticadas na Seção “E” deste mesmo Contrato CBLC quando o COMPRADOR realizar os pagamentos contratuais dentro de 48 (QUARENTA E OITO) horas corridas, diretamente para as Coordenadas do VENDEDOR indicadas no Anexo “A”.

3.8. SELLER receives the STN/CBLC Bilingual Screens confirming the blocking of the LTN’s in

favor of BUYER as is in the CBLC Contract of Cession of Credit Rights containing the following information, among others: a) Status information of ownership, validity, interest rates; Face Value b) Registration of codes and Numbers of the BONDS, TRR, CODIP/CODIV, BACEN, CETIP, PU VALUE and BLOCKING INFORMATION. Simultaneously, the SELLER sends an electronic copy of the screens to the email of the BUYER indicated on item 11.2.

O VENDEDOR recebe as Telas Bilíngues STN/CBLC confirmando o bloqueio dos títulos a favor do COMPRADOR como consta no Contrato CBLC de Cessão de Direitos Creditórios contendo as seguintes informações, entre outras: a) Nome do Proprietário, validade, taxas de juros; b) Registro dos Códigos e Números dos Títulos, TRR, CODIP/CODIV, BACEN, CETIP, VALOR DO PU e INFORMAÇÕES DO BLOQUEIO.

Simultaneamente, o VENDEDOR enviará cópia das telas para as coordenadas de email do COMPRADOR indicado no item 11.2.

3.9. Optionally, the BUYER at this own interest and expenses, may require a WINDOW-TIME ONLINE SESSION between the BUYER’s bank officer and a designated STN/CBLC/CME(CHICAGO MERCANTILE EXCHANGE GROUP) officer, for the purpose of verification and confirmation of the coordinates on screen and the LTN blockage on behalf of the BUYER. In order to have the window-time session, the PARTIES will proceed on the following:

Opcionalmente, o COMPRADOR sob seu próprio interesse e custo, poderá requerer uma SESSÃO WINDOW-TIME ONLINE entre o oficial bancário do COMPRADOR e o oficial designado pela STN/CBLC/CME (CHICAGO MERCANTILE EXCHANGE GROUP) com o propósito de verificação e confirmação das coordenadas em tela e o bloqueio das LTNs em nome do COMPRADOR. Para que a sessão window-time aconteça, as PARTES procederão no seguinte:

3.9.1. The BUYER will send a letter to the SELLER presenting his designated Bank Officer with all of his credentials and location where he is going to access the window-time session. O COMPRADOR enviará uma carta para o VENDEDOR apresentando seu oficial bancário designado com todas as suas credenciais e local de onde ele estará realizando a sessão window-time.

3.9.2. In sequence the SELLER will issue a handwritten letter to STN/CBLC requesting the approval of the BUYER’s Bank Officer as well as the scheduling of the window-time session. Em sequência, o VENDEDOR emitirá carta de próprio punho para STN/CBLC requerendo a aprovação do oficial do COMPRADOR bem como o agendamento da sessão window-time.

3.9.3. With the approval of the BUYER’s Bank Officer by STN/CBLC, within 1 or 2 (one or two) working days, the window-time session will be scheduled. The SELLER will send to the BUYER’s e-mail address indicated in the item 11.2 with all of the complete instruction about the window-time session, with all details of the schedule of the window-time session and protocol for establishing the communication between BUYER’s and STN/CBLC/CME officers. Com a aprovação do oficial bancário do COMPRADOR pela STN/CBLC, dentro de 1 ou 2 (um ou dois) dias úteis, a sessão window-time será agendada. O VENDEDOR enviará ao endereço de e-mail do COMPRADOR indicado no item 11.2, todas as instruções relativas à sessão window-time, com todos os detalhes para o agendamento da sessão window-time e protocolos para estabelecer comunicação entre os oficiais do COMPRADOR e STN/CBLC/CME.

3.10. According with the deadlines established in the CBLC Contract for Cession of Credit Rights, the BUYER will perform the Contractual Payments within 48 (FORTY-EIGHT) calendar hours, directly to the Paymasters’ accounts indicated on the Annex A by SWIFT MT 103. With the payment free and unhindered credited to his designated account, the SELLER, along with the SELLER’s Bank Officer will duly sign and seal the

SECTION E of the, confirming the receiving of the Contractual Payment on the three (3) original copies of the contract. De acordo com os prazos estabelecidos no Contrato CBLC de Cessão de Direitos Creditórios, o COMPRADOR efetuará dentro de 48 (QUARENTA E OITO) horas corridas, os pagamentos contratuais, diretamente nas contas dos Paymasters indicadas no Anexo A através do SWIFT MT 103. Com o pagamento, livre e desimpedido, creditado na sua conta designada, o VENDEDOR, juntamente com o oficial Bancário do VENDEDOR, assinará e selará devidamente a SEÇÃO E do Contrato CBLC de Cessão de Direitos Creditórios, confirmando o recebimento do Pagamento Contratual nos 3 (três) originais do contrato.

3.10.1. In the event of the impossibility of the BUYER to settle the contractual payment for any reason, within the deadline established above, the blockage of the LTNs will be terminated, and the BUYER should formally request to the SELLER for a renewal of CBLC Contract for Cession of Credit Rights. With the SELLER acceptance, the BUYER should immediately pay the renewal fees with the same values posted on items 2.4 and 2.5 of this contract. With the payment of the fees assured, the SELLER will issue a handwritten letter to STN/CBLC requesting such contract renewal. Em caso da impossibilidade do COMPRADOR de liquidar o pagamento contratual por qualquer razão, dentro do prazo estabelecido acima, o bloqueio das LTNs será baixado, e o COMPRADOR deverá formalmente requisitar ao VENDEDOR uma renovação do Contrato CBLC de Cessão de Direitos Creditórios. Com a aceitação do VENDEDOR, o COMPRADOR deverá imediatamente pagar as taxas de renovação com os mesmos valores constantes dos itens 2.4 e 2.5 deste contrato. Com o pagamento executado, o VENDEDOR emitirá uma carta de próprio punho para a STN/CBLC requerendo tal renovação contratual.

3.11. With the SECTION E of the duly signed and sealed, the BUYER, with the assistance of

the SELLER, will register the finalized Contract for Cession of Credit Rights in a Brazilian Notary Public Office with all expenditures paid by the BUYER. Com o Seção E do Contrato CBLC de Cessão de Direitos Creditórios devidamente assinado e selado, o COMPRADOR, com a assistência do VENDEDOR, registrará o Termo de Cessão de Direitos Creditórios em um cartório público de registro de documentos no Brasil com todas as despesas pagas pelo COMPRADOR.

3.12. Finally, according with the CBLC Contract for Cession of Credit Rights, BUYER, with the SELLER’s assistance, will have 10 (ten) working days to request STN/CBLC the Electronic Transfer of Cession of Credit Rights to the new Owner (the BUYER) in all of the official registrations and screens of the STN System, confirmed by a Status STN/CBLC Bilingual Screen issued to new owner (BUYER). Finalmente, de acordo com o Contrato CBLC de Cessão de Direitos Creditórios, o COMPRADOR, com a assistência do VENDEDOR, terá 10 (DEZ) dias úteis, para requerer junto à STN/CBLC, a Transferência Eletrônica da Cessão de Direitos para o novo Proprietário (o COMPRADOR), nos registros e telas oficiais do Sistema STN confirmados por uma Tela Bilíngue de Status STN/CBLC emitida para o novo proprietário (COMPRADOR).

CLAUSE 04: DECLARATIONS/DECLARAÇÕES 4.1. BUYER and SELLER recognize the fundamental importance and contribution of the

Advisers and Co-participants for the success of this transaction and they guarantee the payments, according to the values stated in their Contracts and FPA-Fee Protection & Payment Working Agreements signed between the PARTIES, whose rights are guaranteed by Brazilian & International Laws;

O COMPRADOR e o VENDEDOR reconhecem a fundamental importância e contribuição dos Consultores e seus Co-participantes para o êxito desta transação, assegurando-lhes os pagamentos dos valores expressos nos Contratos e APH – Acordo de Proteção e pagamento de Honorários, assinado entre as PARTES, direitos estes garantidos expressamente pelas Leis Brasileiras e Internacionais.

4.2. BUYER and SELLER recognize that this Irrevocable Contract will remain in force for the

duration of this transaction including any extensions, additions or renewals which the same PARTIES are involved. This Agreement shall be binding upon the PARTIES, their principals, officers, directors, shareholders, managers, agents, trustees, successors, assigns, subsidiaries, or any other party deriving or claiming to derive a benefit here from.

4.3. BUYER and SELLER recognize, for all future legal effects, that their Co-Participants &

Advisers will not be responsible for the existence of the LTNs and/or the Financial Funds or by this Transaction and further declare, for future rights, that they have read and understood all terms and conditions of this Contract.

O COMPRADOR e o VENDEDOR reconhecem, para todos os efeitos legais, que os seus Co-participantes e Assessores, estão isentos de qualquer tipo de responsabilidade pela existência ou não das LTN e/ou Fundos Financeiros ou por essa transação e declaram ainda para futuros direitos, que leram e entenderam todos os termos e condições deste Contrato.

4.4. BUYER and SELLER acknowledge and agree that if there is any hindrance by the Brazilian authorities with respect to approval of the BUYER, no liability or compensatory damages can be charged by the SELLER.

CLAUSE 06: FORCE MAJEURE/FORÇA MAIOR Neither the SELLER nor the BUYER shall be held responsible for breach of contract caused by an act of God, Insurrection, Civil War, Military Operations, or Local Emergencies or other circumstances as specified as “Force Majeure” as published by the International Chamber of Commerce of Paris – ICC. Nem o VENDEDOR nem o COMPRADOR poderão ser responsabilizados por falhas neste Contrato causadas por ato de Deus, Insurreições, Guerra Civil, Operações Militares ou Emergências Locais ou outras circunstâncias especificada como “Força Maior” como publicado pela Câmara de Internacional Comércio de Paris – ICC.

CLAUSE 07: CONTRACT ARBITRATION/ARBITRAGEM DO CONTRATO All disputes and disagreements, which may arise in connection with this Contract, shall be settled through friendly negotiations between the PARTIES. Disputes and disagreements that cannot be settled through friendly negotiations between the PARTIES shall be decided by arbitration by three arbitrators appointed in accordance with the Rules of Arbitration of the ICC Paris. The arbitration shall take place in Zurich Switzerland in the English language. Todas as disputas e desacordos, que possam ser originadas deste Contrato, serão ajustados por negociação amigável entre as PARTES. Disputas e desacordos que não podem ser acertados através de negociações amigáveis entre as PARTES devem ser decididas por arbitragem por três árbitros designados de acordo com as Regras de Arbitragem do ICC de Paris. A arbitragem deve acontecer em Zurique na Suíça na Língua inglesa.

CLAUSE 08: EXECUTION OF CONTRACT/EXECUÇÃO DO CONTRATO Each one of the PARTIES to this Contract confirm that it has full legal authority to execute this Contract and that each Party will be bound by the terms and conditions contained in the Contract. This Contract represents the entire agreement between the PARTIES and any change shall be made only in writing, executed by all PARTIES. Cada uma das PARTES deste Contrato confirma que tem a autoridade legal para executar este Contrato de acordo, limitado aos seus termos e condições. Assim este Contrato representa a total concordância entre as PARTES e eventuais modificações somente serão poderão ser feitas através de acordo escrito entre todas as PARTES. Contract which is strictly confidential between the PARTIES, according to the NCNDA – Non Circumvention and Non-Disclosure Agreement rules as the latest revision published by the ICC Paris. This Agreement with its terms and conditions, roll and extensions are valid for 5 (five) years.

9.2. The PARTIES hereto legally and irrevocably bind themselves one to the other that they

shall not directly or indirectly interfere with, circumvent, avoid, by-pass or obviate each other’s interest in this Contract or the interest or relationship between themselves as SELLER, BUYER and paymasters and the BUYER and the SELLER hereby covenant with the other PARTIES hereto that any further transaction concluded by them or through any subsidiary, agent, associate or other nominee or representative will be subject to the same provisions in favor of the Paymasters as they are contained herein.

As PARTES deste instrumento legalmente e irrevogavelmente se obrigam um ao outro que não devem interferir diretamente ou indiretamente, burlar, evitar ou bloquear o interesse de cada participante deste Contrato ou o interesse ou relacionamento entre eles como VENDEDOR, COMPRADOR, paymasters e o COMPRADOR e o VENDEDOR pactuam com as outras PARTES que qualquer transação adicional concluído por eles ou através de qualquer subsidiária, agente, associado ou outro nomeado ou representante estarão sujeitos às mesmas provisões em favor dos Paymasters como constantes neste instrumento.

CLAUSE 10: PENALTIES/Penalties 10.1. Any of the PARTIES that comes to infringe or breach any of the conditions, accepted

and acknowledged by both, under the terms of this agreement, he will be subject to indemnify the aggrieved party, with payment of an amount equal to the compensatory damage done, regardless of the penalty stipulated over 2% (two percent) on the value of the transaction on your own, which will be due if there is bad faith, fraud or willful omission in procedures necessary for a successful negotiation.

Qualquer das PARTES que venha a infringir ou descumprir qualquer das condições, aceitas e admitidas por ambos, nos termos deste contrato, estará sujeito a indenizar a parte prejudicada, com pagamento de valor compensatório equivalente ao prejuízo causado, independente da multa pré-estipulada de 2% (dois por cento) sobre o valor da transação, que será devida se houver má-fé, dolo ou omissão proposital nos procedimentos necessários para o bom êxito da negociação.

10.2. The fine mentioned above will be charged through executive action, to be initiated by the harmed party at the offender’s court.

A multa supramencionada será cobrada por ação executiva, a ser movida pela prejudicada no foro do infrator.

10.3. Any compensation to be required should be stipulated by the arbitration committee provided in clause 7 above, and if it is not paid voluntarily, it will be executed judicially at the offender’s court.

A eventual indenização a ser pleiteada deverá ser estipulada pela Comissão de Arbitragem prevista na cláusula 7 acima, e se não paga voluntariamente será executada judicialmente no local do domicílio do infrator.

11.4. Each party agrees to indemnify and hold the other party harmless from all actions,

causes of action, debts and liabilities caused or taken by itself, each party shall be liable only for its own actions, debts and liabilities.
