A summary of the CER General Conditions

• Licenses:

– On the delivered software a license-agreement is applicable. The price gives no ownership-right but user-right. Unless otherwise explicitly agreed one license is required per unit (system, device or machine).

• Prices:

– In Euro; excluding V.A.T. , based on current currency exchange rates of dollar-euro. Large quantity price info: on demand

• Validity:

– This offer is valid until 30 days after the offer date.

• Delivery time:

– product delivery; from stock to a maximum of 4 weeks delivery time after receipt of a written purchase order.

– Application development / services: on demand

• Delivery:

– If shipment address is in The Netherlands: DDP; Delivery Duty Paid

– If shipment address is International: EXW; Ex works Roosendaal.

– Shipment charges depend on total weight of shipment and way of transportation. UPS/Fedex/DHL shipments possible if account number is provided.

• Location:

– Standard work will be done in our offices in Roosendaal. On demand and if necessary work can be done on location taken in to account that travel-time and travel and stay expenses will be additionally charged

• Invoicing:

– Invoicing of products will be done upon delivery of the products

– Invoicing of Services: will be done in terms with the 1st term upon receipt of the purchase order and the last term upon completion.

• Payment:

– In advance unless otherwise agreed.

– If payment will be done by credit card we will charge 4% processing-cost on the total amount of the invoice.

– Payment on account only after credit check with payment terms 30 days net.

• Guarantee:

– You have 5 year guarantee on hardware; 1st year 100%; 2nd year 80%; 3rd year 60%; 4th year 40% en the 5th year 20%.

– You have 1 year guarantee on the software-media (CD or flash disk e.g.)

– You have 30 day return-guarantee on the software.

– For the support we offer 3 month free support, after this period a continuation-agreement is available as an option.

– Regarding custom made software we offer you our expertise and effort to deliver an additional service which nevertheless may NOT be red as a result commitment or performance-guarantee

• Cost:

– If the total amount of the invoice is < € 250,00 we will charge you with € 25,- for small order cost.

Algemene voorwaardenEen samenvatting van de CER Algemene Verkoop- en Leverings Voorwaarden

• Licenties:

– Op de geleverde software is een licentieregeling van toepassing. De prijs geeft dan ook geen eigendomsrecht maar een gebruiksrecht. Tenzij anders uitdrukkelijk overeengekomen is per eenheid (systeem of machine) minimaal 1 licentie vereist.

• Prijzen:

– in Euro; exclusief BTW, gebaseerd op de huidige dollar-euro valuta verhoudingen. Dollarstijging, groter dan 3% na offerte datum, wordt naar rato door belast.

• Geldigheid:

– Deze aanbieding is geheel vrijblijvend en vervalt 1 maand na offertedatum.

• Levertijd:

– Levering standaard producten: uit voorraad tot max. ca.6 weken levertijd na schriftelijke opdrachtbevestiging.

– Levering maatwerk producten: ca. 3-6 weken levertijd na schriftelijke opdracht bevestiging.

– Levertijd applicatie ontwikkeling/services: op aanvraag.

• Levering:

– F.O.B.; Af fabriek te Roosendaal. Binnen de Benelux franco verzending. Verzendkosten zijn afhankelijk van totaal gewicht en manier van verzending. Verzending met UPS/Fedex/DHL is mogelijk indien klantnummer wordt verstrekt.

• Locatie:

– Standaard geschieden werkzaamheden op kantoor te Roosendaal.. Op verzoek en/indien vereist kunnen werkzaamheden op locatie geschieden waarbij reistijd en reis- en verblijfkosten additioneel worden door belast.

• Facturering:

– Facturering van standaard producten geschiedt bij levering

– Facturering van maatwerk/OEM producten: in maandelijkse termijnen met 1e termijn bij opdracht en laatste termijn bij oplevering.

– Facturering van services: in termijnen met 1e termijn bij opdracht en laatste termijn bij oplevering.

• Betaling:

– Vooruitbetaling tenzij anders overeengekomen. Betaling op rekening uitsluitend na kredietakkoord met betalingstermijn netto 14 dagen vanaf factuurdatum.

– Indien betaling per credit-card, berekenen wij 4 % verwerkingskosten over het totale factuurbedrag.

– Eigendomsvoorbehoud: zolang betaling niet heeft geheel heeft plaatsgevonden, blijft CER eigenaar van het geleverde.

• Garantie:

– CER verleent garantie op alle fabricage fouten. De CER garantie is echter NIET van toepassing

• bij oneigenlijk gebruik

• na openen van de apparatuur

– Indien de CER garantie wel van toepassing is, heeft u

• 1 jaar garantie op algemene hardware;

• 5 jaar dalende garantie op CER hardware van het type FieldCommander.

• waarbij het garantie deel jaarlijks stapsgewijs van 100% naar 0% terugloopt.

• Gedurende het 2e jaar heeft u dus 80% garantie korting op eventuele reparatie en/of vervangingskosten.

• 1 jaar garantie op de software-media (vaak CD of flash disk bv)

• 30 dagen retour garantie op de software.

• Inzake software maatwerk bieden wij u aan een inspanning te leveren, welke niet gelezen mag worden als prestatie-garantie.

• Aansprakelijkheid:

– In geval van schade door of verband houdend met door CER geleverde producten of diensten is de totale aansprakelijkheid van CER in geen geval hoger dan het betreffende factuurbedrag.

• Kosten:

– bij orderbedrag <€ 250,00 hanteren wij een opslag van € 25,- voor admin.kosten.

• Verwijderingsbijdrage:

– indien van toepassing belasten wij u door voor de zogenaamde verwijderingsbijdrage.
