ในปทผานมาเศรษฐกจไทยยงคงไดรบผลกระทบจากเศรษฐกจโลกทเกดจากวกฤตสนเชอซบไพรมในสหรฐ

ภาวะเศรษฐกจโดยรวมของป2551 จนถงไตรมาสแรกของป2552 ตกตำลงอยางตอเนองจากผลกระทบของวกฤตการเงน

ทวโลกและความไมแนนอนภายในประเทศทำใหการผลตสนคาอตสาหกรรมธรกจการสงออกและนำเขาปรบตวลดลง

ทามกลางความชะงกงนของเศรษฐกจและความขดแยงทางการเมองทเพมขนในประเทศไทย รฐบาลไดออกมาตรการ

เพอลดภาระคาครองชพของประชาชนและปองกนไมใหเศรษฐกจเขาสภาวะถดถอยมากยงขน

สงผลใหเศรษฐกจนบตงแตไตรมาสท2 ของป2552 ปรบตวดขนอยางชดเจนเมอเปรยบเทยบกบไตรมาสกอนหนาน

อกทงบรษทฯยงนำระบบมาพฒนาประสทธภาพและลดคาใชจายในการปฏบตงานอาทการเพมการตดตงเครองอนมต

วงเงนอตโนมต(EDCMachine) ทเคานเตอรบรการสนเชอแทนการใชพนกงาน และลดจำนวนพนกงานดวยการตดตงระบบการ

เรยกเขาของสายโทรศพทอตโนมต(AutoCall) และพฒนาการทำงานของระบบการรบรดวยเสยง(IVR) บนระบบตอบรบ

อตโนมต(IVR)ครบทกศนยปฏบตงาน

การจดตงศนยปฏบตงานประจำภมภาคจะชวยสรางความแขงแกรงในบรการสนเชอของบรษทฯ และเพมประสทธภาพ

การปฏบตงานในมาตรฐานเดยวกนทวทกพนท อกทงแตละศนยปฏบตงานสามารถสนบสนนการปฏบตงานทดแทนซงกนและกน

หากเกดเหตการณอนไมคาดหมายและทำใหระบบบรการในทกภมภาคยงคงดำเนนการตอไปไดอยางตอเนอง

นอกจากการตดตามผลการดำเนนธรกจ บรษทฯ ยงแสวงหาโอกาสในการขยายกจการโดยใหความสำคญกบความ

โปรงใสในการดำเนนธรกจใหเปนไปตามมาตรฐานสากลและสงเสรมหลกการกำกบดแลกจการตามขอกำหนดJ-SOX(Sarbanes

Oxley ฉบบประเทศญปน) โดยกำหนดใหมการพฒนาและควบคมภายในองคกร ตลอดจนจดตงการประเมนผลการปฏบตงานท

อาจสงผลกระทบตองบการเงนของบรษทฯ ซงไดกำหนดใหบรษทจดทะเบยนในประเทศญปนและบรษทยอยในตางประเทศตอง

เมอเดอนกมภาพนธ2553 บรษทฯ ไดรบการรบรองมาตรฐานดานระบบการจดการสงแวดลอมISO14001 ซงจะเปน

อกหนงกาวสำคญทแสดงออกถงความรบผดชอบตอสวนรวม เพอชวยพฒนาคณภาพชวตทดแกสงคมชมชน หลงจากทไดรบ

การรบรองมาตรฐานISO9001และISO27001กอนหนาน


Message to Shareholders

Inthepastyear,theThaieconomywasnotsparedthenegativeeffectsoftheworldwideeconomiccrisis

thatresultedfromthesubprimemortgagesintheUnitedStates.

Theoveralleconomyfrom2008tillthefirstquarter2009continuedtocontractduetothegloblalfinancial

crisisanddomesticuncertaintiesresultedinadropinmanufacturingproductionaswellasexportandimport

volumes.

AmidtheeconomicstagnationandmoreintenseofpoliticalconflictsinThailand,theThaigovernment

adoptedanumberofcost-of-livingreductionmeasurestopreventtheeconomyfromslippingfurther.

Asaresult,theeconomysincethesecondhalfof2009improvedsignificantlyquarter-on-quarterandthis

positivetrendcontinuedinthefirstquarter2010,withclearrecoverysignsinthedroppingunemploymentrate,

exportandproductionsectors,domesticspendingandtourismindustry.

Thechallengesofthiseconomiccrisisinthelastfinancialyearforcedustomonitorouroperationsto

continuallyreduceoperationcostandriskexposureaswellasimproveourassetquality.

TheCompanycentralizedouroperationcentersinfourregionslocatedinBangkok,Chiangmai,HadYai,

andKhonKaen.

Wealsoimplementednewsystemstoenhanceouroperationandminimizetheoperatingcostforexample

weincreasedEDCmachineinreplaceofmanpoweratourhirepurchasedealersandreducedmanpowerby

completedAutoCallsystemaswellasimprovedvoicerecognitionfunctioninIVRsysteminallouroperation

centers.

Theoperationcentershavealsostrengthenedourservicesandincreaseefficiencyincontrollingand

monitoringallbranchesunderthesamestandardandarenowcapabletooperateasback-upcentersforone

anotherincaseofdisasterinanyoftheregions.

Besidesactivelymonitoringourbusinessperformanceandexpansionopportunities,theCompanyalso

focusedonensuringthetransparencyinourbusinessactivitiestobeinlinewithinternationalstandardand

implementourprincipleofcorporategovernancetocomplywithJ-SOX(JapaneseSarbanesOxley),whichrequire

internalcontrolsover financial reportsthathasbeenenforcedonallJapanese listedcompaniesandtheir

consolidatedsubsidiaries.

InFebruary2010,theCompanyearnedISO14001EnvironmentalStandardCertification,whichisan

importantsteptowardpreservingtheenvironmentandimprovingthequalityoflifeforcommunities,followedthe

accreditationofISO9001andISO27001previously.

มลนธอออนประเทศไทยครบรอบวาระการกอตงปท3ในเดอนเมษายน2553จากปทผานมามลนธฯไดจดกจกรรมเพอ

ชวยเหลอสงคมรวมกบองคกรตางๆ ไมเพยงกจกรรมเพอการกศล หรอกจกรรมเพอสนบสนนการพฒนาการและการศกษาของ

เยาวชนเทานนบรษทฯยงรวมกบเครอขายทางธรกจในเอเชยเพอรณรงคและปลกจตสำนกในการชวยอนรกษสงแวดลอม

ภายใตภาวการณของเศรษฐกจในปทผานมา บรษทฯ ยงมงเพมจำนวนบตรโดยรวม โดยเพมบตรเครดตใหม80,000 บตร

และเพมบตรสมาชกใหม250,000 บตร ทำใหบรษทฯ มจำนวนบตรทงสน5.48 ลานบตร พรอมจดกจกรรมการตลาดและ

โปรแกรมสงเสรมการขายในหลากหลายรปแบบใหกบลกคาอยางตอเนอง สงผลใหยอดการใหสนเชอเพมขนนบตงแตเดอน

พฤศจกายน2552ซงเปนไปในทศทางเดยวกนกบการฟนตวของเศรษฐกจโลก

ในเดอนกรกฏาคมป2552บรษทฯไดจดตงสำนกงานตวแทนขนทประเทศกมพชาเพอเปดดำเนนธรกจในอนาคต

ภายหลงจากทประสบความสำเรจในการจดตงบรษทเอซเอสเทรดดงเวยดนามจำกดในป2551ซงประเทศเวยดนาม

นบวาเปนตลาดทมศกยภาพสงในการประกอบธรกจทางการเงน

ความเปนมา บรษท อออน ธนสนทรพย(ไทยแลนด) จำกด(มหาชน)(“บรษทฯ”) จดทะเบยนกอตงเปนบรษทจำกด เมอวนท18

กนยายน2535 โดยบรษท อออน เครดต เซอรวส จำกด ประเทศญปน(“อออน เครดต เซอรวส”) ปจจบน บรษทฯ มทนจด

ทะเบยนทเรยกชำระแลวทงสน250 ลานบาท อออน เครดต เซอรวส ผถอหนรายใหญของบรษทฯ ไดเรมกอตงขนครงแรกใน

ประเทศญปนโดยประกอบธรกจใหบรการทางดานการเงนตางๆรวมถงบรการบตรเครดตบรการสนเชอเชาซอบรการสนเชอสวน

บคคล และบรการอนๆ จากความสำเรจในการดำเนนธรกจในประเทศญปน และเปนบรษทจดทะเบยนในตลาดหนโตเกยว อออน

เครดต เซอรวส จงเรมขยายธรกจไปยงประเทศตางๆ ในภมภาคเอเชย ไดแก ฮองกง ไทย มาเลเซย ไตหวน จน(เซนเจน)

อนโดนเซย เวยดนาม และฟลปปนส ตามลำดบ และในป2552 ไดเรมทำการศกษา และสำรวจตลาดสนเชอรายยอยในประเทศ

กมพชา โดยการเปดสำนกงานตวแทนในกรงพนมเปญ ทงน การดำเนนธรกจทางดานการเงนในแตละภมภาคจะมงเนนการให

บรการทางการเงนแกประชากรในภมภาคนนๆซงการดำเนนธรกจดงกลาวไมมผลประโยชนทบซอนกนแตอยางใด

theTokyoStockExchangeandprovidedfinancialservices,includingcreditcard,hirepurchase,personalloan,and

otherservices.FollowingitssuccessintheJapanesemarket,AEONCreditServicehasexpandeditsbusinesstoother

AsiancountriessuchasHongKong,Thailand,Malaysia,Taiwan,China(Shenzhen),Indonesia,Vietnam,and

Philippinesrespectively.Inaddition,representativeofficeinPhnomPenhwassetupin2009tostartstudyingand

เครดตของบรษทฯ สามารถใชบตรดงกลาวเบกเงนสดลวงหนาทเครองเบก

เงนสดอตโนมต(ATM)ของบรษทฯ

(1) บตรเครดตสากลทออกโดยบรษทฯ(AEONInternationalCard)

บตรเครดตทใชในประเทศและตางประเทศของบรษทฯ ประกอบดวย บตรอออนมาสเตอรการด บตรอออน วซา

การด และบตรอออนเจซบการด ซงเปนบตรทบรษทฯ ออกรวมกบ มาสเตอรการด เวลดไวด(MasterCardWorldwide) วซา

เวลดไวด(VISAWorldwide)และบรษทเจซบอนเตอรเนชนแนลจำกด(JCBInternationalCompanyLimited)ตามลำดบ

โดยผถอบตรประเภทนสามารถนำบตรดงกลาวไปใชซอสนคาและบรการไดจากรานคาทมสญลกษณมาสเตอรการด วซา และเจซบ

ปจจบนรานคาทมสญลกษณมาสเตอรการดในประเทศมจำนวนทงสนกวา152,000 แหงและอกกวา28 ลานแหงทวโลก และ

สญลกษณวซาในประเทศมจำนวนทงสนกวา153,000 แหงและอกกวา29 ลานแหงทวโลก ในขณะทรานคาทมสญลกษณเจซบใน

ประเทศมจำนวนทงสน42,000 แหงและอกกวา13 ลานแหงทวโลก นอกเหนอจากการทผถอบตรเครดตประเภทนจะสามารถใช

บรการเบกเงนสดลวงหนาไดจากเครองเบกเงนสดอตโนมตของบรษทฯ แลว ผถอบตรเครดตยงสามารถทำรายการดงกลาวไดจาก

เครองเบกเงนสดอตโนมตในเครอขายCIRRUS และPLUS ซงมจำนวนประมาณ24,000 เครองในประเทศ และอกกวา2 ลาน

นอกจากน บรษทฯ ไดออกบตรทอง(AEONGoldCard) ทใหสทธประโยชนมากมาย อาท ฟรประกนอบตเหต

สวนบคคลและรบสวนลดสำหรบยอดการใชจาย ฯลฯ โดยบตรทองดงกลาว ไดออกเปนชพการดซงสามารถปองกนและลดการ

ทจรตทอาจเกดขนจากการทำธรกรรมทางการเงนผานบตรเครดตได และ ไดออกบตรเครดตองคกร(CorporateCard) ซงเปน

บตรทออกใหแกองคกร เพอใชบรหารจดการคาใชจายของพนกงาน ซงสวนใหญเปนคาใชจายทเกยวกบการเดนทาง และดาน

บนเทงทเปนคาใชจายเพอองคกรนนๆ โดยจะชวยลดการใชจายในทางทผดประเภท และการทจรตทอาจเกดขน และยงชวยให

องคกรนนๆบรหารจดการคาใชจายไดอยางมประสทธภาพมากขน โดยในเบองตนบรษทฯ ไดออกบตรองคกรใหแก บรษททเปน

สำหรบรายไดทบรษทฯ ไดรบจากธรกจบตรเครดต ประกอบดวย ดอกเบยรบ คาธรรมเนยมการใชวงเงน คา

ตดตามหนจากการผดนดชำระเงน และคาธรรมเนยมอน ไดแก คาธรรมเนยมรายป คาธรรมเนยมการเบกเงนสดลวงหนา คา

ตอบแทนทไดรบจากรานคาทรวมโครงการเปนตน

creditcardcanbeusedatover152,000domesticmemberstoresandover28millionmemberstoresworldwideand

VISACreditCardcanbeusedatover153,000domesticmemberstoresandover29millionmemberstores

worldwide.JCBCreditCardcanbeusedat42,000domesticmemberstoresandmorethan13millionmemberstores

worldwide.BesidetheCompany’scashdispensingmachine,thecardholderscanusetheAEONMasterCard,AEON

VISACardandAEONJCBCardforcashadvancethroughCIRRUSandPLUSnetworkthathasapproximately24,000

machinesindomesticandover2millionmachinesworldwide.

2. AEONCo-brandedCards

Theco-brandedcreditcardswhichtheCompanyissueswithothercompaniesinseveralbusinesses

suchasPhotoHutVISA,GiffarineVISA,AEONClubThailandVISAandMasterCard,B-QuikVISACard,MAX

MasterCard,TDPVISAcard,andetc.Theco-brandedcardswillprovideadditionalexclusiveprivilegesforits

cardholders.

Moreover,theCompanylaunchedagoldcardwithseveralprivilegesi.e.,freeinsurancepremium,

specialdiscountforcardspending,etc.Goldcardwasimplementedwithchipwhichcanprotectandreducefraud

HirePurchase HirepurchaseisaformoffinancewherebyownershipofthemerchandiseisvestedintheCompanyand

personalloanincludesinterestreceived,minimumpaymentfee,handlingfee,andpenaltyfee.SinceJuly1,2005

ประโยชนในการบรการทางการเงนทหลากหลายใหกบกลมลกคาทวไป โดยกำหนดคณสมบตเบองตนของลกคาสนเชอรายยอยของ

บรษทฯ ไว กลาวคอมอายตงแต20ปขนไปมรายไดประจำและมอาชพการงานทมนคง เปนตนทงน จากผลสำรวจภาวะการ

ทำงานของประชากรเดอนธนวาคมพ.ศ.2552โดยสำนกงานสถตแหงชาตกระทรวงเทคโนโลยสารสนเทศและการสอสารพบวา

ผทมอายตงแต15ปขนไปหรอวยทำงานมจำนวน53.12ลานคนซงเปนผทอยในกำลงแรงงาน(ผทพรอมทำงาน)38.95ลานคน

หรอคดเปนรอยละ73.3ของประชากรวยทำงานประกอบไปดวยผมงานทำ38.54ลานคนผรอฤดกาล6หมนคนและผวางงาน

increased4%yoy,from13.0millionaccountsto13.5millionaccounts.Attheendof2009,thetotalnumberofcreditcard

issuedbycommercialbanksregisteredinThailand,non-bank,andforeignbankbranchesamountedto5.5millionaccounts,

quartersof2009.Moreover,othereconomicindicators;privateconsumptionexpenditures,unemploymentrate,

consumerconfidenceindex,andetc.,showedanimprovementsignwhichexpectedtoreviveGDPgrowthin2010

campaigns.Also,theCompanyhasfocusedoncreditcardacquisitionbyconductingcardrecruitingactivitiesat

Companyhastightenedcreditcriteriainordertomaintainthequalityofportfolio.However,aftertheeconomic

recovery,theCompanylaunchedseveralpromotionsforpurposedloanresultedinanincreaseoftotal loan’s

turnoverby8%yearonyearinQ4/2009.

• HirePurchase

Hirepurchaseturnoverinthefiscalyear2009slightlydecreasedfromthepriorfiscalyear,andshared

17%oftotalturnovers.Revenuesfromhirepurchasewere1,173millionbaht,a12%decreasefromthesameperiod

lastyear.However,hirepurchaseturnoverimprovedquarteronquarter.Thiswasprimarilyattributedtoseveral

attractivepromotioncampaignswithhypermarketsanddepartmentstores,exclusivepromotionswith leading

Companyhasaccordinglyestablishedriskmanagementpolicyandregularlyreviewedbusinessoperationinorderto

strengthenthecurrentstandardandavailabilityforsupportrelevantrisksthatmayincurinthefuture.Therisk

factorsthatmayincurandaffecttheCompany’sperformancearedescribedasfollows:

1. Interest rate fluctuation risk TheCompanyisexposedtointerestrateriskthatmayincurandaffecttheCompany’sperformancecaused

bytheriskforariseininterestratesthatwouldresultinhighercostoffunding.TheCompanyisparticularlyaware

ofsignificantaffectoftheriskfromapotentialriseininterestratestohaveanadverseeffectontheCompany.

2. Foreign Exchange rate risk AsofFebruary20,2010,theCompanyhasshort-termliabilities intheamountofUSD19millionor

equivalentto631millionbahtandcurrentportionof long-termloanintheamountofJPY10,500millionor

equivalentto3,864millionbaht.Inaddition,theCompanyalsohaslong-termloanintheamountofJPY21,000

millionorequivalentto7,728millionbahtandUSD73millionorequivalentto2,439millionbaht.

Inordertohedgeitsexposuretoforeignexchangeraterisks,theCompanyenteredintoforwardexchange

contractforallshorttermforeigncurrencyloanincludedinterestamountingandenteredintoCrossCurrencySwap

contractforalllong-termforeigncurrencyloanincludedcurrentportionoflongtermloanattotalamount.(Details

aredisclosedinNotestoFinancialStatementsNo.14and15.)TheCompanydoesnotorwillnotenterintosuch

contractsfortradingorspeculationpurposesatpresentorinthefuture.

3. Working Capital Insufficiency Risk TheCompanyextendscredittothecustomerbylendingfundsborrowed.AsofFebruary20,2010,the

Company’snetaccountsreceivablestoodat33,592millionbahtanditsworkingcapitalwasraisedbyborrowing

andissuingdebentureswiththeamountof31,854millionbaht.

TheCompanyisawareofriskthatmayarisefromdependingonanymajorsourceoffunds.TheCompany,therefore,

diversifieditssourcesoffundsbyborrowingorsettingcreditfacilityfrom17banksincluding9foreignbank’sbranchesand8

localbanks.Duringthepastperiod,theCompanyhasnotreliedonanycreditor’sfundformorethan30%ofthetotalloans.The

Companyalsoraisedfundthroughdirectfinancingsuchasissuingdebentureandbillsofexchangeandenteringintothe

contractwithfinancialinstitutionsforcommittedrevolvingCreditFacilityAgreementof770millionbaht.TheCompanyalsohas

apolicytoconsistentlykeepsufficientfundpositioninordertoincreasethereceivablebysalesexpansion.Thus,theCompany

considerablyplanstodiversifyitsfinancingbyissuingstraightbonds,commercialpaper,andsecuritization.


TheCompanyraisedfundthroughsecuritizationbyestablishingSpecialPurposeVehicleCompany(SPV)

underSecuritizationLaw.TheCompanyheld26%oftheeachSPV’ssharescapitalandtheSPVsissueddebentures,

whichwerebackedbythecreditcardreceivablesoftheCompanythatsoldtotheSPVs.

4. Credit Risk Creditriskisriskduetouncertaintyinacounterparty’s(alsocalledanobligor’sorcredit’s)abilitytomeet

itsobligations.Thisresultedfromriskfactorsarisingunderthecurrenteconomiccondition.

• Worldeconomicslowdowndirectlyaffectedcustomer’sabilitytorepayloan.

• RiskduetoloanmisconductwhichisagainsttheCompany’sobjective.Forinstance,toincrease

financialliquidity,productobtainingonhirepurchasesystemwassoldforcash.ThisisagainsttheCompany’s

objectivewhichaimstoprovidefinancialservicewithmoreconvenienceandsatisfactiontocustomersfordailylife.

TheCompanyhassetupstandardsandprocessesforcreditapprovalwhichincludecreditpolicy,creditpolicy

disclosuretooperationofficer,creditriskratingandcreditscoringforcustomers,settingcreditcriteria,performingcredit

review,andalsoauthorityforcreditapprovalinordertoenhancethestandardofcreditapprovalonward.

5. Risk from Data Storage TheCompanyisawarethatitsoperationreliesonthehugedatabaseofnumerouscustomers’information

andcomputernetwork,whichmaycausesignificantadverseeffecttotheCompanyifanycontingentaccident

happens.Risk fromdatastorage includes lossof thedata,systemfailureofhostcomputerand leakageof

confidentialinformationoutoftheCompany.Againsttheriskfromlossofthedataorsystemfailureofhost

computer,theCompanyintroducesthesynchronizedsystemwhich linksdatabasebetweentheprimaryand

secondarycomputers,andpreservingthedatabaseinformationatthedifferentlocationdaily,weekly,ormonthly

backedupintomagnetictape.

Besides,fortheprotectionofriskfromleakageofconfidential informationoutoftheCompany,the

CompanyhasimplementedInformationSecurityManagementSystem(ISMS)whichisdesignedtoensurethe

selectionofadequateandproportionatesecuritycontrolsthatprotectinformationassetsandgiveconfidenceto

interestedparties.TheCompanyrealizesthatInformationSecurityanddataprotectionareplacedintoppriority.

InFebruary2008,theCompanywasawardedtheprestigiousISO/IEC27001:2005certificationforits

InformationSecurityManagementSystem(ISMS).Thestandardgivesassuranceandsatisfactionofknowingthatthe

Companyisprotectingallinformationwithcontrolsthosearethebestpracticesandarecommonlyusedbyworld

classorganizations.

6. Risk from the Government’s Control OnNovember11,2002,theMinistryofFinancehasissuedanotificationonthePermissiontoOperate

CreditCardunderSectionoftheAnnouncementofNationalExecutiveCouncilNo.58thatdelegatedauthorityto

BankofThailandtocontrolthecreditcardbusiness.Inthisregard,BankofThailandalsoissuedtheBOTnotifications

fortheregulationonthecreditcardservicestocontrolthemaximuminterestrateandotherfeeschargedof18%per

annumandcashadvanceandotherfeesofnotmorethan3%ofcashingamount.Inaddition,theminimum

qualificationofthecreditcardholderisrequiredof15,000bahtminimumsalarypermonth.


InApril2004,theBankofThailandalsoissuedanotificationregardingminimumpayment,creditquality,

andmarketingrestrictionsoncreditcardbusinessasfollows:

• Minimumpaymentincreasedfrom5%to10%ofoutstandingbalanceeffectiveinApril2007.

• Thecreditcardcompanieshavetocancelthecreditcardsofanycardholderswhohavedefaultson

paymentmorethan3months.

• Thecreditcardcompanieshavetoverifycustomers’informationwiththecreditbureaubeforeissuing

thecreditcard.

• Thecreditlinetobegrantedtoeachcreditcardmustnotbeexceeding5timesofmonthlyincomeor

cashflowinthedepositaccounts.

• Thecreditcardcompanieshavetoestablishrestrictedmarketingproceduresfortheirownmarketing

officersintermofseekingnewcardholdersorexitingcardholders

InJuly2005,theMinistryofFinancehasissuedanotificationonthepermissiontooperatepersonalloan

businessundertheAnnouncementofNationalExecutiveCouncilNo.58thatdelegatedauthoritytoBankof

Thailandtocontrol“PersonalLoanundersupervision”whichisdefinedas:

• Non-collateralizedloansextendedtoapersonwithnoparticularobjectiveornotforbusinesspurpose.

• Loansfromhirepurchaseandleasingforgoodsthatoperatorsdonotsellasordinarycourseof

business,exceptcarsandmotorcycles.

Inthisregard,theBankofThailandalsoissuednotificationsregardingqualificationsofPersonalLoan

operators,maximuminterestrateandotherfeeschargedperannum,andmaximumlineofcreditextendto

customersasfollows:

• Non-financeinstitutionPersonalLoanoperatorsmusthaveregisteredcapitalofnolessthan50million

bahtandrequiredtoseekpermissionfromtheMinistryofFinance.

• Interestrates,fines,servicefees,andotheroperatingfeesinaggregatecanbechargedatthe

maximumof28%annually.Theothersadditionalchargescouldbeonactualbaseexpensesinaccordancewiththe

BankofThailand’sregulations.

• Thelineofcreditextendedtocustomersshallnotexceed5timesofhisorheraveragemonthlysalary.

OnNovember28,2006,theBankofThailandissuedthenotificationtoincreasetheceilingofinterestand

otherservicechargesfrom18%perannumto20%perannum,accordingtothehigheroperatingcost.Theeffectivedate

wasonDecember1,2006onwards,however,thedebtspendingorcashingbeforetheenforceabledatewillbecharged

nothigherthan18%perannumuntilJune30,2007.TheBankofThailandalsorevisedtheotherregulationson

qualificationofacreditcardholderandconditionsofoperatingthecreditcardbusinesssummarizedasfollows;

• Consideringqualificationsofacreditcardholder,theoperatorscanconsideracreditcardholder’s

depositsorinvestmentsindebtinstrumentsissuedbycommercialbanks,governmentagencies,orstateowned

enterprisesfoundedbyaspecificlaw.

• Extendingaregulationonconsideringqualificationsofacorporatecardholder,theoperatorscan

considerqualificationsofacorporatecardholderbyevaluatingthefinancialpositionsofthecompanyrequestingfor

creditcardsinreplacementofconsideringqualificationsofanindividualcardholder.


InSeptember2007,theBankofThailandissuedapolicystatementondebtcollectionforcreditcardand

personalloanbusinesstosetstandardguidelinesaboutdebt-collectingmanners.

Inaddition,inMarch31,2008,theBankofThailandissuednotificationregardingrules,proceduresand

conditionstoundertakecreditcardbusinessforthecreditcardbusinessoperatortoincreasethequalifiedcreditcard

holdersbyallowingtoconsiderthecriteriaofhavingfixedaccountwithanybanksmorethan500,000bahtwithin6

monthperiodorinvestinginanyfixedincomesecuritiesnotlessthan1,000,000bahtwithin6monthperiod.

Uptothepresenttime,theCompanyhashonestlyfollowedallrelatedregulations.Inaddition,ifanyregulation

relatedtotheCompany’sbusinessisissuedinthefuture,theCompanywillalsocomplywithsuchregulation.

7. Risk of an Option to Buy Back Excess Defaulted Receivables from Special Purpose Vehicle Company Limited (SPV) Under the Securitization Plan

TheCompanysoldanamountofrevolving2,782.51millionbahtnon-recoursecreditcardreceivableto

Eternal3SpecialPurposeVehicleCompanyLimited(ESPT)onFebruary6,2006,and3,038.02millionbaht

non-recoursecreditcardreceivabletoEternal4SpecialPurposeVehicleCompanyLimited(Eternal4)onJune25,

2007accordingly.These2SpecialPurposeVehicleCompanieswereincorporatedundertheCivilandCommercial

CodeofThailandtobespecialpurposevehicles(SPV)undertheRoyalEnactmentonSpecialPurposeJuristic

PersonsforSecuritizationB.E.2540(1997),undersecuritizationplanwhichwasapprovedbytheOfficeofthe

SecuritiesandExchangeCommission.

TheCompanyhasanoptiontobuybackthoseexcessdefaultedreceivablesfromtheSPVs.However,ifthe

Companydoesnotexercisetheoptionorhavingexercisedtheoptionfailstorepurchaseallsuchexcessdefaulted

receivablesfromtheSPVs,suchnon-exerciseoffailureshallconstituteatriggerevent.Suchsituationwillnotoccur

aslongastheCompanyhasperformedagooddebtmanagement.(Detailsofagreementsrelatingtosecuritization

transactionseeNotetoFinancialStatementsNo.29)

8. Risk from Controlling of the Major Shareholder more than 50%

Currently,AEONgroupisamajorshareholderoftheCompanyholding157,800,000sharesorequivalentto63.12%

ofpaid-upcapital.Thisresultsinthefactthatthemajorshareholdercancontrolalmostallshareholders’resolutionswhich

requiremorethan50%ofthevotesexcepttheagendastipulatedbyLawsorArticlesofAssociationthatmusthaveavoteof

notlessthanthreequartersofthetotalnumberofvotes.Consequently,othershareholdersoftheCompanymaynotbeable

togathertheirvotingrightsinordertocheckandbalancetheagendaproposedbythemajorshareholder.

However,theCompanyhasregularlymonitoredandassessedriskinallaspects.Inordertoevaluatethe

businessenvironmentalchangeanditseffect,theCompanyhasheldmonthlyriskmanagementmeetingand

departmentmeetingwhichtheexecutivedirectorsandrelatedexecutivemanagementsjointhismeetingand

considerhowtoimprovethestrategyandreachtarget.Inaddition,theCompanyhasmonitoredtherisksby

assessingotherriskfactorsthatmightaffecttotheCompany’sachievement.
