During the 2020 Pandemic, there has been an outpouring of cry’s for help from our members across the country. The reality is, we had to take a stand and make our voices heard with a visual show of equipment. On May 13, 2020, the motorcoach industry gathered in Washington, DC for a Rally with over 800 coaches from across the country. The movement took on quite an obligation for the financially strapped industry. The TMCA Board of Directors decided to help the members that sent coaches to DC by donating $500.00 to each company. This was in no way the cost of what it took to go to DC but helped a little. We are proud of our companies that were able to go and represent the others who were not able to go. We are optimistically waiting on the Congress to include us in a package for financial aid.

MOTORCOACH TIRES SALES ADDS THREE NEW TIRE BRANDS
Motorcoach Tire Sales (MTS), a motorcoach industry tire supplier, has announced the addition of threenew tire brands. Hankook Tire, GITI Tire and Magna Tyre will now be added to the company’s corebrands of Toyo,Yokohama and Pirelli. The addition of these brands will allow MTS to offer 6 brands totheir customers.
Founded in 2013 with a single supplier (Toyo) the company ships tires directly from a supplier’swarehouse to the operator. Along with discounted pricing from the supplier, the model creates pricingefficiency that is passed on to the end user/operator. The company has provided tires to over 200operators since its founding.

(b)Inthecaseofaspecialmeeting,thenoticeofmeetingshallspecificallystatethepurposeorpurposes forwhichthemeetingiscalled,andnobusinessshallbetransactedorTMCAactiontakenotherthanthat statedinthenoticeunlessawaiverofnoticeisobtainedfromallmembers.Inthecaseofregularly scheduledgeneralmembership,orsubstitutegeneralmeetingorotherregularlyscheduledmeeting,the noticeofthemeetingneednotspecificallystatethebusinesstobetransactedthereatunlessastatement isrequiredbytheprovisionoftheTennesseeNonprofitCorporationAct. (c)Whenameetingisadjournedforthirtydaysormore,noticeoftheadjournedmeetingshallbegivenas inthecaseofanoriginalmeeting.Whenameetingisadjournedforlessthanthirtydaysinanyone adjournment,itisnotnecessarytogiveanynoticeoftheadjournedmeetingotherthanbyannouncement atthemeetingatwhichtheadjournmentistaken.4.5 Quorum. AmajorityoftheOwner/OperatorsoftheTMCArepresentedinpersonorbywrittenproxyshall constituteaquorumatageneralmembershipmeeting.4.6 Proxies. Owner/Operatormembersshallvotethrougharepresentativeeitherinpersonorbyanagent authorizedbyawrittenproxyexecutedbytheOwner/Operatormemberorbyhisdulyauthorizedattorney infact.Aproxyisnotvalidaftertheexpirationof11monthsfromthedateofitsexecution,unlessthe personexecutingitspecifiesthereinthelengthoftimeforwhichitistocontinueinforce,orlimitsitsuse toaparticularmeeting.Noproxyshallbevalidafter10yearsfromthedateofitsexecution.4.7 Informal Action by Owner/Operator Members. Anyactionwhichmaybetakenatageneralmembership meetingmaybetakenwithoutameetingifconsentinwriting,settingforththeactiontaken,shallbesigned byOwner/OperatormembersandfiledwiththeSecretarytobekeptaspartoftheTMCArecords,whether donebeforeoraftertheactionsotaken.
ARTICLE V
Board of Directors5.1 General Powers.ThebusinessandaffairsoftheTMCAshallbemanagedbyitsBoardofDirectors. Exceptasotherwiseexpresslyprovidedbythebylaws,theArticlesofIncorporationorthesebylaws,allof thepoweroftheTMCAshallbevestedintheBoardofDirectors.5.2 Number, Term and Qualifications. ThenumberofdirectorsconstitutingtheBoardofDirectorsshallbe nine(9),six(6)ofwhomshallholdofficeforatermofthree(3)yearsandthree(3)ofwhomshallbethe president,vicepresidentandtheimmediatepastpresident.Thedirectorsshallcontinueinofficeuntiltheir death,resignation,retirement,removal,disqualification,ortheirsuccessorshallhavebeenelectedand qualified.NomemberscompanyshallberepresentedbymorethanoneindividualontheBoardatanyone time.5.3 Election of Directors. ExceptasprovidedinSection5.6oftheArticleV,two(2)ofthesix(6)directors electedtoserveathree(3)yeartermshallbeelectedattheannualmeetingofmemberseachyear.The membershipshallalsoelecttwoassociatememberandoneaffiliatedoperatormembertoserveonthe BoardofDirectorsforaperiodofoneyearbeginningattheconclusionoftheannualmeeting.Therewill alsobeoneboardseatfortheOEM*;thisseatwillbea1yearrevolvingseatchosenbythe4manufactures (MCI,Prevost,Setra&ABC).Therepresentativewillchangeattheconclusionoftheannualmeeting.

(a) Nomination Procedure-Thenominationforthispositionshallbesolicitedfromthemembershipwitha writtennominationformsentinpriortotheyearlyconvention.Nonominationsshallbeacceptedfromthe floorunlessnowrittennominationswerereceived.SpecificationsforVicePresidentNomination:Anotice willbesenttoallmembersgivingclearnoticethattheofficeoftheVicePresidentwillbeopenatthenext upcomingconvention.Allmembersinterestedinhavetheirnameconsideredwillrespondbywrittenform viacertifiedmailtotheExecutiveDirectoroftheTennesseeMotorCoachAssociationatthelegal addressoftheAssociationbythedeadlinedatepublishedinthenotice.Anynamessuppliedwillbegiven totheChairmanandonememberoftheNominationcommittee.Thesepositionsareappointedbythe PresidentofTMCA.Afterthedeadlinedateispast,thenameswillbeputonaballotformpreparedbythe ExecutiveDirectoranddistributedbytheSecretaryattheConventionsBusinessmeeting.Themember companieswillhaveonevotepercompanyandwillmarktheballotassuchfortheirchoice.TheSecretary willhavealistofallvotingmembersincludingAffiliatemembersandreporttothePresidentthenumberof ballotsgivenout,soastohaveanaccuratecountofvotespossible.Aftertheballotsaremarkedtheywill betakenupbytheSecretaryandgiventotheTalleyCommittee.TheTalleycommitteewillconsistoffour personschosenbytheBoardofDirectorsandwillbeoverseenbytheimmediatepastpresidentofthe TMCAofwhichhewillbeoneofthefouronthecommittee.Beforethebusinessmeetingisadjourneda reportwillbegiventothemembershipastowhohasbeenelectedbythemajorityofthevoteswiththe numbersdisclosed. (b) Board of Directors election procedures:NoticewillbesentouttothemembershipoftheTennessee MotorcoachAssociationthataboardseatorseatsandtherelengthoftermswillbeopen.Adeadlinedate willbegivenforallinterestedpartiestorespondviacertifiedmailtotheExecutiveDirectoratthelegal addressoftheTMCA.AllapplicantswillbeforwardedtotheNominationChairmanandonememberofhis nominatingcommitteeforreviewandtoinvestigateifnomineesarewillingtoserveandareawareofthe commitmentrequirementsfortheposition.TheChairmanandcommitteemembersshallbeappointedby thePresident.Afterthedeadlinedateispast,thenameswillbeputonaballotformpreparedbythe ExecutiveDirectoranddistributedbytheSecretaryattheConventionsBusinessmeeting.Themember companieswillhaveonevotepercompanyandwillmarktheballotassuchfortheirchoice.TheSecretary willhavealistofallvotingmembersincludingAffiliatemembersandreporttothePresidentthenumberof ballotsgivenout,soastohaveanaccuratecountofvotespossible.Aftertheballotsaremarkedtheywill betakenupbytheSecretaryandgiventotheTalleyCommittee.TheTalleycommitteewillconsistoffour personschosenbytheBoardofDirectorsandwillbeoverseenbytheimmediatepastpresidentofTMCA whowillbeoneofthefouronthecommittee.Beforethebusinessmeetingisadjournedareportwillbe giventothemembershipastowhowaselectedbythemajorityofvoteswiththenumberbeingdisclosed. Themajorityofvotesforeachnomineewilldeterminethepositiontobefilled,startingwiththelongestterm ortermsanddescendingtotheshortestterm.
5.4 Ex-Officio Directors. Thesecretary,treasurer,andexecutivedirectorshallserveasex-officiomembersof theBoardofDirectors.Ex-OfficioDirectorsshallhavenovotingpowerontheBoardofDirectors.5.5 Removal. Anydirectormayberemovedatanytimewithcausebyavoteofamajorityoftheregular members.Ifanydirectorsareremoved,newdirectorsmaybeelectedatthesamemeeting.AnyBoard Memberordulyappointedrepresentativethereof,failingtoattendappointedBoardmeetingswillbesubject toremoval.5.6 Vacancies. AnyvacancyoccurringinaDirectorpositionmaybefilledbytheaffirmativevoteofamajority oftheremainingdirectorseventhoughlessthanaquorum,orbythesoleremainingdirector.Adirector electedtofillvacancyshallbeelectedfortheunexpiredtermofhispredecessorinoffice.Anydirectorship tobefilledbyreasonofanincreaseinthenumberofdirectorselectedattheannualmeetingimmediately precedingthevacancyshallbefilledonlybyelectionatanannualmeetingorataspecialmeetingof memberscalledforthatpurpose.5.7 Compensation. TheBoardofDirectorsshallnotcompensatedirectorsfortheirservicesassuchbutmay provideforthepaymentofanyorallexpensesincurredbydirectorsinattendingregularandspecialmeeting oftheBoard.ThisissubjecttotheavailabilityoffundsandtheapprovaloftheBoard.
ARTICLE VI
Officers6.1 Officers of the TMCA. TheofficesoftheTMCAshallconsistofaPresident,VicePresident,Secretary,and Treasurer.Otherofficers,includingoneormoreVicePresidents(whoseseniorityandtitles,including ExecutiveVicePresidentsandSeniorVicePresidents,maybespecifiedbytheBoardofDirectors), AssistantSecretariesandAssistantTreasurers,mayfromtimetotimebeelectedbytheBoardofDirectors. Anytwoormoreoffices,exceptPresidentandSecretary,maybeheldbythesameperson. Noofficermayactinmorethanonecapacitywheretheactionsoftwoormoreofficersarerequired.6.2 Election and Term.TheofficersoftheTMCAshallbeelectedasfollows: (a) President and Vice Presidents.ThePresidentandallVicePresidentsshallbeelectedbytheregular membersattheannualmeetingofmembersforatermofone(1)yearandholdofficeuntiltheirdeath, resignation,retirement,removalordisqualificationoruntiltheirsuccessorshallhavebeenelectedand qualified.TheVicePresidentshallbecomethePresidentwhenthePresidentshallhaveseveredhiselected term,thentheyassumesthetitleofImmediatePastPresidentandwillremainamemberoftheBoardof Directorsforatermofoneyear.
(b) All Other Officers. AllotherofficersshallbeelectedbytheBoardofDirectorsandholdofficeforaterm ofone(1)yearandmaybeelectedwithoutlimitationonthenumberofterms,providedthattheyare qualifiedandeligibleandshallholdofficeuntiltheirdeath,resignation,retirement,removalordisqualification
oruntilhissuccessorshallhavebeenelectedandqualified.

6.3 Compensation.OfficerswhoarenotvotingBoardmembersmaybecompensatedfortheirservices.The compensationofofficerswhoarenotBoardmembersoftheTMCAshallbefixedbytheBoardofDirectors andnoofficershallservetheTMCAinanyothercapacityandreceivecompensationthereofunlesssuch additionalcompensationisauthorizedbytheBoardofDirectorspriortotherenderingofsuchservice.
6.4 Removal. AnyofficeroragentelectedbytheBoardofDirectorsmayberemovedbytheBoardofDirectors wheneverinitsjudgmentthebestinterestoftheTMCAwillbeservedthereby,butsuchremovalshallbe withoutprejudicetothecontractrights,ifany,ofthepersonsoremoved.6.5 President. ThePresidentshallbechiefexecutiveofficeroftheTMCAandshallbeprimarilyresponsiblefor theimplementationofpoliciesoftheBoardofDirectors.ThePresidentshallhaveauthorityoverthegeneral managementanddirectionofthebusinessandoperationsoftheTMCAsubjectonlytotheultimateauthority oftheBoardofDirectors.ThePresidentshallpresideatallTMCAgeneralmembershipandBoardof Directorsmeeting.He/ShemaysignandexecuteinthenameoftheTMCAbonds,contractsorother instrumentsexceptincaseswherethesigningandtheexecutionthereofshallbeexpresslydelegatedby theBoardofDirectorsorbythesebylawstosomeotherofficeroragentoftheTMCAorshallberequiredby lawotherwisetobesignedorexecuted.Inaddition,theyshallperformalldutiesincidenttotheofficeofthe Presidentandsuchotherdutiesasfrom timetotimemaybeassignedbytheBoardofDirectors.6.6 Vice President.TheVicePresidentshallhavesuchpowersanddutiesthatareassignedtohimbythe PresidentortheBoardofDirectors.IntheabsenceofthePresidentorintheeventofhisdeath,inabilityor refusaltoact,theVicePresidentshallperformthedutiesofthePresident,andwhensoactingshallhaveall thepowersofandbesubjecttoalltherestrictionsuponthePresident,unlessotherwisedeterminedbythe BoardofDirectors. 6.7 Secretary. TheSecretaryshallkeeptheminutesofthegeneralmembershipmeetingsandmeetingsofthe BoardofDirectors.Whenrequested,theyshallalsoactassecretaryofthemeetingofanycommittee.The Secretaryshallkeepallminutesofallsuchmeetingsinbooksdesignatedforthosepurposes.The Secretaryshallseethatallnoticesaredulygiveninaccordancewithprovisionsofthesebylawsoras requiredbylaw.Theyshallhavecustodyofthedeeds,leases,contractsandallotherimportantTMCA documentsandshallhavechargeofthebooks,records,andpapersoftheTMCArelatingtoitsorganization andmanagementasaCorporation.TheSecretaryshallhavecustodyofthesealoftheTMCAandseethat thesealisaffixedtoalldocumentsthataredulyauthorized.TheSecretaryshallkeeparegisterofaddress ofeachmemberandalsoshallperformalldutiesincidenttotheofficeofSecretaryandsuchotherdutiesas fromtimetotimemaybeassignedbythePresident,bytheBoardofDirectorsorbythesebylaws.Inthe absenceoftheSecretaryorintheeventoftheirdeath,inabilityorrefusaltoact,andAssistantSecretary designatedbythePresidentunlessotherwisedeterminedbytheBoardofDirectors,shallperformthe dutiesoftheSecretaryandshallhaveallthepowerofandbesubjecttoalltherestrictionsuponthe Secretary.6.8 Treasurer. TheTreasurershallhavechargeofandberesponsibleforallfundandsecurities,receiptsand disbursementsoftheTMCA,andshalldepositallmoniesandsecuritiesoftheTMCAinsuchbanksand depositoriesasshallbedesignatedbytheBoardofDirectors.TheTreasurer’sresponsibilitieswillbeto maintainadequatefinancialaccountsandrecordsinaccordancewithgenerallyacceptedaccounting practices;(i)forthepreparationofappropriateoperatingbudgetsandfinancialstatements;(ii)forthe preparationandfilingofalltaxreturnsrequiredbylaw;(iii)forthepreparationofatruestatementofthe TMCA’sassetsandliabilitiesasofthecloseofeachfiscalyear,allinreasonabledetail,whichstatement shallbemadeandfiledattheTMCA’sofficeorprincipleplaceofbusinesswithinfourmonthsaftertheend ofsuchfiscalyearandkeptavailableforatleast10years; (iv)fortheperformanceofalldutiesincidenttotheofficeofTreasurerandsuchotherdutiesasfromtimeto timemaybe assignedtothembythePresident,theBoardofDirectorsorbythesebylaws.Intheabsence oftheTreasurerorineventoftheirdeath,inabilityorrefusaltoact,anAssistantTreasurerappointedbythe BoardofDirectors,shallperformalldutiesoftheTreasurer,andwhensoactingshallhaveallpowerofand besubjecttoallrestrictionsupontheTreasurer.Theyshallperformsuchotherdutiesasmaybeassigned tothembythePresidentorbytheBoardofDirectors.6.9 Executive Director.TheExecutiveDirectormaybeappointedbytheBoard,and,ifsoappointed,shall serveatthepleasureoftheBoard.TheExecutiveDirectorshall(i)beresponsibleforsuchdutiesand responsibilityasdirectedbytheBoardofDirectors,(ii)shallserveasanexofficiomemberoftheBoardof Directorsandofallcommittees,(iii)shalldirectthedailyworkoftheSecretaryandTreasurer.
ARTICLE VII
Meeting of Directors7.1 Regular Meetings.AregularmeetingoftheBoardofDirectorsshallbeheldimmediatelybeforeorafter, andatthesameplaceas,andgeneralmembershipmeeting.Inaddition,theBoardofDirectorsmay provide,byresolution,thetimeandplacewithinorwithouttheStateofTennesseefortheholdingof additionalregularmeeting.
7.2 Special Meetings SpecialmeetingsoftheBoardofDirectorsmaybecalledbyorattherequestofthe Presidentoramajorityofthedirectors.SuchameetingmaybeheldwithinorouttheStateofTennessee asfixedbythepersonorpersoncallingthemeeting. 7.3 Notice of Meetings. RegularmeetingoftheBoardofDirectorsmaybeheldwithoutnotice.Thepersonor personscallingaspecialmeetingoftheBoardofDirectorsshall,atleast24hoursbeforethemeeting,give noticethereofbyanyusualmeansofcommunication.Noticeofaregularorspecialmeetingneednot specifythepurposeforwhichthemeetingiscalled.7.4 Quorum. Amajorityofthedirectorsfixedbythebylawsshallconstituteaquorumforthetransactionof businessatanymeetingoftheBoardofDirectors.7.5 Manner of Acting.Exceptasotherwiseprovidedinthesebylaws,theactofthemajorityofthedirectors presentatameetingatwhichaquorumispresentshallbetheactoftheBoardofDirectors.

7.6 Presumption of Assent. AdirectoroftheTMCAwhoispresentatameetingoftheBoardofDirectorsat whichactingonanyTMCAmatteristakenshallbepresumedtohaveassentedtotheactiontakenunless hiscontraryvoteisrecordedorhisdissentisotherwiseenteredintheminutesofthemeetingorunlesshe eitherfileswrittendissenttosuchactionwiththeSecretarybeforetheadjournmentthereoforforwardshis writtendissentbyregisteredmailtotheSecretaryoftheTMCAimmediatelyaftertheadjournmentofthe meeting.Therighttodissentshallnotapplytoadirectorwhovotedinfavorofsuchaction.7.7 Informal Action by Directors.Actiontakenbyamajorityofthedirectorswithoutameetingisneverless actionoftheBoardofDirectorsifwrittenconsenttotheactioninquestionissignedbyallofthedirectors andfiledwiththeminutesoftheproceedingsoftheBoardofDirectors,whetherdonebeforeorafterthe actionsotaken.7.8 Participation by Telephone.Anyoneormoredirectorsormembersofacommitteemayparticipateina meetingoftheBoardofDirectorsorcommitteebymeansofaconferencetelephoneorsimilar communicationdevicethatallowsallpersonsparticipatinginthemeetingtoheareachother.Participation bythismeansshallbedeemedpresenceinpersonatthemeeting.
ARTICLE VIII
Committees8.1 Executive Committee. (a) TheBoardofDirectors,byresolutionadoptedbyamajorityofthenumberofdirectorsfixedbythese bylaws,maydesignatedfromamongitsmembersanExecutiveCommittee,Whichshallconsistofnotless thanthreeDirectors,including,butnotlimitedto,thePresidentandVicePresident.WhentheBoardof Directorsisnotinseason,theExecutiveCommitteeshallhaveallpowervestedintheBoardofDirectorsby law,bytheArticlesofIncorporation,orbythebylaws,providedthattheExecutiveCommitteeShallnothave power:
(I)ToapproveanamendmenttotheArticlesofIncorporationoftheTMCA; (II) Toapproveaplanofdissolution,mergerorconsolidation; (III) Toapprovethesale,leaseorexchangeofallorsubstantiallyallofthepropertyoftheTMCA; (IV) TofillvacanciesintheBoardofDirectors; (V) TofixthecompensationofdirectorsforservingontheBoardofDirectorsoranycommittee; (VI) Toattendorrepealthebylaws,oradoptnewbylaws; (VII) Toamend,orrepealanyresolutionoftheBoardofDirectorswhichbyitstermsisnotsoamendable orrepealed;or (VIII) TotakeanyactionexpresslyprohibitedinaresolutionoftheBoardofDirectors. (b) TheExecutiveCommitteeshallreportataregularorspecialmeetingoftheBoardofDirectorsallaction whichtheExecutiveCommitteemayhavetakenonbehalfoftheBoardofDirectorssincethelastregular orspecialmeetingoftheBoardofDirectors.
8.2 Nominating Committee. ThenominatingcommitteeshallbeappointedbythePresident.8.3 Other Committees. TheBoardofDirectorsbyadulyadoptedresolutionorthePresidentinthe furtheranceoftheirexecutivedutiesmayestablishsuchotherstandingorspecialcommitteesastheymight deemadvisable,consistingofnotlessthantwodirectors.Themembers,termandauthorityofsuch committeesshallbeassetforthinBoardresolutionsorPresidentialactionsestablishingthem.8.4 Meetings. RegularandspecialmeetingsofanycommitteeestablishedpursuanttotheArticleVIImaybe calledandheldsubjecttothesamerequirementswithrespecttotime,placeandnoticeasarespecifiedin thesebylawsforregularandspecialmeetingoftheBoardofDirectors.8.5 Quorum and Manner of Action. Anyvacancyoccurringinacommitteeresultingfromanycausewhatevermaybefilledbythe BoardofDirectorsorPresident,whoeverestablishedthecommittee.
