Intermodal Business Area, hereinafter Renfe Mercancías, markets and manages rail transport services of containers and swap bodies between terminals at origin and destination in multiclient train network, that from 1 January 2016 and until 31 December 2016, will be available for every customer at the time of signing the corresponding acceptance of the Commercial Offer (Annex II). Intermodal services marketed by Renfe Mercancías are a standardized rail transport solution that is at the service of authorized transport operators and shipping companies - through its network of trains- and it is implementable in any supply chain. Multiclient Intermodal offer is a regular and accessible service to any business, which involves a commitment of admission and availability schedules, operating days and transport timetabling of each offered connecting line. The most significant characteristics of the Multiclient Intermodal Offer are: o Sales unit is an ITU of 20, 30, 40 or 45 feet or equivalent. o Origin-Destination regular services, round trips. o Timetable set for admission and provision of containers at modal interchange terminals. o Several frequencies per day according to traffic and demand. Clients with stable transport volumes on Multiclient traffic offer, will enjoy greater advantages if they accept the terms and prices of SLOT services. The attributes and characteristics of SLOT services are listed in Annex III to this document. 3.- MARKETING MultiClient Intermodal offer is marketed directly by Renfe Mercancías and/or through authorized Transport Operators. Clients can make a reservation and purchase spaces in the train using the online sales system, which is in the area of professional access on Intermodal Renfe Mercancías site (www.renfe.com/empresa/mercancias/intermodal/red_multicliente.html). Access to on-line sales system (ContainerClick) is for companies with Renfe Mercancías S.A. client card. The rules on Multiclient usage and billing through this system are contained in the document "Terms of Use and billing system through ContainerClick" Similarly, clients with Renfe Mercancías S.A. card may access SLOT services prior fulfillment and signature of Annex III to this document. 4.- SPECIAL CONDITIONS TO SET PRICES. 4.1.- Containers

20-feet containers that exceed 20.5 tons of gross weight up to 30.0 tons. shall be considered as containers of 30’, for purposes of rail transport prices as well as for road haulage. If 30.0 Tn are exceeded. to the limit of 32 tons, for all purposes, shall be considered as an equipment of 40 feet.

30 feet containers weighing more than 30.0 tons gross weight, without exceeding 32.0

tons., shall be invoiced in rail transportation as well as haulage, given request of the latter, for the corresponding prices for a container of 40 feet.

Equipment exceeding 32.0 tonnes gross weight shall be deemed, for the purposes of

taxation of transport, to be containers / swap bodies of 45 feet. At all times these shall be subject to the valid technical requirements for cargo.

Containers that exceed the height of 8 ½ feet (2.60 meters) and do not require special

conditions for traffic, will not charge any extra cost, but when the path to run on requires special conditions, the applicable price shall be previously agreed with Renfe Mercancías in each case.

International container traffic on the Intermodal Network MultiClient be invoiced at

valid prices for MultiClient Offer, adding the additional costs arising from customs clearance and cranes, as applicable for international services

Necessary condition is to be up to date with payments to Renfe Mercancías S.A. in order to access to any offer or benefit from special conditions available for customers. 4.2.- Swap bodies Swap bodies shall be invoiced by equivalence in length and weight to containers of 20, 30, 40 and 45 feet, according to the following tables:

4.3.- Private terminals and port terminals. The prices applicable under the MultiClient Intermodal Offer for traffic to and from private terminals or port terminals exclude stock franchises, crane movements or other costs unless expressly stated in these General Terms. 4.4.- Dangerous and perishable goods. In order to transport dangerous and perishable goods, the client must fulfill and comply at all times with all requirements that apply under current regulations to transport such goods, by their nature as well as by the means of transport used. Excluded from these General Conditions are dangerous goods of Class 1 and 7 that will be subject to a particular commercial and technical treatment by Renfe Mercancías, prior to contracting.

In the case of goods classified as CER, these may avail for reduced VAT whenever the client reports in written the appropriate CER code to Renfe Mercancías and in sufficient time. The transport of dangerous goods will surcharge 2.5% on the prices of MultiClient Intermodal Offer, except for high-risk dangerous and equivalent goods, which will surcharge 25% on the prices of Multiclient Intermodal Offer. 5.- TECHNICAL CONDITIONS 5.1.- Load Limitations for containers made available by Renfe Mercancías.

(*) For RNFU containers according to their series. 5.2.- Load limitations for particular containers.

In general, the limit is 32,000 Kgs gross, allowed with the maximum weight accredited on their CSC plate provided they are approved for that load.

Load limitations shall apply for articulated road vehicles in combined transport

(Presidential Order 3298/2004).

Two-axle motor vehicles with semi-trailer of three axles carrying a closed container or swap body, of no less than 20 feet and approved for combined transport, the limit is 42 tons.

For three-axle-motor vehicles with two or three axle-semi-trailer carrying a closed

container or swap body equal to or greater than 20 feet and approved for combined transport, the limit is 44 tons. Some regions allow a weight of 44 tons. - ad hoc basis -outside afore characteristics, prior request and acceptance.

6.- ACCESS TO THE SERVICE AND PAYMENT FORM To access MultiClient Intermodal Offer services a client card RENFE MERCANCÍAS S.A. will be required. Therefore and through Intermodal Business Area Management it shall be necessary to provide:

Personal data sheet duly completed, signed and stamped by the applying entity. Bank Account certificate issued by the bank where payments are domiciled. Bank guarantee upon first demand for the amount determined in each case. Multiclient commercial offer acceptance paper (Annex II) duly signed and sealed

(Annual paper), as well as the general conditions and terms of use of ContainerClick system.

Document accepting and selecting SLOT services (Annex III) if the clients chooses this

type. Every company holding RENFE MERCANCÍAS S.A. client card, has the authorization to access Intermodal professional site on the website of Renfe Operadora / Mercancías. With the appropriate user code and password, the client can access a services site on the Internet, Club TECO as well as ContainerClick on line Sale system. In order to contract the services of intermodal transport on MultiClient Network, every client must book and purchase space on trains of this service via ContainerClick in accordance with the instructions and rules of use of this system. Teco Club is an operational and administrative management toolset in real time. Tracking options, tracing shipments and/or locating equipment, after sales management, "pre-invoicing", etc., are resources available to the client, in a confidential and secure environment. 7.- FINANCIAL CONDITIONS 7.1.- Prices Prices for MultiClient Intermodal Offer will have a 12 months maximum validity period, unless specifications on the term in the relevant Commercial Offer (Annex II) and SLOT service offer (Annex III) document. These only cover the rail service transport between intermodal exchange terminals, excluding any other item.

Applying percentages for the concept of reserve management in the online sales system, for cases in which this takes effect, will also be described in Annex II. Prices and conditions of services rendered associated with rail transport services at modal interchange terminals as well as their period shall depend on the entities that manage them, regardless of their public or private nature. Prices for handling services of intermodal transport units by ADIF and Renfe Mercancías customers will be reflected in Annex I to this document and may be changed according to that described in the previous paragraph. Any question on services and their quotations may be done on the website http://www.renfe.com/empresa/mercancias/intermodal/contacto.html ADR containers shall meet specific regulations that may apply at each facility/terminal to said container, so in these cases it shall not apply Annex I to these General Conditions. 7.2.- Invoice and payment The services provided pursuant to the Multiclient Intermodal Offer will be invoiced as agreed for each Client upon service request. To simplify the invoice administrative process of Multiclient and Slot services, in addition to the amount corresponding to rail transport, shall be included crane movement at origin and destination subject to the terms and conditions that may apply at any time, according to the provider of such services (in the case of terminals managed by ADIF during the period from 1 January until 31 December 2016, these conditions are set out in Annex I). Renfe Mercancías reserves the right to take any action it deems appropriate given any non-payment by the Client for any service. 8.- BONUSES FOR INCREASED TRAFFIC 8.1.- Origin and calculation The following terms must be fulfilled:

1. Exceed an annual turnover of € 600,000.00 (calendar year) in respect of rail transport in that year (excluding therefore, applicable taxes and any other billing concepts).

2. The client shall increase its turnover with respect to the previous year, so the bonus

shall only be proceed if transport is contracted for two consecutive years to Renfe Mercancías.

Bonuses shall only be calculated according to the following scale, on the invoicing price for rail transport (thus excluding applicable taxes and any other billing concepts) in the year:

≥ 10 % ≥ 15 % ≥ 20 % 1,0% 2,0% 3,0%

This bonus shall not be combined with any other business advantage. 8.2.- Accrual and payment of bonuses Only the payment of the above bonuses shall proceed if the client is responding to its obligations toward Renfe Mercancías at the time of accrual and payment thereof. Bonuses shall only be cleared in the first quarter of the following year to which they relate, being payable within 30 days of settlement by bank transfer to the account specified by the customer, or if there are unpaid bills (even if not due), by offsetting such invoices. 9.- OTHER SERVICES 9.1 Type 9.1.1.- Handling ITUs of intermodal transport at terminals Handling ITUs at terminals is subject to the terms and prices in force when such services are provided. To handle ITUs at Adif terminals, the prices applicable are published by the entity and applicable at all times, and are laid down in Annex I to these Terms and Conditions as applicable in 2016. 9.1.2.- Storage of containers and swap bodies After the period of stay in transit generally established in the Multiclient Intermodal Offer and SLOT services, the client must pay all costs and expenses that for that reason proceed according to the terms and conditions set up by the manager of the terminal where they occur. However and in order to apply for trade prices and advantages offered by Renfe Mercancías, stay for of containers and swap bodies at terminals should always be linked to a rail transport, before or after the situation of stock or equipment storage.

9.1.3.- Door-to-door delivery service Renfe Mercancías provides its clients with an optional door-to-door service (haulage) at main terminals of Multiclient Intermodal Network. The price of this door-to-door service is determined by the type of container to transport (20, 30, 40 or 45 feet or equivalent) and the distance to travel between or within the rail terminal and the address to load or unload the container. Prices of this service can be requested through Renfe Mercancías intermodal business department http://www.renfe.com/empresa/mercancias/intermodal/contacto.html 9.1.4.- Rest of services

o Collaboration/support for loading and unloading at dock. o Immobilization of container carrying trucks

Container carrying trucks immobilization for timeout occurs after two hours of loading or unloading any ITU. Payment for this item must be consulted with area sales managers.

o Handling canopies. o Cleaning and washing containers. o Using crane for required movements in the transit of containers for different areas of

the terminal. In order to request such services or additional information on these, contact the intermodal commercial department of Renfe Mercancías:

10. MODIFICATIONS

Renfe Mercancías reserves the right to amend these General Conditions at any time at its sole discretion. Any changes of these terms shall be duly communicated either directly through email, post, or postings on the website of RENFE Operadora fifteen (15) days prior to the entry into force. However, such changes do not involve modification or replacing the conditions that may be applicable to other specific services or products previously requested through the commercial area of Renfe intermodal Merchandise for clients.

Multiclient Intermodal Network services and Slot services described in Annexes II and III, are subject to continuous adaptation to supply and demand, prices may be - for the duration of these annexes - subject to review.

So in this desire to meet the demand produced by the dynamics of the intermodal market, Renfe Mercancías shall maintain a strategy of review and adjustment of the services offered in both their design and economic competitiveness.

11. SEVERABILITY

Should one or more terms or provisions of these General Conditions are or is deemed as totally or partially invalid or ineffective, this shall not affect the validity of the remaining provisions.

12. LAW AND JURISDICTION

These Terms shall be governed by Spanish law. For any issues that may arise over the interpretation, enforcement or application thereof shall be competent the Jurisdiction of Spanish Courts.

Annex I

Handling services of intermodal transport units Description.- This service consists in loading/unloading Intermodal Transport Units (ITUs) in the rail transport mode. Associated operations.-

Control of entry and departure from the facility of the ITU. Planning and execution of loading / unloading the itu on car, truck, transit

area, etc. Control, surveillance and safety Security Control of weights of handled itus.

Invoicing unit.- Handled itu. Every transport service shall have a minimum of two handling (origin and destination) according to the application conditions and prices indicated below: 2016 application conditions and prices.- A.C.A. services provided by Adif shall be subject to variations published by said entity with regard ti their contributions for 2016. Initially the following shall be considered: A single handling shall apply to the itu at the facility, either by train or truck, for itus that

on arrival at the facility provide information on their destination (train / date or stock), and their departure occurs at most within two working dates after their arrival

temporary transit at the facility, for a maximum of 7 calendar days from the date following the arrival of the itu at the facility (except for itus with Dangerous Goods, which must comply with the regulations that may be applicable to each facility).

Annex III

2016 Intermodal SLOT Services I.- SERVICE DESCRIPTION Renfe Mercancías offers their clients an intermodal solution aimed at companies, which do not reach sufficient volume of transport to have an exclusive Client Train service, but they do have a regular activity over unit shipments planned for Multiclient Intermodal Network. The SLOT product is a rail transport service supported in the Multiclient Intermodal Network while SLOT solutions can be established in sections not included in said Network when for conjunction of interests between various companies, so requested it. With this commercial basis Renfe Mercancías rewards stability and the commitment to their clients through more advantageous economic conditions. The SLOT service has the following features and conditions:

Sales unit corresponding to the transport capacity equivalent to 60 'and/or up to 58 Tm.

The SLOT is a scalable unit in multiples of the above outlined basic unit. This is

subject to compliance with the technical conditions of wagons available on each axis of traffic and safety conditions applicable at all times.

Companies may access this service upon acceptance of the price and conditions of

provision, by signing this document.

SLOT shall be invoiced as indivisible transport capacity, regardless of the way each client uses it.

The service is available in roundtrip cycles, with a rail transport final price, that

sums up the prices corresponding to each individual trip.

The price indicated in the document accepting the conditions of service shall correspond to consignment of containers loaded, empty or a mix of both indistinctly always subject to compliance with technical conditions and safety.

Annex III

The round trip cycle invoice shall be charged on the first journey made, leaving a spread of 0.10 € as amount corresponding to the return.

Economic valuation appearing per container in invoices accompanying each charge will result from distributing the total amount of slots used by consignment, between the containers that were transported in it, depending in each case on the number and container set that the client makes available for each service.

If by any circumstances the Client does not use the SLOTS contracted, either in

whole or in part, at all times Renfe Mercancías shall invoice these SLOTS.

The client may change their SLOTS communicating its new schedule 30 days before the beginning of the month requiring the new service plan.

Renfe Mercancías shall only accept cancellations of SLOTS utilization and,

therefore, there shall be no invoicing, if the three conditions set out below necessarily meet:

o The cancellation is made per full cycle, ie round trip. o The cancellation is communicated one week before the scheduled

Users may configure consignments in traffic lines not existing in the standard offer,

resulting from the chain of SLOT service journeys. The price of rail transport will be calculated by the sum of the individual routes, in one direction or the opposite.

Specific conditions applicable to SLOT Service are governed by this document and, if not expressly indicated or if not contradicting, shall apply the provisions of the General Conditions of Multiclient Intermodal Network and the General Conditions of Use and invoice of Containerclick, which the [CLIENT] knows and agrees upon.
