Jim Denaro founded the CipherLaw Group to provide strategic intellectual property counseling to innovators in information technology, communications, and software technologies. The group provides patent counseling, prosecution, and litigation services and has particular expertise in cutting-edge cybersecurity technologies. At MoFo, Jim was a patent associate in our Northern Virginia office from 2004 to 2011.

Robin Gelburd recently began a new position as President of FAIR Health. FAIR Health is a national, independent, not-for-profit corporation whose mission is to bring transparency to healthcare costs and health insurance information through comprehensive data products and consumer resources. At MoFo, Robin worked in the New York and Hong Kong offices as both a litigation and corporate associate.

Jonathan Kaplan has started his own practice: Kaplan IP Law. Jonathan serves as Intellectual Property Counsel for biotechnology, pharmaceutical, green technology, and medical device clients. He provides patent prosecution, portfolio management, opinions, due diligence, and litigation support as well as other services for in-house legal departments. Jonathan was an associate in our Palo Alto office from 2003 to 2007.

Christy Kotowski recently began her new role as Senior Employment Counsel at Waste Management, where she is responsible for all of the employment matters in the Western U.S. and British Columbia, an area with approximately 11,000 employees. At MoFo, Christy was in the Labor and Employment Group in the Palo Alto office from 1998 to 2001.

Early last year, Sunil R. Kulkarni joined the Office of General Counsel at the University of California’s system-wide offices in Oakland as Senior Counsel in its litigation group. He represents the University in a variety of complex litigation matters and administrative hearings. At MoFo, Sunil was a partner (and before that, an associate) in the Litigation Department, practicing patent and securities litigation, in the Palo Alto office from 1997 through 2010.

Robert Steenblik joined Cadence Pharmaceuticals, Inc., early last year as Director, Legal Affairs. Prior to joining Cadence, Robert worked in the corporate group at Latham & Watkins in San Diego and London, and the Capital Markets Group at MoFo in New York and Orange County.

Alumni On-the-Move

Corporate Counsel magazine named Stephanie Tsacoumis one of Washington, D.C.’s 20 most influential in-house attorneys. Stephanie is General Counsel at Georgetown University, where she oversees a wide range of issues, from medical research to intellectual property to bond offerings. She is also very active on pro bono issues, serving on the board of DC Appleseed.

Law360 honored Cary Klafter of Intel on its list of “America’s Most Innovative Corporate Counsel” for his work in establishing the company’s “say on pay” policy. Intel was the first Silicon Valley company to implement shareholder requests for votes on executive pay, and was among the first two-dozen U.S. companies to do so.

MoFo alumna Michelle Banks began her pioneering ways early. The daughter of

first-generation Italian-Americans, nobody in her family had practiced law, nor did anyone especially encourage her to go to law school. What she did have was a thirst for knowledge.

“I love to read,” she says, “and I like challenges. So maybe that’s the reason I became a lawyer.”

Given the incredible career she’s forged, not least because of an inclination to view risk and opportunity as two sides of the same coin, it was a good choice. After undergraduate and law school at UCLA, Michelle interviewed with MoFo but instead went to work for another firm based in Los Angeles. She stayed in touch, however, with the MoFo folks who interviewed her and soon moved over to the firm as a corporate associate in 1990, working for Bob Mattson in the Orange County office. After less than two years with the firm, she seized a singular opportunity to be seconded to Itochu Corporation, a Fortune 500 Japanese trading company based in Tokyo.

In-House Icebreaker

That wasn’t the half of it, however. Not only was she thrust into an in-house role with a Japanese company based in Tokyo, she would be the first female professional to work in Itochu’s legal department.

“It was pretty exciting,” she says. “I mean they had never dealt with a woman professional, let alone a woman lawyer. I sort of broke the ice.”

Michelle enjoyed strong support from both the MoFo Tokyo office and within the company. “Rob Townsend mentored me and was responsible for me when I was working at the client,” she says, noting that the cultural differences and challenges were much easier to navigate thanks to the presence of a strong manager at the company who took her success personally. That was the head of Itochu’s international division.

“He was a very progressive guy and was very committed to making my stay there a success. He told everyone to ignore the fact that I was a woman and work with me as they would with anyone else. It worked,” she says, adding that, following her tenure, the company went on to bring in a series of women lawyers to work in their law department.

Warrior for Golden State

Her Itochu experience turned out to be a seminal turn in her career. She got a strong dose of international experience, along with a memorable taste of in-house life that got her thinking about a possible alternative career path. She also learned that taking opportunities—even risky ones—as they come could indeed work out.

Michelle continued her international work when she relocated to MoFo’s New York office, including transactional work for Itochu all over the world. New York was “crazy busy,” handling a variety of work in Asia and Latin America. But things slowed down following the Argentine financial crisis, and Michelle moved back to California. She had been an associate for more than six years and began thinking more seriously about pursuing an in-house career.

“I loved being in-house at Itochu,” she says. “I like working directly with the business, sitting with the business, getting to understand the business and being part of the team.”

Through family connections, she landed what may have been the most unlikely position in her career: a stint in-house with the NBA’s Golden State Warriors. It was meant to be a one-year gig, but it ended up lasting more than three years. It was a strange fit.

“I didn’t know anything about basketball. I wasn’t a sports fan,” she says. “I had never been to a NBA game and really did not know the business. So there was a huge learning curve.”

From Jump Shots to Blue Jeans

Michelle wanted to return to San Francisco, which presented two options: return to MoFo, where she was more than welcome, or pursue her in-house dream. When an in-house position

opened up at Gap Inc., she jumped at the opportunity. Unlike working in an alien environment such as pro sports, she knew this was something she could embrace.

“I was a big fan. I had been wearing Gap and Banana Republic clothes my whole life. I liked the brands, knew the business, liked fashion—so that was a super easy transition for me.”

She came on board in 1999 as a Senior Corporate Counsel responsible for supporting the international retail business in Asia and Europe, which gave her the chance to put her international MoFo experience to work. Just seven short years later, she was the General Counsel.

Ready or Not

Michelle credits much of her career success to risk-taking. At both MoFo and Gap, she seized the moment when it presented itself—ready or not.

“I took the opportunities that were presented to me even if I wasn’t necessarily prepared for them,” she says, pointing to an early challenge at Gap that arose when she was asked to establish a compliance function from scratch. She didn’t know a lot about compliance at the time, but what she lacked in experience she made up for in zeal and tackled the project head-on. Management then asked her to become vice president of employment, which is primarily a litigation role at Gap—another risk as she had virtually no litigation experience. Again, she jumped into the learning experience, which would help to pave her way to the GC’s office.

In 2006, Michelle was named General Counsel and joined Gap’s executive team. When Gap management considered their choices for GC, Michelle’s risk-taking and flexibility stood out. Her experience was global and included successful stints on both the transactional and litigation sides, and she already had launched an

important and successful function within the company. This time, when opportunity knocked, she was clearly ready.

“I had all the diversity of experience that prepares you for a general counsel role,” she says.

Cost Considerations

In her current role, Michelle is responsible for a staff of more than 100, including 40 in-house lawyers. Gap has offices in more than 30 countries, but the legal staff is concentrated in San Francisco, with smaller outposts in London, Shanghai, and Tokyo.

Perhaps surprisingly, Michelle splits her time “pretty evenly” between legal work, human resources, and financial matters such as budgeting and forecasting. In comparing her in-house role to her work as outside counsel, one thing surprises her: the constant budget pressure.

“I think when you’re an outside lawyer you know that your client needs to keep the cost reasonable, but it’s just so different when you’re on the other side and under enormous cost constraints.”

In looking at the various firms she works with, Michelle points to three attributes that distinguish MoFo: the quality of the lawyers’ business knowledge, the seamless integration across the globe, and the culture and values of the firm.

“MoFo thinks and acts globally in a way that not many firms do,” she says, pointing to her own experience as an associate as an example.

Michelle sees similarities between the cultures of MoFo and Gap, which has a long-standing commitment to community work and diversity. She’s built on that tradition by formalizing her department’s pro bono work, encouraging her team to work on projects that only lawyers can do. She also continues a tradition at

Gap with her active involvement with the Minority Corporate Counsel Association, where she sits on the board. Michelle actively searches for “pipeline” projects that create opportunities for minority students, including two San Francisco bar programs: School-to-College and Destination Law School. That focus on diversity carries through to her hiring, both internally and externally. For firms that want to work with Gap, she asks questions like: “Do they have diversity within their ranks at all levels? Are they doing something about the lack of diversity in our profession in general?”

Unwinding in Wine Country

For relaxation, Michelle heads to the Sonoma wine country where she and her family have a weekend home. Her mother, stepfather, and stepbrother are all in the vineyard and wine business, which gives her plenty of opportunity to sample various grapes. What is she currently partial to? Grüner Veltliner, a food-friendly white grape traditionally grown in Austria but also produced under one of her family’s California labels. And her favorite restaurant? Her worldwide favorite is Dal Pescatore, a “beautiful spot” outside of Verona in Northern Italy. Closer to home, her San Francisco favorite is Spruce.

And she hasn’t lost her passion for reading. She’s been involved in the same book club for six years, started by the mothers of her son’s classmates when he was still in kindergarten. Michelle also keeps up on business and legal books.

Her family life keeps her grounded while her work at Gap provides the intellectual stimulation she craves. Complex, stimulating, yet subtle work with a strong finish—just like a fine wine.

Pro Bono NewsSaving community-based services in CaliforniaIn Palo Alto, partner Ken Kuwayti led a team of lawyers that reached a settlement of Darling v. Douglas just days before a preliminary injunction hearing seeking to stop the California Department of Health Services from eliminating the Adult Day Health Care program (ADHC). Subject to judicial approval, the settlement ensures that elderly and severely disabled low-income individuals will continue to receive community-based services that enable them to stay in their homes rather than be isolated in institutions. The settlement will shift these services to a new program called Community-Based Adult Services, to be offered through the state’s Medi-Cal managed care plans. Many current ADHC service providers will be part of the new program, ensuring continuity of care. Current clients who are not eligible for the new program will receive enhanced case management to help them locate other sources of long-term care services in the community. Our co-counsel in the case are Disability Rights California, the National Health Law Program, the National Senior Citizens Law Center, and AARP Foundation Litigation.

Promoting reform in HaitiWashington, D.C. senior counsel Robert Loeffler has led more than a dozen lawyers in a research project for MADRE, an international women’s human rights organization, to support the reform of rape laws in Haiti. The overall goal of the project is to compile in-depth research on rape laws, prosecutorial practices, and victim services in multiple domestic and international jurisdictions, to show best practices that can be used to advocate for improvements in Haitian law. Our attorneys coordinated this multi-firm project, produced the initial report, and performed a substantial piece of the research as well. MADRE is engaged in multiple efforts to improve the security of women living in post-earthquake encampments in Haiti and to improve prosecution of the perpetrators of sexual assaults there. Attorneys from six offices took part in the project: London, New York, Palo Alto, San Diego, San Francisco, and Washington, D.C.

Representing refugees and immigrantsIn 2011, MoFo attorneys devoted more than 9,000 pro bono hours to refugees and immigrants. Attorneys in the Iraqi Refugee Assistance Project (“IRAP”) supervise teams of law students from Stanford and Boalt who are assisting Iraqi and Afghani refugees. These refugees are seeking resettlement in the U.S. because they have worked as translators with U.S. forces in Iraq and Afghanistan, or are otherwise unable to continue to live safely in their home countries. In the past year, almost 40 lawyers in our domestic offices have taken on more than 30 matters, and several of our clients have already begun new lives in the U.S. Also in 2011, MoFo attorneys won a year-long battle for Haitian women victimized by rape in post-earthquake encampments. Several of our clients were brought to the U.S. under the humanitarian parole program, including two adult sisters who are now in Florida, and a young mother and her two young daughters who are now in Oregon.

Obtaining crucial support for people with disabilitiesLawyers in the Washington, D.C. office had a string of successes over the summer in obtaining federal benefits to help clients with severe disabilities to survive. Their cases were referred by the D.C. Bar Justice and Advocacy Clinic, in a project supervised by litigation partners Steve Colangelo and Brian Busey. In June, our

Pro Bono Awards Law360 “Top Pro Bono Law Firm of 2011” Law360 has named MoFo a “Top Pro Bono Law Firm of 2011.” This is the second year in a row MoFo has been honored by Law360 as one of the top 10 pro bono law firms in the U.S., out of more than 400 nominees. We were commended for our “firmwide emphasis on pro bono work and a top-to-bottom support structure” and noted for “[h]andling volunteer efforts with the same dedication as its paid representations, Morrison & Foerster LLP over the past year secured victories for veterans, advocates for the disabled, and a wrongfully convicted prisoner.”

American Lawyer Lifetime Achievement AwardGordon Erspamer has been honored by American Lawyer as a Lifetime Achiever. Mr. Erspamer is one of only eight attorneys featured in Am Law’s annual special section, which seeks to honor outstanding private sector success and a devotion to public service. According to Am Law, the 2011 Lifetime Achievement Award recipients “are extraordinary lawyers, certainly, but for them, that’s just the beginning of what makes them successful.” Gordy was recognized for his pro bono efforts on behalf of U.S. veterans that have spanned more than three decades, making him “a legend in military circles.”

Spotlight on pro bono appellate workThe National Legal Aid and Defenders Association honored Morrison & Foerster and several other firms for pro bono appellate work at its December 2011 annual dinner. In 2011 the firm devoted more than 14,000 hours to 33 appeals, which included matters on abortion rights, special education, veterans’ benefits, prison conditions, foster care, criminal justice, and the First Amendment.

New to MoFoThe firm recently welcomed Sharon Parella as a partner to the New York office’s Financial Services Group. Ms. Parella counsels financial institutions and other financial services companies on all aspects of employment law. Her practice includes defending employers against discrimination, compensation, and other employment claims before both state and federal courts, the Equal Employment Opportunity Commission, fair employment agencies, and in proceedings before the New York Stock Exchange, FINRA, and other regulatory organizations. Her work also focuses on employment issues related to mergers and restructurings. Ms. Parella has extensive experience in drafting and negotiating employment, consulting, and settlement agreements and releases. In addition, Ms. Parella counsels clients on issues of discrimination, employee misconduct, and sexual harassment and provides training seminars on these and related issues for senior management, executives, human resources professionals, in-house legal counsel, and employees of financial institutions and other companies.

Bernie Pistillo recently joined the San Francisco office as a partner in the Tax Department. Mr. Pistillo’s practice is focused on the federal tax aspects of international M&A transactions and representation of private equity funds. His clients include many of the world’s largest investment banks, hedge funds, and other financial institutions and advisors. He regularly advises on the U.S. tax planning aspects of international and domestic mergers and acquisitions, joint ventures, corporate restructurings and divestitures, a wide variety of capital market transactions, and other investments. Mr. Pistillo is a member of the Dean’s Advisory Board at Tulane University School of Law, the Committee on Taxation of Business Entities of the Association of the Bar of the City of New York, and the Tax Review in New York City.

attorneys won a fully favorable decision granting benefits to a client who is disabled by extreme obesity, arthritis, and crippling pain from gunshot wounds in his legs. In July, a hearing led to the grant of disability benefits retroactive to 2008 for a middle-aged man suffering from severe symptoms of HIV infection as well as multiple other illnesses. And in August, we succeeded, again through a hearing, in obtaining benefits for a woman who is experiencing severe effects from HIV disease and struggling with bipolar disorder. In each of

these cases, the client’s initial application had been denied, leaving the client in severe poverty that now will be significantly ameliorated by federal disability payments.

Winning reinstatement for a discharged gay soldier

MoFo client Jase Daniels, who was discharged from the U.S. Navy in 2007 under the now-repealed “Don’t Ask, Don’t Tell” policy, was reinstated to active duty on Monday, December 12, 2011. MoFo filed a lawsuit in late 2010 seeking the reinstatement of Daniels and two other men who were discharged from the military for being gay. San Diego partner Drew

Woodmansee, who leads the pro bono team on the case, Almy v. United States, said, “When Jase decided to sue the Navy in 2010 seeking a court order reinstating him on active duty, repeal of ‘Don’t Ask, Don’t Tell’ was uncertain. At the end of the day, a court order was not necessary in his case. I hope Jase is just one of many brave gay and lesbian former services members who will be quickly welcomed back into the services.” Pressure created by legal challenges to “Don’t Ask, Don’t Tell” is widely credited with inducing the repeal of the policy in December 2010.

PATENT REFORM RESOURCE CENTER

The landmark Leahy-Smith America Invents Act (AIA), signed into law on September 16, 2011, brings a number of important changes to U.S. patent law, including a shift to a first-to-file system and a significant expansion of the options available for challenging a patent after it has been granted.

MoFo has created the Patent Reform Resource Center to serve as an up-to-date resource on key developments and practical advice for dealing with the complex changes of the AIA. Our size and experience working with some of the leading technology companies in the world make us uniquely qualified to advise on the AIA’s implications. We have one of the largest full-practice IP groups of any general practice firm, with more than 300 attorneys, agents, and technical specialists, including more than 80 with electrical engineering or computer science degrees, 21 with doctoral degrees, and 45 with chemistry degrees.

Foundation Update2011 marked the 25th anniversary of The Morrison & Foerster Foundation. One of the oldest law firm-affiliated charitable foundations in the U.S., the Foundation has been giving back to the communities in which Morrison & Foerster personnel live and work since 1986. The Foundation is funded chiefly by Morrison & Foerster partners and receives additional support by firm employees. Over the years, it has contributed $30 million to nonprofit organizations, primarily at the local level. To celebrate this milestone, the Foundation’s board of directors, consisting of partners from each of the firm’s regions, held a call for nominations from October to December 2011, for The Morrison & Foerster Foundation $1.25 Million 25th Anniversary Grants Program. The Foundation expects to announce the grants in September 2012. This is the Foundation’s third special project fund, following similar $1 million programs in 2003 and 2006. For the past several years, the Foundation’s board has carefully set aside a portion of the Foundation’s annual budget in order to offer this high-impact opportunity. As with the Foundation’s prior special fund programs, the board’s selection process is focused on new projects serving disadvantaged children and youth in the regions where the firm has offices.
