    GPVA has a well-developed party structure. In addition to a thirteen member state party Central Committee, GPVA has the following elected statewide officers: two Co-Chairs, Treasurer, Press Secretary, and Webmaster, as outlined in Articles XVI and XIV, respectively of GPVA Bylaws:

    Copies ofthe GPVA Bylaws (Ex. C) and Platform (Ex. D) are attached. GPVA holds statewide meetings at least semi-annually. Attached are copies of the minutes of all meetings conducted during 2012 (Ex. E).

    GPVA maintains a website at http://www.vagreenpartv.org. The party also maintains several listservs to which all members in good standing are welcome to subscribe, as well as, a mailing list comprising some thirteen hundred Green leaning individuals. These structures enable GPVA to administer the day to day affairs of a statewide political organization.

    In addition GPVA has nine active locals geographically dispersed throughout the state of Virginia as follows:

    IV. Political Practices

    A. The GPVA is accountable to its Green bcals and noenibers thereof B. The GPVA may designate spokespersons in addition to the Co-Chairs and the

    Press Secretaiy. C. Chairs, officers, delegates and other representatives of the GPVA shaH be

    recallable at any meeting of the GPVA, by consensus or three-quarters vote. D. Chairs, officers, delegates, and representatives wiU be rotated regularly. An

    attempt wHl be made to include new noembers in these positions. E. Representatives and delegates of the GPVA may e>q)ress personal opinbns, but

    must act and vote within the gukielines agreed on by the GPVA. F. The GPVA is committed to encouraging participation by aU Virginia resklents but

    VI. Locals of the Green Party of Virginia

    A. Definition 1. A Local is a group of three or more Virginia residents who meet together

    on Sonne regular basis to advance the Ten Key Values. 2. Locals shall be defined geographbal̂ . 3. Locals may accept members as they wish, consistent witfa their own rubs. 4. For the purposes of representation in the Green Party of Virginia, a person

    can claim noembershp in on^ one Local at any given tin£. 5. An at-large bcal calbd the Greens of Virginia is availabb hr membersh^

    by those Greens in Virginia who are not members of an affiliated Local B. Affiliation

    1. Locals may request affiliation with the Green Party of Virginia by sending at bast one representative to a meeting of the GPVA and affirming their commitn^nt to the Ten Key Values.

    2. Requests fbr affiliation will be consklered according to the standard decisbn-making process ofthe GPVA.

    3. As a requirement fbr affiliation, each bcal shall designate the fbOowing ofScers:

    a. a Treasurer, responsibb fbr all financial transactions b. a Representative to the Interim Committee. Such designees may, but

    need not necessarily, be the same persoa 4. As a requirement fbr affiliation, each bcal shall prepare a set of written

    bykiws. 5. Affiliated bcals are referred to herein as 'Green Locals."

    C. Disaffiliation 1. The GPVA may suspend affiliation of a Green bcal fer valk! reasons by a

    three-fififas vote of the GPVA membership at a business meeting. 2. VaM reasons include but are not limited to:

    a. actions in contradbtion to the Ten Key Values. b. concerted efiEbrts to undermine the stated purposes of tfae GPVA. c. feibre to attend GPVA meetings or otherwise particpate in GPVA

    activities fer over a year. 3. Members of the afEbcted bcal may submit a motion to override the

    suspensbn decisbn at the next GPVA business meeting at whbh quorum is satisfied, supp̂ dcig evklence and/or arguments, but may not vote on this or any other matter.

    4. If the bcal^s motion to override passes according to the rubs fer a Major Decisbn, fhe affiliation suspensbn is revoked. Otherwise disaffiliation is permanent.

    D. Local Contacts 1. Each Green Local must choose a Local Contact fer the GPVA. 2. The Local Contact will be responsibb fer bringing infermation from their

    bcal to GPVA meetings and fer bringbg infermation fix)m those meetings back to their bcal

    3. The Local Contact will be responsibb fer ensuring that their bcal has a democratic and timel/ procedure fer revbwing GPVA decisbns. The Local Contact win communbate this decisbn to a Chair.

    4. The Local Contact must ensure that the Co-Chairs have vp to date infermation on how to reach the Local Contact.

    Vn. Membership

    A. Merhbershp m the Green Party of Virginia is open to all members of Green Locals in Virginia and/or any member hokimg membershp in the Greens of Virginia at-large bcal, except fer ofiScers, oflScial spokespersons, candklate and central committee nenibers of other competing political parties. The GPVA shall determme whbh political parties are competing.

    B. The GPVA webomes and enibraces allmeni)ers regardbss of age, race, cobr, gender, spiritual befief plQ^bal challenge, sexual orbntation, or national origin.

    C. Members of GPVA are e3q)ected to: 1. iphoMtheTenKey Vabes 2. be honest and ferthri^ in aU dealings 3. be scrupubus in the handling of GPVA and/or Green Local fiinds.

    D. Membershp Review Process 1. Charges of vblation ofthe above menibershp standards may be made by

    any member or members. 2. Such charges should be ferwarded to one of the Chairs of the GPVA who

    will confer together. 3. If either or both Chairs belbve that the charges are warranted, or if half of

    the affiliated bcals vote to fermulate a committee, they wiD fermulate a &ct finding committee of three persons composed ofi

    a. one person chosen by the Chairs b. one person chosen by the accused c. a third person chosen by mutual agreement ofthe first two committee

    members. 4. The fiict-finding committee wiH investigate and prepare a report of the

    extent of truth of the charges as e7q)editiousty as possibb but no later than 90 days afier the feimatbn of the committee.

    5. Afier compbting the report, the &ct-finding committee will meet with the accused and the accuser to see ifa mutual̂ agreeabb resolution can be feund.

    6. If the dispute cannot be resolved there, tfaen the Chairs or any member of the fiict-finding committee will bring the matter, including the written report of the &ct-finding committee, to the next meetirig of the GPVA. The portion of the GPVA meeting consbering the charges shoukl be cbsed to observers. A three-quarters vote is required to withdraw the noembership of the accused where the burden of proof is on those makmg the charges. However the process ends, the Chairs shoukl fib a brbf minute giving the names ofthe accused and Ifae accuser, and stating what, if any, resolution

    was reached. 7. If at any time during the above process the Chairs determine that the

    accused is not making a good-fiiith attempt to cooperate, they may bring tfae matter befere tfae next meeting of the GPVA to seek a final resobtioalf half of the afiSliated bcals vote to do so, the matter shaH be placed befere tfae next meeting of tfae GPVA to seek a final resolution.

    E. Menobershp Voting Ri^its Each GPVA member, who is registered with the state party fer at bast one year or is deŝ pated to party ofiScers by his/her Local Representative or Alternate as a member m good standing of the Local, is entitbd to vote on proposals presented at business meetiiigs. At Large menibers who wish to exercise voting ri^its witfam the first year of joining the party shaH be vetted by one ofthe co-chairs.

    Decision Making

    VIII. Scope of Decisions

    A. Decisbns of the Green Party of Virginia shaH be divbed into minor and major decisbns.

    B. Mmor decisbns are process, scheduling, and communbatbn decisbns such as scheduling GPVA meetings and infermal networking.

    C. Major decisbns include, but are not limited to: 1. organizational structure 2. platferm ratification 3. candklate nomination or endorsement at the state bvel 4. fermaHy joining coalitions 5. financial matters ofthe GPVA 6. bylaw changes

    IX. Local Review

    A. Major decisbns may be revbwed by Green Locals. B. Major decisbns wiH stand unbss opposed by 25% or more of Green Locals

    befere tfae next meeting of tfae GPVA whbh occurs 31 or more days afier recept of the minutes conceming the decisba

    C. Mmor decisbns cannot be overturned by Green bcals.

    X. Meetings and Decision Making

    A. Local Representation 1. Each Local, through an mcbsive democratic process shaH designate a Local

    Representative and one or more Alternates to serve as its princpal point of contact with tfae state party.

    3. The names and contact informatbn of the Local Representative and Alternates shaH be published to tfae GPVA website m a tinsel^ manner afier they are received and vaMated by GPVA officers.

    4. The GPVA stronĝ encourages its bcals to promote gender bakince and diversity m the sebction ofits Local Representative and Alternates.

    B. Quorum 1. Quorum consists ofi

    a. At bast one of the Chairs or the Tieasurer, and b. A Local Representative or Altemate fijom each of 50% or more of

    the afiSliated Locals. 2. For the purpose of quorum-counting, ofiScers and Local Representatives

    may be the same person, and one of the Chairs is deemed to be the Local Representative fer At Large Greens.

    3. Locals whbh have no Local Representative or Alternate present and have not sent representatives to either of the two preceding business meetings of the GPVA wiH not be counted fer purposes of the 50% quorum requirement.

    C. Major Decisbns 1. Major decisbns shaH be made by consensus of those GPVA members

    present, or if consensus cannot be achbved, a vote of three-fifihs voting members present, unbss the Bykiws specify a difiierent approval threshold fer the decisbn at hand.

    2. Decisbns of Green Locals wiH be consklered in the process but do not directly affect consensus or votiiig.

    D. Minor Decisbns 1. Minor decisbns shaH be made by consensus of those GPVA menibers

    present, or if consensus cannot be achbved, a simpb majority of voting Lriberspresert for approval

    E. Conduct 1. Particpants m meetings of the GPVA are CT̂ ected to treat each other with

    gentieness and consberatioa 2. Persons who vbkte this standard may be asked to remain sHent and/or

    bave the meeting. F. ScheduHng

    1. The Chairs of the GPVA may caH an unschedubd meeting of the GPVA with the concurrence of a majority of the GPVA Local Contacts and GPVA ofiScers. A gqod-Mh efifort must be made to pubHcize this meeting toaHGPVAnaembers.

    2. A fiiture meeting date or continuance of a meeting may be set at ar̂ meeting of the GPVA with tfae concurrence of a majority of tfae Local Representatives and GPVA ofiScers, and wHl be pubHcized to the Contact

    1. The agenda and any proposals to be presented at a GPVA meeting must be distributed to the Local Contacts at bast 31 days prbr to the meeting.

    2. Items whbh have not been distributed 31 days prbr to tfae meeting may be placed on the agenda by consensus or a majority vote of tfae Local Representatives and GPVA ofiScers.

    3. Bylaw amendments added to the agenda at the meeting wiH be placed on the agenda fer discussion onl̂ .

    XI. Candidate Nomination and Endorsement Policy

    A. The GPVA may nominate or endorse candkiates fer bcal, regbnal, state, and national ofiSces.

    B. The word 'Viomination" wiH be used when the candkiate wHl be pubHciy bentified wifh the GPVA.

    C. The word "endorsement" wHl be used m aH other cases. D. A nomination/endorsement may occur at any oflScial business meeting ofthe

    GPVA. E. A i ^ nomination/endorsement wiH be subject to the usual process of revbw by the

    locals, unless the proposed nomination or endorsement was specified on an announcenoent distributed to aH aflSliated bcals at bast one month prbr to the GPVA business meeting.

    F. A candbate may be proposed fer nomination/endorsement by ar^ member of the GPVA or aflSliated bcal.

    G. No candbate wHl be nominated or endorsed by the GPVA if the nomination or endorsement is opposed by aH of the Green Locals m the candbate's ebctoral district

    H. It is highly encouraged that candkiates who wish to be consbered fer nomination: 1. Be an active number of an aflSliated bcal 2. Seek the nominatbn of aH bcals withm their district, and then seek the

    GPVA nominatba 3. Attend, or send a btter to, the GPVA noeeting at whbh their nominatbn wHl

    be consbered. I. Candbates who accept a GPVA nominatbn fer ofiSce wHl be consbered ofiScial

    (jreen candkiates. As such, they shoub: 1. be a mennber of a Green organizatioa 2. embrace the platferm ofthe GPVA. 3. bentify themseĥ s as 'Green candkiates."

    J. The GPVA may endorse other candkiates who support Ifae Ten Key Values and who general̂ endorse the GPVA State Platferm, provbed there is no Green Party - endorsed or nominated candkiate m the race.

    K. Locals engaged m ebctoral activity wfll be responsibb fer choosing to nominate or endorse candbates whose districts lb wMm their general area.

    L. If m a given area there is no bcal engaged m ebctoral activity, prospective Green

    candbates fi'om that area may request nomination by the GPVA. M. If m a given ebctoral district, there are multpb candbates fer a given oflSce or if at

    bast one but not aH of the (jreen Locals m the district oppose a candbate, then a democratic process open to aH GPVA members m that district wfll be used to nominate a singb candbate or to not nominate any candbate. If the Locals m tfaat district cannot agree on a democratic process m a timely fiishbn, then Ifae Co-Chairs of the GPVA wfll conduct a baHot of GPVA members m that district.

    N. The GPVA wfll utilize aH bg^l means to prevent self-description as Green or Green Party candkiates by persons who have not been approved through the process described above.

    xn. Amendments to the By-Laws

    A. Proposals m final ferm fer Amendments to these By-kws must be published to the GPVA menabershp 31 days prbr to the next state meeting.

    xm. Platform Revision Process

    A. The pktferm of the Green Party of Virginia and aH revisbns wfll be approved by the feHowing process:

    1. Platferm revisbns shaH be drafted by a meeting ofthe Green Party of Virgmia or a designated committee.

    2. The recommended changes shaH be mafled to each menober of the GPVA m a fennat by whbh they can indbate approval or disapproval of each new or changed plank.

    3. BaHots wfll be taHbd 30 days afier the begmning ofthe poHmg process by a person or persons designated by a meeting of the GPVA.

    4. The tally cbrk wfll ferward aH baHot materials to the Co-Chairs fer archiving.

    5. New or changed planks m the platferm are approved if the votes m iavor are 75% or greater of the total votes fer or against that change.

    6. Debtions are approved if sipported by more than 50% ofthe total votes fer or against the debtba

    B. In extraordinary circumstances, the GPVA may amend the platferm at any regubr meeting.
