Introduction

The National Marine Manufacturers Association is pleased to welcome you to the 44th annual Atlanta Boat Show, January 11 – 15, 2006.

This Exhibitor Instruction Manual has been designed to answer all your questions and to provide you with important show information. In addition to this CD our on-line version is located at www.atlantaboatshow.com. This CD was created to provide you convenience when accessing the Internet or when downloading is not available. We hope you will find this useful and effective.

Exhibitor Instructions

AISLE SPACE Aisle space may not be used for exhibit purposes or for general solicitation of business. Distribution of any literature or other exhibit material is forbidden outside your immediate exhibit area.

BOAT CLEANERS NMMA must be notified of any boat cleaning company hired to clean your boats. You should use the EXHIBITOR APPOINTED CONTRACTOR form in Order Forms section of this kit. Contractors must file a CERTIFICATE of LIABILITY INSURANCE with the NMMA no later than December 16, 2005. All boat cleaning companies must abide by the rules regarding early and late building access, have appropriate credentials, and meet all security, insurance and convention center requirements.

BOOTH CLEANING Inclusive in the Champion carpet rental price is the first night’s vacuuming. This will ensure that your exhibit is clean for the opening of the event. You are responsible for ordering any additional services to include porter service that you may require. An order form is included in the Order Form section of this manual. NMMA is responsible for aisle cleaning, restrooms and public trash bins.

BOOTH EQUIPMENT PROVIDED Booth Space Each booth space will be set with 8’ high back drape, 3’ high side drape divider and one (1) 7”x44” identification sign at no additional charge to you (additional signage can be ordered and billed with Champion Exhibition Services. All exhibits must be carpeted by the exhibitor. Be sure to order your electrical service requirements from the GWCC prior to your carpet installation. Order forms are included in the Order Form section on of this manual. Boat/Bulk Space Boat and bulk exhibitor space is not provided with drape or identification signs. If your exhibit space requires pipe and drape or signage, it can be ordered and billed with Champion Exhibition Services. All displays must be carpeted by the exhibitor. Be sure to order your electrical service requirements from the GWCC prior to your carpet installation. Order forms are located in the Order forms section of this manual.

CARE OF PROPERTY Use of nails, screws, or any material which would mark floors or walls of the exhibit hall is strictly prohibited. To ensure safety, Fire Marshal regulations require that nothing is to be fastened to the sprinkler system anywhere in the building.

CONDUCT of EXHIBITS All displays must be set and operational by 9:00am, Wednesday, January 11, 2006. All exhibits must be staffed during all show hours. Only those companies that have contracted for exhibit space are permitted to demonstrate product, solicit orders or distribute advertising at the show. Sales, signage, models, and distribution of literature and/or promotional items must be confined to your exhibit space.

CRADLES & DOLLIES Cradles, stands and dollies must be installed and available in your exhibit space prior to your scheduled move-in time. Make sure you inform the floor manager if or when your vehicle loads are carrying cradles, stands or dollies, or other items that must be installed prior to your actual move-in time.

DIRECTORY ADVERTISING Make sure your show investment really pays off for your company! You can advertise in the official show directory produced by SOUNDINGS publications and be seen by everyone at the show and long after! Advertising rate information and order forms are located in the Order Form section of this kit. SOUNDINGS is the only official Atlanta Boat Show Directory producer.

WARNING!!! DO NOT ACCEPT ANYTHING FROM FAIR GUIDE

You may have received information from FAIR GUIDE (Construct Data Directories) which indicates that you'll receive a listing in their directory. Their promotional material offers a directory listing and mentions the Atlanta Boat Show. Please be advised that FAIR GUIDE is NOT affiliated with the ATLANTA BOAT SHOW or any NMMA boat show. They will charge you for any listing you submit. FAIR GUIDE is an Austrian company that misrepresents their directory listing in an attempt to have you purchase an expensive directory listing. Please disregard any mailing you receive from FAIR GUIDE.

DISPLAY GUIDELINES In the interest of providing the public and other exhibitors with the highest quality of boat show experience, all exhibitors are urged to “dress ship”. Draping unsightly cradles or trailers is just one of the things which can be done inexpensively to improve the character of your display, and attract hot prospects! NMMA’s complete Display Guidelines can be found on www.atlantaboatshow.com. All proposals for exhibit structures and signs require show manager’s approval. As long as your display enhancements do not interfere with surrounding exhibitors, your proposal has the likelihood of our written approval. Examples of interference refer to blocking sight lines and creating excessive noise. Please contact Melisa Malone with questions. Deadline for Proposals: November 30th.

DOLLY RENTAL Each boat under 26’ must be displayed on wheels (boat trailers, dollies or cradles with casters). If you do not have dollies, you can rent them from the NMMA. Order forms are located in the Order forms section of this manual.

DRIVING DIRECTIONS

FROM THE AIRPORT AND THE SOUTH: Take I-75/85 north to the Central Avenue Exit (Exit 246). Turn left on Martin Luther King, Jr. Drive. Turn right onto Northside Drive. GWCC Building C is located on your right immediately following the Georgia Dome. Parking is available in the Gold Deck located between Building C and the Georgia Dome. Surface parking is available in the Blue and Yellow Lots on Northside Drive across from Building C.

FROM THE NORTH: Take I-75 south to Northside Drive (Exit 252). Turn right on Northside Drive. GWCC Building C is located on your left immediately preceding the Georgia Dome. Parking is available in the Gold Deck

located between Building C and the Georgia Dome. Surface parking is also available in the Blue and Yellow Lots located on Northside Drive across from Building C. Take I-75/85 south to 10th Street (Exit 250). Turn right onto 10th Street. Turn left on Northside Drive. GWCC Building C is located on your left immediately preceding the Georgia Dome. Parking is available in the Gold Deck located between Building C and the Georgia Dome. Surface parking is also available in the Blue and Yellow Lots located on Northside Drive across from Building C. * Alternate Route: Take I-75/85 south to North Avenue (Exit 249 D). ELECTRICAL SERVICE All electrical service must be exclusively conducted by the City of Atlanta approved Georgia World Congress Center electrical service contractor. No outlets or installations are provided by the NMMA. Electrical service is turned off every night unless otherwise specifically ordered by the exhibitor. Please take precautions and notify the GWCC for your overnight electrical needs to protect any safety systems or items that are perishable in your exhibit, and any other support equipment requiring overnight electrical power. Order forms are located in the Order form section of this manual.

EMPTY CRATE STORAGE Empty crates can be removed, stored and returned at the end of the show for your convenience. The NMMA, Champion Exhibition Services Inc., and associated personnel cannot be responsible for materials and/or property left in stored crates or display materials and crates left behind by exhibitors, freight companies or any hired service company.

ENCLOSED EXHIBIT AREAS & MULTI-LEVEL EXHIBITS All special booth construction must meet local, state, federal and building codes and comply with the NMMA Boat Shows Allocation Procedures and Display Guidelines (available on-line at www.atlantaboatshow.com). If you plan to have a booth constructed with an enclosed area (walls or ceilings), or an exhibit with multiple levels, please be sure to consult with all applicable City of Atlanta code requirements.

EXHIBITOR APPOINTED CONTRACTORS Any exhibitor using a contractor other than the “official service contractor” must notify the Atlanta Boat Show no later than December 16, 2005. Please complete and return the Exhibitor Appointed Contractor form located in Order Forms section of this exhibitor manual. Additionally, a Certificate of Liability Insurance from your appointed contractor must be forwarded to our office by fax (954-430-4171). This is in addition to the Certificate of Insurance required for your company.

EXHIBITOR CREDENTIALS An Exhibitor Credential order form is located in the Order Form section of this exhibitor manual. Please be sure to complete this application form and return it by December 16, 2005 by mail or fax. The maximum number of credentials issued is determined by the amount of square feet for which your company has contracted and paid in full. You will find your square footage on your contract for exhibit space. If in doubt, please feel free to contact us at 954-441-3220 (fax at 954-430-8043) for assistance.

Exhibitor Registration will be open on-site at the show beginning Friday, January 6th at 8:00am and will remain open during all hours of the show. Your Exhibitor Credential accompanied by photo identification allows access to the exhibit areas TWO HOURS before show opening each day. Exhibitors pre-registering may have credentials mailed to them or held at the registration desk for pick up. Please be sure to have your exhibit space paid in full to avoid any unnecessary delays. NEW in 2006: All exhibitor credentials must be presented with photo identification.

EXHIBITOR GUEST TICKETS/PREFERRED GUEST TICKETS Make your guests and prospects feel like VIP’s. Distribute all the tickets you want; you pay for only those used! Exhibitor Guest Tickets are available at a rate of $4.00 per ticket. Exhibitors may order an unlimited number of tickets and are only obligated to pay for those tickets that are actually turned in at the gate. Please complete the order form located in the Order Forms section of this kit, and return it as soon as possible (orders received after December 16, 2005 should be picked up on site at the show office). Details for Preferred Customer Tickets, Exhibitor Guest Tickets, and exhibitor credentials are located in the Order Forms section of this kit. Tickets will only be issued if an active credit card is on file. You may order custom designed PREFERRED GUEST TICKETS with YOUR company name, YOUR logo, and YOUR own advertisement on them! You’ll be billed separately for the cost of printing and production. NMMA will accept these special guest tickets at only the show(s) you specify to us. You’ll only pay ½ of the face value for those customers that actually use a ticket at the door to attend the show. An order form is located in the Order forms section of this manual.

EXHIBITOR SERVICE CENTERS Champion Exhibition Services and the Georgia World Congress Center service desks will be located in the main hall of the convention center beginning Friday, January 6th at 8:00 am. Please be sure to place your service orders prior to the discount deadline date(s).

FIRE MARSHAL The City of Atlanta Fire Department is an integral part of safety at the Georgia World Congress Center during the Atlanta Boat Show. Fire Marshals strive to maintain the safety standards established for local and state fire regulations while considering national fire safety trends. FORKLIFT SERVICE Please be sure to review your boat handling needs with Debbie Harewood prior to your on site arrival. Contact Champion Exhibition Services, Inc. for your supplemental booth order requirements. For assistance on-site please contact an NMMA floor manager wearing the familiar red polo shirt during set up or tear down.

FREIGHT On-site freight services are handled through the Atlanta Boat Show. Please refer to the “Shipping Instructions” section for addressing information and other details. Advance freight is handled through Champion. Please refer to freight costs on order forms in the Order forms section of this manual.

FUEL TANKS All fuel tanks must be emptied and free of vapor prior to entering the building. Any equipment damage or property liability damage claims resulting from fuel tank or water tank levels not meeting requirements shall be the responsibility of the exhibitor not complying with the regulations.

FURNITURE RENTAL & DECORATING SERVICES The official decorator, Champion Exhibition Services Inc., offers a wide range of services including: display drapes and stanchions, furniture, signage, labor personnel, carpentry services, carpet installation and pre-fabricated booths. Forms are located in the Order Forms section of this manual. Remember to place your orders before the discount deadline date indicated to maximize the monetary discount rate(s) for your company.

FIRST AID The First Aid Center is located in room “C1A” to the right as you exit the main entrance into the lobby of Hall C. For the safety of all attendees, an emergency medical person is on duty during the show hours. For assistance, please contact an NMMA floor manager on the show floor wearing the familiar red polo shirt during set-up and tear-down, or contact the Show Office.

FOOD AND BEVERAGE SERVICES All food and beverage utilized during the show must be ordered through the Georgia World Congress Center catering service – MGR Food Service. Any exhibitor planning to conduct food or beverage sampling in their exhibit space must first notify and receive written approval from the Atlanta Boat Show management. We will facilitate the approval process with the Georgia World Congress Center catering representatives.

GRATUITIES Tipping is expressly prohibited. This includes such practices as giving money, merchandise, or other special consideration for services rendered. Any attempt to solicit any type of gratuity by any service employee for any service(s) should be reported to the Show Office immediately.

HANGING SIGNS Hanging signs are only permitted over bulk space or booths along the perimeter of the main hall and are under the jurisdiction of the GWCC. Plans for hanging signs must be approved by the Atlanta Boat Show. If you do not-pre-ship your hanging signs to the Champion Exhibition Services warehouse, your sign must be present in your booth on site for your assigned scheduled hanging date and time, or your installation costs will increase due to overall schedule changes necessary, and location accessibility problems. Remember, only orders received prior to the cut-off date will receive discounted rates. On-site orders will only be accepted at the full installation rate and only if equipment availability permits. Please be sure to schedule your sign removals with the show decorator: Champion Exhibition Services for no later than your scheduled move-out time. Please note: Monday January 16, is a federal holiday. As such, rigging and sign hanging costs will be charged at the overtime rate. Please plan ahead and schedule your dismantling needs accordingly.

HOURS of INSTALLATION Installation begins at 8:00am and ends at 5:00pm daily unless show staff informs you otherwise. All exhibit material and boats must arrive according to your scheduled move-in time. If you have special installation requirements please contact us as soon as possible.

INSURANCE All exhibitors are required to adhere to the Insurance & Indemnification guidelines as stated on the contract for the Atlanta Boat Show exhibit space. Certificates of Insurance must be received by NMMA no later than December 16, 2005. Coverage must be in effect during the entire show period, including installation and dismantle. We suggest you include the full shipment period to and from your facility. LABOR Labor for exhibit installation and dismantling can be ordered through Champion Exhibition Services, Inc. The labor order form is located in the Order forms section of this manual. Under no circumstances is labor to be brought in from “off the street” services. Security regulations in place at the Georgia World Congress require that all exhibitor personnel have identification at all times. Craftsman at all levels must be instructed to refrain from expressing any grievances or directly challenging the practices of any exhibitor. All questions originated by labor are to be expressed only to NMMA.

LOST CHILDREN & RELATIVES All lost children and relatives should be brought to the show office immediately. The Show Office is located in the lobby of Hall C, directly to the side of the main entrance of the exhibit hall.

MOVE-IN INSTRUCTIONS BOOTH EXHIBITORS should plan to arrive during set-up hours (12:00N – 5:00pm) on Monday, January 9th or Tuesday, January 10th, 8:00am – 5:00pm, Wednesday, January 11th 8:00am – 9:00am. Exhibitors will be directed to the loading dock areas closest to their booth for unloading of displays items. Do not park at other GWCC hall loading docks to unload display items. A map and directions are located at the end of this manual. Booth exhibitors requiring forklift service need to schedule move-in times with the operations manager. BOAT EXHIBITORS will receive move-in information including specific arrival time for your boats/display via fax for your exact move-in date(s) and time(s) based on the information you supply us on the Boat Information Form located in the Order form section of this manual.

1. All exhibitors must return the Boat Information and Scaled Layout forms by Wednesday, November 30th, 2005.

2. Included in this manual is a map to the staging yard (it is located at the end of this manual). 3. Boats under 26’ that require handling must be placed on dollies or trailers. 4. NO CEMENT BLOCKS may be used to support boats. 5. BOAT HANDLING IS AT “NO CHARGE” PROVIDED THAT:

a. Exhibitor has returned the BOAT HANDLING INFORMATION form and the SCALED LAYOUT DRAWING of their exhibit by November 30th, 2005.

b. Boats between 21’and 26’ are placed on dollies or trailers c. Carpet, signs and electric are installed prior to the scheduled boat handling. d. Your boats, dollies, carpet, etc. arrive at the designated move-in time, and you have

adequate staff to proceed with the set-up of the display. e. Once boats are removed from the trailers, drivers and trailers must exit immediately. f. All oversize loads require permits. Please make sure you have contacted the appropriate

local and state governmental agencies to secure all necessary permits for oversize, weekend, holiday and other roadway restrictions that may apply to your display shipment.

LATE/OVERTIME charges will apply if you miss your targeted move-in (out) time (s): $350.00 per hour ($525.00 each overtime hour).

MOVE –OUT INSTRUCTIONS Move-out begins after the show closes at 6:00pm Sunday, January 15th. Booth exhibitors should plan to have their displays removed from the hall by Monday at 12:00 noon. Move-out information will be hand delivered to boat exhibitors on Saturday, January 14th. If you have any questions or concerns please contact the Show Office.

OUTBOUND SHIPMENTS Exhibitors shipping materials must complete and return material handling forms to the Champion Exhibition Services Desk in the Exhibitor Service Center located in the Main Hall.

PARKING The Atlanta Boat Show controls the show exhibit hall and not the areas around the Georgia World Congress Center. Parking is allowed in the areas designated by the facility. The show issues an “Exhibitor Access Pass” that will facilitate your vehicle activity through the facility. This access pass is used to identify your vehicle for safety and security reasons for the period of time indicated on the pass. It does not allow parking in locations that are assigned to the GWCC personnel, handicap spaces or in the dock areas. Any ticketing and/or towing will be at the vehicle owner’s expense. Public parking lots surrounding the GWCC are administered by the City of Atlanta. Be advised that there also are numerous privately owned lots as well.

PLATFORMS Platforms that exceed 30 inches above the floor shall be provided with guardrails as to prevent guests from falling off. There shall be a means to prevent guests from falling off of the platforms from the space between the platform, boat and vehicle that is on display. There shall be no storage under the platforms. Platforms that are over 300 square feet shall be provided with at least two means of egress. Platforms shall be provided with stairs or ramps. Platforms shall be constructed with sturdy materials with adequate cross bracing to prevent collapse.

PUBLICITY Creative Communications Consultants, Inc. has been selected as our public relations company. To assist with local radio and television pitches, we would like to know what new or unique products you plan to exhibit at the show. Please complete the New Product Info / Media Alert Form found in the order forms section of this manual.

PRODUCT LOCATORS The show will have two product locators designed to aid attendees in finding products and brands that they are searching for at the show. We hope that this new tool will increase sales opportunities for exhibitors and enhance the overall consumer experience at the show. The product locator program is fully interactive and offers the following important features: • Touch sensitive color monitors are used to provide users with clear directions on how to use the

system. • Searches can be done by any keyword, including company name, product category, or brand name. • All product and company search results may be printed out on laser printers. REGISTRATION Exhibitor registration forms for credentials are located in the Order Forms section of this manual. Please be sure to complete and return your registration forms by December 16th , fax to 954-430-8043. The on-site registration area will be in the show office, located in the lobby. The show office will be open beginning at 8:00am, Friday, January 6th.

SALES TAX REQUIREMENTS Exhibitors must register with the Georgia Department of Revenue prior to bringing product into the State of Georgia for sale at the show. Please contact the Georgia Department of Revenue to address any questions.

SECURITY Basic security is provided for the duration of the show, including move-in and move-out. Neither the NMMA, Atlanta Boat Show, the Georgia World Congress Center, nor any show contractor or representative(s) can be responsible for your loss or damage. All exhibitors are required by contract to have insurance for any loss or damage that may occur before, during or after the show. Following are some suggestions for security precautions:

• Do not indicate the contents on the outside of your cartons or crates. The cartons should be marked by company name & booth number and marked numerically, to deter theft.

• Ship locked or bolted crates only. Avoid using small cartons or cardboard boxes for product shipments.

• Furnish complete & accurate bill of lading(s) to your shipping company. • Do not store un-displayed or excess product in empty crates, under tables or displays. • Securely cover or close off your display every night. • Do not display small, easy to conceal products during move-in & move-out. • Do not leave brief cases, calculators, cameras, cellular phones, etc. in your display. Prototype

materials, one of a kind items should always be secured. • You should cover your display with cloth, tarpaulin, sheets, etc. at the close of the show nightly

and remove them at morning show opening. This acts as a psychological deterrent and avoids curiosity seekers.

• Pack securely and label all materials quickly at the show break. • Have an employee remain with your exhibit at all times, including move-in and move-out. • Report any damage or lost cartons/crates to the show office immediately. • Issue receipts for products sold at the show. • If you are conducting retail sales, make change from a belt or waist pack. • Do not leave your exhibit unattended.

This includes order forms for the Atlanta Boat Show, Champion Exhibition Services and the Georgia World Congress Center. We urge you to complete and return the service order forms for your exhibit promptly in order to take advantage of advance order discounts.

SMOKING Smoking is not permitted in the Georgia World Congress Center AT ANY TIME as required by the Georgia CLEAN INDOOR AIR ACT.

STAGING YARD The Staging Yard will be open for staging boats and trailers beginning at 11:00am on Wednesday, January 4th, through 11:00am Wednesday January 18, when it officially closes. It is located off of Simpson Street on Jones Avenue in lot# 7 directly north of the GWCC. Security is in place during this

STAIRS & RAILINGS You are responsible for complying with local and state safety ordinances regarding display stairways and railings. Please note especially the following information for all stairs in your display:

• Treads shall not be less than 11” in depth, and risers shall not be higher than 7; • Handrails shall be provided on all stairs exceeding a slope of 1 in 20. The Handrails shall be

between 34” and 38” from the nose of the treads; • Vertical rails should be designed so as not to allow for children to fall through or be injured.

Maximum handling weight is 5,500 lbs per set. Limited quantities are available and orders will be filled on a first come basis.

IMPORTANT NOTICE PERFORMANCE OF MUSIC at NMMA BOAT SHOWS If any copyrighted music is to be played at your display, you must obtain all necessary licenses from the copyright owner or licensing agency representing the copyright owner. The licensing requirements include the playing of live as well as recorded music (records, tapes, compact discs, radio broadcasts, etc.) and also include music whether it is the essence of the presentation or is used only as background on videotapes or other presentations. To obtain a valid ASCAP or BMI license, simply write a letter to the agencies listed below and tell them of the composition and the names and dates of the show you will be playing it for. ASCAP Licensing Dept. LIMITS OF LIABILITY AND RESPONSIBILITY – MATERIAL HANDLING SERVICES RULES AND REGULATIONS

PLEASE READ CAREFULLY 1. NMMA and its subcontractors shall not be responsible for damage to uncrated an/or unskidded materials, materials improperly

packed, glass breakage or concealed damage. 2. NMMA and its subcontractors, are not, and cannot be, responsible for loss or disappearances of Exhibitor’s materials after same

have been delivered to Exhibitor’s booth.

Inbound Shipments – There may be a lapse of time between the delivery of shipment(s) to the booth and the arrival of the representative at the booth and during such time the shipment(s) will be left unattended in the booth. Neither NMMA nor its subcontractors shall be responsible for any loss or damage, which may occur during such period.

3. NMMA and its subcontractors cannot be responsible for disappearance of Exhibitor’s materials before the materials are picked up from the Exhibitor’s booth for loading out after the show. All bills-of-lading covering outgoing shipments, which are given to NMMA by Exhibitors, will be checked at the time of pick-up from the booths and corrections made where discrepancies exist. Outgoing Shipments – It is possible that there will be a lapse of time between the completion of packing and the actual pick-up of materials from the booths for loading onto a carrier, and during such time the shipment(s) will be left unattended in the booth. NMMA or its subcontractors, will adjust the quantities of items on any bill-of-lading submitted to conform to the actual count of such items in the booth at time of pick-up.

4. NMMA and its subcontractors, shall not be responsible for ordinary wear and tear in handling of equipment, nor for loss, delay or damage due to fire, theft, windstorm, water, vandalism, acts of god, mysterious disappearance, strikes, lockouts or work stoppage of any kind, or other causes beyond its control.

5. It is understood that NMMA and its subcontractors, are not insurers, that insurance, if any, shall be obtained by the Exhibitor and

that any amounts payable to NMMA hereunder are based on the value of the material handling services and the scope of the liability as herein set forth and are unrelated to the value of the Exhibitor’s property being handled. Since it is impractical and extremely difficult to fix the value of each shipment handled by NMMA or its subcontractors, it is understood that NMMA and its subcontractors do not provide for full liability should loss or damage occur. It is agreed that if NMMA or its subcontractors should be found liable for loss or damage due to a failure to properly handle Exhibitor’s equipment, the liability shall be limited to the specific article which was physically lost or damaged and such liability shall be limited to a sum equal to $.50 per pound, per article with a maximum liability of $50.00 per item, or $1,000.00 per shipment, whichever is less, as agreed upon damages and not as a penalty, as the exclusive remedy. The liability of NMMA and its subcontractors shall be limited to that derived from any loss or damage which results solely from the gross negligence of NMMA or its subcontractors in the actual physical handling of the items comprising Exhibitor’s shipment(s) and not for any other type of loss or damage. Any claim for loss or damage must be submitted to NMMA prior to the close of the show.

6. NMMA and its subcontractors, shall not be liable to any extent whatsoever for any actual, potential or assumed loss of profits or

revenues or for any collateral costs, which may result from any loss or damage to an Exhibitor’s materials which may make it impossible or impractical to exhibit same.

7. The Exhibitor agrees, in connection with the receipts, handling, temporary storage and reloading of our materials that NMMA and

its subcontractors, will provide their services as our agent, and not as bailee or shipper. If any employee of NMMA or its subcontractors, shall sign a delivery receipt, bill-of-lading or other document we agree that NMMA or its subcontractors, will do so as the Exhibitor’s agent and the Exhibitor accepts the responsibility therefore.

8. In order to expedite removal of materials from the show site, NMMA shall have the authority to change designated carriers, if such

carriers do not pick up on time. Where the Exhibitor makes no disposition, materials will be taken to a warehouse to await Exhibitor’s shipping instructions and the exhibitor agrees to be responsible to pay for charges relating to such handling at the warehouse. No liability will be assumed as a result of such re-routing or handling.

9. A. Once exhibits or materials are placed in the booth, NMMA will not be responsible for condition, count, or content until such time

as exhibits or materials are picked up for removal after the close of the Show. Therefore, all materials should be properly insured against fire, theft, and all hazards while in transit, and to and from your booth and for the duration of the Show. B. Property Insurance: BE SURE YOUR MATERIALS ARE INSURED from the time they leave your firm until they are returned to

the show. We suggest that Exhibitors arrange “all risk” coverage. This can be done by “riders” to existing policies. Contact your insurance representative. BE SURE YOUR LIABILITY INSURANCE IS IN EFFECT AT THE SHOWSITE. Be sure to review other insurance requirements per the contract for space.

Coverage applies for show(s) periods, plus move-in and move-out dates. YOU GET: Commercial General Liability with limits of $1,000,000 each member, each occurrence, subject to $1,000,000 for any one occurrence irrespective of the number of members involved, including coverage for any Additional Insureds in accordance with each NMMA Boat Show exhibitor’s contract. of Georgia World Congress Center or Georgia Dome Engineering Department.

10. Company engineers and technicians will install all services in the most convenient manner if a schematic drawing or special

instructions are not attached with this order. Special routing, connection of equipment, and all other work will be charged on a time and

material basis in addition to the service fee. Rates are based on current labor rates and are subject to change without notice.

11. Wall, columns and permanent building outlets are not to be used by anyone other than company engineers and technicians. A minimum

clearance of three (3) feet with access must be maintained at all times.

12. All equipment shall be properly tagged and wired with complete information as to type of current, voltage, phase, cycle, horsepower, etc.

13. Electrical power for lights and displays will be turned on 1-hour prior to show opening time, and off at show closing time, daily.14. Unless otherwise directed, Georgia World Congress Center/Georgia Dome electricians are authorized to cut floor coverings to permit

installation of services.

15. All equipment to be connected by Georgia World Congress Center/Georgia Dome must comply with NEC, federal, state and local codes.

16. Turning off or shading of overhead lights must be approved through show management. A fee will be applied to the exhibitor for this service.

TERMS AND CONDITIONS 1. Lease of Equipment. CCLD agrees to lease and provide to Customer, and Customer agrees to lease and obtain from CCLD, the equipment and service described

herein or on attached supplement(s), for the rental payment set forth herein, or on such attached supplement (plus all sales, use, and all other taxes due to federal, state, or local taxing authorities, if any, on the lease of equipment and provision of service here under). Payment For Which Must Accompany Service Orders.

2. Term. The equipment and services will be provided during the dates of the relevant show set forth on the CCLD Service Order Form, subject to the other provisions of this agreement. Prices are subject to change without notice.

3. Use of PBX Switch and Related Services. Customer’s rental of the equipment shall include the usage of (but not physical access to) the common telecommunication equipment (collectively, the “Switch”) serving the Customer at the convention facility identified on the CCLD Service Order Form (the “Building”).

4. Local Exchange Telephone Services. Local exchange telephone services will be provided by the local telephone company’s exchange services and facilities. 5. Long Distance. Long distance (interchange) services are provided by CCLD under license agreements with center management (1+ dialing) or arrangements

directly between Customer and such other parties (0+ dialing). CCLD or other such parties may process billing for such service. Billing or other questions relating to long distance services should be directed initially to CCLD at the number shown on the CCLD Service Order Form. A $0.75 surcharge per call will be charged on all Directory Assistance, Toll Free Numbers and Credit Card Calls.

6. Request for Service; Payment. (a) Request for special arrangements must be received by CCLD no less than thirty (30) days prior to initial move in date. Custom/ Fiber orders must be received

at least 60 days prior to move in date. (b) Personal checks will be accepted with Advance Rate requests only. (c) There will be $50.00 service charge for all returned checks.

7. Equipment Management. Customer will be responsible for returning all telephone sets, hubs, or other equipment and related materials to the CCLD Service Desk within 2 hours of the close of show.

8. Cancellations. The equipment and services are being provided by CCLD under a license agreement with the building owner or manager. CCLD may cancel this Agreement and its obligations by notice to customer in the event such license agreement expires or is terminated, in which event CCLD’s only obligation shall be to refund any advanced payments made by Customer.

9. Customer’s Duties. (a) Customer will use the equipment in a careful and proper manner. Customer shall not make any alterations, attachments, or additions to the equipment without

CCLD’s written consent. Only CCLD employees or approved personnel are authorized to modify system wiring. (b) Customer shall be liable for any loss or damage to the equipment arising from Customer’s negligence, intentional act, unauthorized maintenance other cause

within the reasonable control of Customer, its representatives, employees, agents, or invitees. In the event of any loss or damage to the equipment for which Customer is liable, Customer shall reimburse CCLD for the reasonable cost of the repair or replacement. You will be charged upon non-return of the equipment. Standard Telephone Sets, $75.00 each; Multi-line Sets, $300.00 each; Speaker Phone Sets, $75.00 each; Fax Machines, $500.00 each; Polycom Sets, $300.00 each; Pagers, $150.00 each; Cellular Phones, $500.00 each; Hubs, $300.00 each. Any additional equipment rented by CCLD will have an agreed upon non-return charge amount at time of rental. All charges are subject to a 10% sales tax.

(c) The equipment shall remain the sole and exclusive property of CCLD or its assignee, and nothing contained herein shall give or convey to Customer any right, title or interest whatever in the equipment which shall, at all times, be and remain personal property notwithstanding that it may be or become attached to or embedded in the realty. Customer should pick up equipment and/or instructions at the CCLD Service Desk.

10. Events of Customer Default. Customer shall be in default hereunder if Customer fails to pay when due any rental payment or service charge or any other indebtedness to CCLD, or Customer fails to return equipment to CCLD when required to do so hereunder fails to perform or observe any other obligation or covenant to be performed or observed by Customer hereunder. No credit will be given for equipment or service cancelled after installation date. Installation date is same as Show Move in date. A $55.00 process charge per service will be applied to any orders cancelled prior to move in date.

11. Remedies of CCLD. At any time after a default by the Customer, CCLD may terminate this Agreement, by notice to Customer, and repossess the equipment, whereupon customers’ right to use the equipment shall cease but Customer shall remain liable for all unpaid charges, and CCLD may apply and retain all or such portion of customers deposit as may be necessary to compensate CCLD for any unpaid charges or damages and expenses incurred on account of such default, or CCLD may exercise any other rights accruing to a lessor under any applicable law upon a default by a lessee.

12. Limitation of Liability. (a) CCLD’s obligations under this Agreement are subject to, and CCLD shall not be liable for delays, failure to perform or damage or destruction or malfunction

of the equipment or services or any consequence of any of the above, caused, occasioned or due to fire, flood, water, the elements, labor disputes or shortages, utility curtailments, power failure, explosions, civil disturbances, government regulatory requirements, acts of God or public enemy, war, military or government requisition, shortages of equipment or supplies, unavailability of transportation, acts or omissions of anyone other than CCLD, its representatives, agents or employees, or any other cause beyond CCLD’s reasonable control.

(b) In all situations involving performance or non-performance of equipment or related programs of services furnished under this Agreement, the Customer’s sole and exclusive remedy and CCLD’s sole and exclusive liability will be (i) the adjustment or repair of the equipment or replacement of the its parts by CCLD or at CCLD’s option, replacement of the equipment, or correction of programming errors or (ii) if, after reasonable and repeated efforts, CCLD is unable to install the equipment or replacement equipment in good working order, or to restore the same to good working order, or to make programming operate, the Customer shall be entitled to terminate this Agreement and receive a refund equal to the excess (if any) of (1) the total amount theretofore paid by Customer to CCLD for equipment and services under this Agreement, or (2) the reasonable value of Customer’s use of the equipment and services.

(c) In no event shall CCLD be liable to the Customer or to any other party for special collateral, exemplary, indirect, incidental, or consequential damages, whether such damages occur either prior or subsequent to, or are alleged as a result of, fortuitous conduct, failure of the equipment or services of CCLD or breach of any of the provisions of this Agreement, regardless of the form of action, whether in contract or in tort, including strict liability and negligence, even if CCLD has been advised of the possibility of such damages, or for any damages caused by the Customer’s failure to perform the Customer’s responsibilities. Such excluded damages include, but are not limited to, loss of profits, loss of use or interruption of business, or other consequential of indirect economic loss.

(d) Customer acknowledges and agrees that neither the owner of the building nor the prime licensee of other party responsible for the event in which the Customer is participating is responsible for the provision of the equipment or the services, and that neither such party shall be liable to Consumer for any failure or defect in such equipment or services.

(e) Claims will not be considered unless filed in writing with CCLD by Customer prior to the close of the event identified on the order form submitted. 13. Indemnification. Customer hereby assumes liability for and agrees to indemnify, protect and hold wholly harmless CCLD and its agents, employees, officers,

directors, and any and all successors and assigns, from and against any and all liabilities, obligations, losses, damages, injuries, claims, demands, penalties, actions, costs, and expenses, including reasonable attorney’s fees, in contract, in tort or otherwise, which result from and arise out of the negligent or wrongful use of the equipment or the services, or from the acts or omissions of the Customer or its representatives, agents, employees, or invitees.

14. Assignment. CCLD shall have the right to assign its interest under the Agreement to any other party subsequently providing equipment and services to the building.

15. Entire Agreement; Amendment. This Agreement and any attached supplement(s) constitute the entire agreement between the parties hereto and supercedes all prior oral or written discussions or agreements. This Agreement may be amended only by a written agreement executed between both parties.

16. Governing Law. This Agreement shall be construed under the laws of the state in which the building is located. 17. Cellular Air Time (Usage). Cellular services are billed by license agreements with CCLD. Billing for such services will be billed separately by CCLD.

19. Exclusivity. CCLD is the exclusive voice/data communications provider for the GWCCA. As such all outside proxy servers, routers, or any machine used to propagate a single I.P. address to multiply devices are forbidden. Each device, which has the ability to see the internet, must have an I.P. address purchased for that device.

18. Wireless Applications. Users of wireless hardware (e.g. 802.11) and/or applications must contact CCLD to coordinate frequency usage.
