Leading Technology and Exclusive Products

Nutrient Guru holds an exclusive license with automatic renewal to distribute Grower’s Secret’s 100% organic, OMRI-listed, CDFA-registered, CGC-certified products in emerging markets, including those for legal cannabis, hemp, and hops. Grower’s Secret Professional, for which Grower’s Secret holds several patents, is a plant growth enhancer made from the natural fermentation of an edible mushroom combined with tropical fruit, juices, and molasses. After incubation, the culture is pasteurized, filtered, and concentrated to produce Grower’s Secret Professional.

Scientific studies and anecdotes from the field have repeatedly shown that application of Grower’s Secret Professional can both increase yields and improve grower profits. Improvements in plant growth and quality, leading to yield increases of 30%+, have been independently reported for over 30 different crops. Additional recounted benefits include pest and disease resistance, stress recovery, shorter crop cycles, and increased product shelf life. Recent work on strawberries and tomatoes, completed in 2012, showed that application of Grower’s Secret Professional, in addition to a standard fertility treatment, increased grower profits by $965 and $840 per acre, respectively. For the tomato study, that $840 in additional profit represented a 52% increase per acre.

In addition, evidence has shown that Grower’s Secret Professional can increase the rate at which plants uptake water and nitrogen from the soil, which may have broader implications for limiting excess fertilizer use and reducing polluted runoff. In a 2012 study, corn treated with Grower’s Secret Professional used 25% to 53% more nitrate than did the control plants, reducing grower costs associated with fertilizer application. In addition, preliminary 2014 field data indicate that use of Grower’s Secret Professional can maintain yields, even in the face of 25% reductions in applied fertilizer and water.

Material Market Potential with Fragmented Competition

As a business ancillary to the burgeoning legal cannabis industry, Nutrient Guru is perfectly positioned to flourish alongside what may be the single fastest-growing industry in the country. Fifty-eight percent of the public supports some kind of cannabis legalization; 23 states have created a legal framework for medical cannabis; and Colorado and Washington have recently legalized full-access cannabis markets. According to market research, the legal cannabis market grew 68% from 2013 to 2014 (to an estimated $2.57 billion) and is projected to hit $10.2 billion by 2019 as additional states legalize medical or full-access cannabis markets (ArcView 2013). Additionally, a recent demand estimate produced for Colorado, which reported that the state demands roughly 130 metric tons of cannabis in 2014, suggests that the previous market estimates may be conservative.

Despite entering a crowded yet fragmented market for agricultural nutrients, Nutrient Guru’s exclusive access to unique, patent-protected, organic cannabis nutrients from Grower’s Secret results in relatively fewer direct competitors. Moreover, as states move to emphasize the safety and health of legal cannabis products and cultivation processes by, for example, requiring pesticide and residual contaminant testing, additional demand will be driven to the organic and non-GMO products offered by Nutrient Guru (particularly in the medical markets). Lastly, unlike most other cannabis nutrients on the market, Nutrient Guru products can generate results when added to any existing nutrient supply system – making competitors’ products more complementary than substitutes.

Assuming that Nutrient Guru can capture a small portion of the present-day national market for legal cannabis nutrients (at lower-end estimates), the company anticipates sales up to $360,000 for FY 2015 and to be profitable in early 2016.

Cultural Movement Marketing and Strategic Partnerships

In contrast to traditional ‘push’ marketing, sales, and distribution tactics, Nutrient Guru has begun to deploy a ‘pull’ strategy revolving around social and cultural movement marketing. The Emerald Cup is the longest-running and largest outdoor, organic, medical cannabis competition in the world, with over 10,000 attendees in 2014, and provides Nutrient Guru with multiple opportunities to gain customers and referrals before, during, and after the event itself.

10% simple cumulative interest. Principal and interest automatically convert to shares subsequent to a next financing round of at least $1,000,000 at the lesser of a 25% discount to the then-current next-round share price, or $0.40 per share (~$4 million pre-money valuation cap). If an investor desires to convert earlier, they can do so at $0.40 per common share (~$4 million pre-money valuation). Mandatory conversion at $0.40 per share will occur at maturity. If a subsequent round of greater than $100,000 but less than $1,000,000 is priced at less than $0.40 per share, the conversion price will change to the lower price to avoid dilution (down round protection). A majority of noteholders must approve any sale or merger transaction at less than $0.40 per share (as adjusted), and if the sale or merger is with Grower’s Secret, Inc., a majority of noteholders must approve any transaction at less than $0.80 per share (as adjusted). Minimum investment is $25,000. Currently, Nutrient Guru has issued 10 million common shares.
