SEC NEWS DIGEST Issue 2000-159 August 18 2000 ENFORCEMENT PROCEEDINGS SEC SETFLES INSIDER TRADING CASE AGAINST TOMMY GREER NEDENE GREER TRACLE CARPIN AND KIMBERLY DAVIS On August 17 the Commission filed settled injunctive action in the United States District Court for the District of Columbia against Tommy Dalton Greer Nedene Greer Tracie Carpin and Kimberly Davis in SEC Tracie Carpin Kimberly Davis Nedene Greer and Tommy Dalton Greer00 Civ Action No 01996 The complaint alleges that in March and May of 1997 Tommy Dalton Greer and members of his family engaged insider trading in the securities of Catalina Marketing Corporation Florida marketing company and Inbrand Corporation formerly Georgia adult incontinence product manufacturer At the time of the trading Greer was member of the board of directors of Catalina and Inbrand Without admitting or denying the allegations of the complaint the defendants consented to the entry of final judgment permanently enjoining them from violating the antifraud provisions of the federal securities laws 17a of the Securities Act of 1933 and Section 10b of the Securities Exchange Act of 1934 and Rule lOb-5 thereunder and ordering them to pay disgorgement of unjust enrichment of $163750.58 and civil penalties totaling $161181.03 The complaint alleges that prior to Catalinas announcement on March 31 1997 of disappointing fourth quarter earnings Greer learned this information and knowingly or recklessly provided to his wife Nedene Greer and his two stepdaughters Tracie Carpin and Kimberly Davis Nedene Greer Carpin and Davis each sold or caused to be sold shares of Catalina In addition the complaint alleges that Greer learned prior to the May 13 1997 announcement that Tyco International Ltd would acquire Inbrand and provided that information knowingly or recklessly to his wife and stepdaughter each of whom purchased or caused to be purchased shares of Inbrand The defendants realized unlawful profits and avoided losses of at least $129119 from trading while in possession of material nonpublic information about Catalina and Inbrand The Commission acknowledges and gives special thanks to the NASDR for their assistance in this matter Tracie Carpin Kimberly Davis Nedene Greer and Tommy Dalton Greer 00 Civil Action No 01996 LR-16655

SEC SETFLES INSIDER TRADING CASE AGAINST TOMMY GREER NEDENE

On August 17 the Commission filed settled injunctive action in the United States

District Court for the District of Columbia against Tommy Dalton Greer Nedene Greer

Tracie Carpin and Kimberly Davis in SEC Tracie Carpin Kimberly Davis Nedene

Greer and Tommy Dalton Greer00 Civ Action No 01996 The complaint alleges that in

March and May of 1997 Tommy Dalton Greer and members of his family engaged

insider trading in the securities of Catalina Marketing Corporation Florida marketing

company and Inbrand Corporation formerly Georgia adult incontinence product

manufacturer At the time of the trading Greer was member of the board of directors

of Catalina and Inbrand Without admitting or denying the allegations of the complaint

the defendants consented to the entry of final judgment permanently enjoining them

from violating the antifraud provisions of the federal securities laws 17a of the

Securities Act of 1933 and Section 10b of the Securities Exchange Act of 1934 and

Rule lOb-5 thereunder and ordering them to pay disgorgement of unjust enrichment of

$163750.58 and civil penalties totaling $161181.03

The complaint alleges that prior to Catalinas announcement on March 31 1997 of

SEC FILES LAWSUIT AGAINST HOUSTON INTERNET STOCK PROMOTIONFIRM

The Commission announced that on August 15 it filed civil complaint against Merger

Communications Inc and its two owners Jukka Tolonen and David Drake of

Houston Texas The complaint alleges that Merger distributed press releases and other

communications via the Internet touting numerous Over The Counter OTC and NASDAQquoted stocks without properly disclosing that the companies compensated Merger

Merger Communications Inc is Houston Texas based financial promotion

company

Jukka Tolonen age 35 is citizen of Finland residing in Houston Texas and owner

and president of Merger Tolonen moved to Houston in 1995 to start Merger

David Drake age 37 is resident of Houston Texas and executive vice president of

Merger

The SEC alleges that in press releases and mass facsimile and e-mail distributions Merger

distributed highly favorable information concerning the issuers that was intended to create

immediate increases in the trading volume and share-price of the issuers stock On its

website and in communications with prospective clients Merger boasted that its services

often resulted in immediate increases in volume and share-price appreciation for its clients

securities As compensation for its promotional efforts Merger and its principals received

shares of the touted issuers stock The amount of shares received was dependent upon the

share price increase during Mergers promotional efforts

With respect to many of its touts Merger did not disclose that its promotional and touting

activity was bought and paid for by the company whose stock was being touted and that its

investment advice therefore was not disinterested For other touts Merger disclosed

generally that it may be compensated in stock or that it was hired by the issuer but it did

not fully disclose the nature and amount of compensation

The SEC also alleges that Mergers promotional efforts had the intended effect of increasing

the issuers stock price For example after Mergers promotion of one OTC stock

PinkMonkey.com the companys shares increased 400% in the first two days after the

dissemination of Mergers promotional release In another instance shares of another

Merger client Clearworks Technologies Inc increased 66% in the three days following

Mergers tout of the companys stock Typically however the impact of Mergers efforts

was short lived and the price of its clients stock returned to the pre-tout price within few

days

Merger Tolonen and Drake without admitting or denying any of the allegations of the

SECs complaint simultaneously agreed to settle the charges that they violated the anti

touting provisions of the federal securities laws Under terms of the settlement each of the

defendants will be permanently enjoined from future violations of Section 17b of the

SEC WINS SUMMARY JUDGMENT AGAINST FORMER BROKER LASCOLA

The Commission announced that on June 23 2000 the United States District Court in

Rhode Island granted its Motion for Summary Judgment against Todd LaScola The

Court permanently enjoined LaScola from further violations of the general and investment

adviser antifraud provisions of the federal securities laws The judgment also directs

LaScola to pay disgorgement in the amount of $6329825 plus prejudgment interest and pay

civil monetary penalty of $100000

The matter stems from complaint the Commission filed on December 29 1998 alleging

that in November 1988 LaScola the sole owner of CPI Investment Management Inc CPIand principal and co-owner of CPA Advisors Network Inc CPA diverted over $6

million from client and customer accounts to repay another client the International

Brotherhood of Electrical Workers IBEW for improper transactions in the IBEWs

pension fund account The complaint also alleged that LaScola misappropriated $200000

from an advisory client

Immediately upon filing the complaint the Commission sought and obtained temporary

restraining orders and asset freezes against LaScola CPI and CPA On January 1999 the

Court granted the Commissions motion for preliminary injunctions against LaScola CPI

and CPA On July 2000 the Court also granted the Commissions motion to dismiss its

compliant against CPI whose corporate had lapsed and CPA which is currently controlled

by Securities Investors Protection Corporation Trustee Todd LaScola et al
