ADDITIONAL TERMS and CONDITIONS OF AGREEMENT:1. CustomeragreestopromptlynotifyCompanyofanyunusualoperatingconditionsofthesubjectequipment.SaidcustomerfurtheragreestopromptlynotifyCom-

panyofanysuspectedmalfunctionordefectintheequipmentandtoreportsamepromptlytoCompanyatitsoffice.ThecustomerunderstandsthatCompanyhasa24hour,7dayaweekansweringservice.

2. CustomeragreesnottomoveorrelocateequipmentfromlocationlistedonreversesidewithoutwrittenconsentofCompany.Intheeventcustomerfailstoobtainsuchconsent,Companyatitsoptionmaycancelthisentireagreementorrefusetomaintenancetheequipment.

3. Customeragreestopermitourpersonneltheuseofhiscommonbuildingmaintenancetools,suchasladders,etc.4. Iftheequipmentrequirestheuseof,orproducesasabyproductofoperation,water,eitherre-circulatedorotherwise,thewaterthususedorproducedmaybecome

contaminatedorcausecorrosion.Neithertheextentornatureofsuchcontaminationorcorrosioncanbepredictedinadvance,therefore,theCompanyherebyassumesnoliabilitiesforeitherthequalityorconditionofthewaterorforanydamagethatitmaycause.Customerunderstandsthatthisagreementdoesnotcoverthereplacementorrepairofanypartofthesubjectequipmentwhichiscausedbywatercontamination,corrosionoranycauseattributabletotheuseofwaterbytheequipment,whetherastoordinarywearanduseorotherwise.

5. TheCustomercannotassignortransferthisagreementwithoutthepriorwrittenconsentofCompanyandnomodifications,additionsorchangesmaybemadetothisagreementexceptinwriting,signedbytheparties.Thisinstrumentcontainstheentireagreementbetweenthepartieshereto.

6. Anychanges,adjustmentsorrepairsmadebyothers,unlessauthorizedorapprovedbyCompanyinwriting,shallterminatethisobligationhereunder.7. Companyreservestherightto,atanytime,initssoleandabsolutediscretiontoreplaceanypartorequipmentthatitfindstobeeconomicallyunsoundforfurther

servingorrepair,andtosubstituteanewpartorpieceofequipmentinitsplace.8. Companyshallnotberequiredtofurnishanyitemsofequipment,labororotherservices,whicharerecommendedorrequiredbyinsurancecompaniesorany

governmentalagency,includingtheconductingofanytestrequiredbyanyoftheforegoing.9. Thisagreementappliestotheequipmentenumerated,ontheequipmentlistandnottofixturesinwhichtheyarecontainednortohardware,trays,defrostingpans,

blocktins,ducts,plumbing,electricalwiring,casings,pans,defrostheaters,nortodeteriorationofhousing,casings,framesorotheritemsduetocorrosion.Thisagreementdoesnotincluderepairsmadenecessaryasaresultoffire,water,accident,negligence,actsofGod,labordisputes,freezeupsofanykind,ortoanyrepairsorreplacementsifcausedbythenegligenceorwantofcareoftheCustomerinmaintainingtheequipment.Companyassumesnoliabilityfordelaysorfailureshereundercausedbyanyoftheaforegoingorforanycauseswhatsoeverfordamagesresultingfromdelaysinperformingtheservicehereunderorforanyconsequentialdamagewhatsoever.Ifrepairsoradjustmentsrequireanyalterationsoradditionstostructureorproperty,theCustomerwillobtainwrittenconsentoftheownerthereofpriortotheperformanceofsuchwork.

10. Companyshallnotbeliableforanyloss,damage,consequentialdamages,negligence,breachofcontractoranyotherdamagesofanynaturebaseduponexpresswarranty,impliedwarrantyorotherlegaltheoryduetothenonoperationormalfunctionoftheequipment,includingdamagetopropertyorpersonalinjurycausedbytheequipment,unlesssaidmalfunctionornonoperationofsaidequipmentisduesolelytothenegligenceofCompany.

11. Theexpresswarrantiescontainedhereinareinlieuofanyandallotherwarranties,expressorimplied,includinganywarrantyormerchantabilityorfitnessforaparticularuse.Withoutlimitation,Companyshallbeliableuponanywarrantytheory;expressorimplied,regardingthemanufactureoroperationofanyequipmentinstalledbyitwiththeexceptionthatCompanyshallcausesametoberepairedandshallbeliablefornootherdamagesexceptasspecifiedherein.Companythusdisclaimsanyimpliedwarrantyofanynaturewhatsoever.

12. CompanyshallnotberesponsibleforanydelayorfailuretorendertheservicesortomakedeliveryofanymerchandiseassetforthhereinduetoFederal,StateorMunicipalactionsorregulations;strikesorotherlabortroubles;fires,embargoes,accidents,waroranyothercauses,contingenttoorcircumstancesbeyondthecontrolofCompany,and/orwhichmakethefulfillmentofthisagreementimpractical.Onremovalofthecauseofsuchfailureorinterruption,performanceshallberesumedpursuanttothetermsassetforthherein.

13. Thestandardofworkmanshiphereundershallbethatwhichisreasonableandcustomaryintheindustry.14. Companyshallnotbeliableforanydamageswhatsoeverwhichareoccasionedbydefectivedesign,defectivematerials,defectiveoperationofmalfunctionsof

equipmentorforanyequipmentwhichtheownerspecifiesorwhichisdesignedbytheowner’sinstructionsorspecifications.NeithershallCompanybeliableforanydesignmalfunctionofanypersonorforfaultyplansandspecifications.

15. TheCustomeragreestopayasanadditiontothepricehereinabovesetforth,theamountofanypresentandfuturetaxesoranyothergovernmentalchargesnoworhereafterimposedbyexistingorfuturelawswithrespecttothetransfer,use,ownershiporpossessionoftheequipmenttowhichtheagreementrelates.

BoththeCustomerandtheCompanyacknowledgeandagreethatmoldormildew,ofanytypewhatsoeverisanaturallyoccurringorganismandcangroworoccurinand/orontheequipmentenumeratedontheequipmentlist(the“equipment”)orwithinanyoftheotherrelatedcomponentsoftheCustomer’sairconditioningsystem(the“system”).TheCustomerandtheCompanyacknowledgeandagreethatwhiletheCompanywillperformthemaintenancecalledforintheAgreementsinacarefulandprudentmanner,suchmaintenanceswillnotnecessarilyprevent,noraretheyintendedtoprevent,noraretheyfortheremediationofanymoldormildewinorontheequipmentorthesystem.TheCompanyshallnotbeliableforanypersonalinjuryorpropertydamagelossofanykindornature,baseduponthepresenceofanymoldormildewintheequipmentorsystemintheCustomer’sresidenceorplaceofbusinessascasemaybe.

This Maintenance Agreement may be terminated by either party.Intheeventtheagreementiscanceledbythecustomer,returnofpremiumshallbebasedupon90percentofunearnedpro-ratapremiumlessanycostsincurred.

IntheeventtheagreementiscanceledbytheCompany,returnofpremiumshallbebasedupon100percentofunearnedpro-ratapremium.THEMISSIONofConditionedAiristoprovideproductsandservices,inanhonorableway,thatexceedtheexpectationsofeachandeveryoneofourclients

withinanindustrywhosereputationistarnishedwithmistrustanddeceit.Honesty,integrity,respectand100%purposefuleffortwillbeaffordedallourstakeholders:ourCUSTOMERS,ourEMPLOYEES,ourVENDORS,andourOWNERS.
