Courageous Conversations Recently, I was meeting with an owner of asmall business, as my firm was seeking a newvendortoworkwith,andtheconversationturnedtowardhis concerns about one of his employees.This employee had a family member with analcohol problem that resulted in the employeemissing frequentwork. This business ownerwaschallengedinhowtobestaddresstheproblem.

No surprise that drug and alcohol problemsaffect individuals, entire families and businessteams. Remember, drug and alcohol problemsare insidious and generally getworse over time.As leadersweareall facedwithmomentswherewe need to have courageous conversations toaddress performance concerns. Yet, the issue ofdrugs and alcohol can bring heightened anxietyandavoidance.

Inmyfirms’workwithbusinessteamsandfamilyowned businesses, we have found success inaddressing this issuebyhelpingbusiness leaderstostayfocusedonnotingthebehaviorasitrelatesto work performance and providing ongoingfeedback,suchas“I’venoticedthatyouhavebeenlate to work, is everything all right?” With thistypeofquestion,leaderssetatoneofcare,concernandproblemsolving.Theconversationcanleadto

helpingtheemployeeaccesshelpviathebusinessemployee assistance program or resources in thecommunity.

When I began my tenureas your Board chair, Iintroduced the Hawaiianconceptoflokahi.Generally,lokahi means “balancethrough relationships.”

During turbulent economic times, businessleaders often tend to retrench and focus ontheir commodities sometimes at the expense oftheirrelationshipsintheprocess.TheHawaiianmessage is “Disregard your interdependencies,and you will cease to exist. For you are notyourcommodities,youareyour relationships.”TwinWestshinesbyhelpingyourbusinesskeepanecessarybalance.Whileyouare focusingonyourbusiness’scorestrengthsandjugglingyourdaily duties, we are working hard to nurtureand foster your business relationships withgovernment,communities,andotherbusinesses.

WhileTwinWestBoardandstaffmeetingswereunfortunatelydevoidofhuladancingandluaus,the vision of lokahi was apparent! We vowedthat during this economic downturn TwinWestwouldremainastrongpartnerandadvocateforourmembers, andwe have accomplished this.Allow me to highlight some of the followingworkTwinWesthasdoneoverthepastyear:

-TwinWest Foundation:Thankstodonationsfrom people like you, the TwinWest Chamberof Commerce Foundation awarded $70,000 inscholarships;$45,000inthehighschoolprogramand$25,000inthecareerpathprogram.- Networking: TwinWesthostedover80no-costevents- Business/Education Partnership: Thisprogram is stronger than ever as TwinWesthosted our S.T.E.M. (science, technology,

engineering andmath) event and Ethics in theWorkplaceworkshop.-Legislative Breakfast: This series remainedrelevant and popular as attendancewas up 20percent.

- Gala, Golf, Annual Celebration, and Small Business Awards: Theseannualeventscontinued to be strong indicators of TwinWestprideandfellowship.-Transportation:Weworkedwithareaelectedofficials and the Minnesota Department ofTransportation relating to scoping projects forHighway 100 and 494, and TwinWest remainsinvolved in Southwest Light Rail Transitplanning.-The Business Panel:ThiswasintroducedbyTwinWestasa realitybasedbusinesseducationseries.- The TwinWest Emerging Leaders: Thisgroupcontinuedtobuildupontheirmomentumas they expanded their membership base andhostednineeventsoverthecourseoftheyear.- Gubernatorial Debate: This TwinWestsponsoredeventwasattendedbymorethan500businessleaders

-Membership:Despite a soft economy, new member salesremainedsolidthisyearasbusinesseslookedformorewaystoconnectlocally.

One of the key components of the law is anAngel Tax Credit—designed to stimulateprivateinvestmentintechnology-centricstartupbusinessesinMinnesota.

HerearesomefactsontheAngelTaxCreditandits implementationfromthestate’sDepartmentofEmploymentandEconomicDevelopment:

Minnesota’snewAngelTaxCreditwillstimulateprivate investment in emerging businesses andwill encourage job creation. It provides taxincentivestoinvestorsorfundsthatputmoneyintostartupbusinessesthatarefocusedonhightechnologyornewproprietarytechnology.

Key features of the Angel Tax Credit include:-A25percenttaxcreditforinvestmentsinsmall,emergingbusinesses.-Amaximum credit of $125,000per personperyear($250,00ifmarriedfilingjointly).-Program funding of $11 million in credits in2010 and $12million in credits annually from2011through2014.-Astaterefundifcreditsexceedtaxliability.

Investors,fundsandbusinessesmustbecertifiedby the Minnesota Department of Employmentand Economic Development (DEED) in orderto participate in the program. The minimumqualifying investments are $10,000 (investors)and $30,000 (funds), and the maximum creditperbusinessis$1million.

Who Benefits from the Angel Tax Credit? Businesses, investors, workers and the state’seconomyallbenefit from theAngelTaxCredit.Here’show:-Businessesgetthecapitaltheyneedtogrow.-Investors canmanage the risk associatedwithinvestingainnewbusinessesortechnology.-Minnesota workers and the state’s economybenefit because the tax credit kick-startsemergingbusinessesandcreatesjobs.

Toqualify for theAngelTaxCredit, businessesmust meet these general criteria.At minimumtheymust:-BeheadquarteredinMinnesota.-Have a minimum of 51 percent of employeesand51percentofpayrollinMinnesota.-Havefewerthan25employees.-Pay employees annual wages of at least 175percent of poverty level, currently $18.55 perhour. Does not apply to business’ executives,officers, board members, or 20 percent-plusowners.-Mustnothavebeeninoperationformorethan10years.-Must not have previously received privateequityinvestmentsofmorethan$2million.-Must not have been disqualified frominvestment under Minn. Stat. 80 A.50 (b)(3) Small corporation offering registrationdisqualifications.-Mustnothavegeneratedmorethan$4millionininvestmentsthathavereceivedanAngelTaxCredit (TheAngel Tax Credit is capped at $1millionperbusiness).-MustbecertifiedbyDEEDbeforeinvestmentismade.Thecertificationfilingfeeis$150.

In addition, qualifying businesses must alsobe engaged in - or committed to engage in -technological innovation in Minnesota. Theirprimarybusinessactivitiesmust includeoneormoreofthefollowing:

-Usingproprietarytechnologytoaddvaluetoaproduct,processorservice inaqualifiedhigh-technologyfield.-Researching or developing a proprietaryproduct,process,orserviceinaqualifiedhigh-technologyfield.-Researching, developing, or producing a newproprietary technology for use in the fieldsof agriculture, tourism, forestry, mining,manufacturing,ortransportation.

Excluded Businesses and Professional ServicesThereareseveraltypesofbusinessesthatmaynotparticipateintheAngelTaxCreditprogram.Theyinclude:-Realestatedevelopment-Insurance-Bankingandlending-Lobbyingandpoliticalconsulting-Informationtechnologyconsulting-Wholesaleandretailtrade-Leisureandhospitality-Transportation-Construction-Ethanolfromcorn
