    I. THE NEED

    Original Confection Mada, a FTZ company that operates in the textile sector, wish to recruit through

    EQUATION, a new Chief Accountant.

    The new Chief Accountant must ensure the operational management of the financial department

    under the supervision of the CFO who will focus on the strategy and finance management.

    II. THE FTHM GROUP  –  EQUATION

    are known beyond the borders of Madagascar. FTHM Group has been certified ISO 9001 since July

    2007.

    The main activities of the group are:

    - HR and accounting outsourcing.

    Besides consulting and assistance of our clients in recruitment, performance appraisals, and various

    analysis of laws governing labor in Madagascar, EQUATION, which is part of FTHM Group and also

    ISO 9001:2008 certified, has an expertise in outsourcing the Human Resources function.

    According to the decree of approval No. 17806/2007, EQUATION currently assists more than a dozen

    companies in the administrative management of staff and in human resources management.

    III. THE RECRUITMENT PROCESS

    The firm's approach in recruitment consists of four major steps illustrated graphically as follows:

    -  Understand the stakes and the positioning of the job;

    -  Identify the mandatory requirements;

    -  Agree on the means, the planning and budget of advertisement.

    Interviews of the preselected applicants in order to:

    -  Verify competences and experiences of each applicant in the technical, managerial, languageand personality aspects;

    -  Have an overview of the personality, character and values of the person;

    -  Know his real motivations, his availability and geographic mobility.

    2.  Personality test in order to comfort the impressions during interviews.

    Checking with the former employers whether or not the person was competent and honest; and

    knowing his ability to entertain good relationships with others.

    III.4. 

    Phase 4 : Detailed report

    After the selection process, the consultants will confront the results of the interviews, tests and

    background checks in order to identify the best candidates for the jobs.

    For each candidate, the report will detail:

    -  The strengths;

    -  The weaknesses;

    -  The summary of the career path;

    -  The motivations;

    -  The references;

    -  The financial conditions.

    OCM will inform EQUATION which applicants were selected.

    IV. CLIENT FEEDBACK

    Certified ISO 9001-2008, EQUATION is concerned by the quality of its services in human

    resources.

    The Cabinet will request OCM representative to share remarks and suggestions about the

    assignment on a regular basis and will fill out a customer satisfaction survey.

    This survey will serve as a tool for us to improve the quality of our future assignments.

    EQUATION HR will also request OCM a certificate of completion for compliance with our

    procedures.

    V.

    EQUATION will entrust this assignment to a team of consultants with an expertise in recruitment and

    in HR management.

    The team will be under the responsibility of Mr. Alain PIERRE BERNARD, Partner of EQUATION, andwill include:

    The total costs of the recruitment can be summarized as follows:

    These costs of advertisements will be invoiced to OCM without any amount on top.

    VI.2. Payment methods

    All payment will be made in Ariary:

    - 60% of the fees upon signature of this agreement;

    -  40% of the fees upon delivery of the deliverables;

    -  100% fixed cost upon signature of these agreements.

    VI.4. GENERAL CONDITIONS OF SALES OF EQUATION

    1.  Purpose of the General Terms of Sale

    The HR and recruitment office, EQUATION (hereinafter referred to as "the Contractor") will assist theclient in carrying out his project as defined in the "Technical and Financial Proposal" or "ProposalCover" (hereinafter referred to as "the Proposal") appended to these General Terms of Sale whichthe client acknowledges having read and approved its content.

    2.  Contractor’ s Obligations

    The Contractor agrees to assist the Client in providing advice, methods, steering, and projectoperational assistance services until the end of the contract as stipulated in the Proposal.

    The Contractor agrees to provide, except in cases of force majeure or fortuitous event which wouldnot be attributable to him, and subject to compliance by the Client of its own obligations, theservices described in the Proposal within the time prescribed.

    As a provider, the Contractor agrees to do its best to find a solution adapted to the customer needs.

    Moreover, except in cases of force majeure, the Contractor agrees to put at the Client’s disposal ateam of consultants. The Proposal defines the composition of this team (categories of respondersand their respective profiles, number of responders in each category) and the number of operatingdays for each responder category.

    3. 

    Client’ s Obligations

    The Client pledges to ensure the availability of information and documents required by this type ofproject.

    The teams of the Client mobilized for the project should be presented to the Contractor.

    The Contractor reserves the right to notify the Client about any human failure, noted or stronglysensed, of any team member, and request replacement or reinforcement by a qualified employee.

    The Client pledges to take into account the recommendations of the Contractor on mattersconcerning the project within its jurisdiction, and if it does not want to follow them, it agrees toinform the Contractor on the reasons of its choice. The obligations of the Contractor will then bemodified by mutual agreement, taking into account the new provisions adopted.

    The Client grants to the Contractor, unless otherwise specified, the right to use or to reproduce hisname and his logo on one hand, and the right to indicate the nature of the services which are offered

    to him on the other hand, as references in the various commercial supports of the Contractor.

    4. 

    Financial and administrative terms

    The Client agrees to pay the amount of the services and the costs identified in the Proposal.

    5.  Cancellation and termination terms

     A.  CANCELLATION TERMS

    An established contract ends if for any reason whatsoever, the project was abandoned by the Clientor if the Client decides unilaterally to terminate the contract.

    The Client must notify the Contractor of its decision or its abandonment of the project by registeredmail with return receipt to the management of the said firm, with a (01) month notice.

    All amounts billed and billable by the Contractor, in accordance with the provisions contained inArticle 4 above, from the date of receipt of the registered mail with acknowledgment of receipt willremain the property of the Contractor.

    If the client requests it, the team mobilized by the Contractor from the date of receipt of theregistered mail with return receipt will be kept available for all closing operations of the project, andthis, during the period of notice. In this case, the services and costs will be billed by the Contractor inaccordance with the provisions contained in Article 4 above.

    In the event that the Client does not require that its team be kept or would ask that they be partially

    kept, he shall pay the Contractor a penalty equivalent to the total sum allegedly due to therealization of the services in the notice.

    No additional forfeit can be claimed by the Contractor.

    B.  TERMS OF TERMINATION FOR NON-COMPLIANCE WITH OBLIGATIONS

    Either party may, in case of non-observance characterized by the other party of any provision ofthese General Terms of Sales, put the latter on notice to meet its obligations. If this notice, byregistered mail with acknowledgment of receipt, remained without effect after two weeks (02) afterreceipt, the contract would be deemed automatically terminated.

    The services provision will be immediately terminated; each Party reserves the right to bring anyaction for damages suffered.

    C.  OTHER PROVISIONS

    The possible nullity of a clause does not de facto lead to the nullity of a contract.

    In case of contradiction between the terms of the general terms of sale and those of the Proposal, itis expressly agreed that only specific conditions mentioned in the Proposal shall prevail. Otherwise,the general terms of sale will prevail.

    These general terms of sale supersede all agreements, written or oral, that may have been previouslyconcluded between the parties.

    The Client acknowledges having received a copy of these general terms of sale and the Proposal.

    6. 

    Litigation

    The parties agree that any dispute arising from the validity, interpretation, performance or breach ofany provision of these General Terms of Sale shall be settled amicably. Failing an amicable solution,the parties agree to settle any dispute or disputes by arbitration in accordance with the proceduresdefined in Appendix which form an integral part of these Terms and Conditions.

    7.  Methods of resolving disputes by arbitration

    All disputes arising from these General terms of Sale that may result, particularly from its validity, its

    interpretation, its execution or breach of any of its provisions will, failing amicable agreement, be

    settled by arbitration.

    If the Parties agree on the appointment of a sole arbitrator, they will rely on the arbitration of the

    person that they have designated.

    Otherwise, an arbitration tribunal composed of three arbitrators will be set up.

    Each party may take the initiative to implement the following procedures for resolving disputes that

    may exist between them by notifying the other Party by any means leaving written record of receipt.

    a) 

    Each Party gives the name of its arbitrator to the other Party by any means leaving written

    record of receipt.b)  The two arbitrators shall appoint a third arbitrator within fifteen (15) days from the date of

    appointment of the last arbitrator.

    c)  The three arbitrators shall meet and jointly constitute an arbitration tribunal and they willdecide with a majority of its members.

    d)  Should the procedure applied by the tribunal thus constituted be contradictory and largelywritten, each Party is asked to produce by any means any writing receipt of all documents,notes, memoranda ( "the documents") and the tribunal may hear the Parties in adversarialhearing.

    e) 

    The three arbitrators will act as mediators and will decide ultimately, their decision beingsubject to no appeal.

    f)  The tribunal shall pronounce sentence within three (3) months from the date of itsconstitution, given that the court will give a deadline to the parties to produce documents.

    g)  Arbitration costs will be fronted by the Plaintiff and may be the responsibility of either orboth Parties by the tribunal in its arbitral award in the proportions it deems appropriate.

    h)  The parties agree that the tribunal will sit in Antananarivo; the applicable law is theMalagasy law.

    i) 

    The language of the arbitration shall be French.
