Member Consent Regarding Data

TO: Ontario Small Brewers Association Inc. (“OCB”)

As a Member of OCB and for good and valuable consideration, the undersigned hereby:

1. Agrees to provide OCB, via its website and any other process it implements from time to time, the confidential information required on the web-forms regarding production, employees, volumes, sales and other data as required by OCB from time to time (collectively, the “Brewery Membership Data”), and to keep such Brewery Membership Data current.

2. Agrees that all data referred to on the website as “Brewery Marketing Info” [including brand lists, tasting notes, and similar information] is submitted for public disclosure and may be used by OCB for purposes of OCB marketing and sales activities including web-site, advertising, public relations, and similar activities, and the undersigned will keep such Brewery Marketing Info current.

3. Consents to and authorizes OCB, either on its own behalf or through contracted third party agents, to collect the undersigned’s Brewery Membership Data, TBS flat files and LCBO and Grocery sales data (collectively, the “Member’s Data”) and combine such Member’s Data with similar data from other OCB members for aggregate production, employee, volume, sales and other data (the “Aggregate Data”) and to disclose and use such Aggregated Data for purposes of reporting to government, working with retailers on policies, calculating dues, and implementing other OCB Board directed business (which includes the provision of Aggregate Data to other OCB members).

4. Provides this Consent on the understanding that OCB shall use commercially reasonable efforts to ensure that: (a) Aggregate Data is combined and/or presented in a manner that reduces the ability to identify the Member’s Data; and (b) the Member’s Data remains confidential.

5. Agrees that all Aggregate Data, whether oral, written or otherwise, that is provided to the undersigned shall be treated as confidential information by the undersigned.

6. Acknowledges that any Member’s Data collected by OCB may be used by OCB for purposes of Aggregate Data from and after the collection of such Member’s Data by OCB, notwithstanding that the undersigned has either revoked this Consent (which revocation shall only apply to the collection of future Member’s Data) and/or terminated its membership in OCB.

Ontario Craft Brewers Association Code of Conduct

Members of the Ontario Craft Brewers Association (“the Association”) agree, to the best of their ability, to:

1. Never denigrate the product or integrity of another brewer, regardless of whether the brewer is a Member of the Association;

2. Comply with all the legislation and regulations of the Ontario Government (AGCO and LCBO) and the By Laws of the Association related to the operation of their business including ingredient labelling and other By Laws as passed by the Association from time to time.

3. Wherever possible, support the policy positions of the Association in all public, government and other communications. If for some reason a Members finds themselves in public communication on an issue where their view is significantly different from the Association’s, then that member will:

a. Clearly identify the position as theirs and not that of the Association: and b. Wherever possible, restate the Association’s position:

4. Adhere to the principles of the Association’s Brewing Philosophy. 5. Continually endeavor to:

a. Make beer while respecting the environment and community around them: b. Minimize their carbon footprint: c. Improve their operations in an environmentally sustainable manner

6. To the best of their ability, help other Members with various technical, operating, and other issues, while always complying with relevant competition laws

7. As per the Member Consent Data form, provide relevant statistical data and other confidential information to the Association

8. In case of a dispute amongst members abide by the following protocol: a. First through discussions between individual brewers involved and the President of the Associationb. Second a joint meeting of brewers involved and the President of the Association c. If no resolution, and both parties agree, the President of the Association will appoint a mediator that all

parties will co-operate with fully. Costs of the mediator will be split evenly by each of the parties. d. If a mediator is not agreed to, the issue will be reviewed by the Board of the Association for resolution.

Decision of the Board will be final.

Occupational Health & Safety

1. It is important to have a copy of the Ontario Occupational Health and Safety Act and

Regulations on site at your brewery.
