The Capitol Connection Q&A for Contractors By Shauna Krause, Capitol Services, Inc.

Answers to your problems are ‘on the house’ here, so we’ll start on top with a roofing contractor that changed hands recently. When a licensed partnership breaks apart, who can put the pieces back together again before it’s too late to save? Failing to act is a decision itself, and a former contractor finds his ‘judg-ment’ then may have cost him more now than he ever real-ized…

Q: Our company recently purchased a roofing business, which is a corporation, and we would like to continue doing business under the well-established business name on their license, however we don’t want two sets of books. Because our corporation purchased the assets of the roofing company, can we keep the roofing license number and company name the same while operating under our existing corporation?

A: In the scenario you described, your existing business and the roofing corporation are two separate entities. In order to operate under your existing corporation, you would need to apply for a new license number under your current corporate name along with a “doing business as” (dba) name that would reflect the name of the roofing business you purchased. Even though you would ultimately have two separate license numbers, the “dba” entity would still be part of the existing corporation and therefore you would not need to do separate bookkeeping.

Q: Our Qualifying Partner on our Partnership license unexpectedly disassociated resulting in the automatic cancellation of our license. Can we request an extension? How do we do this and who is re-quired to make the request?

A: According to B&P Code 7076(c) a Partnership can request a continuance of the license to complete projects contracted for or in progress prior to the date of a Qualifying Partner’s disassociation. The General Partner must make this request in writing within 90 days after the disassociation.

I wish we could turn back the clock to help you, but I looked up

your Partnership license and only the Limited Partner remains on this license. You do not have a General Partner listed and that means that, unfortunately, you will not be able to request a continu-ance. Limited Partners cannot make this request because the CSLB has determined that a Limited Partner’s only involvement in the business is financial, and they do not hold signing authority for the license. You will need to apply for a new license and I recommend listing the General Partner on the application so that you don’t run in to this problem again in the future. Wish we could have helped at the start.

Q: I used to have a contractor’s license for my corporation. There was a judgment on the license that I never did anything about and my license is now expired and is still showing the unsatisfied judg-ment on there. Can I just start from scratch and apply for a new license? The thing is, I’m now in a position where I can pay the judgment but I have tried and tried to contact the former customer via phone, mail, and even Facebook and I have had no luck contact-ing him. What now?

A: In most cases if your name is associated with an unsatisfied judgment the CSLB will require that you address it in some way (proof of payment, bankruptcy filing documents, etc) before you will be able apply for a new license.

That being said, showing proof of payment will be difficult if you are unable to contact the judgment creditor. In some cases you can speak with the staff of the Small Claims Court where the judgment was filed to determine what steps to take, but either way, in this case you should consult with an attorney.

Should Every Excavator Be Certified To Use a Shovel?The California State Legislature returned from their Spring Break this week “ready” to solve all of mankind’s problems (and many “problems” that you didn’t know that needed fixing in the first place!). As promised, I will start writing about some of these bills starting this week. First up is AB 811, Lowenthal (note that this is the same number you dial to reach your regional One Call Dig Alert Office), which would require ALL excavators (anyone who uses a shovel!) to be “certified.”

To refresh your memory, this bill started out last year as AB 1514 and would have created substantial penalties for anyone caught not calling DIG Alert to have their location marked for subsurface installations before they excavated. It would have increased fines from $10,000 up to $100,000. AB 1514 was in response to the Federal PHMSA (US Department of Transportation Pipeline and Hazardous Materials Safety Administration) who has threatened to mandate federal safety standards on states that don’t update their own excavation standards. This, in-turn, is in response to excavators who are not complying with the current requirements to call and have subsurface utilities located before excavating which is causing damage and deaths nationwide.

Fortunately AB 1514 died, but back to fill its void this year is AB 811. Following is the official fact sheet on the purpose of the bill:

SUMMARY

AB 811 states that a contractor or an employee of a contractor shall not engage in any excavation activity unless they have participated in an approved excavation training program.

This bill authorizes a registered apprenticeship programs that teaches excavation, by either a state or federal apprenticeship program to qualify as an excavation training program. In addition, employees

who do not operate mechanical, power or air driven equipment and only use hand tools during the course of their work day, are not required to participate in the excavation training program. However, a “Competent Person,” as defined in CalOSHA Title 8 regulations, who has participated in an excavation training program, must be present when hand tool excavation is being performed.

BACKGROUND

Existing law requires all operators of subsurface facilities located in public rights-of-way to be members of the Underground Service Alert (USA) call-center providing coverage in the area where the facilities are located. The law is intended to prevent damage to subsurface gas, electric and communication infrastructure.

It also requires all persons digging in public rights-of-way to notify the USA and provide details at least two business days prior to the start of excavation. After receiving notice from the excavator, USA notifies owners or operators of subsurface facilities to enable them to locate and mark their facilities, or otherwise inform the excavator of the presence or absence of their facilities near the excavation location.

While the USA process is fairly straightforward, violations of existing law are very common. Many excavators fail to notify the call centers of their intent to perform excavation activity. In addition, many fail to properly excavate near the properly marked subsurface facilities. The most significant violation is beginning excavation prior to receiving a response (markings, verbal, etc.) detailing any subsurface facilities. These violations cause millions of dollars in damages and service outages. In some cases, serious injuries and fatalities have occurred.

Requiring excavation education training for those who excavate will ensure that excavations are done in the safest and most efficient manner possible, protecting both underground infrastructure and public safety.

The bill is set in the Assembly Judiciary Committee next week. I am deeply troubled by the latest amended language (bill is attached), because it is in essence the plans to build a watch when all you are asking for is the time! Cal OSHA already has a 10 hour excavation training program in existence. Plus, I’m not so sure that a simple tailgate safety session that all contractors are required to provide to their employees regularly anyway, wouldn’t suffice to resolve concerns? These tailgate sessions are required to be documented so if there ever were a question about training in the future, it would be simple to check. Plus, contractors and employees would have much more flexibility this way.

Of course, most contractors would say that they have always complied with the existing laws and as such should not be required to go through all of this in the first place? To this I would agree and state that as long as you have proof that your employees have received training either through an apprenticeship program or through other substantiation or certification (help me to define what this is), then you’re good to go!

By the way, I believe the bill also needs to address prompt resolution/payment to excavators for improperly marked subsurface installations by utilities?

This bill has only begun to “scratch the surface” (so to speak!). I would welcome any and all feedback that any of you might have on ways to address this issue. DIR Posts Updated Guidebook for Injured Workers The Department of Industrial Relations is pleased to announce the recent release of “Workers’ Compensation in California: A Guidebook for Injured Workers.” “This fourth edition of the injured workers’ guidebook helps workers and others understand the sometimes complicated process of workers’ compensation,” said DIR Director Christine Baker. “The guidebook has been updated to reflect the latest changes to California’s workers’ compensation system.”

The guidebook gives an overview of the California workers’ compensation system. It is meant to help workers with job injuries understand their basic legal rights, the steps to take to request workers’ compensation benefits, and where to seek further information and help if necessary. Also included are references to important laws and regulations and a glossary. The fourth edition includes important changes since 2006 in the following areas:• Pre-designation of one’s treating physician or a medical group• Treatment under the medical treatment utilization schedule

(MTUS) adopted by the Division of Workers’ Compensation (DWC)

• Independent medical review (IMR) to resolve disputes over denial of treatment

• Extension of time limits on receiving temporary disability (TD) benefits

• Return-to-work procedures• Permanent disability (PD) benefits• Supplemental job displacement benefits (SJDB) The guidebook is available online in English, with a Spanish translation available soon. Because the workers’ compensation system is undergoing many changes with the implementation of Senate Bill 863, workers using the guidebook are urged to check updates posted at the DIR’s Division of Workers’ Compensation (DWC) website. Injured workers may also obtain a printed copy at a local DWC district office. The California Department of Industrial Relations enforces the state’s labor laws to improve the workplaces of over 18 million wage earners and their employers. Its mission is to improve working conditions for California’s wage earners, and to advance opportunities for profitable employment in California. DIR administers and enforces laws governing wages, hours and breaks, overtime, retaliation, workplace safety and health, medical care and other benefits for injured workers, and apprenticeship training programs. Eye Injuries Are a Serious Threat Protect your eyes on the job

There are countless eye hazards on a construction site, including particles (wood chips, dust, cement chips, metal shavings, etc.) that have been ejected from a tool or blown by the wind. Chemical splashes and swinging objects can also be eye hazards on a worksite. However, most eye injuries are preventable if you follow simple safety precautions, and always wear your safety goggles! Use Protective Eyewear It’s a proven fact that the best thing you can do to protect your vision on the job is to wear safety glasses or goggles. Even if you do have your safety glasses on, keep in mind that there are a variety of ways you can get debris in your eyes. Some accidents happen by simply taking off your safety glasses or goggles and wiping your face; particles can easily fall out of eyebrows or hair and into your eyes. Safety glasses should rest firmly on top of the nose and close to – but not against – the face. If they are uncomfortable, foggy or sight-restrictive, then find a different pair. Don’t let excuses get in the way of protecting your eyes. They may not always be convenient to wear, but the right eyewear will ensure your eyes and vision are safe while doing your job. Find a Good Fit You can find many ways to make safety glasses or goggles work for you, such as:

• If you find safety glasses uncomfortable, experiment with different sizes or styles.

• Make sure glasses are fit well while you are also wearing your hard hat and other protective equipment.

• Wear glasses or goggles that are properly ventilated for the work you are performing. Unless you are working near splash hazards, use goggles that have plenty of side ventilation.

• If you wear prescription glasses, wear goggles designed to fit over your glasses or safety glasses made with your prescription.

• If your goggles fog up, try a model with more ventilation or coat them with an anti-fog liquid.

• Wear a sweatband or handkerchief around your head to keep sweat off your goggles.

• Always keep your safety glasses clean. Scratched and dirty glasses or goggles can reduce vision, cause glare and may contribute to accidents.

Safety First It takes only one accident to cause partial or complete blindness. Even tasks that you don’t consider dangerous may present a risk for eye injury. Take a moment to think about possible eye hazards around each job site, and then take the necessary precautions to help prevent potential accidents and injuries.

Gates Cooperative Construction Manager (Sausalito)

The Gates Cooperative is a 38 member organization of houseboat owners that are seeking permanent legal berths. These berths are to be located in the County approved expansion of the adjacent Waldo Point Harbor. In order to occupy the new berths, each houseboat must be brought to code standards established by the County. The Gates Cooperative, along with its institutional part-ners, the County of Marin, Marin Housing Authority, and EAH Inc. (Project Team) is seeking a Construction Manager to oversee the rehabilitation or replacement of the member-owned boats. Under the direction and supervision of Marin Housing Authority, the Construction Manager will:

1. Meet regularly with the Project Team, the Gates Co-op mem-bership and the Waldo Point Harbor Construction Manager

2. Review the relevant existing documents and history of the project

3. Consult regularly with the Project Financial Manager on the overall project budget

4. Develop construction budgets for individual Co-op house-holds in coordination with the Project Financial Manager and each owner

5. Seek collective purchasing agreements, identify potential construction donations and other cost savings mechanisms

6. Prepare written recommendations that will enhance the design, constructability, and cost and time efficiency of the individual houseboat plans, in coordination with the Co-op Project Architect and owner

7. Review the plans for compliance with codes as determined by the County Building Inspector and plan check comments

8. Identify the contractor pool and manage the bidding process 9. Develop a construction schedule with the Project Architect

and in coordination with Waldo Point Harbor’s construction manager

10. Monitor construction process; verify work completed for purposes of contractor applications for payment

11. Review requests for change orders and submit to Project Financial Consultant for approval

QUALIFICATIOnS: 1. Minimum 10 years’ experience in project estimating and con-struction2. Experience with houseboat construction preferred3. Proven budget management skills4. Good communication skills, both verbal and written5. Experience with computers, particularly Excel
