Kalb's Q&A for Contractors By David Kalb & Shauna Krause, Capitol Services, Inc.

We begin with a ‘suspense’ story offered by a contractor who is becoming ‘unqualified’. You need a license to work, but can you participate in bids without one? We ‘demolish’ a misconception for a contractor who learns that ‘breaking up’ is hard to do…

Q: I’m an out-of-state contractor and we currently have a license in CA for our corporation but haven’t been getting much work lately. Our qualifying individual has informed us that he is disassociating from the license and we have 90 days to replace him. Can we just go without a Qualifier since we aren’t really using the license at the present time? A: You do in fact have 90 days to replace your Qualifier once he/she disassociates from your license. After the 90 days your license will become suspended. If you don’t intend on using the license, we recommend that instead of letting it go suspended, you file to inactivate it. In this way you don’t need to have a qualifying indi-vidual, bond, or Worker’s Compensation insurance.

Q: I am hoping you may be able to provide some information in regard to one of our Builder’s Exchange members. Their contrac-tor’s license is listed under one name (that is not incorporated) and they are conducting business under another name. Ultimately, they would like their membership to be reflected under this name, how-ever, our policy is to list members by the name that appears on the CSLB records. Do you have any recommendations on what they need to do with the License Board? Any insight you can provide is greatly appreciated.

A: It appears this contractor is a Sole Proprietor. My recommenda-tion is to file an Application to Change Business Name with the CSLB. This is a one-page form and the Board does not require any fee. On the other hand, if he wants to continue operating under BOTH business names at the same time, he’ll need to apply for a second contractor’s license. He should not conduct business under two different names using once license number. Thanks for the question.

Q: For a public works project, does a sub-contractor need a license at the time of bid? The paperwork states that a license is needed at the time the work is to be performed, but doesn’t specify whether you need a license to bid the project. A: I am assuming this subcontractor is bidding to a licensed gen-eral contractor? While local governments may have some latitude

regarding when a license is required, for the most part, the general and all subs should be licensed at the time of bid. There are several exceptions in Code Section 7028.15, plus if the project includes federal funds, a proper license would be required at the time the contract is awarded. Our suggestion; get the license sooner, rather than later!

Q: I am currently at a project site and we’re having a sub-contractor (who does not have a contractor’s license) come out and crush some concrete. Does he need a license to perform this work and place it in a pile? A: I’m guessing this is not the answer you want to hear, but yes, a contractor’s license is required to break concrete. The appropriate classification to perform this type of work would either be the “C-8” (concrete) or “C-61”/”D-06” Concrete Related Services.

Boy, am I ready for this Legislative Session to end! While I have many exciting things to talk about today, I’m getting hit in so many different directions on so many different issues, that I feel like a punching bag! First the good news on our bills!

AB 1671 (Huffman) - As I reported last week, this bill would extend the sunset date from January 1, 2012 to January 1, 2020, for the zero percent retentions on all Cal Trans’ projects. This bill also helps ensure that state agencies will start using electronic bidding, too! This bill is on the governor’s desk and should be signed within the week.

AB 2021 (Wagner) - This is likely to be THE MOST important bill that we have EVER sponsored (and they are ALL important bills!!). This bill will define the phrase “Disputed Amount” contained within the existing prompt pay statutes. I thought that this bill was a done deal, but I’m getting push-back at 5 PM today with the amended language that just came into print. So, I’m having to amend the bill again this coming Monday, which can only be done if I get a vote on the Senate Floor to agree to the amendments. Phew! Talk about “heavy lifting!” And people ask me why I drink?!

This is too close to call whether I will make this happen next week. Stay tuned!

AB 2021’s INTENT: The Prompt Pay statutes are turning into a mess of loopholes. They provide no relief to contractors against a sophisticated owner. Worse, they provide those owners with excuses for withholding more money due to a loophole within the existing statute:Section 7107 (e) of the Public Contract Code states:

(e) The original contractor may withhold from a subcontractor its portion of the retention proceeds if a bona fide dispute exists between the subcontractor and the original contractor. The amount withheld from the retention payment shall not exceed 150 percent of the estimated value of the disputed amount.

Unfortunately, “disputed amount” is not defined in the statute. As a

result, virtually every construction attorney is running into these kinds of things:

A). The owner orders time and material extra work. Daily tickets are signed by the owner’s jobsite representative confirming that the equipment and labor actually performed the extra work. When the extra work is completed, the contractor submits an invoice for $10,000 (for example) for the extra work. That invoice is the product of what the contractor thought were agreed upon labor rates multiplied by the labor hours on the tickets and what the contractor thought were the agreed upon equipment rates multiplied by the equipment hours on the tickets. The owner decides the total is too much, so he declares this to be a disputed amount. Not only does the owner NOT pay for the extra work, but because it is a “disputed amount,” the owner withholds what the law provides which is 150% of that amount, i.e. $15,000, from money otherwise due. In other words, if the contractor had never performed the extra work, that $15,000 would never have been withheld from money otherwise due. However, since the contractor did $10,000 in extra work, his cash flow is now reduced by $25,000 ($10,000 paid out for the labor and equipment for the extra work PLUS the $15,000 “disputed work” withhold).

While this action is blatantly unfair on the part of an owner, the language in the existing prompt pay statutes appears to sanction it - and sophisticated owners are using this loophole in the law.

B). The job is delayed. The causes of the delay are disputed. The owner assesses liquidated damages of $10,000. The contractor contests this assessment. The owner, in-turn, declares this to be a “disputed amount” and withholds NOT the $10,000, but 150% of the $10,000, i.e. $15,000, because the contractor has disputed the liquidated damages assessment. Once again, the language in the existing prompt pay statutes appears to sanction this loophole in the law.

C). A cost-plus job is performed. Under the agreement, the owner must pay all of the costs of the work. A dispute develops near the end of the job. In response, the owner stops paying and the contractor pulls off the

job. The owner now hires another contractor to finish the work at a cost of $10,000 (for example). The owner then contends that the $10,000 it paid to the other contractor - money it would have had to pay the original contractor under the cost-plus contract - is a disputed amount. Thus, the owner uses that argument to justify withholding $15,000 from what is still owed to the original contractor for costs of the work done by the original contractorIn summary, not only are owners using these kinds of arguments to withhold payment, BUT they are also using them to avoid the prompt payment penalties that were supposed to assure prompt payment!AB 2021 is intended to correct this major loophole in the current prompt pay statutes by defining disputed amount. This will ensure that the process is fair and equitable to all sides. ####################################

There are still some remaining issues for next year on this bill. To get this bill through however, we had to remove public agencies as well as the language that would have overruled Martin Brothers (a bad court decision). Both of those “remaining goodies” will be dealt with in 2013.

Workers’ Comp ReformWith a 17% rate increase looming and cost drivers further eroding the reforms contained in the 2004 package, time is of the essence to get a deal done that will result in significant cost savings for employers, while also providing for a badly needed benefit increase for workers with permanent disabilities. The actual language is still “NOT” in print (should be by Midnight tonight), but things are looking very promising. The bill will likely be SB 863 (DeLeon). I had a briefing with the labor folks the other day who helped draft the package, and there is “lots” to like. They asked for my help in “working” the bill through the Legislature which I have been doing all week. While you may be thinking that if labor’s involved, it’s going to cost employers - that’s not the case! This is a labor/management deal that cuts costs

by going after the “bottom feeders” who are the Applicant Attorneys, specialized doctors who are not part of medical provider networks and a few others. Read on:

Yesterday, the Workers’ Compensation Insurance Rating Bureau (WCIRB) voted unanimously to recommend an advisory pure premium rates increase of 17%, to be implemented January 1,, 2013. Yet again, workers’ compensation costs are on the rise.

These increased costs aren’t going toward benefits for injured workers. They are due to the delays and friction in the system that stymie the goal of getting injured workers the timely medical treatment and adequate benefits they need to return to work and help support their families.

Attached is background information on the agreement reached by labor and management on workers’ compensation reform.

This reform package should not come as a surprise to anyone. It is the culmination of three years of research conducted by the Commission on Health and Safety and Workers’ Compensation (CHSWC). It is the product of a statewide listening tour hosted by the Brown Administration. It is the aggregation of several bills that have moved through the legislative process and have been heard in policy committee.

Absent legislative action, workers’ compensation costs will continue to rise, benefits will continue to stagnate, and medical treatment will continue to be delayed. The status quo is unacceptable and simply unsustainable.

The Legislature has an opportunity, for once, to get ahead of a crisis with labor¬management agreement. This moment cannot be lost.

LABOR- MANAGEMENT AGREEMENT ON WORKERS’ COMPENSATION REFORM

Injured workers suffered a world of hurt under the reforms enacted in 2004 by Arnold Schwarzenegger. The changes brought about by SB 899 resulted in delayed and denied medical treatment, slashed injured worker benefits, and more friction and inefficiencies in the system. Workers’ compensation costs have come down by over half since their peak in 2003, and now, as friction grows, insurance costs are projected to increase by up to 30% in the next two years.

In June, following a statewide workers’ compensation listening tour hosted by the Brown Administration, Labor and management began negotiating from three basic principles:

• Empirical data showed that Injured workers require increased permanent disability benefits;

• Delay costs everyone; removing friction benefits everyone in the system; and

• Benefit increases had to be offset by more than their equivalent in savings.

It’s been 8 years and the time has come to restore benefits to injured workers. Labor and management have reached agreement on a comprehensive workers’ compensation reform package.

IMPROVED MEDICAL TREATMENT

• Independence in handling disputes and decisions over medical treatment. Additional safeguards from insurance company controlled utilization review are provided by Independent Medical Review (IMR),modeled after health insurance process. This process has a 30 day turnaround for IMR response, based on evidence based treatment guidelines. The goal is to minimize delays in medical treatment.

• Expanded right to pre-designate and see your own doctor for all who have health insurance (expanded from group health insurance to capture those covered in the Exchange and other programs). Your own doctor would direct your care and make your referrals.

• Protecting the right for any and all referrals to be outside the MPN, if the employee was not given notice of MPN and that resulted in a denial of care.

• Creation of new medical access assistants provided by each Medical Provider Network (MPN) to help get doctor’s appointments, referrals, etc.

• More stringent quality reviews of MPNs- more regular and random audits of MPNs.

• Better disclosure of doctors in MPNs-

requires MPNs to list doctors on their website and the DWC to link to all MPN doctors. Requires doctor’s affirmative acknowledgement that s/he is in the MPN.

• Disputed medical issues will be addressed by doctors, based on evidence based medical treatment guidelines, mirrored after Knox-Keene standards in group health.

INCREASE IN PERMANENT DISABILITY BENEFITS AND PREDICTABILITY

An increase in benefits, across the board, for workers rated with a permanent disability. Total increase of over $700 million in new money for PO benefits.

Benefits will be increased over a two year phase-in by paying more “weeks” of benefits for each percentage point of disability and by paying more dollars per week.

Make the PD schedule more predictable and with less litigation by eliminating adjustment factors for future earning capacity (FEC),age, and certain add-ons. Workers may have lower ratings in terms of the percentage of permanent disability due to

these changes, but they will get more dollars for their ratings.

The supplemental job displacement benefit will be made available for workers to obtain retraining at a state approved training program, like union apprenticeship programs. The SJDB will be a flat $6000 amount for workers to pay for training and other essential items to find new employment.

DECREASE FRICTION AND INEFFICIENCIES THROUGHOUT THE SYSTEM

Lien process significantly reformed. Improves standards for lien filing; imposes lien filing fee; creates process to adjudicate old liens; independent bill review process to adjudicate bill disputes; helps clear up court system clogged with liens.

Doctors’ fees regularly updated to reflect resources needed for care. Current fees are outdated and inaccurate.

Fair fee schedules established to advance predictability in system for interpreters, copy services, durable medical equipment.

New requirement to disclose, and in some cases, prohibit conflicts of interest throughout the system. STABILIZE INSURANCE MARKET

Faster claim resolution, greater predictability and stability throughout the system.

Lien reforms, IMR, clarity on in network vs. out of network treatment will eliminate many of the most common medical dispute expenses.

Reduction in costs associated with administration and settlement of claims.

Simplified PO benefit schedule enhances insurers’ ability to accurately reserve for future claims.

CEQA ReformWhile all the aforementioned has been going

on, there also has been an effort to make some significant reforms to the California Environmental Quality Act (CEQA). I have sent a letter to every member of the Legislature on your behalf supporting the goals that will be amended into SB 317 (Rubio), BUT unfortunately the deal blew up last evening, so it will be next year before anything is accomplished. Following is what was in the reform package:

BACKGROUND: Thoughtful Reforms to CEQA Long Overdue

When the California Environmental Quality Act (CEQA) was enacted 40 years ago, the wide array of local, state and federal environmental and land use regulations that are now on the books didn’t exist. CEQA was essentially it.

In the 40 years since, Congress and the Legislature have adopted more than 120 laws to protect environmental quality in many of the same topical areas required to be independentlymitigated under CEQA, including laws like the Clean Air Act, Clean Water Act, EndangeredSpecies Act, GHG emissions reduction standards, SB 375 and more.

Despite these stringent environmental laws and local planning requirements, public and private projects throughout the state are commonly challenged under CEQA even when a project meets all other environmental standards of existing laws.

Many lawsuits are brought or threatened for non-environmental reasons and often times these lawsuits seek to halt environmentally desirable projects like clean power, infill and transit.

It is time to modernize CEQA to conform with California’s comprehensive environmental laws and regulations. Thoughtful CEQA reforms can preserve the law’s original intent – environmental protection – while preventing special interest CEQA abuses that jeopardize community renewal, job-creation and the environment.

SB 317 contains the following four provisions to modernize CEQA:

1. Integrate Environmental and Planning Laws

CEQA will continue to serve as the state environmental law for environmental impacts not regulated by standards set forth in other environmental and planning laws adopted since 1970.

However, where a federal, state or local environmental or land use law has been enacted to achieve environmental protection objectives (e.g., air and water quality, greenhouse gas emission reductions, endangered species, wetlands protections, etc.), CEQA review documents like EIRs should focus on fostering informed debate (including public notice and comment) by the public and decision makers about how applicable environmental standards reduce project impacts.

State agencies, local governments and other lead agencies will continue to retain full authority to reject projects, or to condition project approvals and impose additional mitigation measures consistent with their full authority under law other than CEQA.

(more) 2. Eliminate CEQA Duplication

As originally enacted, CEQA did not require further analysis of projects that already complied with CEQA-certified plans such as General Plans. But a 1987 court decision dramatically changed CEQA’s application.

While SB 317 would continue to require CEQA review even if a project complies with approved plans, SB 317 would avoid duplicative litigation by limiting the ability to challenge the environmental document prepared for a project that complies with an approved plan and incorporates all applicable mitigation measures from the environmental impact report (EIR) prepared for the approved plan.

Local governments and other lead agencies will continue to retain full authority to reject projects or to condition project approvals and impose additional mitigation measures, consistent with their full authority under law other than CEQA.

3. Focus CEQA Litigation on Compliance with Environmental and Planning Laws

CEQA lawsuits should not be used to challenge adopted environmental standards, or to endlessly re-challenge approved plans by challenging projects that comply with plans.

SB 317, however, would not eliminate all CEQA lawsuits. With limited exceptions, CEQA lawsuits may still be filed for failure to comply with CEQA’s procedural and substantive requirements, including, for example adequate notice, adequate disclosure, adequate mitigation of environmental effects not regulated by other environmental or planning law, adequate consideration of alternatives to avoid unmitigated significant adverse impacts.

Environmental and other public advocacy efforts to enact environmental protection laws should not be affected by any CEQA reform, and refocusing CEQA on how compliance with standards and plans will reduce impacts can also inform advocacy efforts to revisit standards or plans.

Finally, “real” environmental lawsuits - seeking to enforce true environmental objectives - can still be pursued against agencies that fail to make regulatory or permitting decisions in compliance with standards and plans. However, the current system of broad brush CEQA lawsuits that can be filed by any party for any purpose to challenge

any or all environmental attributes of projects that comply with standards and plans are an outdated artifact of the “anything goes” environment of 1970, which now hinders both environmental improvement and economic recovery.

4. Enhance Public Disclosure and Accountability

Under SB 317, CEQA will continue to mandate comprehensive environmental disclosure and informed public debate for all environmental impacts, including those covered by standards set in other environmental and planning laws.

CEQA’s public disclosure principles are enhanced by requiring an annual report of project compliance with required mitigation measures made electronically available to the public as part of the existing Mitigation Monitoring and Reporting Plan process.

Avoid Heat Illness When it is hot outside, your body temperature can rise to dangerous levels. Normally, your body cools itself through sweating. However, in hot and humid weather, sweating is not enough and the result can be a heat illness. Staying Cool Follow the suggestions below to stay cool when working in hot weather: • Wear loose, light-colored clothing and

some type of hat. • Adapt to working in hot conditions

gradually, especially if performing strenuous tasks.

• Take breaks in the shade when possible, and remove any outer protective gear you may be wearing.

• Avoid overexerting yourself during peak temperature periods (midday).

• Drink liquids frequently, even if you don’t feel thirsty - at least eight ounces every 20 to 30 minutes. Choose water, fruit juice or sports drinks and stay away from liquids containing caffeine, which can dehydrate you.

Recognizing the Symptoms There are three forms of heat illness, each with its own distinct symptoms: • Heat Cramps – severe muscle spasms

in the back, stomach, arms and legs, which are attributed to the loss of body salt and water during periods of heavy perspiration

• Heat Exhaustion – heavy sweating, cool or pale skin, nausea, headache, weakness, vomiting and fast pulse

• Heat Stroke – high body temperature, sweating stops, red and often dry skin, rapid breathing and pulse, headache, nausea, vomiting, diarrhea, seizures, confusion or unconsciousness

Providing Treatment It is essential to treat heat illness as soon as possible. If you are feeling any of the above symptoms, inform a co-worker and ask for help. If you suspect that a fellow worker has any of these conditions, follow the first-aid suggestions below: • Heat Cramps – Move the victim to a

cooler area and allow them to drink approximately six ounces of water every 15 minutes. Follow up with a medical examination.

• Heat Exhaustion – Move the victim to a cooler area and keep them lying down with their legs slightly elevated. Cool their body by fanning and applying cool, wet towels. If conscious, allow the victim to drink approximately six ounces of water every 15 minutes. Follow up with a medical examination.

• Heat Stroke – You or a bystander should immediately call an ambulance. Meanwhile, move the victim to a cooler area, remove their outer clothing, immerse them in cool water or apply cool, wet towels or cloths to the body. Do NOT give them liquids. If medical help is delayed, call the hospital for further instructions while waiting. Heat stroke is life-threatening, so it’s important to move quickly!

Safety Reminder The risk of heat illness increases with age, poor diet, being overweight, insufficient liquid intake, poor physical condition and/or when taking medication. Never take salt tablets without your doctor’s approval. Be aware of weather conditions when you will be working outside so that you can be prepared with appropriate clothing and beverages. If you are working outside and start to feel any adverse symptoms, inform your supervisor and take a break.

Heat illness can be a serious threat. Your best defense is to learn how to stay cool when the weather heats up.
