Ron Deyholos is a partner at Torys LLP, an internationally recognized law firm in Canada with offices in Toronto, Calgary and New York. Ron’s practice focuses on the energy sector, with an emphasis on oil and gas law. He advises on all aspects of the development and operation of energy projects, including major offshore oil and gas and oil sands. He has been recognized by Chambers and Partners, Lexpert/Thomson Canada and Law Business Research as a leading Canadian practitioner. Ron also has extensive experience advising on renewable energy sources, including cogeneration and wind power projects.

As head of the firm’s Calgary office and Torys’ Oil and Gas Practice, Ron is active in Canada’s booming natural resource sector. He has represented foreign and domestic companies with respect to joint venture arrangements to develop Canadian oil sands and major gas projects, including PTT Exploration and Production Public Company in its US$2.28 billion acquisition of a 40% partnership interest in Statoil Canada Partnership; UTS Energy in its C$1.5 billion plan of arrangement with Total E&P Canada; Husky Oil China on matters pertaining to Husky’s joint ventures with China National Offshore Oil Corporation; Enerplus Resources Fund in its cross-border acquisition of a working interest in certain areas in the Marcellus shale natural gas play; and he acted for Husky Oil in its contract with Seadrill to provide a deep-water semi-submersible drilling rig for use in China’s offshore waters.

Wilton Henriques is a Chartered Accountant, a Company Secretary, and a post graduate in Law. He has over 27 years of experience, and with his earlier Organisations, has held several managerial positions in Finance, Treasury, Accounts, Legal and Secretarial. He has been with Crompton Greaves (CG) for the last 16 years. For the last 11 years, Mr Henriques was also the Global Head of Human Resources for CG Group worldwide, which position he has recently relinquished due to his increasing involvement with Avantha and other areas within CG.

Brijesh has done more than 60 transactions in Public and Private Equity markets, Debt and Advisory business – Business restructuring and M&A. He has led teams for in-bound and out-bound cross border M&A transactions and he has been the advisor to India’s one of the fastest cross border acquisition deals – done in 3 months and covering India, US and Brazil.

Brijesh has strong relationships with Indian corporate houses at decision maker’s level. Additionally, he has received media recognition for innovative methods used in marketing offers.

He has authored several articles in leading Indian Business magazines for over 15 years on topics like M&A, Mutual Funds, ECM etc. Since 1995, he has been featured on business TV channels and print media. Also , he has been a part of various panel discussions. He has been a visiting faculty to management institutes in India.

Niten MalhanWalburg Pincus

Niten Malhan is a Managing Director with Warburg Pincus. He has been with Warburg Pincus since 2001, is co-head of the firm’s Mumbai office and focuses on the firm’s investment activities in India. Previously, he worked as an engagement manager with McKinsey & Company in New Delhi, Jakarta and Boston and was a director of business development for a Silicon Valley start-up.

Mr. Malhan is a director of ACB (India), Alliance Tire, DB Corp, Diligent Power, Havells India, Lemon Tree Hotels, Metropolis Healthcare and Punj Lloyd. Priya MehraGibson Dunn

Priya Mehra is a senior associate in the Singapore office of Gibson Dunn. Her areas of practice include mergers and acquisitions, joint ventures, private equity, privatization, capital markets and general corporate advice.

Ms. Mehra has an extensive background working in the Indian markets and her experience includes advising foreign investors in formation of joint ventures in India and/or acquiring stakes in Indian companies; advising private equity investors on the most viable investment options in India vis-à-vis foreign investment guidelines; advising Indian companies in forming joint ventures and acquiring stakes in overseas companies; and advising Indian and foreign investors in acquiring government equity in public sector undertakings, including advice on key issues related to status of government companies and implications of change in status.

Vivekananda N.Singapore International Arbitration Centre (SIAC)

As Deputy Head (South Asia) with the Singapore International Arbitration Centre (SIAC), Vivekananda heads the India initiatives of the SIAC. He is involved in the proposed establishment of SIAC’s first overseas office in Mumbai, India with a view to promoting SIAC in India and the South Asia region. He also assists in case administration.

Vivekananda graduated from the National Law School of India University, Bangalore, India. He was called to the Indian Bar in July 2006 and worked for two years with a Senior Counsel in the Supreme Court of India. He subsequently joined the Dispute Resolution and Litigation team of a major Indian law firm based in New Delhi, India.

As a Senior Associate with the firm, he has had experience in dealing with arbitrations and commercial and other litigations in several fora in India.

Rajiv NayarCitigroup

Rajiv is a Managing Director and Head of Capital Markets Origination for Citigroup in India.

Rajiv has over 25 years broad based banking experience with Citi in both emerging and developed markets in leveraged and acquisition finance, project and export finance and corporate banking as well as risk and portfolio management. Prior to relocating to India in 2010, Rajiv was a member of Citi’s Asia Pacific Leveraged & Acquisition Finance Team where he led a number of deal teams that provided financing commitments for acquisitions for leading corporations and private equity firms in the region including ASEAN, China, Taiwan, Korea and India. These included a number of notable and landmark transactions such as the GBP3.7 Billion financing for Tata Steel’s acquisition of Corus Group in 2007 as well as the refinancing of Tata Motors Bridge Facility for the acquisition of Jaguar Land Rover in 2009, both of which were executed in challenging market conditions. In addition, Rajiv led the Citi team that committed a US$14.0 billion acquisition debt facility for Essar Group’s bid for Hutchison Essar which remains the largest ever underwriting commitment for the region.

Rajiv started his banking career with Citi in India. Prior to moving to Hong Kong in 2005, Rajiv worked with Citi in London for over 12 years, initially in the Emerging Markets Corporate Finance Group and subsequently with the European Portfolio Management Group. Rajiv is an Associate of the Institute of Chartered Accountants of India.

Robert NoronhaDeloitte Touche Tohmatsu India

Robert is on a long term secondment to the Deloitte Mumbai office from the Toronto, Canada office since 2008. He previously worked for 5 years with Arthur Andersen India from 1991-96.

Robert has led transaction support engagement teams on several complex, large, multi location M&A transactions for strategic investors and private equity firms.

He advises clients with respect to deal execution, financial due diligence and providing innovative transaction solutions and deal insight.

Robert has led over 100 M&A transactions in Canada, India and globally. He is a Chartered Accountant from India and Canada. He has over 20 years of experience in public practice and M&A Transaction Services.

Robert spends significant time supporting Indian mining and oil and gas companies in cross border acquisitions.

Santosh ParabInfrastructure Development Finance Company

Mr. Parab is a post graduate in law. Mr. Parab has over 17 years of experience in the legal sector. He has worked with IDBI for 5 years before joining IDFC. During the last twelve years he has been involved in dealing with legal and other issues arising our of documentation relating to financing of various infrastructure project financed by IDFC. Apart from project financing he was worked on documents for bidding of projects, setting up third party funds, investment and acquisition documents. He was a member of IDFC team, which handled various advisory assignments, entrusted to IDFC by Ministry of Surface Transport and National Highways Authority of India which included drafting of Model Concession Agreement for Toll Roads (below Rs. 100 crore), advising NHAI on bidding processes for various projects. He was a member of IDFC team, which worked on various assignments including, Corporatisation of Ennore Port, advising corporates for bidding for the transmission projects, Government of Kerala assignment which involves review of existing legal and regulatory framework for the road sector in the State of Kerala and suggest changes, amendments necessary for development of road sector through private participation.

Jai PathakGibson Dunn

Jai Pathak is the Partner-in-Charge of the firm’s Singapore office and the South and Southeast Asia region. He is also a member of the firm’s Executive Committee.

With over 25 years of experience, Mr. Pathak has been actively assisting our clients in the Indian market or Indian clients with business needs outside India. He has extensive experience in cross-border mergers and acquisitions, takeovers, dispositions, privatizations, joint ventures, licensing, infrastructure development, as well as private equity and structured finance transactions.

Mr. Pathak handles transactions across the board in India. He is currently working on transactions in the TMT, retail, financial services, infrastructure and real estate development sectors.

Prakash PillaiRajah & Tann LLP

Prakash is the Head of the Firm’s South Asia Practice and a Partner in the Firm’s International Arbitration Practice Group.

Prakash’s main focus is on international commercial arbitration and on commercial litigation. He has extensive experience in international commercial arbitration and commercial litigation work and has appeared in a broad spectrum of contentious matters before various arbitral tribunals, as well as the High Court and Court of Appeal of Singapore. He has also acted in a number of significant and landmark cases in the areas of shareholders’ disputes, commercial, contractual and tortious disputes, defamation, restitutionary claims, insolvency litigation and property-related disputes. Many of the disputes he has handled have arisen or have been connected with the Indian market.

Prakash graduated from Queen Mary College, the University of London and has a Masters degree in law from the University of Cambridge. He is also a Barrister-at-law at the Middle Temple in London.

Prakash sits on a number of boards in Singapore and is the Vice-Chairman of the Singapore Indian Chamber of Commerce & Industry. He also sits on various committees of the Law Society of Singapore and the Singapore Academy of Law. Prakash was a national and school chess player in his youth and won many prizes and medals in chess competitions.

Vijay SampathBharti Enterprises

Vijaya Sampath is a Senior Partner heading the corporate practice of Lakshmikumaran and Sridharan. She is also the Ombudsperson and was previously the Group General Counsel and Company Secretary for the Bharti group in India and overseas. Vijaya has worked as a partner in the corporate practice of a national law firm as well as in house legal counsel in large multinationals and Indian groups.

Mohit Saraf is a senior partner with Luthra & Luthra Law Offices, one of the leading law firms of India and recipient of various national and international awards. Pramo SelvaratnamGoldman Sachs

Pramo is an Executive Director in Investment Banking at Goldman Sachs India and has been with the firm for 8 years. He covers the Natural Resources, Energy and Power sectors in India. Prior to Moving to India in 2008, Pramo was a part of the Natural Resources Financing, and Investment Banking Groups in Goldman Sachs New York.

His experience includes leveraged buyouts, equity and M&A transactions in the sector. Prior to investment banking, Pramo began his career at PricewaterhouseCoopers, following which he attended Harvard Business School.

Pramo was also a Certified Public Accountant and a member of the AICPA and PICPA, and has a BA in Economics and Business Administration from Franklin & Marshall College.

Atulya SharmaDeutsche Bank

Atulya Sharma holds a Master’s degree in Law from City University, London and a PG Bachelors Degree in Law (LLB) from Delhi University. He has been working in the legal profession for nineteen years and his experience covers a wide spectrum of legal practice. Sara WilshawHigh Commission of Canada to India

After completing her studies in International Relations and Economics at York University in Toronto, Canada, Sara joined the Foreign Service in 1996. Her career at Foreign Affairs and International Trade Canada has seen her posted to the high-tech commercial section in Tokyo and on the IP file at the Permanent Mission of Canada to the WTO in Geneva. In Ottawa, she has had assignments covering East Asia (Korea and Japan), Multilateral Trade Policy, Human Resources and Strategic Policy; leading the team that laid the groundwork for Canada’s Global Commerce Strategy.

As the head of the Trade Commissioner Service Support division, Sara successfully managed a $5 million Client Service Fund and tabled the Government’s Corporate Social Responsibility Strategy for the Extractive Sector. Before being posted to India in 2011, Sara was the Director-General of the Office of the Chief Trade Commissioner of Canada.

In her current role as Minister (Commercial) and Trade Program Manager at the High Commission of Canada to India, Sara is responsible for advancing Canada’s commercial relationship with India, Nepal and Bhutan; and for providing leadership and guidance to the 12 trade and investment offices Canada has located across South Asia.

Christoph WitteClifford Chance
