ATTENTION: ALL PERSONS WHO SUFFERED DAMAGES
AS A RESULT OF THE MAY 19, 2020 BREACHES AT THE EDENVILLE AND SANFORD DAMS
On July 31, 2020 (the “Petition Date”), Boyce Hydro, LLC and Boyce Hydro Power, LLC (“Debtors”), entities that respectively operate and lease the Secord, Smallwood, Edenville, and Sanford dams (“Dams”) in Gladwin and Midland Counties in Michigan, commenced chapter 11 bankruptcy cases in the United States Bankruptcy Court for the Eastern District of Michigan (the “Court”). The primary cause of the bankruptcy filings was breaches at the Edenville and Sanford Dams on May 19, 2020 which contributed to flooding that impacted many homes and businesses in nearby communities (impacted parties, “Flooding Victims”). The Debtors dispute liability for the breaches – they allege that the breaches resulted from their being forced to raise water levels behind the Edenville Dam by governmental entities and regulators, something the Debtors fought to prevent, and that regulators knew was unsafe. Notwithstanding the disputes over liability, the Debtors have filed a motion (“Settlement Motion”) in the Bankruptcy Court proposing a settlement (“Settlement”) that would result in: (a) $3 million – the maximum amount of liability insurance under the Debtors’ available liability insurance policies – being paid to the bankruptcy estates by insurance companies (“Insurers”) for the benefit of flooding victims plus an additional $100,000 to help fund the bankruptcy cases and (b) the Debtors and the other insured parties under those insurance policies, which includes certain affiliates and insiders of the Debtors, as well as third parties (the “Released Parties”; see specific list below), being released from all claims relating to the dam breaches and flooding. The Settlement is conditioned on the releases for the Released Parties because, without limitation: (a) the Insurers would not be willing to pay over more than the full policy limits if the insured parties under the policies were not relieved of liability (thereby relieving the Insurers of their obligation to defend some or all such parties) and (b) the Released Parties would not be willing to waive their rights to a defense under the insurance policies unless they were released. Please review the Settlement Motion and underlying settlement agreement for additional details, as the above only summarizes certain terms.
To be clear, the Settlement does not seek a release for all persons or entities that may bear responsibility for the dam breaches and flooding, but rather only for the following parties that are insured or additional insured parties under the insurance policies: (i) the Debtors; (ii) Edenville Hydro Property LLC, Sanford Hydro Property LLC, Secord Hydro Property LLC, and Smallwood Hydro Property LLC (affiliates of the Debtors that own the Dams (“HoldCos”)); (iii) W.D. Boyce Trusts 2350, 3649, and 3650 (the Debtors’ equity holders (“Trusts”)); (iv) Boyce Michigan LLC (an affiliate of the Debtors (“BM”; and together with the Trusts, HoldCos, and Debtors, the “Boyce Entities”)); (v) Four Lakes Operations Corporation and Four Lakes Task Force LLC (entities that sought to purchase the Dams prior to the bankruptcy cases being filed); (vi) Great Lakes Emergency Power; (vii) Gladwin County Road Commission; and (viii) Byline Bank. The proposed releases extend to the members, managers, and directors of the Released Parties (and in the case of the Trusts, trustees and beneficiaries), but for the sake of clarity, the only such parties that the Boyce Entities are seeking releases for (notwithstanding anything to the contrary in the Settlement Motion) are: Lee Mueller, Michelle Mueller, Stephen Hultberg, Michel d’Avenas, and the non-managerial employees of Boyce Hydro, LLC.
