The purchase is expected to add approximately US$15 million in revenue in 2006. Viisage paid US$28 million in cash for SecuriMetrics, net of the US$2 million in cash on the balance sheet. Shareholders have the opportunity to earn an additional US$13 million if performance thresholds and contingencies are reached. Together with the completion of the Identix merger, Viisage would be able to offer a full range of handheld and multi-modal biometric solutions encompassing iris, finger and face. The cash portion of the purchase is being funded from the US$100 million investment that L-1 Investment Partners made in Viisage in 2005. It is believed that the new Viisage, Identix, SecuriMetrics entity will run with a holding company at the top and various, fairly autonomous, divisions below – in this case, Biometrics, Credentials, Fingerprint Services and perhaps Terminals. The agreement gives Precise Biometrics the opportunity to penetrate the Chinese market for mobile services, and also opens up a new sales channel for its biometric security products. According to Precise Biometrics, the company’s Chinese patents have been transferred to the jointly owned company Smart Unicorn Solutions. Furthermore approx. SEK 4.4 million (US$ 553,000) in available funds, which are to be used for production, expansion and the development of the operations, have been transferred to the joint venture company. A further SEK 7.8 million will be provided in 2006. Following various share transactions, Precise Biometrics is expected to own 30 % of Smart Unicorn Solutions. The integrated solution will be offered as part of the Enterprise edition of PaperIQ’s digital paper processing platform enabling customers to biometrically verify a signatory’s identity. The Penflow biometric signature authentication engine provides users of the digital pens with the ability to uniquely identify and verify handwritten signatures, allowing the construction of robust document workflow procedures. Under the agreement, Sequiam will develop OEM (Original Equipment Manufacturer) applications using Fujitsu biometric sensors and integrate the sensors into existing Sequiam Biometrics hardware and software solutions. It is hoped the Fujitsu MBF200 single touch sensor and MBF310 Sweep Sensor ICs combined with Sequiam’s software and rapid hardware development kits will give customers the capability to design a wide range of biometric security and authentication systems. FacePrint Global Solutions (FGS) has secured US$10 million funding from Cornell Capital Partners. The company announced that it has signed a Standby Equity Distribution Agreement (SEDA) with the investor enabling it to expand its operations over the next two years. This move will allow FGS to complete its research and development work on a wide range of products, including EZ- MATCH, the company’s law enforcement 3D facial composite software. Cogent Systems has announced its financial results for the fourth quarter and year ended 31 December 2005. Revenues for the quarter were US$46.2 million, a 20% increase on revenues of US$38.4 million in the previous quarter and a 46% increase on revenues of US$31.8 million in the same period last year. During this quarter the company won contracts for new AFIS systems abroad and in multiple counties in California and received follow-on orders from customers in North America, Asia and Latin America. For the year ended 31 December 2005, revenues increased 82% to US$159.9 million, up from US$87.7 million in 2004.
