Conference Standing Rules of the 63rd Annual District 39 Spring Council Meeting

Sondra Nunez, DTM District 39 Governor Presiding Officer on May 20, 2017

1. Order of Precedence All proceedings shall be conducted in accordance with the Articles of Incorporation, Bylaws and published policies of Toastmasters International for this meeting. Robert’s Rules of Order, Newly Revised 11th edition, shall be the final authority as to parliamentary procedure, insofar as it does not conflict with the Articles of Incorporation, Bylaws and published policies of Toastmasters International, with their order of precedence as indicated above. 2. Participation Authority Only “delegates” [club officers/representatives that have registered with the credentials

desk and received a voting ballot/card, plus “delegates at large” [the elected/appointed

District Officers whose position qualifies them for DTM recognition] may make motions

or participate in discussion on motions. Before addressing the assembly, a voting

delegate shall state his or her name, club number, and shall display a voting ballot. Any

other person [non-delegate] may speak if granted permission by the chair.

3. Credentials Committee Report The Credentials Committee shall report at the appointed time of this meeting the total

number of Delegates registered, in person and by proxies. During the Credentials report,

the Committee will confirm that this meeting has a quorum as defined by the Bylaws of

Toastmasters International.

4. Credentials Requirements Each club in good standing with Toastmasters International at the time of this meeting is

entitled to two (2) votes. The authority of each “delegate” to vote shall be evidenced by

proper identification, in the case of the Club President and/or Club Vice President

Educational, and/or by any active member of each club by presenting a locally prepared

proxy signed by the President and/or Vice President Education of the Club. District

Officers (Delegates at Large) are entitled to one (1) vote. The maximum number of votes

each “delegate” may carry is three (3), Note: “delegates at large” are NOT considered

part of a quorum.

5. Timer The Chairman (District Director) shall appoint an official timer(s) who shall stand and

applaud when the time authorized has expired.

6. Time Limitation for Agenda Items Debate or discussion on any item on the agenda shall be limited to a maximum of ten

(10) minutes. Debate may be extended at the discretion of the District Director to allow

additional discussion if fairness to requires or by the District Council by proper

parliamentary procedure. The appointed timers shall time both the agenda item and the

individuals speaking.

7. Time Limitation for Speakers No Delegate shall speak more than once on the same question or longer than one (1)

minute. Debate may be extended at the discretion of the District Director to allow

additional discussion if fairness so requires or by the District Council by proper

parliamentary procedure. This limitation does not apply to point of order and appeal. The

appointed timers shall time both the agenda item and the individuals speaking.

8. Voting Authorization In addition to “delegates” from Clubs, elected District Officers, including Area Governors but not including appointed position holders shall be entitled to one (1) vote when present at this meeting. 9. Voting Procedure Voting may be by secret ballot, show of voting ballots/cards, or voice vote. 10. Balloting Procedure for Elections The District Director, the Program Quality Director, the Club Growth Director and the

Division Directors shall be elected by a majority vote. In the event no candidate for a

particular office receives a majority vote, the candidate having the lowest vote for that

office shall be dropped from the succeeding ballot. In the case of a tie vote, the choice

shall be decided by lot.

11. Implementation of Secret Ballot Requirement Election of District Officers shall be by secret ballot unless a secret ballot is dispensed with by unanimous vote. If there is only one candidate for a particular office, the District Director shall declare the candidate elected by unanimous consent or acclamation it the District 39 Council approves dispensing with the secret ballot requirement. 12. Enforcement of Rules and Appeal The District Director shall enforce the rules, but a member may appeal a ruling of the

District Director. Following a brief statement by the challenging members, and a

response by the District Director, the District Director shall put the question and a

majority vote (or tie) shall uphold the ruling of the District Director. The District

Director may vote on an appeal.

13. Motions All decisions of the meeting are to be made by means of a motion made by a voting

Delegate seconded by another voting Delegate, stated by the Chairman, offered for

debate (in the case of debatable motions), and then put to a vote by the District Governor.

The maker of the motion shall submit a written text of the motion to the District

Administration Manager at the time the motion is stated. Motions shall be stated in the

positive, not in the negative.

Audit/Financial Review Committee Report

Members of the Audit/Financial Review Committee include:

The Audit/Financial Review Committee report was included in the packet as distributed. In Pamella Rivera’s absence, District Director, Sondra Nunez, DTM, moved for the adoption of the Financial Review Committee Report for the 2015-2016 Toastmaster year. This report was submitted to Toastmasters World Headquarters by the end of August as stipulated in the District Leaders Handbook. District Director Sondra Nunez requested a vote to approve the report of the Audit/Financial Review Committee. By majority vote, the affirmative has it and the Audit/Financial Review report is adopted as sent to Toastmasters World Headquarters on time. District Director, Sondra Nunez, DTM, thanked Pamella Rivera and the Committee for their service to the District.

Finance Manager’s Report The Finance Manager’s Report was included in the packet as distributed. District Director, Sondra Nunez, DTM, provided the District Council an opportunity for questions. There being no questions, the Finance Manager’s report will be filed for financial review. District Director, Sondra Nunez, DTM, thanked Greg Wild for his hard work.

Ratification of 2016 – 2017 District 39 Budget

District Director, Sondra Nunez, DTM, shared that the budget was submitted to Toastmasters International by the September 30th deadline and now comes before the District Council for adoption. It was approved by Toastmasters International Finance Department.

Members of this year’s Budget Committee included:

Greg Wild, Finance Manager

A summary budget and narrative is included in the meeting packet. Program Quality Director, Zack Souza, DTM provided a high level overview of the budget. The areas of expenditures for the District include member recognition and Division Council activities. Additional expenditures are projected for Public Relations including a sound system.

Program Quality Director, Zack Souza, DTM, requested a vote to approve the adoption of the 2016-2017 Budget report. By majority vote, the affirmative has it and the District 39 Budget for 2016-2017 is ratified.

Leadership Committee

Chairperson George Jarosik, DTM, IPDD, announced that nominations are open. Interested members running for office for 2017-2018 will need to fill out the application and officer agreement forms, which will be posted on the District Web site tonight, and send them to the attention of George Jarosik. The deadline to submit applications is the evening of December 31, 2016.

Alignment Committee

Chairperson Russ Steele, DTM, PDG, was unable to present the Alignment Committee report. Division Director, Sondra Nunez, DTM, reported that each of the nine Divisions should have a representative to serve on the committee. Interested members should e-mail him their interest at <[email protected]>.

District Director, Sondra Nunez, DTM, shared that the written District Officer reports are included in the packet as circulated.

Courtesy Resolution

Dianne Bish, DTM, PDG, read a Courtesy Resolution for this year’s Fall Conference. The Resolution was moved for adoption and approved by unanimous consent.

David Betowski, DTM, asked all Distinguished Toastmaster award recipients who would like to have their photo taken meet him in the Board Room right after the meeting.

Marty Taub, DTM, requested that First Timers who have earned a “Black Out” on their Bingo card meet her at the First Timers table to receive a special gift.

Vonetta Roseman, ACB, CL, Raffle Basket Chair, announced Manteca Leadership Club as the winner of the most creative basket.

Report of the District 39 Toastmasters Alignment Committee

May 20, 2017

The District 39 Toastmasters Alignment committee formed in late February 2017.

The Members are:

Wes Johnson

Kathie O’Ray

Kristi Beres

In addition, the current district trio, Sondra Nunez, District Director; Zack Souza, Program Quality Director and Jane Taff,

Club Growth Director are included in all committee correspondence.

The Goals of the Committee are

To the greatest extent possible, leave the current structure of the District intact as it has been very effective for this year

Make changes when members can be served more efficiently and effectively, or where the current structure violates the Toastmasters International rules for structure of an Area, Division or District.

On February 28, a first draft of the proposed alignment for each of the Divisions in District 39 for the 2017-2018 year was sent to the Alignment Committee, the District Trio, the current Division and Area Directors for each Division (for their Division only) and declared Division Governor candidates for next year (for their Division only) with a request for initial feedback. We received feedback from Toastmasters in Division F and Division H. The feedback from F and H was considered in the first proposed alignment. The initial report was presented at the March 11th DECM. At the DECM and in the days immediately following, we received extensive feedback from Divisions J and H as well as some information from clubs that have informed us that they do not plan to continue.

The proposed changes to alignment at this point are:

Diamond moving from Division F Area 62 to Division H Area 84 for geographical alignment reasons

All about Photography moving from Division J Area 3 to Division H Area 81 for geographical alignment reasons

SPS BSD in Division H moving from Area 84 to Area 81 to balance the number of clubs in each Area for the Division

Several changes to Division J made at the request of the Division Leadership, including: o 20/20 Visionaries and Social Toasters moving from J1 to J2 o Power Talkers moving from J4 to J3

Standing Rule #3 Review --Conference Rotation

Current Standing Rule #3.

All district conferences are placed on a nine-year calendar alternating locations

for both fall and spring to give each division equal opportunity to approve the

budget and elect executive candidates. The host Division Director and/or his/her

Discussion Points

1. Since the Fall conferences are being eliminated, only the Spring Conference

remains. Instead of waiting for a ten-year rotation to have an opportunity

to host, a five- year rotation of teamed Divisions is proposed. This will

allow more frequent leadership and committee opportunities for members.

2. Divisions are paired based on geography.

3. Pairing Divisions also provides team development and fosters collaboration

within leadership.

4. Sacramento and Reno have “centralized locations” where the greatest

percentage of participants attend. Fewer members would incur hotel and

travel expenses in addition to more “local” people being to attend.

5. Sacramento and Reno have established venues to support the size of our

group. For example, the District already has relationships with the Marriott

and Crowne Plaza that we can leverage for better pricing.

6. Corporate sponsorships are more also likely to be obtained in larger areas.

This can be important as costs increase every year.

7. Sacramento and Reno have international airports, so less time would be

spent driving guest speakers to venues; more time can be spent to meet

and talk with members.

8. The District has the ultimate responsibility to hold the annual Council

Meetings in a location that offers the best opportunity to have a quorum in

order to conduct District business.

With the new policy from Toastmasters International to host a single district conference starting in 2018, members have expressed frustration and shared ideas on contests, conference structure, leadership breakfasts and scheduling district events on the calendar. These requests cross several areas of responsibility, including site selection, budget approval, and standing rules. As a result, I submitted a charter proposal for the formation of a special committee comprised of members across divisions and with expectations to deliver recommendations on standing rules, event dates, contests and conference structure. The proposal is attached as an addendum to this report. Strong Clubs and Divisional Leadership Model:

The District continues to emphasize the 20 member club through the Perfect 10 Club Recognition Program, Phoenix Club Recognition Program and the Base Jump Recognition Program. The District also continues to support the divisional leadership model with initiatives to encourage club visits be completed early, and compliments the Fall Gold Medal Division Program. Charter for 2017-2018 Special Committee: District Calendar, Contests & Conferences (DCCC) Executive Summary:

Toastmasters International changed the district conference policy on the frequency from two per year to one per year. Districts in the northern hemisphere will once per year meet in the spring. Toastmasters International (TI) has also indicated districts focus on education and training in the fall season. Given the change in frequency the district needs to review all areas of conference planning, scheduling and logistics. Along with the planning of conferences, the district needs to also evaluate other dependent functions, policies and activities that rely on the conferences. These dependent functions include, but are not limited to speech contest rotation, standing rules, executive meetings, and budget approvals by the district council. Committee Scope & Deliverables:

The Special Committee on District Calendar, Contests & Conferences (DCCC) will report to the Standing Rules Committee (SRC) and deliver revised standing rules on conference rotation, conference location and speech contest rotation to be presented by the Standing Rules Committee at the 2017 Fall Conference District Council Meeting for review and approval. In addition to revised standing rules, the SDC will provide recommendations to the District Council on several other priorities. Given information, clarity and established procedures are forth coming from TI, the committee should adjust the timeline of deliverables with a sensitivity to possible changes from TI. TI policies supersede recommendations and findings of the committee. Priorities & Deliverables:

District Director forms DCCC with representatives from all divisions. Standing Rule #3 Review – Deadline: September 30, 2017 (Dependent on TI Policies)
