IT is with pleasure and much pride that I pen this introduction to LINK South Africa not to mention having the opportunity to do so in this, the �rst edition of our quarterly Business Broker magazine.

Many of our prospective Clients and readers will consider LINK a new name to the South African Business Broking industry and while the LINK brand is relatively new; our team has been engaged in the industry for many years, having traded as a former South African branded industry player.

Having identi�ed the need to bring a positively, new and dynamic dimension to our industry, we seized the opportunity when we were approached by LINK Business Franchising Limited in their quest to establish a presence in South Africa.

PLANNING THE SALE OF YOUR BUSINESS

Ideally, you will begin to prepare your business for sale well before you put it on the market. You want to ensure your business is represented at its best and show prospective buyers the bene�ts of buying your business. It could be as simple as making sure your shop �oor is clean and presentable, or getting your �nancial statements ready.

MAKE YOURSELF REDUNDANT

Make it easy for a buyer to step into your role. If you have all the knowledge and skills to run the business, the buyer’s greatest fear is that the business will walk out the door when you do.

Document the policies and procedures that exist as unwritten rules. It is advisable to systemize the various functions of your business and create a procedures manual. Any buyer will then be able to operate the business without the need to rely on you.

Each employee should have a documented clearly de�ned role, and a designated set of tasks and procedures which leads to measurable and desired outcomes.

BUSINESS RELATIONSHIPS

It also helps to document the relationships which are key to your business. Convert any verbal agreements with suppliers and clients into written agreements wherever possible. Written agreements will make your business look stronger and build con�dence in potential buyers. Examine existing contracts with suppliers and customers to ensure they will not expire or require renegotiation just as a new owner steps in.

BUSINESS MAKEOVER

Similar to selling any other valuable asset such as your home, there are several practical steps you can take to create a good �rst impression to a potential buyer. You will improve the perception of value to the buyer and may increase the price you can ask for your business.

• Inventory – sell all obsolete or slow moving stock items. This will improve both your sales �gures, and eliminate disputes about the value of inventory during the sale.

• Plant and equipment – sell any redundant or obsolete plant and equipment, machinery, spare parts, and scrap that are no longer required.

• Business premises – look at your premises with the eyes of a potential buyer. Clean up, maintain, and paint the premises where necessary. Ensure the premises comply with all regulatory requirements.

• Employee – ask your sta� to take their leave and other entitlements prior to the sale, otherwise the sale price may be reduced by the value of their entitlements. Retaining key employees after transition to the new owner may be important for a successful sale, so determine which employees are prepared to stay with the business.

• Commercial premises leases – Review business premises leases and ensure the lease does not expire or require renegotiation during the time when you plan to sell the business.

BUSINESS FINANCIALS

Ensure your �nancial records are up to date to clearly demonstrate the true pro�tability of your business to a potential buyer.

• Debtors – collect all payments that are overdue from your clients. Potential buyers may be discouraged about buying a business with clients who take a long time to pay their accounts.

• Creditors – ensure you are not late with payments to your suppliers. This will create a positive impression of the �nancial strength of your business.

• Produce monthly pro�t reports to demonstrate to your buyer your ability to monitor and manage the performance of your business.

• Prepare audited �nancial statements so the potential buyer is con�dent of the �nancial performance and value of the business.

You only sell your business once, so you’ve got one chance to get it right. You don’t want to regret selling your business for less than it’s worth due to poor preparation.

Who is an Entrepreneur?

IT is debated that entrepreneurs are born or made. The answers have not changed but the change in the global economy is ensuring that the debate has more angles…

What changes in the economy?

Every few hundred years history has demonstrated to us remarkable changes in the way we procure goods and services, except for the last 100 years, we have seen a number of leapfrogs in quick succession. We dwelt in the industrial era for a while, jumped to the information era for twenty years and have quickly swung to an era some would call postmodern, some stewardship and others the chaos economy. I would call it the Individual Economy. One where we compete from village to village and organization to organization, boundaries no longer matter and individuals can publish, make movies and grow global organizations in a relative instance. Individuals can no longer rely on their company or country for life long employment but will need to pursue their individual activities, only in networked teams to compete.

Here is a new angle on the debate…

Entrepreneurs are neither born nor made. The characteristics of certain types of entrepreneur are bread in to us, however our environment shapes those characteristics and circumstances determine whether we use our opportunities to become successful.

Types of Entrepreneurs?

IMPACT ENTREPRENEUR: Impact Entrepreneurs are the kind of people who would use their skills to achieve some kind of global status or global change. We see them in the James Bond movies trying to overthrow governments. There are a few positive role models like Alon Musk who is pioneering the space race against Richard Branson. They have an insatiable appetite to push boundaries and are motivated by challenges.

INNOVATION ENTREPRENEURS: The information era brought so many great innovators to the fore. Our home grown heroes include Alon Musk and Mark Shuttleworth. Mark Zuckerburg’s Facebook is a great example of someone who migh have been classed as an entrepreneur until his circumstances conspired against him to reveal the hidden entrepreneur.

GROWTH ENTREPRENEUR: You might know them as the sales guy, but

Raymond Ackerman was able to take a small operator after having been �red at Checkers and turn it into a multinational. I believe that Raymond would have been able to do that to almost any business. They are motivated by in�uence and growth.

START UP ENTREPRENEUR: You probably call them a Serial Entrepreneur, you recognize them by the fact that they have told you about three di�erent starts up they are busy with and you are only grasping the �rst one that they explained at the beginning of the meal, they cannot get out of a business quick enough because they are starting something else..

SOCIAL ENTREPRENEUR: These entrepreneurs are obsessed with social issues, they will take their engineering knowledge and build a new water puri�er for poor villagers, or �gure out a way to grow co�ee more sustainable and ensure buyers buy directly from growers. It is a growing source of entrepreneurship. You probably will buy a business from one of them. They are not motivated by money, but the challenge of solving social problems.

LIFESTYLE ENTREPRENEUR: Nice house two cars is all they need. They are motivated by their family and friends and a great lifestyle. Their perfect business is the one that runs itself in order that it does not interfere with the golf game. They are great at managing and will always �gure out systems in order to leverage time and others.

NECESSITY ENTREPRENEUR: They trade because they have to, they do not necessarily enjoy the challenge of entrepreneurship but their circumstances have changed and know they need to survive so they start or grow a business, they do it out of need but probably at some point learn to love the independence.

Our conclusion:

We are born with certain entrepreneurial traits and shaped in to the type of entrepreneur we become. The individual economy preempts our choices to become entrepreneurs and suggests we need to become more entrepreneurial in order to thrive, whether we end up pioneering our own business or simply growing what someone else has started. So become the type of entrepreneur you want and shake o� the Aunt or Granny suggesting that you are not an entrepreneur. They had limited choices and so do you. You have only one choice, to decide the type of entrepreneur you will become.

Master Franchisee:

A Master Franchisee (MF) is allocated a geographic area which would include a number of saleable Franchise Areas, considered adequate to generate and sustain a good livable income, and this could number as many as seven Franchise Areas, depending on the size and business density in the Master Franchisee area.

Within the given Master Franchise area, the MF enjoys ownership of one of the Franchises (that of his/her own choosing unless already allocated) in which he/she can solicit business opportunities either him/herself or with the assistance of Business Brokers recruited for that purpose.

LINK South Africa is interested in discussing career opportunities with talented, motivated individuals to join our South African team of Franchisees and Business Brokers. To this end, we are seeking full time, committed professionals with entrepreneurial drive, signi�cant energy and the ability to support themselves during the start-up phase which is generally for a period of between four to six months.

Franchisees share in commissions earned by Brokers on an equitable split basis i.e. 40%/60%

BUSINESS BROKER:

Business Brokers are recruited by Master Franchisees and Franchisees alike to source businesses for sale, assist Buyers to purchase businesses and provide all the necessary support services. They operate as independent contractors under a Master/Standard Franchise and earn 60% of commission’s payable.

YOU’D be forgiven for thinking you need a miracle right now to manage your business �nance, especially in the wake of such credit tightening and rising costs.

However, what you may just need is some good old fashioned business advice. There are ways to protect your business from such economic changes.

Make the most of the systems and resources available to you, to give yourself as much room to maneuver as possible. Looking at business �nance, planning, costs, marketing and your professional advisers, the following should help you on the road to beating this ‘squeeze’ and protect your business.

1. PLAN AHEAD

Failing to plan is planning to fail.

It is vital that you have contingency plans in place so you are prepared for any kind of economic change. Plans should be considered for buoyant markets, downturns and also for when things are just plain average.

Following this philosophy, you should have no need to panic in times of change and your business should remain stable and continue to grow. Small businesses tend to put such planning on the back burner; it can be seen as low priority in relation to making sales, purchasing stock, managing sta� and all the general day-to-day tasks. “This is completely understandable,” I hear you cry. “I have no spare time, I hardly have time to sleep let alone plan for whether it may rain or shine sometime in the future,” you might add. Entrepreneurs tend to follow their gut feeling, their instincts. Your know-how is what manages your business, but sometimes this may mean sticking to what you’re good at.

When tough times rear their head, having a plan of action and the right systems in place can make or break your business and you may need to step well out of that comfort zone to succeed. Plan for the short-term, mid-term and long-term, and build �exibility into whatever you plan. Be realistic.

Yes – You Can Beat the Credit Squeeze

2. BE FLEXIBLE

Deal with more than one bank.

Arrange your �nancial a�airs with more than one bank so you don’t have all your eggs in one basket. You can have your current accounts, loans and overdrafts all with di�erent institutions and your asset �nance somewhere else – this will help maximise your �nance options.

If one bank stops lending, you can go to the others, and if one is o�ering high rates, you have other options of where to go – choice in the market is what you need. You will have more negotiating power and maximum borrowing potential using this strategy. A typical scenario right now is that an entrepreneur will go to their bank and expect to be o�ered a good deal on a loan, especially when they’ve been banking there for years, but more often than not, the bank can’t help because their criteria are too tight. It just cannot be assumed that relationships with banks will remain una�ected by the credit crunch.

3. MANAGE YOUR COSTS

Do something di�erent.

How often do you check your costs? Which costs can or should you reduce?

You may not think it’s necessary. Let’s say you’ve set up the best deals with all your suppliers, your marketing works for you and you have a decent turnover – so if it’s not broke, why �x it?

Most businesses and their employees are resistant to change; we can easily get caught in a comfort zone, we like things to be familiar. How successful do you want your business to be? Is it not worth trying something di�erent, seeing if you can get a better deal elsewhere?

When it comes to your �nances, and especially your loans, don’t overstretch your business – shop around until you’re convinced you can ensure a healthy balance sheet.

4. DON’T LET YOURSELF BECOME DEPRESSED

Go out and get more sales – the harder you try the luckier you get!

How else can you increase your sales? If you work on the basis of anti-cyclical marketing, when times get tough you have to do everything you can to win more business and keep your key clients.

You don’t have to spend more money. Just don’t stop marketing. On the contrary, be creative and focus on what you do best. Focus on your USPs (Unique Selling Points) and use them to your advantage to increase business. Can you diversify? Look for opportunities – there is always new business out there.

You may even wish to increase certain costs, such as marketing costs to boost sales. If you have �nancial �exibility (see point 2, above) you’ll be able to increase your spend in a credit crunch because you’ll have planned for such an eventuality, and you will get better deals.

Di�erent markets present di�erent opportunities and changing markets will always cause a shift. Look at the ways in which you can make the most of this period of change.

How can you get ahead of your competition – what sets you apart? Focus on how and why the market needs your products and services.

Protect your business through change and you can ensure healthy pro�ts.
