The Applicant understands that NBCC (hereinafter defined) is promoting a residential Project under the name and style of ftNBCC lmperia" at Chandrashekharpur, Bhubaneswar.

The Applicant requests that the Applicant may be provisionally allotted a Dwelling Unit (hereinafter defined) and an exclusive right to use Parking Space(s}, (hereinafter defined} in the said Complex (hereinafter defined) as per NBCC's installments payment plan.

The Applicant has read and understood the terms and conditions of this Application, stated hereinafter and is agreeable to the same.

In the event of NBCC agreeing to provisionally allot the Dwelling Unit with or without the Parking Space, the Applicant agrees to pay the Total Price (hereinafter defined) and all other dues as stipulated in this application and the Agreement to be executed on NBC C's standard format by applicant and NBCC.

The Applicant has clearly understood by submitting this Application that the Applicant does not become entitled to the provisional and / or final allotment of a Dwelling Unit in the said Complex not with standing the fact that NBCC may have Issued a receipt in Acknowledgement of the money tendered with this Applicat.lon. TheAppllcant further understands that It is only after the issuance of the allotment letter and the Applicant signing and executing the Agreement, agreeing to abide by the terms and conditions laid down therein that the allotment shall become final and binding upon NBCC. If the Applicant fails to execute and return the Agreement within thirty (30) days from the date of its dispatch by NBCC then NBCC shall have the discretion to treat this Application as cancelled and on such cancellation, NBCC will refund the application money deposited after deducting the cancellation charges along with forfeiture of the Non refundable Amounts. The Applicant understands that If for any reasons, including non sanction of the building plans NBCC is not in a position to finally allot the dwelling unit within a period of 12 months from the date of this application, NBCC shall refund the booking amount deposited along with other installments paid, if any, with simple interest@ 6% per annum calculated for the period the booking amount along with other installments paid, if any, has been lying with NBCC for which the Applicant will give notice to NBCC. NBCC shall refund the booking amount along with other installments paid, if any, within 30 days of receipt of the notice from the Applicant.

The Applicant acknowledges that NBCC has provided all the information and clarifications as required by the Applicant and that the Applicant has relied on his/ her own judgment and investigation in deciding to apply for purchase of the Dwelling Unit and has not relied upon and / or is not influenced by any architect's plans, sales plans, sale brochures, advertisements, representations, warranties, statements or estimates, of any nature, whatsoever written or oral made by NBCC, or otherwise including but not limited to any representations relating to the description of the said Complex/ Dwelling Unit No oral or written representation or statements shall be considered to be part of this application and that this Application is self contained and complete In Itself in all respects. I/we understand that the space is being allotted on lease basis & the lease period is 83 years form date of signing of lease deed between NBCC and Bhubaneswar Development Authority (BOA). i.e. from 11th March 2015.

The Applicant Agrees to abide by the terms and conditions of the Application including those relating to payment ofTotal Price and other deposits, charges, rates, Taxes (hereinafter defined) cesses, levies etc. and deduction of cancellation charges and forfeiture of Non refundable amounts as laid down herein and in the agreement to be executed between Applicant & NBCC.

7. PREFERENCE FOR WAIT LISTING

In case of over-subscription and non allotment of Apartment to Me/Us during the draw of lots, I / We convey my/ our willingness that my / our name be kept in the waiting list, valid for a period of 90 days from the date of draw of lots and in case of any cancellation after the allotment, the apartment may be allotted to me / us. I / We also convey my / our acceptance to retain the application money paid by Me/Us to NBCC and in the case of non-allotment of apartment. during validity period of wait list, the amount paid by Me/Us may be refunded, without any interest thereon. TERMS AND CONDITIONS

FORMING PART OF THIS APPLICATION FOR PROVISIONAL ALLOTMENT OF DWELLING UNITS

IN "NBCC IMPERIA", AT CHANDRASHEKHARPUR, BHUBANESWAR

The terms and conditions given below are more indicative and comprehensively set out in the Agreement which upon execution shall supersede. The applicant shall sign all the pages of thisApplication in token of the Applicant's acceptance and submit the same alongwith the application form.

DEFINITIONS AND INTERPRETATION:

In this application, the following words and expressions. when capitalized, shall have the meanings assigned herein. When not capitalized, such words and expressions shall be attributed their ordinary meaning. For all intents and purposes and for the purpose of the tenns and conditions set out in this application, singular includes plural and masculine includes feminine gender.

"Act" means the Odisha State Apartment Ownership Act or any other statutory enactment or up to date modifications thereof.

"PLC" shaJI mean the charges for the Dwelling Unit being preferentially located, as applicable.

"Additional PLC" means the charges payable in addition to the PLC for the Dwelling Unit being additionally preferentially located.

"Agreement" shall mean the dwelling unit buyer's agreement, to be executed by the Applicant and NBCC on NBCC's standard format.

"Applicant" shall mean the person(s) applying for the provisional allotment of the Dwelling Unit whose particulars are set out in this application and who has appended the signatures himself/herself/authorized power of attorney in acknowledgement of having agreed to the tenns and conditions of this application and the agreement.

"Application" shall mean this application form for provisional allotment of a Dwelling Unit in the Said Complex, alongwith the terms and conditions contained herein.

"NBCC" shall mean "NBCC (INDIA) Ltd", having its registered office at NBCC Bhawan, Lodhi Road, New Delhi- 110 003.

"Common Land Area"means the land which is available for use of all the Owners of Dwelling Unit and other buildings, including but not limited to lands occupied by the internal roads, play ground, land utilized for housing the facilities such as water and sewerage treatment plants, electrical landing station, sub-station and structures housing power back-up equipments such as diesel generating sets (DG Sets), and any other lands, as may be specified and earmarked by NBCC in the approved plans alongwith amenities and facilities thereon.

"Dwelllng Unlt"means either Said Apartment or Said Independent Floor, as applied for by the Applicant against the available options.

"Earnest Money" means the booking amounU application money paid alongwith this application.

"External Development Charges (EDC)" means the external development charges levied/ leviable by whatever name called or in whatever form with all such conditions imposed by the Government of Odisha and/or any other competent authority on the said complex and also Includes any further increase in external development charges.

"Internal Development Charges (IDC)" means the charges levied/ leviable by the Government of Odisha or any other authority with a view to recover the cost of development with regard to State/ National Highways, transport, irrigation facilities, etc. and/ or any additional levies, fees, cesses, charges, etc. in the nature of infrastructure development charges by whatever name called, either existing or leviable in future.

"Ground Rent" means the ground rent payable to Bhubaneswar Development Authority (BOA), Bhubaneswar on land and as revised from time to time.

"One Time Ground Rent" means the one time ground rent paid/ payable by NBCC to Bhubaneswar Development Authority (BOA), Bhubaneswar.

"IFMS" mean the interest free maintenance security to be paid by the Applicant for the maintenance and up keep of the said complex/ said building to be paid as per the payment plan to NBCC or to the Maintenance Agency.

"Maintenance Agency" means NBCC or association of dwelling unit allottees or such other agency/ body/ company to whom NBCC may handover the maintenance and who shall be responsible for carrying out the maintenance of the said complex/ said building.

b) Joint application with any one joint applicant is pennitted. Joint applicant shall be owner in the rights of the propertyequally. The first applicant shall be responsible for meeting the obligations of the allotment till his/her lifetime orhe/she disposes its property, thereafter2nd applicant/ joint applicant shall be responsible to make due payments asper terms of allotment.

NBCC however, at its discretion at any given time, can relax/change any of the conditions as mentioned hereinabove without assigning any reason.

3. APPLICATION PROCEDURE

a) A person intending to acquire an Apartment will have to apply in the prescribed application form available at:

• Office of Chief General Manager (REM&D), Real Estate Division, Ground Floor, Pragati Vihar,Bhisham Pitamah Marg, Lodhi Road, New Delhi-110003.

• The forms can also be downloaded from the official website of NBCC.

• The forms are available on payment of Rs. 300/- (non-refundable)

• The Applicants applying on the forms downloaded from the website are required to deposit the cost of theapplication form of Rs.300/- (non-refundable) in the shape of separate Demand Draft drawn in favour ofNBCC (INDIA) Ltd payable at New Delhi.

b) The applicants are advised to carefully study and understand the terms and conditions.

c) The completed Application Form together with the Bank Draft/ Pay Order in favour of NBCC (INDIA) Ltd

payable at New Delhi for the amount of application money as shown in the Price and Payment Schedule(Annexure II), should be submitted at Office of Chief General Manager(REM&D), Real Estate Division, Upper Ground Floor, Pragati Vihar, Bhisham Pitamah Marg, Lodhi Road,New Delhi- 110003 on any working day during the office hours upto the date notified or as amended &notified for receipt of completed Application Forms. NBCC may open a counter at site for specifiedperiod for receipt of completed Applications; notification to this effect shall be uploaded on the officialweb site of NBCC in the Real Estate section.

d) NBCC will acknowledge receipt of the Bank Draft(s)/ Pay Order(s) by signing and returning the counterfoil ofthe application form. There will be no other acknowledgement for receipt of the application form or theapplication money paid. The number of flat/ apartments/ storeys/ proposed areas are tentative and is subjectto change/modifications at the instance of N BCC and or statutory authorities approving the plans.

e) Application Money for each category of Dwelling Unit (DU) is as under:

(i) 2 BHK with Large Study:Rs. 1,00,000 /-

(ii) 3 BHKwith Large Study:Rs. 1,00,000 /-

f) ALLOTMENT PROCEDURE/ SCHEME

NBCC (India) Ltd. is committed to a fair and equitable method for allotment of the apartments. It will be

NBCC's endeavour to complete the allotment process within 90 days from the last date of receipt of

applications. The other conditions of allotment are as given below:-

i) Application form along with pictorial brochure of the project will be uploaded on NBCC's website.

ii) The category wise total number of units opened for sale are as given in Annexure - I. The list ofapartments with unique number assigned to each unit shall be uploaded on NBCC website. The

applicants are mandatorily required to indicate their preference in order of their priority for category ofapartment along with unique number assigned to that apartment in the application form.

iii) NBCC, at its discretion at any time can alter the number of apartments off ered for sale.

iv) Applicants will be free to exercise up to two choices in order of their preference in their application form.

v) For allotment of Dwelling Units, preference shall be given to Corporate Buyers who are willing to purchasethe Dwelling Units in bulk.

vi) 5% of the apartments put to sale are reserved for the employees of NBCC ( refer NBCC's circular no.32(56)2012-BS/824 dated October 11h, 2012. Surplus apartments and/or remaining applications inthese categories shall be diverted to general category.

TERMS & CONDITIONS OF ALLOTMENT/ SALE OF DWELLING UNIT AT NBCC IMPERIA, CHANDRASHEKHARPUR, BHUBANESWAR

1. The Applicant has applied for provisional allotment of the Dwelling Unit with full knowledge of all the laws/ notificationsand rules applicable to the Dwelling Unit in general and the Said Complex in particular and has also satisfied himself/herself about the title/ interest/ rights of NBCC in the land on which the Said Complex is being constructed and hasunderstood all limitations and obligations of NBCC in respect thereof.

2. The Applicant shall pay the Total Price of the Dwelling Unit in accordance with the payment plan and in addition theApplicant shall also be liable to pay all other charges and dues mentioned in this Application and the Agreement in accordance with the demand raised by NBCC from time to time. The applicant agrees and understands that the TotalPrice of the Dwelling Unit is understood to include the dwelling unit area, pro-rata share of the common areas andfacilities in the Said Complex/ Said Building, which may be located In the Said Complex. It ls further understood by theApplicant that the definition of covered area/ common areas of the dwelling unit area shall be more clearly defined in theAgreement and the Applicant affirms to be bound by the same.The prices in the Total Price schedule (under all the above payment plans) are exclusive ofTaxes which may be levied byany appropriate authorities on sale/ purchase of apartment. Taxes including GST on sale/ purchase of apartmentas applicable shall be payable by the allottees, in addition to the amount mentioned in the Allotment Letter and in theseterms & conditions.

a) A sum equivalent to the proportionate share of Taxes shall be paid by the Applicant to NBCC. The proportionate shareshall be the ratio of the saleable area of the Dwelling Unit to the total saleable area of all the dwelling units, otherbuildings, etc in the Said Complex.

b) NBCC may periodically intimate to the Applicant the amount payable as stated above and elsewhere in this documentwhich shall be final and binding on the Applicant and the Applicant shall make payment of such amount within 30(thirty) days of such Intimation or as defined in the terms & conditions herein above & herein below.

3. Subject to the other terms & conditions of this application/ agreement, on and after the payment of the Total Price andother charges and dues as per the Application/ Agreement, the Applicant shall have the (i) Ownership of the dwelling unitarea on lease hold basis; (ii) pro-rata Undivided Leasehold Share in Land; (iii) undivided interest and the common right touse common area and facilities alongwith other owners and; (iv) exclusive use of the Parking space(s) purchased &allotted to the Applicant.

4. The Applicant agrees that he/she shall not have any right in commercial built up space/ buildings, roof terraces of allbuildings in the said complex unless specifically defined. NBCC shall be free to dispose off and utilize the same on suchterms and conditions, as it may deem fit.

5. The Applicant agrees and understands that the Dwelling Unit/ Said Building/ Said Complex may be subject to the Act(Odisha Apartment Ownership Act). The common areas and facilities and the undivided interest of each owner of theDwelling Unit in the common areas and facilities as specified by NBCC in the declaration (which may be filed by NBCC incompliance of the Act) shall be conclusive and binding upon the Applicant and the Applicant agrees and confirms that theApplicant's right, title and interest in the Dwelling Unit/ Said Building shall be limited to and governed by what is specifiedby NBCC in such declaration. The applicant shall be required to join the society/ association of the owners of theDwelling Unit and the applicant agrees to pay all fees, charges thereof and complete such documentation andformalities as may be deemed necessary by NBCC in its sole discretion for this purpose.

6. The Applicant agrees that NBCC may in its sole discretion and for the purpose of complying with the provisions of the Actor any other applicable laws substitute the method of calculating the Undivided Share of Land in any declaration withrespect to the Dwelling Unit.

PRIME LOCATION CHARGES

7. All the flats/ DUs facing road/ greenery but no PLC is charged from any DU.

8. The Applicant agrees that if due to any change In the lay-out plan/ bulldlng plan of the Said Complex/ Dwelling Unit/Said Building:

a) The Dwelling Unit ceases to be preferentially located then only the amount of PLC, paid by the Applicant shall be

refunded without any interest and such refund shall be made/ adjusted in the last installment as stated in thepayment plan as opted by the Applicant.

b) The Dwelling Unit becomes preferentially located, if at the time of the Application, it was not preferentially located,the Applicant shall pay PLC of the Dwelling Unit to NBCC as applicable and as demanded by NBCC within 30 days of

raising demand to this effect.

c) The Dwelling Unit becomes additionally preferentially located, the Applicant shall pay Additional PLC to NBCC asapplicable and In the manner as demanded by Company.

10. The Applicant understands that the Parking Space(s) allotted to him shall be an integral part of the Dwelling Unit whichcannot be sold/transferred/assigned or dealt with independent of the Dwelling Unit. All clauses of thisApplicalion and theAgreement pertaining to allotment, possession, cancellation etc. shall apply mutatis mutandis to the Parking Space(s)so allotted, wherever applicable. The Applicant agrees that Parking Space(s) allotted to the Applicant shall not form apart of common areas of the Said Building/ Said Complex for the purpose of the declaration which may be filed by N BCCunder the Act or any acts. Covered/ Stilt Car and two wheeler parking facilities are being provided in the complex i.e. inbasement and or stilt. The Applicant may apply for additional parking spaces which may be allotted subject to availabilityat fixed price as below.

(i) It will be our endeavor to provide successful applicant with suitable parking space, the Applicant, however, will be required to accept the decision of NBCC as final.

{ii) Allotment and earmarking of specific parking spaces will be done at the time of completion of the project.

11. DELAY IN PAYMENT OF INSTALLMENTS

The Applicant agrees that time is essence with respect to payment of Total Price and other charges, deposits and

amounts payable by the Applicant/ allottee as per the terms & conditions described in this document and/ or as

demanded by NBCC from time to time and also to perform/observe all other obligations of the Applicant/ Allottee of

allotment. NBCC is not under any obligation to send any reminders for the payments to be made by Applicant/ Allottee as

per schedule of payments.

It shall be incumbent on the allottee(s) to comply with the terms of payment in respect of the apartments, parking spaces

and any other sums payable under the General Terms & Conditions. Payment of installments and all other dues shall

have to be made as per schedule given in allotment letter.

Any delay in release of balance payment by the allottee shall attract simple interest, the interest shall be the State

Bank of India highest marginal cost of funds based lending rate plus two per cent will be charged on delayed

payment.

In case of delay in payments of installments and all other dues beyond 6 months from the respective due date, NBCC at its

sole discretion may cancel the allotment. In case of such cancellation, allottees shall have no right and/ or lien on the

Apartment. The refund of principle amount (interest paid, interest payable, if any, shall not be refunded), without any

interest, paid by the allottees shall be subject to cancellation charges after allotment as per clause 20(8). In the event of

such cancellation, NBCC may proceed to resell the apartment at its sole discretion. The allottee shall have no claim on

NBCC, whatsoever on this account.

The payment towards allotment money has to be made as per the schedule date given in the allotment letter for

confirmation of allotment otherwise NBCC will be free to cancel the allotment and levy cancellation charges, without

giving any further notice to the allottee.

12. The Applicant has seen and accepted the plans and has applied for the provisional allotment of the Dwelling Unit with thespecific knowledge that the building plans, designs, specifications, measurements, dimensions, location and number ofthe Dwelling Unit and/ or Said Building, floor plans and all other terms and conditions are tentative and are liable tochange, alteration, modification, revision, addition, deletion, substitution or recast at the sole discretion of NBCC and may also change due to changes/ modification by the Statutory Authority(ies). The Applicant hereby agrees that NBCC isfully entitled to increase/ change the number offloors or the location of the Dwelling Unit in any of the Said Building and/or the height of the Said Building and the Applicant shall have no right to object to the same. In case NBCC is able to obtainthe necessary approvals for increasing the number of floors and/ or increase of the height of the Said Building then insuch case, NBCC may {but not obliged to) inform the Applicant seeking option from the Applicant to move to a higherfloor. If the Applicant conveys his desire to shift to a higher floor, the same may be permitted by NBCC at its solediscretion. Accordingly, this Application and the subsequent Agreement shall stand modified to that extent. It is clarifiedthat if NBCC does not permit the Applicant to move to the higher floor, the Applicant shall have no right to raise anyobjection.However, in case of any major alteration/ modification resulting in + 2% change in the covered area of the Dwelling Unit ormaterial change in the specifications of the Dwelling Unit any time prior to and/ or upon the grant of occupationcertificate by NBCC's architect or by the Competent Authority, the Applicant will be informed in writing by NBCC of suchchange and the difference In price of the Dwelling Unit to be paid by him or refunded to him by NBCC as the case may be.The Applicant agrees to inform NBCC in writing his objections, if any, to the changes within thirty {30) days from the date ofsuch notice failing which the Applicant shall be deemed to have given his full consent to all alterations/ modifications. If theApplicant objects to such change in writing, within the permitted time and NBCC decides to go ahead with changes, thenthe allotment shall be deemed to be cancelled and NBCC's only liability will be to refund the entire money received fromthe Applicant alongwith simple interest, the interest shall be the State Bank of India highest marginal cost of funds basedlending rate plus two per cent and the Applicant shall have no right to raise any claim or dispute of any nature whatsoeverand shall be free to deal/ dispose of the Dwelling Unit in a manner in which it may deem fit. The Applicant agrees that anyincrease or reduction in the covered area of the Dwelling Unit shall be payable or refundable (without any interest)at the rate per sqm/sft as derived/mentioned in this application against basic cost of the unit.

13. The Applicant agrees and undertakes that it shall be liable to pay all government rates, municipal tax, property tax,wealth tax, fees or levies of all and any kind by whatever name called, whether levied or leviable, now or in future by thegovernment on the Said Complex/ Dwelling Unit.

14. The Applicant agrees that in case NBCC, is unable to deliver the Dwelling Unit and I or allot Parking Space(s) to theApplicant for his occupation and use due to:

(a) any legislation, order or rule or regulation made or issued by the Government or any other Authority or;

(b) if any competent authority (ies) refuses, delays, withholds, denies the grant of necessary approvals for the DwellingUnit/ Said Building or,

( c) if any matters, issues relating to such approvals, permissions, notices, notifications by the CompetentAuthority (ies)become subject matter of any suit/ writ before a competent court or,

( d) due to force majeure conditions,

Then NBCC may cancel the allotment of the Dwelling Unit in which case the only liability of NBCC shall be to refund the

amounts received from the Applicant without any interest or compensation whatsoever, except in case of

abandonment of the project where NBCC's liability will be to refund the amounts received alongwith simple interest, the interest shall be the State Bank of India highest marginal cost of funds based lending rate plus

two per cent .

15. In the event of the Applicant's failure to clear the all outstanding dues including interest, if any and / or takeover / occupythe Dwelling Unit within 30 days from the date of intimation in writing by NBCC, then the same shall lie at the Applicant'srisk and cost and the Applicant shall be liable to pay a compensation to NBCC (for maintaining the complex)@ Rs. 1.5 /­per sft of the saleable area per month for the entire period of such delay. This compensation shall be in addition to theother dues /regular maintenance charges/ claims of interest etc. as per terms of sale I allotment. These charges shall be

in addition to regular maintenance charges.

16. Subject to the terms of this Application and the Agreement including but not limited to timely payment of the Total Price

and other charges due and payable according to the payment plan applicable to the Applicant or as per demand raised

by NBCC and the Applicant complying with all the terms and conditions of the Application, NBCC shall endeavor to

complete the project within 21 months from the date of allotment letter.

The Applicant agrees that if, however, the completion of the Said Complex is delayed due to force majeure (such as acts

of god or the public enemy, expropriation, compliance with any order or request of Government authorities, acts of war,

rebellions, sabotage, fire, floods, illegal strikes, or riots etc.), then NBCC shall be entitled to extension of time for delivery

of possession of the Dwelling Unit. N BCC agrees to pay to the allottee and subject to the Applicant not being in default

under any terms of this Application / Agreement, compensation payable by NBCC shall be simple interest, the interest shall be the State Bank of India highest marginal cost of funds based lending rate plus two per cent will be charged on delayed payment beyond one year {plus valid extended period due to force majeure reasons) from the stipulated date of completion of the complex. Thus the compensation, if any, shall be payable only after 33 months plus valid

extension due to force majeure reasons from the date of allotment. The adjustment of such

compensation shall be done only at the time of execution of conveyance deed of the Dwelling Unit.

17. Builder Buyer agreement (specifying all terms and conditions of sale) and maintenance agreement shall be signed aft

er receipt of allotment money. The maintenance agreement so signed shall also be applicable for any association/

body/association of dwelling unit owners or any other nominee/ agency the Maintenance Agency as may be

nominated/appointed by NBCC from time to time for the maintenance and upkeep of the Said Building/ Said Complex.

After the maintenance is handed over to the Residents Welfare Association (RWA to be formed) then said

Maintenance Agreement shall also be handed over to RWA.

The Applicant undertakes to pay the maintenance bills as raised by the Maintenance Agency from the date of certificate

of occupation and use is granted by the Competent Authority irrespective whether the Applicant is in occupation of the

Dwelling Unit or not. In order to secure due payment of the maintenance bills and other charges raised by the

Maintenance Agency, the Applicant agrees to deposit and always keep deposited with NBCC or the Maintenance

Agency, IFMS. The allottee(s) owners shall have to deposit a sum of Rs.100.00 per sft. of the covered area of their

Apartments towards IFMS, payable before taking possession of apartment as and when called by NBCC. NBCC will

transfer the said IFMS less amount utilized, if any, without any interest to the Association within 30 days of the

Association taking over the management and maintenance of the common areas and facilities of the Complex from

NBCC.

18. INTERIM MAINTENANCE

NBCC by itself or through its nominee, shall maintain the common areas and facilities of Complex for 2 (two) year after

handing over possession of apartments as it may not be practical to immediately transfer the maintenance responsibility

to Association of Apartment owners.

The allottees shall be required to pay to NBCC before taking over possession, fixed maintenance charges@ Rs. 1.5 per sft. of saleable area per month (applicable service tax is payable extra) towards maintenance cost of the common areas and facilities for a period of two years. The expenses on electricity consumption on common areas be charged extra on actual basis in addition to these lump sum maintenance charges. The operation and maintenance charges for DG set for power back-up to apartments as well as for common areas & common services shall be charged extra on actual basis alongwith specified administration charges. The charges shall be worked out on prorate to saleable area of the apartment, however, charges for DG set for the component of power provided to the each apartment shall be through meters. Period of maintenance shall start from the date of handing over of 10% of total Apartments in the Complex. Surplus & loss, if any for 24 months maintenance of common areas of Complex by NBCC shall be to the account of NBCC. On handing over of maintenance to RWA within two years of start of maintenance, the actual unspent amount, if any, with NBCC on account of IFMS shall be handed over to RWA without any interest. In case the RWA does not get formed for any reason whatsoever, then NBCC shall continue providing maintenance services provided all the allottees pay in advance to NBCC the maintenance charges at such rates as may be decided by NBCC but the same shall not be less than Rs. 3/- per Sft. per month of saleable area.

19. The transfer deed/conveyance deed/lease deed : The developed property/ complex is on lease hold land. The leasedeed/ sub lease deed in favour of successful allottee of apartment/ built up space shall be executed on completion of theproject and on payment of entire consideration together with all other dues/ deposits. The sub-lease deed shall bedrafted based on the lease deed signed with Bhubaneswar Development Authority & NBCC. The terms & conditions oflease deed signed with Bhubaneswar Development Authority in respect of land shall be applicable to sub-lessees & theirsub-sub-lessees as the case may be.

If the allottee does not get the sub-lease-deed executed and registered within the date notified, the cost of consequenceof the same, including taxes/ penalties levied by any authority will be to the account of the allottee. Each allottee will alsobe required to pay to NBCC documentation charges of Rs. 20,000/- (Rupees Twenty thousand only} before takingpossession of the apartments.

The allottee will also be required to pay stamp duty, registration charges, transfer duty, corporation tax and other relatedcharges as may be levied by the Government and as prevalent for registration of the Conveyance Deed of theirrespective apartments.

The Applicant shall pay such amounts as and when demanded by NBCC within the stipulated period as mentioned in thedemand letter. In case, the Applicant falls to deposit the stamp duty, registration charges and all other incidental andlegal expenses so demanded within the period mentioned in the demand letter, NBCC shall have the right to cancel theallotment and forfeit the Non refundable amounts along with levy of cancellation charges and refund the balance amountto the Applicant without any interest within 30 days of cancellation of Dwelling Unit (apartment/ flat/ etc).

20. WITHDRAWAL OF APPLICATION/ CANCELLATION OF BOOKING

a. BEFOREALLOTMENT

Applicants may withdraw application money at any time before allotment i.e. the date of draw and may get refund of the application money without any interest and after deduction of service charges of Rs. 10,000.00 (Rupees ten thousand only).

b. AFTERALLOTMENT

Applicants are free to withdraw their applications and cancel their booking at any time even after allotment but before handing over possession of their apartment. Total deposit or installments paid by the allottee will be refunded without any interest and after deduction of service charge which shall be as under:

After draw / issuance of Allotment Letter but before payment of 1st installment: Application Money (Inclusive of Taxes)

After payment of first/ or any installment due thereafter : Application Money + 3% of total amount paid and due including interest as on date of submission of withdrawal request of application alongwith required document less application money (Plus Applicable Taxes)

Note: All the applicants are advised to attend the draw positively, change of apartment after draw of lots is not encouraged however during the draw the applicant can exercise the choice out of available (open) lot. In case of withdrawal/ cancellation of the apartments, refu nd shall be normally dispatched within 30 days from the date of withdrawal/ cancellation f the application. It is further clarifie7d that no claims for any damages shall be tenable in the event of cancellation of the allotment and NBCC shall proceed with resale of apartment at its sole discretion.

If the successful applicant fails to deposit the allotment money before the scheduled date mentioned in the allotment letter, until unless extended by NBCC in writing, then this will also be treated as withdrawl of allotment and under this case also NBCC will be free to cancel the allotment and levy cancellation charges as above.

21. The Applicant agrees to comply with terms and conditions of the Application/ agreement and to sign and return toNBCC the Agreement within thirty (30) days from the date of its dispatch by NBCC, failing which, NBCC shall have theright to cancel/ terminate the provisional allotment/ agreement and forfeit the Non-refundable amounts alongwith levy ofcancellation charges as per clause 20(8). Thereafter, the Applicant shall be left with no lien, right, title, interest or anyclaim of whatsoever nature in the Dwelling Unit and the Parking Space( s ). NBCC shall thereafter be free to resell and/ ordeal with the Dwelling Unit in any manner whatsoever. The amount(s ), if any, paid would be refunded to the Applicant byNBCC within 30 days of cancellation without any interest or compensation of whatsoever nature after deductingcancellation charges as per clause 20(8) and forfeiting Non refundable Amounts. NBCC shall at all times have the firstlien and charge on the Dwelling Unit for all its dues payable by the Applicant to NBCC.

22. CORRECTION/ MODIFICATION IN THE NAME OF THE APPLICANT/ ALLOTTEE

a) Correction In the name of the applicant or joint applicant after Nil issue of allotment letter but before depositing allotmentmoney/acceptance of allotment letter.

b) Correction in the name of applicant or joint applicant on attaining Nil marital status in case of marriage of female applicant orup gradation in the designation of the applicant in army servicesor change in Salutation on attaining higher degree,like Ph.D, Maior General etc.

c) Correction in the name of the applicant or joint applicant, forwhatsoever reasons after depositing allotment money/acceptance

23. TRANSFER FEE

The allottee may get the allotment transferred in the name of heirs / successors / nominees before execution of conveyance deed/ lease deed. No transfer, addition / deletion of name or alienation of interest of any nature whatsoever shall be permitted and recognized by NBCC except upon payment of a transfer fee with applicable GST & other taxes of applicable on the following rates:

a) Addition /deletion / modification in the names of Joint Applicant(Each Case)(i.e.Son/Daughter/spouse/Mother/Father/Brother/Sister only)(This shall not be treated as transfer)

In case of death of the applicant / joint applicant, deletion of name of the deceased or addition of the name of the legal heirs of the deceased in the application / allotment shall be free of cost but for same necessary legally required documents shall have to be provided.

Transfer(s) made after NBCC has conveyed the apartment(s) in favour of the allottees shall not be governed by the above provisions. The Applicant shall be solely responsible and liable for all legal, monetary or any other consequences that may arise from such transfer, assignment, deletion and substitution. The transfers after execution of conveyance deed/ lease deed shall be governed by the applicable rules of local authorities/ Govt. departments/ Bhubaneswar DevelopmentAuthority etc.

However, after execution of conveyance deed, for the purpose of mutating the flats in the records of NBCC till handing over of maintenance to RWA. a transfer shall be done, for which NBCC shall charge fee as under;

For the first year from the date of conveyance deed by NBCC Rs 10,000/- per transfer plus applicable GST

For transfers after one year of conveyance deed by NBCC Rs 10,000/- + 5% increase in fee (every year) applicable on last year's fee plus applicable GST

The seller shall have to obtain NOC from the maintenance agency in respect of maintenance due, electricity charges for common areas, club charges etc before selling the apartment to prospective buyers and the maintenance agency shall mutate in its records the name only on production of such NOC.

24. The Applicant agrees that in case the Applicant opts for a loan arrangement with any flnanclal Institutions/ banks,for the purchase of the Dwelling Unit, the Sub lease deed of the Dwelling Unit in favour of the Applicant shall be executedonly upon NBCC receiving "No Objection Certificate" from such financial institutions/ banks.

25. The Applicant shall indemnify and keep NBCC's representatives and effect indemnified and hannless against thepayments and observance and perfonnance of all the covenants and conditions and any loss, damage or liability thatmay arise due to non payment, non observance or non performance of the said covenants and conditions by theApplicant as mentioned in the Application and Agreement.

26. The Applicant agrees that in respect of all remittances, acquisition/ transfer of the Dwelling Unit, any refund, transfer ofsecurity etc. shall be done in accordance with the provisions of Foreign Exchange Management Act, 1999 or statutoryenactments or amendments thereof and the rules and regulations of the Reserve Bank of India or any other applicablelaw and it shall be the sole responsibility of non-resident/ foreign national of Indian origin/ foreign nationals/ foreigncompanies to abide by the same. NBCC accepts no responsibility in this regard.

27. The Applicant agree to inform NBCC in writing any change in the mailing address mentioned in this Application, failingwhich all letters by NBCC shall be mailed to the address given in this Application and deemed to have been received bythe Applicant. In case of Joint Applicants communication sent to the first named Applicant in this Application shall bedeemed to have been sent to all the Applicants.

28. The Applicant understands that the provisional and/ or final allotment of the Dwelling Unit is entirely at the discretion ofNBCC.

29. The furniture and fittings layouts shown/ mentioned in the floor plans and/or in the brochure, publicity materials etc. aremerely suggestive. NBCC is in no way responsible for such provisions fitment of same and cost of same is not includedin the cost of apartments.

30. In case of contradiction in any provision in the terms & conditions contained in this booklet, application form, publicitymaterial or any other document etc. or non clarity on any issue, the same shall be solely decided by NBCC. The decisionofNBCC In this regards shall be final & binding on applicant/ allottee at all stages.

31. The Application is deemed to have been executed in Delhi and Courts in Delhi alone shall have the jurisdiction to decidematters arising out of or in connection with the said Application.

32. ENVIRONMENT COMMITMENT

I/ We the undersigned applicant (s) do hereby undertake that I/ we shall always maintain the ecological harmony and

committed to share the extra obligations for environment conservation within the complex and shall always co-operate

and vote for any or all decisions, which will be requested by the developer for long term maintenance of extra

establishment for this cause.

33. REAL ESTATE (REGULATION AND DEVELOPMENT) ACT,2016The NBCC has registered the project under the provision of Real Estate (Regulation and Development) Act,2016

with the Odisha Real Estate Regulatory Authority vide registration no MP/19/2018/00027.

AFFIDAVIT OF DECLARATION & UNDERTAKING

1. That I am an employee of NBCC (INDIA) Ltd. and have applied for an Apartment in NBCC lmperia

Project being developed by NBCC.

2. That I have opted to avail of the benefit under the "Scheme for Reservation for Employees in Residential

Complexes Developed by NBCC", whereby inter-alia 5% of the dwelling units are reserved for the regular

employees of NBCC Ltd. having rendered a minimum of 10 years of regular service.

3. That I hereby declare and affirm that I am eligible under the said scheme and have not furnished any

incorrect facts or concealed any relevant/material facts in this respect.

4. That I hereby acknowledge and undertake not to sell/transfer/lease the apartment for a period of three

years from the date of allotment of the said apartment.

5. That I hereby acknowledge and expressly agree that in the event of any breach wherein the apartment

purchased by me under the aforesaid scheme is sold before expiry of the stipulated period or in the event it

is found that any incorrect detail had been furnished by me or any relevant fact had been concealed in

order to become eligible under the said Scheme, NBCC (INDIA) Ltd. shall, at its sole discretion, have the

absolute and unqualified right to cancel my allotment and take over the said apartment, in the event of

possession having been handed over and the entire amount paid by me towards the purchase of the said

apartment till such date shall be returned after deductions applicable cancellation charges without any

interest thereon.6. That this affidavit may be read as a part and parcel of the Application form / Agreement to sell.
