III. PREZIDENTO KOMENTARASPRESIDENT’S COMMENTARY

m. įsimintini buvo tuo, kad rugsėjo d. sukako metų nuo pirmo-sios Nacionalinės vertybinių popierių biržos prekybos sesijos. Pirmojoje prekybos sesijoje NVPB sąraše buvo emitentų vertybiniai popieriai, įregistruota finansų maklerio įmonių. Per veiklos metų nuosekliai pereita nuo vienos prekybos sesijos per savaitę metais prie kasdie-ninės nepertraukiamos prekybos VP, suformuoti Oficialus bei Einamasis sąrašai. Nuo m. skaičiuojami ir skelbiami akcijų kainų indeksai, NVPB informaciją platina pripažintos tarptautinės ir Lietuvos informacijos agen-tūros. NVPB tapo Pasaulio biržų federacijos ir Europos vertybinių popierių biržų federacijos asocijuota nare. Tarptautinis Biržos pripažinimas reiškia, kad yra nueitas ilgas ir sunkus kelias kuriant patikimai veikiančią, saugią ir skaidrią prekybos vertybiniais popieriais sistemą.

Praėjusį biržos veiklos dešimtmetį šalies kapitalo rinkos istorijos metraš-tyje galima įvardinti kaip kūrimosi etapą. Palaikomi bendraminčių, inicia-tyvių ir išmanančių žmonių, rinkos dalyvių ir investuotojų, žiniasklaidos ir valstybės atsakingų institucijų tapome pripažinti ir matomi. The year will be remembered at the National Stock Exchange of Lithuania (NSEL) as the year of the tenth anniversary of the first securities trading session on the Exchange, which we celebrated on September . Ten years ago the NSEL listed securities of issuers; there were regis-tered financial brokerage firms. The ten-year period was the time for grad-ual transition of the Stock Exchange from a single trading session a week in to daily continuous trading in securities. With time the Exchange formed its Official and Current Lists. Since share price indices have been calculated and announced publicly, the NSEL information is now be-ing disseminated by recognised international and Lithuanian information agencies. The NSEL has become associated member of the World Federa-tion of Exchanges and the Federation of European Securities Exchanges. International recognition of the Exchange is a reward for long-term and conscientious efforts in creating a reliable, safe and transparent framework for securities trading.

In the annals of the history of the Lithuanian capital market the first decade of the Exchange activities may be referred to as the decade of its creation. Supported by associates, enterprising and knowledgeable peo-ple, market participants and investors, mass media and competent public authorities we have made our presence known and recognised. Hence our most sincere gratitude to all of them. We feel mature and capable of inte-grating into the European Union now undergoing its ever biggest enlarge-ment. We are now stepping into our second decade which will open new opportunities and prospects for the Lithuanian capital market in the fast developing Single market of the European Union.

Paminėdama savo dešimties metų sukaktį, Birža rugsėjo d. Vilniuje surengė konferenciją „Lietuvos kapitalo rinkos integracija į Europos Sąjungos Vieningąją rinką“, kurioje dalyvavo LR Seimo ir Vyriausybės nariai, užsienio valstybių ambasadoriai, Europos biržų federacijos, užsienio VP biržų, Lietuvos kapitalo rinkos institucijų, finansų maklerio įmonių bei listinguojamų bendrovių atstovai.

Pastarųjų trijų metų VP rinkos raidos pagrindinės tenden-cijos buvo šios:

• investuotojų pinigų srautų (įmokų) į akcijas, o tuo pačiu ir investicinių portfelių apimčių, didėjimas;

• listinguojamų akcijų emisijų skaičiaus pastovumas;

• nuoseklus VVP apyvartos didėjimas;

• akcijų kainų augimas, tuo pačiu indeksų reikšmių augi-mas, kapitalizacijos augimas;

• akcijų apyvartos centrinėje rinkoje ir jos dalies bendroje akcijų apyvartoje augimas;

• akcijų likvidumo augimas.

m. gegužės mėnesį Lietuva taps pilnateise Europos Sąjungos nare. Tai neabejotinai turės didelę įtaką visos šalies ūkiui, tame tarpe ir vertybinių popierių rinkos tolimesnei plėtrai.

Commemorating its tenth anniversary on September, in Vilnius the Stock Exchange held a conference Accession of the Lithuanian Capital Market to the Single Market of the European Union, honoured with the participation of members of the Seimas and the Govern-ment of the Republic of Lithuania, ambassadors of foreign states, representatives of the Federation of European Securities Exchanges, foreign stock exchanges, Lithuanian capital market institutions, financial brokerage firms and listed companies.

The Lithuanian capital market development during the last three years may be characterised by the following trends:

• Increasing investor cash flows into shares, and, accordingly, a growth of investment portfolios;

• Stable number of listed share issues;

• Gradual rise in securities turnover;

• Increasing share prices and index values, growth of capitalisation;

• Growing share turnover on the central market and its share in the general share turnover;

• Growing share liquidity.

In May , Lithuania will become a full member of the European Union. Beyond doubt, this will produce a tremendous impact on the country’s economy as a whole entailing further development of the securities market.


Vienas iš svarbiausių faktorių, kuris įtakos kapitalo rinkos plėtrą, yra laisvas kapitalo judėjimas tarp šalių. Tikėtina, kad Lietuvai esant Europos Sąjungos nare bei funkcionuojant tei-sinei sistemai, kurioje visi pagrindiniai teisiniai aktai yra pilnai suderinti su ES teisės aktais ir direktyvomis, investuotojų pa-sitikėjimas šalies augimo perspektyvomis sustiprės. Tą puikiai iliustruoja faktas, kad užsienio investuotojų (nerezidentų) investicijų portfelis VP rinkoje per paskutinius metus išaugo nuo , iki , mlrd. litų.

m. Lietuvoje prasidėjo pensijų reforma ir susikūrė pensijų fondų. Nuo m. vidurio jie pradės investicijas, kurių dalis teks Lietuvos kapitalo rinkai. Prognozuojama, kad šios investicijos m. gali sudaryti apie mln. litų. Tikėti-na, kad Lietuvos VP rinką taip pat atras vis daugiau institucinių investuotojų ir jų valdomas VP portfelis pasieks ES šalių vidur-kį. Tačiau reikia įvertinti ir tai, kad formuojantis vieningai VP rinkai Europos Sąjungoje, augs konkurencija dėl investicijų ir investicinių paslaugų, o vietiniams investuotojams bus sudarytos sąlygos investuoti kitų ES šalies vertybinių popie-rių rinkose, kas iš esmės gali paskatinti rezidentų investicijų portfelio sumažėjimą Lietuvoje.

Šalies ekonomikos augimo tempai ir m. bei pro-gnozės iki m. leidžia tikėtis, kad šalies ūkis augs žymiai sparčiau nei dabartinėse Europos Sąjungos valstybėse. Tai skatins investicijų efektyvumą, o tuo pačiu ir jų mastą Lietu-voje. Ankstesnių metų VP rinkos analizė leidžia teigti, kad VP rinkos operacijų apimtys tiesiogiai susiję su šalies ekonomine situacija ir tendencijomis. Todėl šalies VP rinkos apimtys arti-miausiu metu išlaikys augimo tendenciją.

m. Biržos valdyba ir darbuotojai siekė toliau plėtoti reguliuojamą, skaidrią, efektyvią, likvidžią, tarptautinius standartus atitinkančią Lietuvos vertybinių popierių rinką, stiprinti Biržos konkurencinę poziciją, aktyviai plėtoti ver-tybinių popierių Biržos verslą bei didinti Biržos akcininkų nuosavybę. Įgyvendinant šiuos tikslus m. atlikti šie pa-grindiniai darbai:

• parengta Prekybos taisyklių nauja redakcija;

• užbaigta kurti nauja prekybos sistema TLAPS;

• sukurta ir pristatyta nauja Biržos Interneto svetainė.

Į naują Prekybos taisyklių redakciją buvo inkorporuotos Oficialaus pasiūlymo įgyvendinimo, Viešo akcijų pardavimo bei Garantinio fondo formavimo ir naudojimo taisyklių nuo-statos.

Atsižvelgiant į LR įstatymuose numatytą galimybę platinti į pirminę viešąją apyvartą išleidžiamas akcijas per Biržą, su-kurtos atitinkamos taisyklės.

Visų TLAPS prekybos segmentų ir patobulinimų paketas diegimui verslo aplinkoje paruoštas metų pabaigoje

One of the most cardinal factors that will influence expansion of the capital market is free movement of capital within the commu-nity. It is likely that Lithuania being a member of the European Union and having a legal system, in which all major legal acts are fully har-monised with the EU legislation and directives, investor confidence in the country’s perspectives for growth will be enhanced. The fact that in recent years foreign investor (non-resident) investment port-folio in the securities market has augmented from LTL .bn to .bn speaks for itself.

In , pension reform was launched in Lithuania, and pension funds entered the market. They will start investing from mid , and part of their assets will be channelled to the Lithuanian capital market, as anticipated, in to amount to LTL million. It is highly probable that the Lithuanian securities market will be discovered by more and more institutional investors, and their securities portfolio will reach the EU average. However, account must be also taken of the fact that competition for investment and investment services in the EU Single securities market will intensify and that local investors will get access to the securities markets of other EU States, which may lead to a decrease of the investment portfolio of Lithuanian residents.

The national economy’s growth pace in and and fore-casts for and give sufficient ground to presume that the country’s economy will grow by far faster than in the current Mem-ber States of the European Union. That will undoubtedly enhance the efficiency and volumes of investment in Lithuania. The securities market analysis clearly showed a direct link between the volume of operations in the securities market and the developments in the national economy. For this reason the current ascending trend in the securities market volume may be expected to sustain in the future.

In , the Exchange Board and staff devoted substantial efforts in their pursuit to develop a regulated, transparent, effective, liquid Lithuanian securities market meeting international standards, to enhance competitiveness of the Exchange, to actively promote a stock exchange business and optimise shareholder value. In order to achieve these goals, in the following tasks were accomplished:

• new wording of the Trading Rules adopted;

• new trading system TLAPS completed;

• new internet website of the Exchange developed and launched.

The new Trading Rules incorporated provisions of the former Rules on the Tender Offer Execution, on Public Sale of Shares and on the Formation and Use of the Guarantee Fund.

The Rules were prepared to address an issue of IPO execution on the Exchange provided for in the laws of the Republic of Lithuania.

The package of all TLAPS trading segments and improvements to be implemented in the business environment was completed at the end of to be launched simultaneously with the new wording of

Aktyvumą rinkoje sąlygojo ne tik geri šalies ūkio raidos pra-eitais metais rodikliai, bet ir Vyriausybės patvirtintos alkoholio, laivininkystės įmonių privatizavimo programos, kompensaci-jų gyventojams už valstybės išperkamą išlikusį nekilnojamą turtą listinguojamų įmonių akcijomis išmokėjimas, geri ben-drovių veiklos m. rezultatai. Prekybos akcijomis centru tapo Biržos centrinė rinka, kas yra sveikos rinkos požymis. Palyginus su m., centrinėje rinkoje akcijomis sudaryta du kartus daugiau sandorių (virš tūkstančių), o apyvarta buvo , karto didesnė už praeitų metų. m. akcijų apy-varta centrinėje rinkoje sudarė daugiau nei pusę () visos akcijų apyvartos.

m. pabaigoje Biržoje buvo listinguojamos bendro-vės. Prekybos sąrašų stabilumas bei akcijų kainų augimas lėmė VP kapitalizacijos padidėjimą per metus . Bendra NVPB kapitalizacija metų pabaigai pasiekė beveik mlrd. Lt. Tad ir sparčiai augant šalies BVP, NVPB kapitalizacijos santykis su BVP siekė ( m. – ).

Informacinių paslaugų pardavimas m. liko viena iš prioritetinių Biržos veiklos sričių. Pasirašytos informacijos platinimo sutartys su trimis Biržos nariais - AB „Vilniaus ban-kas“ FMĮ „Kapitalo srautai“ ir AB banku „Hansabankas“. m. tarptautinių Biržos informacijos platintojų realiu laiku sąrašą papildė Moneyline Telerate.

Biržos -mečio proga rugsėjo mėn. pristatyta nauja NVPB Interneto svetainė pasižymi ne tik šiuolaikišku dizainu, bet ir informacijos gausumu, patogesne navigacija, informacijos pateikimo lankstumu bei aiškia skilčių struktūra, informacijos suradimą palengvinančiomis priemonėmis. Didžioji svetainės informacijos dalis yra pateikiama iš vieningos NVPB duomenų bazių sistemos, todėl duomenys atnaujinami automatiškai, kas paspartina jų atsiradimą svetainėje.

Prognozuojant Lietuvos VP rinkos ir NVPB plėtrą, būtina atsi-žvelgti į šiuos vidaus ir išorės veiksnius:

• Lietuvos, kaip valstybės, statuso pasikeitimą Europos Sąjungoje;

• integracijos ir globalizacijos procesus, vykstančius ES šalių VP rinkose;

• šalies ūkio augimo tendencijas ir plėtros perspektyvas;

• bendras tendencijas bei pokyčius, vyraujančius Vidurio ir Rytų Europos valstybių VP rinkose;

In , trading on the Exchange, contrary to the previous years, was active throughout the whole year. Total securities turnover on the Exchange amounted to LTL .bn, share trading making up LTL m or of all turnover. Debt securities were sold for LTL . billion.

Market vitality resulted not only from positive indicators of the country’s economic development in the previous year but also from such factors as adoption by the Government of the privatisa-tion programmes of alcohol and shipping companies, payment of compensations in shares of listed companies for residents for the remaining real estate being redeemed by the state, good perform-ance results of the companies in . Trading in shares concen-trated on the central market of the Exchange, which is an indication of a sound market. Compared to , the number of transactions in shares concluded on the central market was twice as big (over thousand) and the turnover exceeded that of the previous year . times. In , share turnover on the central market accounted for more than half () of the total share turnover.

At the end of , companies were listed on the Exchange. The stability of the trading lists and rising share prices resulted in the capitalisation increase of . At the end of the year, the market capitalisation reached almost LTL billion. Therefore, even at a rapid growth in the country’s GDP, the NSEL capitalisation and GDP ratio accounted for (in , ).

In , sale of the information services remained a priority among the activities of the Exchange. Agreements on dissemination of information were signed with three members of the Exchange, namely, Vilniaus Bankas AB, Kapitalo Srautai FBF, and Hansabankas AB. In , Moneyline Telerate joined international providers of the Exchange real-time information.

A new internet website of the Exchange unveiled in September on the occasion of the th anniversary of the NSEL is characterised by modern design, richness of information, a user-friendly navigation system, flexible presentation of information and a clear framework of segments, means facilitating search for information. Most informa-tion on the website is provided from a common database system of the Exchange, therefore data are updated automatically, which speeds up their appearance in the website.

In projecting development of the Lithuanian securities market and the NSEL, the following internal and external factors must be considered:

Analizuojant NVPB ankstesnių metų pajamų struktūrą pa-stebime, kad pagrindinę dalį Biržos pajamų sudaro komisinė įmoka už sandorius, kuri tiesiogiai priklauso nuo prekybos Biržoje apimčių. Prognozuojant Biržos veiklos rezultatus - m., būtina įvertinti Biržos privatizavimą. Galima daryti prielaidą, kad naujasis Biržos savininkas sieks padidinti Biržos pajamas, plėtodamas rinką ir siūlydamas naujas paslau-gas, tačiau susidurs ir su atitinkamomis išlaidomis, tokiomis kaip naujų technologijų ir paslaugų diegimo kaštai, išlaidos susijusios su įmonės reorganizavimo procesu ir pan.

Per metus atlikus tam tikrus struktūrinius NVPB per-tvarkymus bei įdiegus naują prekybos technologiją, kuri leistų įdiegti bendrą narystę su kitomis biržomis, galima pro-gnozuoti, kad pagrindinės veiklos pajamos išlaikys augimo tendenciją.

Integration and globalisation processes on the securities markets exert and will exert in the future a direct influence on the Lithuanian securities market. The position and status taken and maintained by the NSEL will, to a large extent, determine our success. Today the NSEL has all the opportunities to become a member of active and fast expanding international alliances. Whether it is OMHEX group or the alliance of Central and East European Exchanges (Warsaw, Prague, Budapest, and Bratislava) and Euronext will become clear in a very near future.

Analysis of the Exchange income structure of the previous years reveals that commission fees for transactions concluded on the Ex-change constitute a major portion of the Exchange revenues, which directly depend on the Exchange trading volume. A forecast of the Exchange performance in - should consider privatisation of the Exchange. It may be assumed that the new owner of the Exchange will seek to increase revenue of the Exchange through market development and implementation of new services, but will incur expenses as well, specifically related to implementation costs of new technologies and services, restructuring costs and the like.

During , having performed certain structural changes of the NSEL and having implemented new trading technology that would allow to create cross-membership, we may forecast that income from the core activities will maintain the growth tendency.

Since the Exchange has been a public company with the rights of a legal entity. Since April , the authorized capital of the Ex-change has been LTL . million. It is divided into ordinary registered shares, each in the

nominal value of LTL ,. The ordinary registered shares of the Exchange are attributed to the Unlisted securities; their ISIN code is LT.

In , trading in the Exchange shares was quite active – in trades shares changed hands. During , the Exchange share price fluctuated between the maximum of LTL , and the minimum of LTL ,.

In August , the Government of the Republic of Lithuania entered the Exchange and the CSDL into the list of objects under privatization. In order to implement this resolution, the Ministry of Finance of the Republic of Lithuania transferred the shares it owned in the Exchange to the State Property Fund. Biržos valdybos sudėtis m. nesikeitė. Valdyba savo darbą m. organizavo pagal sausio mėn. pa-tvirtintą valdybos posėdžių planą. Vadovaudamasi Bir-žos įstatuose numatyta valdybos kompetencija, valdyba rengė ir teikė VPK tvirtinti Biržos Prekybos taisykles, jų pakeitimus ir papildymus, priiminėjo nutarimus ir kitas taisykles, reguliuojančias prekybą vertybiniais popie-riais. In , the composition of the Board of the Exchange re-mained unchanged. The Board organised its work pursuant to the schedule of the Board meetings approved in January. Acting within the competence established in the Articles of Association of the Exchange, the Board prepared and submit-ted for approval of the LSC the Trading Rules of the Exchange, amendments and supplements thereto, adopted decisions and other regulations, regulating trading in securities. The Board held meetings, during which issues of trading organisation, development of the new trading system TLAPS, analysis of eco-nomic and financial activities, results of market surveillance and internal control as well as other topical issues were addressed.

In , the organizational structure of the Exchange did not change. At the beginning of the year the Exchange staff comprised em-ployees. During the year three persons left the Exchange, thus at the end of the year there were staff members of the Exchange.

V. VERTYBINIŲ POPIERIŲ PREKYBA BIRŽOJE 2003 METAIS

MARKET PERFORMANCE IN 2003

m. metais pavyko išvengti „sezoniškumo“ tendencijos: prekyba Biržoje (skirtingai nei ankstesniais metais) aktyviai vyko ne tik pavasarį ar rudenį, bet ir visą vasarą. Bendra m. VP apyvarta Biržoje sudarė milijonų litų, tame tarpe akcijomis suprekiauta už milijonus litų arba visos apyvartos. Skolos VP parduota už , milijardo litų.

In (contrary to the previous years), we managed to escape the “seasonal” character of trading on the Exchange: it was equally active not only in the spring and autumn but also through the summer. In , total turnover of securi-ties on the Exchange amounted to LTL ,m, share trading accounting for LTL m or of all turnover. Debt securi-ties were sold for LTL . billion.

Aktyvumą rinkoje m. I ketvirtį sąlygojo ne tik geri šalies ūkio raidos praeitais metais rodikliai, bet ir Vyriausybės patvirtintos alkoholio, laivininkystės įmonių privatizavimo programos, kompensacijų gyventojams už valstybės išperkamą išlikusį nekilnojamą turtą keturių įmonių akcijomis tvarkos nustatymas, listinguojamų bendrovių veiklos m. rezultatų paskelbimas, kelių įmonių ketinimai didinti įstatinį kapitalą ir t.t. Prekyba Biržoje ypač suaktyvėjo kovo pabaigoje. metų antrą ketvirtį pavyko išvengti kasmetinių sezoniškumo tendencijų - prekyba Biržoje vyko intensyviai, stabiliai. Rinkos dalyvius domino alkoholio gamybos bendrovės, kurių privatizavimo konkursai baigėsi birželį, ruošiamos privatizavimui energetikos bendrovės, AB „Lietuvos dujos“, dėl kurios akcijų paketo įsigijimo Rusijos koncer-nas Gazprom patikslino LR Vyriausybei savo pasiūlymą. Rinkos dalyviai tikėjosi baldų bei popieriaus pramonės įmonių, elektronikos, laivininkystės bendrovių bei kitų įmonių gerų pusmečio veiklos rezultatų. m. trečią ketvirtį investuotojų susidomėjimą dar daugiau skatino ne tik aukšti šalies ekonomikos augimo tempai, bet ir alkoholio gamybos bendrovių bei elektros skirstomųjų tinklų įmonių privatizavimas, pensijų fondų kūrimosi pradžia, geri daugelio bendrovių veiklos rezultatai, nu-matomi įmonių reorganizavimai bei kitos rinkos naujie-nos. Paskutinis metų ketvirtis pažymėtas pensijų reformos startu, alkoholio ir energetikos valstybinio monopolio pabaiga, pasirašytu vienu iš didžiausių pri-vatizavimo istorijoje sandorių – AB „Vakarų skirstomieji tinklai“ buvo parduoti už mln. Lt. Šalies ūkio sparti raida sulaukė tinkamo vertinimo - tarptautinė reitingų agentūra „Moody’s“ gruodžio mėn. suteikė Lietuvai aukš-tesniosios investicinės grupės reitingus A. Vertybinių popierių rinkai m. IV ketvirtis taip pat buvo reikš-mingas tuo, kad gruodžio mėn. buvo patvirtintos NVPB bei LCVPD privatizavimo programos.

Prekybos akcijomis centru m. tapo Biržos centrinė rinka. Palyginus su m., centrinėje rinkoje akcijomis sudaryta du kartus daugiau sandorių (virš tūkstančių), o apyvarta buvo , karto didesnė už praeitų metų ( m. – mln. Lt; m. – mln. Lt). Jei m. (kaip ir ankstesniais) akcijų apyvarta centrinėje rinkoje sudarė apie vieną penktadalį () visos akcijų apyvartos, tai m. - daugiau nei pusę ().

Padidėjo daugelio akcijų likvidumas. m. akcijų pa-klausa buvo didesnė nei pasiūla, o dar akcijų – pasiūlos/paklausos santykis nesiekė ,. Per metus centrinėje rinkoje bei tiesioginiais sandoriais buvo prekiauta bendrovių ak-cijomis. Tarp listinguojamų akcijų akcijų vidutinė sesijos apyvarta centrinėje rinkoje buvo didesnė nei tūkst. In the st quarter of , the market was so active not only because of positive indicators of the country’s economic deve-lopment in the previous year but also due to such factors as the adoption by the Government of the privatisation programmes of alcohol and shipping companies, setting up the order of compensations for residents for the remaining real estate being redeemed by the state in the form of shares of four companies, announcement of performance results of listed companies for , intentions of a few of companies to increase their autho-rised capital among others. Trading on the Exchange peaked at the end of March. During the nd quarter of traditional seasonal trends did not hit the market – trading on the Exchange was intensive and stable. Market participants showed interest in alcohol producers, privatisation tenders of which were closed in June, in energy companies undergoing preparation for pri-vatisation, and in Lietuvos Dujos AB, for acquisition of a holding in which the Russian concern Gazprom submitted an updated proposal to the Government of the Republic of Lithuania. Market participants anticipated good semi-annual results in furniture and paper industries, electronic and shipping companies as well as other producers. In the rd quarter of market decisions of the investors were further stimulated not only by the rising national economy, but also by privatisation of alcohol producers and energy distributional networks, the launch of pension funds, good performance results of many companies, projected reorga-nisation of enterprises and other market news. The last quarter of the year will be remembered for the launch of the pension reform, the end of the state monopoly in alcohol and energy sectors, signing of one of the largest transactions in the history of privatisation: the company Vakarų Skirstomieji Tinklai AB was sold for LTL million. Such developments gained an adequate eva-luation – in December Moody’s, the international rating agency, raised Lithuania’s credit rating to a higher investment group rating A. Furthermore, the fourth quarter of was significant for the securities market because of approval of the NSEL and the CSDL privatisation programmes.

In , the centre of share trading moved to the central market of the Exchange. Compared to , the number of share transac-tions on the central market was twice as big (over thousand), while their turnover exceeded that of the previous year . times (in it was LTL m; in – LTL m). If in (as in pre-vious years) the share turnover on the central market made up one fifth of the total share turnover (), in it comprised more than a half ().

Liquidity of most shares has increased. In , the demand of shares exceeded the supply, and the demand/supply ratio of another shares was below .. During the year shares of companies changed hands on the central market and in nego-tiated deals. Of listed shares were traded at a higher than LTL thousand average turnover per session, including ten with the

Be abejo, visų pirma akcijų kainų augimas lėmė VP ka-pitalizacijos padidėjimą . Bendra NVPB kapitalizacija metų pabaigai pasiekė beveik mlrd. Lt. Tad ir sparčiai augant šalies BVP, NVPB kapitalizacijos santykis su BVP siekė ( m. – ).

Prekyba Biržoje valstybės išleistais skolos VP m. buvo panaši kaip m. – bendra apyvarta atitinkamai sudarė mln. litų ir mln. litų. Centrinėje rinkoje Vyriausybės VP praktiškai prekiaujama nebuvo, todėl pa-grindinė apyvarta teko tiesioginiams sandoriams.

In the course of the year, out of companies on the Official and Current Lists only shares drop-ped in value; share prices of doubled, and those of seven others rocketed increasing more than three times. The rise in share prices can be best illustrated by the dynamics of share indices in : in a year the Official List index LITIN augmented by , LITIN-G, the index of all listed shares, soared by , and LITIN-, the index of the most actively traded ten, increased by .

The rise in securities capitalisation by was, naturally, a result of the growing share prices. At the end of the year, the total NSEL market capitalisation reached almost LTL billion. Therefore, even at a rapid growth in the country’s GDP, the NSEL capitalisation and GDP ratio accounted for (in , ).

In , the Exchange trading in T-bills was similar to that in ; it accounted for LTL ,m and LTL ,m respecti-vely. As hardly any of these transactions were concluded on the central market, almost all this volume fell to negotiated deals.

m. buvo toliau siekiama Biržos prekybos sąrašų stabilumo bei geriausių Lietuvos įmonių kotiravimo Biržoje. metų pabaigoje Biržos Oficialiajame prekybos sąraše buvo listinguojami bendrovių (AB „Lietu-vos telekomas“, AB „Ekranas“, AB „Rokiškio sūris“, AB „Pieno žvaigždės“, AB „Snaigė“, AB „Vilniaus Vingis“ ir AB „Utenos trikotažas“) vertybiniai popieriai. Antroje m. pusėje į Oficialųjį prekybos sąrašą buvo įtrauktos AB „Vilniaus baldų kombinatas“ akcijos. Tokiu būdu metų pabaigoje Oficialia-jame sąraše buvo kotiruojamos bendrovių akcijos.

Į Einamąjį prekybos sąrašą įtrauktos bendrovių akcijos, iš kurių VP – į grupę, kurioje VP kotiruojami laikinai, nes bendrovės tikslas buvo supirkti iki nuosavų akcijų. Iš Einamojo išbrauktos bendrovių akcijos ( – supirkus nuosavų akcijų, – dėl iškeltos bankroto bylos, dėl likvidavimo, – perkėlus akcijas į Oficialųjį sąrašą, – dėl reorganizacijos ir prijungimo prie kitos listinguojamos bendrovės).

Siekiant plačiau informuoti rinkos dalyvius ir visuomenę apie listinguojamas įmones Biržoje buvo rengiami bendro-vių pristatymai. AB „Vilniaus baldų kombinatas“ paskelbus apie ketinimą kotiruoti savo akcijas Oficialiajame prekybos sąraše, bendrovės pristatymas organizuotas birželio d., o m. liepos d. Biržoje rinkos dalyviams ir žurna-listams buvo pristatyta viena privatizuojamų alkoholio gamybos bendrovių AB „Alita“.

m. Nelistinguojamų VP skaičius toliau mažėjo dėl akcinių bendrovių reorganizavimo į uždarąsias, likvidavi-mo, akcijų emisijų asimiliavimo ir pan.

Per m. į Biržos Einamąjį prekybos sąrašą buvo įtrauk-tos ir papildytos VVP emisijos (, mln. litų nominalia verte). m. pabaigoje Einamajame prekybos sąraše buvo VVP emisijos.

In , we continuously aimed at the stability of the trading lists and at listing the best Lithuanian companies on the Ex-change. At the end of , the Official List

of the Exchange quoted securities of companies (Lietuvos Telekomas AB, Ekranas AB, Rokiškio Sūris AB, Pieno Žvaigždės AB, Snaigė AB, Vilniaus Vingis AB and Utenos Trikotažas AB). In the second half of the year, shares of Vilniaus Baldų Kombina-tas AB were admitted to the Official List too. Thus at the end of the year the Official List quoted shares of companies.

Shares of companies were admitted to the Current List, including shares admitted to the group, in which securities were listed temporarily, because the company attempted to purchase up to of its own shares. Shares of companies were removed from the Current List ( were removed after of own shares were bought up, after a declaration of bankruptcy, because of liquidation, after moving its shares to the Official List, and because of reorganisation and mer-ger with another listed company).

In order to heighten awareness of the market participants and the public at large about listed companies, the Exchange organises company presentations. The presentation of Vil-niaus Baldų Kombinatas AB took place on June after the company announced its intention to have its shares listed in the Official List; on July , the Exchange invited market participants and reporters to the presentation of Alita AB, one of the alcohol producers undergoing privatisation.

In , the number of Unlisted securities continued to re-duce due to reorganisation of public companies into private, liquidation, joining of share issues, and other reasons.

During , securities issues were admitted or supple-mented in the Current List of the Exchange (of LTL ,.m total nominal value). At the end of , the Current List con-tained securities issues.

m. kartu su „Partners for Financial Stability“ (PFS) programa, kurią finan-suoja JAV Tarptautinės plėtros agentūra (USAID), buvo tęsiamas emitentų švie-timas tarptautinių apskaitos standartų diegimo ir bendrovių valdymo klausimais. Seminaruose, kuriuose pranešimus skaitė užsienio ir Lietuvos specialistai, dalyvavo beveik visų listinguojamų emitentų atstovai bei rinkos da-lyviai (viso apie žmonių).

m. NVPB, bendradarbiaudama su Financial Services Volunteer Corps (FSVC) eksperte iš JAV, parengė šviečia-mąjį leidinį emitentams ir rinkos dalyviams „Praktiniai žingsniai kuriant ryšių su investuotojais strategiją“. Leidinys buvo pristatytas Biržos metų jubiliejaus proga organi-zuotos konferencijos metu.

Sekdama kitų Biržų pavyzdžiu bei Europos Sąjungos iniciatyvomis bendrovių valdymo srityje, Birža ėmėsi iniciatyvos plėsti įmonių valdymo klausimų supratimą Lietuvos rinkoje. m. pradžioje pradėti rengti Biržoje listinguojamų bendrovių valdymo rekomendaciniai prin-cipai (kodeksas). Išanalizavus užsienio biržų kodeksų pa-vyzdžius, LR civilinio kodekso, Akcinių bendrovių įstatymo ir Vertybinių popierių rinkos įstatymo nuostatas bei atsi-žvelgus į teisininkų, bendrovių, rinkos dalyvių nuomonę, buvo parengtas NVPB listinguojamų bendrovių valdymo kodekso projektas, kuriam Biržos valdyba pritarė m. sausio mėn. Galutinį kodekso variantą ketinama parengti iki m. vidurio.

In , the Exchange in conjunction with the Partners for Financial Stability (PFS) Pro-gramme, funded by the US Agency for Inter-national Development (USAID), continued is-suer education in the International Standards of Financial Reporting and issues of corporate governance. Seminars, in which presentations were made by foreign and Lithuanian experts,

were attended by representatives of almost all listed issuers and market participants (all in all, about people).

In , the NSEL, in cooperation with an expert of Financial Services Volunteer Corps (FSVC) from the USA, prepared a guidebook for issuers Practical Steps to Building Investor Relations Practice. The publication was presented during the conference organised on the occasion of the th anniversary of the Ex-change.

Following an example of other stock exchanges and the Eu-ropean Union initiatives in corporate governance, the Exchange took the initiative in promoting corporate governance in the Lithuanian market. At the beginning of , drafting of recom-mended principles of corporate governance in listed compa-nies (the Code) began. Having analysed the Codes of foreign stock exchanges, provisions of the Civil Code of the Republic of Lithuania, Law on Companies and Law on Securities Market and having considered the opinion of the lawyers, companies, and market participants, a draft code of corporate governance for the NSEL listed companies was prepared. It was approved by the Board of the Exchange in January . Preparation of the final version of the Code is scheduled for mid .

NVPB bei Rygos ir Talino biržų sutarimu sudaromo didžiausių Baltijos šalių ben-drovių VP sąrašo sudėtis m. pasikeitė viena bendrove – dėl didesnio AB „Pieno žvaigždės“ akcijų likvidumo Biržos valdyba nusprendė šias akcijas įtraukti į „Baltic List“ sąrašą, išbraukiant iš jo AB „Utenos trikotažas“ vertybinius po-pierius. Šiuo metu iš „Baltic List“ sąrašo VP yra Lietuvos akcinių bendrovių („Lietuvos telekomas“, „Ekranas“, „Rokiškio sūris“, „Pieno žvaigždės“, „Vilniaus Vingis“ ir „Snaigė“), – Esti-jos ir – Latvijos bendrovių VP.

A list of Baltic blue chip stocks is formed un-der a common agreement between the NSEL, Riga and Tallinn Stock Exchanges. In , the Board of the Exchange decided to change its composition by replacing shares of Utenos Trikotažas AB by more liquid shares of Pieno

Žvaigždės AB. Currently the Baltic List quotes shares, out of which are those of Lithuanian public companies (Lietuvos Telekomas, Ekranas, Rokiškio Sūris, Pieno Žvaigždės, Vilniaus Vingis and Snaigė), originate in Estonia, and represent Latvian public companies.

Siekiant sukurti vertybinių popierių rinkos plėtrai palankesnę, galiojančius įstatymus bei Europos Sąjungos direk-tyvas atitinkančią teisinę aplinką, m. buvo parengta Prekybos taisyklių nauja redakcija, keičiamos Atsiskaity-mų už Nacionalinėje vertybinių popierių Biržoje sudary-tus sandorius taisyklės.

Visi sandorių sudarymo tvarką NVPB reglamentuojan-tys teisės aktai (Prekybos taisyklės, Viešo akcijų pardavi-mo NVPB taisyklės, Oficialaus pasiūlymo įgyvendinimo NVPB taisyklės, Viešo akcijų emisijos platinimo per NVPB taisyklės) buvo apjungti į vienas bendras Prekybos taisykles, kurių nauja redakcija įsigaliojo nuo m. sausio d.

Naujos NVPB Prekybos taisyklės numato, kad NVPB su-daromi tik du prekybos sąrašai – Oficialusis ir Einamasis. Nelistinguojamų VP prekybos sąrašo atsisakyta. Vietoj jo Prekybos taisyklėse įtvirtintas Nelistinguojamų VP insti-tutas. Prekybos taisyklėse praplėstas VP, kurie gali būti įtraukti į NVPB prekybos sąrašus ir kuriais gali būti pre-kiaujama NVPB, sąrašas. Vertybiniais popieriais laikomi ir perleidžiami VP, kurie suteikia teisę įsigyti VP pasirašymo ar keitimo būdu (pasirašymo teisės). Prekybos taisyklėse nebeliko reikalavimo NVPB nariams turėti bent vieną NVPB akciją. Tokiu būdu, NVPB nariais galės tapti visi tiek Lietuvos Respublikos, tiek kitų valstybių VP viešo-sios apyvartos tarpininkai, turintys teisę teikti investici-nes paslaugas Lietuvoje ir Prekybos taisyklių nustatyta tvarka gavę leidimą dalyvauti NVPB prekyboje.

Prekybos taisyklių naujosios redakcijos dalyje, regla-mentuojančioje prekybą vertybiniais popieriais, atsi-žvelgta į daugelį Biržos narių pageidavimų, numatyta galimybė ypatingais atvejais keisti prekybos sesijos ar jos etapų pradžios ir/arba pabaigos laikus, sudarytos galimybės operatyviau reaguoti į akcinius įvykius, ga-linčius žymiai įtakoti rinkos kainą, vis dar kartais pasitai-kančius nepagrįstus rinkos kainų svyravimus ir kt.

Taisyklėse ir vėliau priimtame valdybos sprendime reglamentuoti požymiai, tvarka ir atsakingi asmenys, turintys teisę priimti sprendimą laikinai sustabdyti pre-kybos sesiją ar pakeisti jos eigą.

Taisyklėse numatyta galimybė laikinai, iki naujos rin-kos kainos nustatymo, naudoti techniškai perskaičiuotą akcijų rinkos kainą tais atvejais, kai keičiasi akcijų nomi-nali vertė. Taip pat numatyta, kad vertybiniai popieriai kotiruojami iš naujo ir tais atvejais, kai tris prekybos sesijas iš eilės vertybinio popieriaus kaina maksimaliai kyla ar krenta ir šiais vertybiniais popieriais nėra suda-romi sandoriai.

In an attempt to create a more favour-able legal environment for the develop-ment of the securities market, which would be in compliance with the effective laws and the European Union directives, in we prepared a new wording of the

Trading Rules and amended the Rules on Settlement of Securi-ties Transactions Concluded on the Exchange.

All legal acts regulating conclusion of transactions on the NSEL (Trading Rules, Rules on Public Sale of Shares on the NSEL, Rules on the Tender Offer Execution, and Rules on Public Offering of a Share Issue through the NSEL) were combined into a single set of the Trading Rules, which became effective as of January .

The new Trading Rules of the NSEL provide that only two trad-ing lists will be formed on the NSEL, namely, the Official and Cur-rent List. A tier of Unlisted securities will be repealed as the Trad-ing Rules establish the institution of Unlisted securities instead. The Trading Rules expand the list of securities, which may be admitted to the NSEL trading lists and traded on the NSEL. The subscription rights, which grant the right to acquire securities by way of subscription or exchange, are also treated as securities. The Trading Rules no longer require that an Exchange member should hold at least one share of the NSEL. Thus, all intermediar-ies of public trading in securities that enjoy the right to provide investment services in Lithuania and hold a permit to trade on the NSEL obtained in the manner prescribed by the Trading Rules will be able to become members of the NSEL, whether registered in the Republic of Lithuania or in another state.

The section on trading in securities of the new wording of the Trading Rules has been written in consideration of the sug-gestions made by the Exchange members and provides for a possibility, in exceptional cases, to change the opening and/or closing time of the trading session or its stages, creates condi-tions for a prompter reaction to stock events which may signifi-cantly affect the market price, addresses issues of ungrounded market price fluctuations that occasionally hit the market, and other issues.

The adopted Rules and the Board’s resolution passed later have defined symptoms, procedure and responsible persons authorised to pass a decision to temporarily halt a trading ses-sion or change its regular course.

The Rules provide for a possibility to, temporarily, until a new market price is fixed, use the theoretical share price in those cases when the nominal value of shares changes. It is also pro-vided that securities will be quoted anew if the price of a security peaks or hits the bottom to the maximum during three trading sessions in a row and no transactions are concluded with these securities.

Prekybos taisyklių naujoje redakcijoje pavedimų, tei-kiamų centrinei rinkai, galiojimo trukmė apribota iki mėn.

Atsižvelgiant į Biržos narių pageidavimus, panaikinti reikalavimai tiesioginio sandorio dydžiui ir iki darbo dienų prailgintas atsiskaitymų ciklas.

Žymiai pasikeitė oficialaus pasiūlymo įgyvendinimo tvarka. Pašalinta viena iš buvusių spragų – iki šiol ne-buvo galimybės savanorišku oficialiu pasiūlymu supirkti vieno emitento kelių emisijų akcijas bendrai. Be to, reglamentuota tvarka, kaip galima atsiskaityti už sava-norišku oficialiu pasiūlymu superkamas akcijas kitais vertybiniais popieriais. Pasikeitė ir sandorių sudarymo tvarka. Sandoriai sudaromi ne paskutinę pasiūlymo įgyvendinimo dieną, o vieną dieną vėliau. Tai leidžia garantuoti, kad sudarius sandorius, atsiliepusių į oficialų pasiūlymą investuotojų vertybinių popierių sąskaitose bus pakankamai akcijų.

Sugriežtinta viešo akcijų pardavimo tvarka. Parduo-dant akcijas viešo akcijų pardavimo tvarka, pasitaikė at-vejų, kai pirkėjai bandė manipuliuoti kaina, nepagrįstai ją keldami. Naujoje tvarkoje numatyta, kad pavedimą galima modifikuoti tik kainos didėjimo kryptimi. Perka-mų akcijų skaičiaus keisti negalima. Be to, uždraustas ir pavedimų anuliavimas. Šios priemonės turėtų viešo par-davimo procedūrai suteikti daugiau skaidrumo.

Prekybos taisyklių naujoje redakcijoje reglamentuota nauja Biržos siūloma paslauga – viešas akcijų emisijų platinimas. Viešo akcijų platinimo tvarkoje numatyta, kad pavedimai platinti akcijas kaupiami visą platinimo laikotarpį. Visą šį laikotarpį Biržos nariai pavedimus gali teikti, anuliuoti ar modifikuoti. Sukaupus visą paklausą, Birža nustato maksimalią kainą, kuria galima išplatinti visą akcijų emisiją. Visi platinimo sandoriai sudaromi nu-statyta kaina. Sudarant sandorius, pirmiausia vykdomi pavedimai, kuriuose kaina didesnė už nustatytą. Pave-dimai, kuriuose pasirašymo kaina sutampa su nustatyta kaina, vykdomi proporcingai.

Gruodžio mėn. buvo parengti ir Biržos valdyboje pa-tvirtinti sprendimai, skirti Prekybos taisyklių naujos re-dakcijos įgyvendinimui. Tuo pačiu buvo panaikinti NVPB valdybos vykdomieji raštai bei sprendimai, detalizavę ankstesnes Prekybos taisykles.

Kartu su Prekybos taisyklių nauja redakcija buvo pa-keistos Atsiskaitymų už NVPB sudarytus sandorius tai-syklės, tuo pačiu siekiant, kad atitiktų Lietuvos centrinio vertybinių popierių depozitoriumo ir Lietuvos banko diegiamos atsiskaitymų sistemos „LITAS“ reikalavimus.

In the new wording of the Trading Rules the term of validity of orders placed on the central market has been limited to months.

Restrictions on the size of a block in negotiated deals have been removed and the settlement cycle extended for up to working days in accordance with the Exchange members’ requests.

The order of a tender offer execution has been changed con-siderably. A regulatory gap that hindered purchase of shares of several issues in one issuer by way of a voluntary tender offer has been eliminated. Furthermore, a procedure for settlement of shares, acquired during a voluntary tender offer, in other securi-ties has been determined. The order of conclusion of transac-tions has also changed: from now on transactions are concluded not on the last day of a tender offer execution, but one day later. That allows to guarantee that after conclusion of a transaction a sufficient number of shares will be in the securities accounts of those investors who have tendered their securities.

The order of a public sale of shares has been made more strin-gent. When selling shares under the procedure of a public sale of shares there were cases when purchasers attempted price manipulation by pushing it upwards. The Rules provide that an order may be modified only when increasing the price. The number of shares tendered cannot be changed. Moreover, an-nulment of orders is prohibited. These measures are supposed to bring more transparency on the procedure of a public sale of shares.

The procedure of a new service provided by the Exchange, namely, execution of a public offering of a share issue, has also been defined in the new wording of the Trading Rules. This procedure provides that orders to buy shares are accumulated throughout the entire period of the public offering. During this period the Exchange members may place, withdraw or modify their orders. After all buy orders have been accumulated, the Exchange fixes the maximum price for distribution of the share issue. All transactions of the public offering are concluded at the fixed price. At the time transactions are concluded, orders at a higher price than fixed are executed first. Orders in which the price coincides with the fixed one are executed on a pro rata basis.

In December, the Board of the Exchange prepared and passed resolutions for the implementation of the new wording of the Trading Rules. These resolutions invalidated executive orders and decisions of the Exchange Board clarifying the previous wording of the Trading Rules.

The Rules on Settlement of the Transactions Concluded on the NSEL were amended simultaneously, in order to harmo-nise them with the new wording of the Trading Rules and the

Pilnas visų TLAPS prekybos segmentų ir patobulinimų paketas verslo aplinkoje diegimui paruoš-tas metų IV ketvirčio pabaigoje taip, kad jų diegi-mas būtų sinchronizuotas su naujos prekybos taisyklių redakcijos įsigaliojimu nuo metų sausio dienos.

At the request of the Depository a chronological scheme of cash and securities movement was prepared. The new Rules on Settlement of the Transactions Concluded on the NSEL, based on this scheme and on the settlement system LITAS being implemented, were adopted in conjunction with the De-pository and became effective as of January .

In , development of the TLAPS system was completed. A full package of all TLAPS trading segments and improvements in the business environment was completed at the end of the fourth quarter to be launched simultaneously with the new wording of the Trading Rules which became effective as of January .


m. sausio d. Biržos narių sąraše buvo nariai, iš jų dviem (UAB FMĮ „Alp-ha Baltic“ ir UAB FMĮ „Naugvilda“) jų pačių prašymu teisė prekiauti sustabdyta. Per m. į Biržos narių sąrašus neįtrauktas nei vienas naujas Biržos narys, išbraukti du Biržos nariai – UAB FMĮ „Alpha Baltic“ (I ketvirtis) ir UAB FMĮ „Finvesta“ (III ketvirtis). Abu Biržos nariai išbraukti jų pačių prašymu.

Aktyviausiai m. Biržoje prekiavo AB „Vilniaus ban-kas“, AB bankas „Hansabankas“ ir AB bankas „NORD/LB Lietuva“.

As of January , the NSEL listed members, including two (Alpha Baltic UAB FBF and Naugvilda UAB FBF) whose right to trade on the Exchange was suspended at their own request. In , no new members

were granted membership of the Exchange; two members were removed from members (Alpha Baltic UAB FBF in the st quarter and Finvesta UAB FBF in the rd quarter). Both mem-bers of the Exchange were dismissed at their own request.

In the most active traders on the Exchange were Vil-niaus Bankas AB, Hansabankas AB and NORD/LB Lietuva AB.

Tarptautinė informacijos platinimo agentūra „Moneyline Telerate“ pasiūlė savo klientams NVPB prekybos duo-menis realiu laiku. Aktyvėjant prekybai Biržoje išaugo ir investuotojų, stebinčių prekybą realiu laiku internete – www.nse.lt bei www.omni.lt – skaičius.

Duomenų siuntimo sis-tema papildyta nauju segmentu – suvestiniais prekybos sesijos rezultatais. Šis patobulinimas leidžia informacijos platintojams teikti ne tik vertybinių popierių prekybos duomenis, bet ir suvestinę sesijos statistiką (kapitalizaci-ją, indeksų pokyčius, pavedimų skaičių ir pan.).

NVPB ypatingą dėmesį skiria savo tinklapiui, kaip vienai efektyviausių investuotojų informavimo priemonių. Nau-ja Biržos svetainė, pasižyminti šiuolaikišku dizainu, aktua-lios ir istorinės informacijos gausa bei patogia navigacija, buvo pristatyta NVPB dešimtmečio išvakarėse – m. rugsėjo d. Esminis naujo tinklapio privalumas – infor-macijos pateikimas iš vieningos NVPB duomenų bazių sistemos, užtikrinantis automatinį duomenų atnaujinimą svetainėje. Nuo praėjusių metų rugsėjo mėn. naująjį Biržos tinklapį per mėnesį aplanko vidutiniškai tūkst. unikalių vartotojų, kurie peržiūri daugiau nei , mln. puslapių.

m. Birža tradiciškai prisidėjo prie būsimųjų inves-tuotojų – moksleivių ir studentų ekonominio švietimo bei investavimo įgūdžių formavimo. NVPB nemokamai teikė prekybos duomenis FMĮ „Jūsų tarpininkas“ organi-zuotam investiciniam žaidimui (dalyvavo studentų iš aukštųjų mokyklų) bei „Lietuvos Junior Achievement“ žaidimui-konkursui „Investuotojas – “ ( studentų komandų bei moksleivių komandos). In , the number of both market data vendors and end-users was grow-ing. Last year three members of the Ex-change, banks Hansabankas AB, Vilniaus Bankas AB, and a financial brokerage firm, Kapitalo Srautai, started to disseminate

the NSEL trading data. Moneyline Telerate, a global provider of real-time information, offered its clients the NSEL trading data in real time. The intensified trading on the Exchange boosted the number of investors who follow the Exchange trading in real time on the internet at www.nse.lt and www.omni.lt.

In , after a new service was presented to listed compa-nies, an opportunity to publish data on trading in the compa-ny’s shares on the issuer’s homepage was taken by two com-panies, namely, Lietuvos Telekomas AB and Mažeikių Nafta AB. The DataFeed system was supplemented with a new segment: summary statistics of each trading session. This improvement allows market data vendors to provide not only data on securi-ties trading but also summary statistics per session (capitalisa-tion, index changes, number of orders, etc.).

The NSEL attributes a paramount importance to its website as one of the most effective means of informing investors. A new website of the NSEL characterised by modern design, multitude of current and historical data and a user-friendly navigation system was launched on the eve of the th an-niversary of the NSEL, i.e. on September . The essential advantage of the new website is presentation of information from a common database system of the Exchange, ensuring automatic update of the data in the website. Starting from last September the new website of the Exchange has been accessed by on average thousand unique visitors a month, who browse more than .m pages.

In , the Exchange made its traditional contribution to educating future investors – pupils and students – in econom-ics and investor skills. The NSEL provided trading data for an investment game organised by Jūsų Tarpininkas FBF (with the participation of students from higher education institutions) and a contest game Investor held by Junior Achievement in Lithuania ( student teams and pupil teams) free of charge. Last year the Exchange organised “open-day” events which were attended by students and pupils.

Pirmojo lygmens paketuose teikiami duomenys apie VP paklausą ir pasiūlą geriausiomis kainomis, kainas (atidarymo, žemiausią, aukščiausią, uždarymo, istorines), apyvartą, sandorius, LITIN- indekso pakyčius, esminius įvykius, t.t. Antrojo lygmens paketais siunčiami visi pirmojo lygmens duomenys bei duomenys apie rinkos gylį (pasiūlą ir paklausą geriausiomis kainomis). DSS taip pat per-duodami bendrovių pranešimai apie esminius įvykius bei suvestinė prekybos sesijos statistika.

Real-time market data via DataFeed and open protocol

During the continuous trading, a DataFeed transmits stream-ing real time or delayed data on securities trading at the NSEL. Level data cover best bid/offer, open, high, low, closing prices, historical close, individual trades, volume and value data, changes in the index LITIN-, company announce-ments, etc. Level includes Level data plus information on market depth (five best bid/offer levels). Moreover, DataFeed transmits company announcements about material events and summary statistics of the trading session.

Dienos prekybos rezultatai Kiekvieną dieną pasibaigus Biržos prekybos sesijai elek-troniniu paštu ar per FTP perduodami oficialūs prekybos rezultatai: bendra prekybos sesijos statistika (pavedimų ir sandorių skaičius, apyvarta vienetais ir litais, kapitalizacija, akcijų indeksų pokyčiai, t.t.) bei suvestiniai kiekvienos VP emisijos prekybos rezultatai.

End of day trading resultsUpon completion of the trading session the NSEL daily transmits via electronic mail or FTP an official record of trad-ing results: general trading statistics (number of orders and transactions, turnover in volume and value terms, capitalisa-tion, stock index movements, etc.) and consolidated trading results of each security.

Šia proga surengtoje konferencijoje NVPB padėko-jo institucijoms ir tarptautinėms programoms, labiausiai prisidėjusioms prie Biržos plėtros, bei apdovanojo aktyviausius Lietuvos vertybinių po-pierių rinkos dalyvius.Likvidžiausiomis NVPB centrinėje rinkoje per metų pripažintos AB ,,Lietuvos telekomas” akci-jos. Apdovanojimą už aktyviausią per metų prekybą Biržoje gavo AB ,,Vilniaus bankas” ir finansų maklerio įmonė ,,Suprema”.

On September , the Exchange celebrated its th anniversary. At the conference held to mark the occasion, the NSEL extended gratitude to institutions and international programmes that had contributed to the development of the Exchange the most and conferred awards to the most active participants of the Lithuanian securi-ties market. Shares of Lietuvos Telekomas AB were recognised as the most liquid on the central market. The awards for the most active trading on the Ex-change during the ten-year period were granted to Vilniaus Bankas AB and Suprema FBF.

Bendra informacija

Nacionalinė vertybinių popierių birža buvo įsteigta m. rugsėjo d., o m. tapo AB „Nacionalinė vertybinių popierių birža“ (toliau – „Įmonė“). Pagrindinė Įmonės buveinė yra Konstitucijos pr. , Vilniuje, Lietuvoje. Įmonės pagrindinė veikla yra techninėmis ir organizacinėmis priemonėmis koncentruoti vertybinių popierių paklausą ir pasiūlą, kartu prekybos dalyviams sukuriant galimybę pagal nustatytas prekybos taisykles sudaryti sandorius.

m. Įmonėje vidutiniškai dirbo darbuotojai ( m. – darbuotojai).

Visos sumos pridedamose finansinėse ataskaitose yra pateiktos nacionaline Lietuvos valiuta, litais (Lt).

Finansinis turtas

Įmonės finansinį turtą sudaro investicijos į Lietuvos Vyriausybės vertybinius popierius bei asocijuotą įmonę.

Investicijos į ilgalaikius vertybinius popierius pradžioje pripažįstamos įsigijimo verte, o vėliau yra perkainuojamos tikrąją verte, kuri nustatoma remiantis rinkos kainomis. Nerealizuotas pelnas ar nuostolis dėl vertybinių popierių tikrosios vertės pasikeitimo yra pripažįstamas atsiradimo momentu pelno (nuostolio) ataskaitoje atitinkamai finansinės ir investicinės veiklos pajamomis arba sąnaudomis.

Investicijos į trumpalaikius vertybinius popierius apskaitomos amortizuota verte, naudojant efektyvią palūkanų normą. Į jų rinkos vertės sumažėjimą neatsižvelgiama, jeigu nemanoma, kad jis yra ilgalaikis. Palūkanos, gautos už tokių vertybinių popie-rių laikymą, pripažįstamos pelno (nuostolio) ataskaitoje finansinės ir investicinės veiklos pajamomis.

Gautinos sumos

Įmonė įvertina gautinas sumas įsisenėjimo pagrindu ir, iškilus atgaunamumo problemai, sudaro atidėjimus.

Investicijos ir terminuoti indėliai

Investicijas ir terminuotus indėlius sudaro terminuoti indėliai bankuose, trumpalaikiai Lietuvos Vyriausybės vertybiniai po-pieriai bei ilgalaikių Lietuvos Vyriausybės vertybinių popierių dalis, kurių išpirkimo terminas sueina ateinančiais finansiniais metais.

Grynieji pinigai

Įmonės grynuosius pinigus sudaro pinigai kasoje bei banko sąskaitose.

Finansavimas (subsidijos ir dotacijos)

Subsidija yra pripažįstama ir registruojama tada, kai yra pagrįstas užtikrinimas arba sprendimai, kad subsidija bus gauta.

Kapitalo subsidija iki m. buvo mažinama pardavus arba nurašius ilgalaikį turtą, kuris buvo įsigytas šios subsidijos sąskaita.

Kapitalo subsidija po m., bet iki m. buvo mažinama ilgalaikio turto, kuris buvo įsigytas šios subsidijos sąskaita, nu-sidėvėjimo sąnaudomis.

Kapitalo subsidija po m. yra pripažįstama pajamomis tais laikotarpiais, kuriais yra patiriamos ilgalaikio turto (kuris buvo gautas kaip subsidija) nusidėvėjimo sąnaudos. Kapitalo subsidija amortizuojama proporcingai jos sąskaita įsigyto ilgalaikio turto nusidėvėjimui, amortizuotą dalį pripažįstant ataskaitinio laikotarpio finansinės ir investicinės veiklos pajamomis. Kapitalo subsidijos sąskaita įsigyto ilgalaikio turto nusidėvėjimo sąnaudos pripažįstamos ataskaitinio laikotarpio finansinės ir investici-nės veiklos sąnaudomis.

Pajamų ir su jomis susijusių sąnaudų pripažinimas

Pajamos yra apskaitomos kaupimo principu, kai jos uždirbamos. Sąnaudos yra priskiriamos toms pajamoms, kurias uždirbant jos buvo patirtos.

Užsienio valiuta

Operacijos užsienio valiuta yra konvertuojamos į litus oficialiu, tą dieną Lietuvos banko nustatytu kursu, kuris apytiksliai lygus rinkos kursui. Piniginis turtas ir įsipareigojimai yra konvertuojami į litus balansino sudarymo dienos valiutos kursu. Pelnas ir nuostolis dėl valiutos kurso pasikeitimo yra pripažįstami metinėje pelno (nuostolio) ataskaitoje. Finansinių ataskaitų sudarymui buvo taikyti šie valiutų kursai.

Einamųjų metų pelno mokesčio sąnaudos yra apskaičiuotos nuo metų pelno, pakoreguoto tam tikromis pelno mokesčio nemažinančiomis (nedidinančiomis) sąnaudomis (pajamomis). Pelnas yra apmokestinamas pelno mokesčio tarifu pagal Lietuvos Respublikos mokesčių įstatymus.

. ACCOUNTING POLICIES

General information – National Stock Exchange of Lithuania was established on September and was registered in as a Joint Stock company AB National Stock Exchange (the Company). The Company’s main office is located in Konstitucijos ave. , Vilnius, Lithuania. The Company is engaged in technical and organizational support of concentrating demand and supply of securities, as well as ensuring performance of trading operations according to the trading rules.

Basis of presentation of financial statements - The financial statements have been prepared in accordance with International Financial Reporting Standards (IFRS).

The accompanying financial statements are presented in the national currency of Lithuania the Litas („LTL”).

The financial statements have been prepared on the historical cost basis, except for the revaluation of certain fixed assets and financial instruments. The principal accounting policies are set out below.

Cash and cash equivalents - Cash and cash equivalents include cash on hand and current accounts in banks as well as cash on term deposits with reliable banking institutions with original maturity within three months.

Leasing – Leases are classified as finance leases whenever the terms of the lease transfer substantially all the risks and rewards of ownership to the lessee. All other leases are classified as operating leases.

The Company as lessee – Rentals payable under operating leases are charged to income on a straight-line basis over the term of the relevant lease.

Foreign currency - Transactions denominated in foreign currency are translated into LTL at the official Bank of Lithuania exchange rate on the date of the transaction, which approximates the prevailing market rates. Monetary assets and liabilities are translated at the rates of exchange on the balance sheet date. Profit and loss arising on exchange is included in income statement for the year. The applicable rates used for the principal currencies as of December were as follows:

Fixed Assets – Fixed assets including intangible and tangible fixed assets are stated in the balance sheet at their revalued amounts less any subsequent accumulated depreciation (amortization) and subsequent accumulated impairment losses. De-preciation (amortization) is charged to the income statement so as to write-off the cost or valuation of fixed assets over their estimated useful lives, using the straight line method, on the following basis:

On the subsequent sale or retirement of a revalued property, the attributable revaluation surplus remaining in the revalua-tion reserve is transferred directly to retained earnings.

The gain or loss arising on the disposal or retirement of an asset is determined as the difference between the sales proceeds and the carrying amount of the asset and is recognized in income statement.

Impairment – At each balance sheet date, the Company reviews the carrying amounts of its tangible assets and intangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If such indication ex-ists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any). Where it is not possible to estimate the recoverable amount of an individual asset, the Company estimates the recoverable amount of the cash-generating unit to which the asset belongs.

If the recoverable amount of an asset (or cash-generating unit) is estimated to be less than its carrying amount, the carry-ing amount of the asset (cash-generating unit) is reduced to its recoverable amount. Impairment losses are recognized as an expense immediately, unless the relevant asset is carried at a revalued amount, in which case the impairment loss is treated as a decrease of the revaluation reserve.

Where an impairment loss subsequently reverses, the carrying amount of the asset (cash-generating unit) is increased to the revised estimate of its recoverable amount, but so that the increased carrying amount does not exceed the carrying amount that would have been determined had no impairment loss been recognized for the asset (cash-generating unit) in prior years. A reversal of an impairment loss is recognized as income immediately, unless the relevant asset is carried at a revalued amount, in which case the reversal of the impairment loss is treated as a revaluation increase.

Government grants – Non-monetary grants are stated at the fair value of the fixed assets received. The grant is recognized as income on a straight-line basis over the life of a depreciable asset by way of a reduced depreciation charge.

Investment in associate - An associate is an enterprise over which the Company is in a position to exercise significant influ-ence, but not control, through participation in the financial and operating policy decisions of the investee. The Company records its investment in the investee at cost. The Company recognizes income only to the extent that it receives distributions from the accumulated net profits of the investee arising subsequent to the date of acquisition. Distributions received in excess of such profits are considered a recovery of investment and are recorded as a reduction of the cost of the investment.

Financial instruments – Financial assets and financial liabilities are recognized on the Company’s balance sheet when the Company has become a party to the contractual provisions of the instrument.

Trade receivables are stated at their nominal value as reduced by appropriate allowances for estimated irrecoverable amounts.


Term deposits are initially recognized at cost. Subsequently term deposits that the Company has the expressed intention and ability to hold to maturity are measured at amortized cost, less any impairment loss recognized to reflect irrecoverable amounts.

Trade payables are stated at their nominal value.

Credit risk – The Company’s credit risk is attributable to its trade and other accounts receivable. The amounts presented in the balance sheet are net of allowances for doubtful receivables estimated on prior experience.

The credit risk of liquid funds (cash and term deposits) is limited because the counterparties are banks with high credit rat-ings assigned by international credit-ratings agencies.

The Company has no significant concentration of credit risk, with exposure spread over a number of counterparties and customers.

Fair value of financial instruments – Fair value represents the amount at which an asset could be exchanged or liability set-tled on an arm’s length basis. Where, in the opinion of the management, the fair value of financial assets and liabilities differs materially from their book value, such fair values are separately disclosed in the notes to the financial statements.

Debt securities – The Company classifies debt securities into the following two categories: held-to-maturity and available-for-sale assets. Debt securities with fixed maturity where management has both the intent and the ability to hold to maturity are classified as held-to-maturity. Debt securities and intended to be held for an indefinite period of time, which may be sold in response to needs for liquidity or changes in interest rates, exchange rates or equity prices are classified as available for sale. Management determines the appropriate classification of its investments at the time of the purchase.

Debt securities are initially recognized at cost (which includes transaction costs). Available-for-sale financial assets are sub-sequently re-measured at fair value based on quoted bid prices or amounts derived from cash flow models. Fair values for unquoted equity instruments are estimated using applicable price/earnings or price/cash flow ratios refined to reflect the specific circumstances of the issuer. Unrealized gains and losses arising from changes in the fair value of securities classified as available-for-sale are recognized as they arise in the income statement. When the securities are disposed of or impaired, the related accumulated fair value adjustments are included in the income statement as gains and losses from debt securities.

Held-to-maturity debt securities are carried at amortized cost using the effective yield method, less any impairment loss recognized to reflect irrecoverable amounts.

A financial asset is impaired if its carrying amount is greater than its estimated recoverable amount. The amount of the impairment loss for assets carried at amortized cost is calculated as the difference between the assets carrying amount and the present value of expected future cash flows discounted at the financial instrument’s original effective interest rate. By com-parison, the recoverable amount of an instrument measured at fair value is the present value of expected future cash flows discounted at the current market rate of interest for a similar financial asset.

Interest earned whilst holding debt securities is reported as interest income. Dividends receivable are included separately in income from trading securities and debt securities held for trading and available for sale when a dividend is declared.

All regular way purchases and sales of debt securities are recognized at trade date, which is the date that the Company commits to purchase or sell the asset. All other purchases and sales are recognized as derivative forward transactions until settlement.

Revenue recognition and related expenses - Revenues are recognized as income on an accrual basis when earned. Expenses are charged to operations as incurred.

Taxation – Income tax expense represents the amount of the tax currently payable and deferred tax. The tax currently pay-able is based on taxable profit for the year. Taxable profit differs from net profit as reported in the income statement because it excludes items of income or expense that are taxable or deductible in other years and it further excludes items that are never taxable or deductible. The Company’s liability for current tax is calculated using tax rates that have been enacted by the balance sheet date.

Deferred taxes arise from timing differences in the recognition of revenue and expenses for tax and financial reporting pur-poses.
