Dear AmCham Members, Partners, and Guests,

The American Chamber of Commerce in Morocco celebrates its 45th Anniversary this year.Founded in 1966, the AmCham today has an impressive list of close to 300 active membersengaged in almost every sector of the Moroccan economy. We are proud of our history andlook forward to an exciting future as we seek to build stronger business ties between Moroccoand the United States.

We are equally proud of the special relationship that has developed between our twocountries as we celebrate 225 years since the ruler of Morocco, Sultan Sidi Mohammed benAbdellah, sealed a Treaty of Peace and Friendship with the United States in 1786. It is believedto be the oldest unbroken treaty relationship still in force in the world.

2011 was an exciting year for the AmCham. Our greatest achievement was the institutionalizationof a constructive and permanent dialogue with the Moroccan Government with a view toimproving the business climate for our members and prospective investors. We look forwardto continuing this dialogue in 2012 with the newly elected government to which we extendour sincere congratulations.

Over the past year we hosted several Ministers who we worked closely with in promotingbusiness opportunities for U.S. companies including Minister Ahmed Reda Chami, MinisterAziz Akhanouch, Minister Nizar Baraka and Minister Nouzha Skalli. We thank them for theircooperation and support. We also had frequent productive talks with ICPC, OMPIC and CNEAadvocating business environment concerns raised on behalf of our members.

For the upcoming year we will take advantage of our AmCham MENA membership to buildregional ties and to promote opportunities. We look forward to working with the U.S.Commercial Service and will actively lend our support to the landmark Morocco Atlantic BridgeInitiative. We will continue listening to our members and will work with you to achieve greaterbusiness successes both in Morocco and the U.S. We welcome your participation and suggestions.

U.S. - MOROCCO FRIENDSHIP TREATY (1787-2011)



AmCham Members:

I wish to congratulate Managing Director Rabia Elalama, the Board of Directors, and the AmCham Memberson another successful year. AmCham’s educational programs, advocacy, and public events all contributeto an improved business climate, which fosters increased bilateral trade.

On October 31, 2011, the U.S. and Foreign Commercial Service signed the Morocco Atlantic Bridge Initiativewith the Moroccan Ministry of Foreign Trade. This Initiative, modeled after a similar Hong Kong PacificBridge Initiative, will focus on educating U.S. industry about Morocco’s export platform. My office inCasablanca will coordinate programs between our 108 offices located throughout the 50 states withMorocco’s export promotion agencies, from both the public and private sectors. This includes AmCham.Together, we will encourage U.S. companies to use Morocco’s export infrastructure in order to expand intoNorth Africa, Sub Saharan Africa and the European Union. We have already begun work on a programaddressing one of the key sectors identified in the Initiative and we have identified a Moroccan trade showfor potential certification by the U.S. Department of Commerce.

The U.S. Commercial Service works closely with American Chambers of Commerce around the world andmy office is very glad to support AmCham’s activities and events here in Morocco. We encourage eachcompany we counsel to become AmCham members and to take full advantage active membership.

Mission statement

AmCham Morocco’s mission is to provide support to businesses, Moroccan and American, in expanding their opportunities ineach market through advocacy, information, networking and.

Background

The American Chamber of Commerce in Morocco (AmCham Morocco) is a non-profit, non government organization whichrepresents American and Moroccan businesses and individuals.

AmCham was established in 1966 by a network of Moroccan and American businesses under the auspices of the US Chamberof Commerce in Washington, D.C.

AmCham membership totals 300 members, of which 55% are Moroccan, 40% American, and 5% other nationalities. Memberssupport AmCham operations through annual dues (DH 5 000 per year); the Chamber receives no governmental, outside financialsupport, or subsidies.

Structure

The Chamber is governed by an elected Board, comprised of the presidents of leading U.S. companies established in Moroccoand of Moroccan companies doing business with the U.S. and ex-officio members representing the U.S. government in Moroccoand the AmCham Managing Director.

AmCham Morocco has four fulltime staff that manages the day-to-day operations of the central office, coordinates events andpublications, handles information requests, processes membership applications, and performs specialized research.

The Chamber's annual workload is accomplished through four standing committees with different focuses: Advocacy, CorporateSocial Responsibility, Education and Events.

These committees provide a forum for AmCham members to raise concerns about the business climate and draft positionpapers to solicit government action on concerns such as IPR, taxes, custom duties, corruption, unfair competition, cross regionaltrade, education, human resources and other concerns raised by the membership. AmCham members are invited to join oneor more committees of their choice from the following:

Advocacy Committee

Chairperson: Danielle Tobias

The Advocacy committee leads the Chamber's advocacy and policy initiatives, identifies and researches key business andeconomic issues, and coordinates the Chamber's internal and external activities in developing the economic and investmentclimate in Morocco. The committee also promotes Free Trade Agreement and identifies obstacles to trade and investmentbetween Morocco and the United States.

Education Committee

Chairperson: Karl Stanzick

Education committee deals primarily with Al Akhawayn University Partnership and works in close cooperation with the Universityto oversee a joint endowment fund with the goal of enhancing public and private sector management capacity in Morocco.The committee works also with Moroccan Universities and NGOs such as Injaz Al Maghrib, Sife, EFE and others.

AmCham members can obtain advocacy support if they are facing business concerns such as IPR infringement, unfaircompetition and other trade or investment barriers. This program, exclusivelyfor business visas, reserves visa appointments at the Consulate on the 1st and 3rd Wednesday of every month for theemployees of AmCham member companies and their families, simplifying and shortening the visa process.

AmCham-OCP Trade and Investment Awards 2010



Jacob Delafon, GE Healthcare and Aydan sarl are the winners of theUS-Morocco trade and investment Award 2010.

The AmCham-OCP Trade and Investment Awards 2010 were givenat the AmCham gala ball attended by Minister Chami, MinisterNezha Skalli and Ambassador Kaplan.

Jacob Delafon won the U.S. Investment Award, winning citationsincluded:

- The Company invested DH 269.330.000,00 between 2007 and2010 to expand its production unit. This expansion helped to doublethe current production capacity to 1.5 million pieces per year andto launch new products such as shower extra plates and bowls withwater and energy savings up to 30%.

- Jacob Delafon plant has been classified among the biggest 10factories in Africa and Europe.

- The Company employs 570 people and has created a total of 120new jobs between 2007 and 2010.

- The Company is certified ISO 9000 and ISO 14000.

- The Company has audited accounts

- The Company supports several charities including SOS Villagethroughout the country.

- The arguments used are: source from Morocco and avoid payinghigh duty rates of up 32% - use Morocco-USA FTA.

- Buyers are impressed with the company’s DVD and leaflets aboutsourcing from Morocco.

On February 14th

, 2011, AmCham hosted a roundtable for a U.S.Department of State delegation and AmCham members to discussthe recent U.S. Government initiative baptized the “U.S.-North AfricaPartnership for Economic Opportunity (NAPEO)”. NAPEO was launchedat the U.S. Maghreb-Entrepreneurship Conference held in Algeria inDecember 2010 and is composed of five following core cross-borderbusiness initiatives:North Africa Young Business Leaders and Associations Network:This initiative aims to increase cross-border links among young andemerging entrepreneurs in the Maghreb and investors in the UnitedStates through a comprehensive social networking platform.North Africa Leadership and Training Academy: This initiativewill offer an integrated menu of regional leadership, entrepreneurshiptraining, and education-to-employment programs and activities.North Africa Innovation and Technology Incubator: This initiativeis designed to promote science and math training, as well as start-ups and new cross-border business ventures from young and aspiringMaghreb entrepreneurs in innovative and new technology sectors.North Africa Creative Industries Incubator: This initiative isdesigned to support cultural entrepreneurs who have the potentialto contribute to job creation and local development but who requireadditional business training. This initiative will also facilitate greaterprofessional linkages between artists and cultural professionals inthe U.S. and North Africa.North Africa Center for Excellence on Entrepreneurship: Thisinitiative will allow teams of regional experts and academics fromMaghreb countries and the Maghreb Diaspora to conduct regionalresearch and data collection. Partners will also create a regionalbusiness school network to link with business schools in the UnitedStates. AmCham-US Embassy roundtable to present the US- North AfricaPartnership for Economic Opportunity (NAPEO).

US Consul General Elisabeth Millard hosted a farewell dinner forAmCham President Kamal Kassis and his spouse Helene. Kamal Kassiscompleted his mission in Morocco as International Executive andGeneral Manager for General Electric North Africa and has resignedfrom his position as Chairman of the AmCham effective February28

th, 2011.

AmCham Board of Directors acknowledged and recognized KamalKassis for his outstanding commitment and service as AmCham activemember since 1995, Treasurer from 2000 to 2007 and AmChamPresident from November 2007 to February 2011.Kamal Kassis was commissioned by the Board of Directors to serveas AmCham lifetime Honorary President. AmCham Board of Directorsdecided to co-opt Mr. Pascal Houdayer, Director General of Procterand Gamble North West Africa, as Chairman of the Board in his placewith effect from March 1

On March 25th, a delegation composed of U.S. Ambassador Samuel

During this visit, the President of Bayti, Doctor Jaouad Chouaib andhis staff briefed the delegation on Bayti’s mission and daily work tohelp abandoned children aged between 5 and 18 years. The US Embassy announced at a meeting hosted by AmCham, aUS$ 9000 Intellectual Property Right grant for Morocco. The purposeof this grant is to support an outreach program aiming at disseminatinginformation regarding the dangers of counterfeit medicines andhygiene products and highlighting the costs to the Moroccan economy.This grant came as a response to recent events and seminarsundertaken by OMPIC which have successfully highlighted theseissues among various IPR stakeholders, both in government andprivate sector.

AmCham will play a key role in raising matching funds from variousstakeholders and implementing this program.

A consultancy meeting took place on September 9th to discussindustry concerns and action plan.

AmCham, Citibank and U.S. Embassy visited the NGO Baytiin presence of US Ambassador Samuel Kaplan.

The 15th edition of the AmCham Golf Challenge, which was held at

the Royal Golf Course of Mohammedia, attracted 14 teams andindividual players from a wide range of AmCham member companiesand U.S. diplomats in a delightful natural setting. Players rangingfrom experienced golfers to relative novices took part in this good-natured contest that has become an annual tradition, and the longhours on the green were followed by a buffet dinner and cocktailsprepared by the Royal Golf Chef.

Pascal Houdayer, AmCham President reported that he met withAmCham Algeria President and Executive Director to discussbilateral cooperation both in terms of advocacy on behalf ofU.S. Companies in the region and regional market development.It has been suggested to host a regional meeting involvingMaghreb AmChams and U.S. companies from each country toset an action plan for advocacy and regional collaboration. Atthe end of the meeting, Pascal Houdayer announced hisdeparture from Morocco and his resignation from the AmChamBoard. The Board thanked Pascal for his service as AmChamactive member since 2008 and President of the Board sinceFebruary 2011.

Walter Siouffi co-opted President ofthe AmCham Board of Directors.

Walter Siouffi is Citi’s Managing Directorfor Morocco, Tunisia and Libya and GeneralManager for Citibank Maghreb, Citi’sbanking subsidiary in Morocco with branchesin Casablanca and Rabat. The bank engagesin delivering a wide range of corporate andinvestment banking services to large localcompanies, multinationals, public sector

clients and financial institutions. Prior to his current assignment, Walterwas General Manager for Citi in Lebanon from 2005 to 2010 where thebank operates a licensed branch engaging in corporate and investmentbanking activities. During the same period, he served as a Board memberfor the Lebanese American Chamber of Commerce and the MENAAmcham when Lebanon was host. His banking career spans over 20years holding various positions in structured finance, corporate banking,risk management and treasury for the Royal Bank of Canada in Montreal,Toronto, and Tokyo and American Express Bank in Paris and Beirut beforejoining Citi in 2000. Walter Siouffi holds a Bachelor degree in Commercefrom Concordia University in Montreal.

Brian Shukan assumed responsibility as UnitedStates Consul General in Casablanca,Morocco on July 31, 2011. Prior to arrivingin Casablanca, Mr. Shukan attended the U.S.Naval War College in Newport, Rhode Island. His previous overseas assignments includeservice at the U.S. Embassies in Ghana, Iraq,Saudi Arabia, Luxembourg, and Benin. Healso served as Saudi Arabia Desk Officer at the Department of Statein Washington, D.C. Mr. Shukan received a B.A. in History andPhilosophy from the University of Wisconsin-Madison, a J.D. fromWashington University in St. Louis, and an M.A. in National Securityand Strategic Studies from the Naval War College. He also attendedthe State Department’s Arabic Field School in Tunis, Tunisia. Mr. Shukanis from Longmeadow, Massachusetts, and is an avid New Englandsports fan. He is married to Clare Voisey Shukan and has two children.Mr. Shukan attended his first AmCham Board meeting on September22nd. He looks forward to meeting more of you at upcoming AmChamevents. On October 27-31, a delegation, led by Lorraine Hariton,Special Representative of the US State Department, andsponsored by Partners for a New Beginning (PNB USA) andthe North Africa Partnership for Economic Opportunities(NAPEO) visited Morocco, Tunisia and Algeria. PNB is a collectionof public-private partnerships committed to broadening anddeepening engagement between the United States and localcommunities abroad. The U.S North Africa Partnership forEconomic Opportunity is a regional partnership of PNB(PNB-NAPEO) and focuses on supporting locally owned andlocally driven partnerships and projects in the Maghreb in theareas of entrepreneurship, education, science and technologyand exchange. There are currently local chapters in Morocco,Algeria and Tunisia.

The objective of the delegation was to promote and deepenrelations between U.S. investors and their local counterpartsin emerging markets and develop local talent in Morocco andthroughout the Maghreb region. The main focus wasinnovation and the program they delivered included pitchsessions and mentoring workshops to promote the mostpromising entrepreneurs in Morocco. Over fifteen promisingstartups presented their projects and several youngentrepreneurs participated in individual mentoring meetings.The delegation also organized panel discussions and mentoringsessions involving angel investors with local institutions.

Members of the delegation were entrepreneurs and investorsin the technology of Silicon Valley in addition to representativesfrom across the United States, including Miami, New Yorkand Detroit (Michigan), home to the largest Arab-Americaninvestors.

The U.S. delegation presented the Award of Innovation tothe young Moroccan entrepreneur Yassine El Kachchani,founder of Flexcible, a Moroccan company in the softwaredevelopment. The winner presented an original concept ofmobile applications for catering companies in Morocco.Thanks to this award, Mr. El Kachchani will benefit from a three-

month training and mentoring program at TechTownincubator in Detroit, Michigan. The Innovation award is a jointcontribution of TechTown, Wayne State University, theAmerican-Arab Chamber of Commerce in Dearborn and theU.S. State Department.

The Delegation also selected two young entrepreneurs among15 start-ups for their exceptional presentation “High potentialpitch session”. The two companies are: Alamjadid, a socialnetworking site designed to connect users of social media inMorocco in Arabic, which extend to the rest of North Africaat a later stage, and the young company Salvem, a producerof ready-to-eat ethnic food for European and North Americanmarkets.

Driss Temsamani, a Moroccan born banker based in the USwho participated in the delegation shared the followingfeedback with us on the experience. “Acting as CitizenAmbassadors, our primary mission was to foster and deepenrelationships between the U.S. and the Maghreb countriesduring the height of the Arab Spring and the fluid geopoliticallandscape of the region. The first country we visited wasMorocco, where Ambassador Samuel L. Kaplan gave thedelegation an overview of the country's investment andpolitical climate. We then proceeded to conduct severalone-on-one entrepreneur mentoring sessions, startups' businessplans pitches and institutional and NGOs workshops. We alsohosted business angel roundtables and mentoring sessionswith local institutions that mentor entrepreneurs in Morocco.Lastly, we held a Success Stories Town Hall at the Techno-Parkin Casablanca with Ahmed Reda Chami, Morocco's Ministerof Industry, Commerce, and New Technologies. While Morocco,Algeria and Tunisia manifested different business regulatorylandscapes and market opportunities, there was a commonentrepreneurial theme that energized members of thedelegation who showed a high level of interest in continuedmentoring, best practices sharing and promoting investmentsin the Maghreb region.”

Morocco Atlantic Bridge Initiative is an agreement between the US Foreign Commercial Services (US FCS) and theMoroccan Ministry of Foreign Trade. It is aimed at encouraging US companies to use Morocco's export platformfor access to Middle East, North Africa, Sub Saharan Africa and the European Union. The Morocco Atlantic BridgeInitiative has been modeled after similar Hong Kong Pacific Bridge Initiative signed in November 2010.

Morocco Bridge Initiative was signed By Minister Abdellatif Maazouz and Ambassador Kaplan on October 30th,2011 in presence of key partners and stakeholders. AmCham is called to plas including AMDI, mCham took placeon Monday, October 17th at the Ministry of Foreign Trade in Rabat. The signing of the statement of intent isscheduled for October 31st.

Morocco Atlantic Bridge Initiative

The U.S.-North Africa Partnership for Economic Opportunities (NAPEO) is a U.S. Government initiative that waslaunched at the U.S. Maghreb-Entrepreneurship Conference held in Algeria in December 2010 and is composedof five following core cross-border business initiatives:

North Africa Young Business Leaders and Associations Network:This initiative aims to increase cross-border links among young and emerging entrepreneurs in the Maghreb andinvestors in the United States through a comprehensive social networking platform.

North Africa Leadership and Training Academy:This initiative will offer an integrated menu of regional leadership, entrepreneurship training, and education-to-employment programs and activities.

North Africa Innovation and Technology Incubator:This initiative is designed to promote science and math training, as well as start-ups and newcross-border business ventures from young and aspiring Maghreb entrepreneurs in innovative and new technologysectors.

North Africa Creative Industries Incubator:This initiative is designed to support cultural entrepreneurs who have the potential to contribute to job creationand local development but who require additional business training. This initiative will also facilitate greaterprofessional linkages between artists and cultural professionals in the U.S. and North Africa.

North Africa Center for Excellence on Entrepreneurship:This initiative will allow teams of regional experts and academics from Maghreb countries and the Maghreb Diasporato conduct regional research and data collection. Partners will also create a regional business school network tolink with business schools in the United States.

President Barack Obama signed the Food Safety Modernization Act (FSMA)into law on January 4th, 2011. FSMA mandates significant changes thatshould markedly improve the safety of U.S. food supply. The Act is focusedon prevention of those problems that can make people sick. This, however,requires that everyone in today’s global food chain be a responsible andaccountable partner, at each step, for controlling hazards that can causeillness. We believe that this is a historic Act that will:1. Involve the creation of a new food safety system;2. Broaden prevention mandate and accountability;3. Create a new system of import oversight;4. Emphasize partnerships; and5. Emphasize farm-to-table responsibility.

Ms. Amel Bouchamaoui, President of the Tunisian American Chamber of Commerce is the new AmCham MENACouncil Chair. Upon her nomination as Council Chair, Ms. Bouchamaoui pledged to actively work on strengtheningthe ties between members of the different AmChams, consolidate the MENA business network, pay special attentionto events offering interaction between the MENA region business community and potential US partners, as wellas to launch a number of regional sectoral committees to serve AmCham members in different sectors.

For your information, AmCham MENA Council is composed of the American Chambers of Commerce in Egypt,Lebanon, Jordan, Morocco, Tunisia, Algeria, Bahrain and Abu Dhabi.

ARTICLE 14The commerce with the United States shall be on the same footing as is the commerce with Spain,or as that with the most favored nation for the time being; and their citizens shall be respected andesteemed, and have full liberty to pass and repassour country and seaports whenever they please, without interruption.

ARTICLE 15Merchants of both countries shall employ only such interpreters, and such other persons to assistthem in their business, as they shall think proper. No commander of a vessel shall transport his cargoon board another vessel; he shall not be detained in port longer than he may think proper; and allpersons employed in loading or unloading goods, or in any labor whatever, shall be paid at thecustomary rates,not more and not less.

ARTICLE 18All goods shall be weighed and examined before they are sent on board, and to avoid all detentionof vessels, no examination shall afterwards be made, unless it shall first be proved that contrabandgoods have been sent on board, in which case, the persons who took the contraband goods onboard, shall be punished according to the usage and custom of the country, and no other personwhatever shallbe injured, nor shall the ship or cargo incur any penalty or damage whatever.
