Terms & conditions1. “OMETRIA” The Event is organised, created and hosted by

Ometria Ltd (“Ometria”), a company incorporated and registered in England and Wales under company number 08372083 whose registered office is at 3.01, The Tea Building, 56 Shoreditch High Street, London E1 6JJ. Ometria’s VAT number is 159146786.

2. INTERPRETATION The following definitions and rules of interpretation

apply in this agreement.2.1. “Applicable Laws” means the laws of England and

Wales and any other laws or regulations, regulatory policies, guidelines or industry codes which apply to the exercise of the parties’ rights or the performance of their obligations

2.2. “Attendees” means attendees of the Event2.3. “Commencement Date” means the date of the

Registration Form 2.4. “Commercial Rights” means any and all rights of a

commercial nature connected with the Event, including without limitation, image rights, broadcasting rights, new media rights, endorsement and official supplier rights, sponsorship rights, merchandising rights, licensing rights, advertising rights and hospitality rights.

2.5. “Confidential Information” means information disclosed by or on behalf of the Ometria to the Sponsor under or in connection with this Agreement which is marked as confidential, or which Ometria has indicated to the Sponsor is confidential, or which would be regarded as confidential by a reasonable business person, including all know-how, trade secrets, financial, commercial, technical, tactical or strategic information of any kind.

2.6. “Data Protection Legislation” means all applicable data protection and privacy legislation in force from time to time in the UK, including the General Data Protection Regulation ((EU) 2016/679); the Data Protection Act 2018; the Privacy and Electronic Communications Directive 2002/58/EC (as updated by Directive 2009/136/EC) and the Privacy and Electronic Communications Regulations 2003 (SI 2003 No. 2426) as amended; any other European Union legislation relating to personal data and all other legislation and regulatory requirements in force from time to time which apply to a party relating to the use of Personal

Data (including, without limitation, the privacy of electronic communications)

2.7. “Data Subject” has the meaning given in the Data Protection Legislation

2.8. “Event” means Ometria’s LifeCycle event, which is to take place on 16 and 17 October 2019 at the Venue.

2.9. “Event Marks” means Ometria’s Marks and the Designation used singularly or collectively in association with the Event including character marks and/or figurative marks whether registered as trademarks or otherwise

2.10. “Force Majeure Event” has the meaning given in Clause 142.11. “Intellectual Property Rights” means patents, rights to

inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

2.12. “Ometria’s Marks” means the Ometria Lifecycle logo to be used for all promotion, advertising and marketing of the Event together with any associated artwork, design, slogan, text and other collateral marketing signs of Ometria – as agreed with Ometria in writing from time to time, that are to be used in connection with the Event.

2.13. “Purpose” the marketing to Attendees of the goods or services of the Sponsor or Ometria’s Event, future events and goods and services.

2.14. “Registration Form” means the form agreed between the Sponsor and Ometria’s events director setting out the scope of sponsorship for the Event

2.15. “Shared Data” a list of Attendees (which may include some or all of the Attendee’s name, address, job role/title, email address) who have consented to their personal data being shared with Sponsors

2.16. “Sponsor” means the person or entity identified on the Registration Form

2.17. “Sponsor’s Event Materials” means any advertising

or promotional materials or products produced by or on behalf of the Sponsor which associate the Sponsor or the Sponsor’s Products with the Event, or which incorporate or are distributed in association with the Event Marks

2.18. “Sponsorship Arrangements” means the rights granted to and the arrangements agreed with the Sponsor as set out in Registration Form, which includes the licence of the Event Marks granted in Clause 3.3.1

2.19. “Sponsorship Fee” means the amount specified in the Registration Form agreed between the Sponsor and Ometria

2.20. “Sponsor’s Marks” means any trademarks, character marks and/or figurative marks whether registered as trademarks or otherwise accompanying artwork, design, slogan, text and other collateral marketing signs of the Sponsor

2.21. “Term” means from the Commencement Date until midnight on 17 October 2019

2.22. “VAT” means value added tax chargeable in the UK2.23. “Venue” means the premises where the Event is to take

place, which are situated at Printworks, Surrey Quays Road, Rotherhithe, London SE16 7PJ

3. GRANT OF RIGHTS AND RESERVATIONS 3.1. Ometria grants: 3.1.1. a licence to use the Event Marks; and 3.1.2. the Sponsorship Arrangements. during the Term and in accordance with the terms and

conditions set out in this agreement.3.2. All rights not expressly granted to the Sponsor under

this agreement are reserved to Ometria. The Sponsor acknowledges and agrees that:

3.2.1. Ometria is the owner or controller of the Commercial Rights and of all rights in the Event Marks;

3.2.2. Ometria shall be entitled to enter into as many sponsorship arrangements with any other third parties as Ometria, in its sole discretion, wishes for the Event. The Sponsor agrees that the Ometria shall not be, nor considered to be, nor deemed to be, in breach of any provision of this agreement as a result of entering into those arrangements.

Terms & conditions3.3. The Sponsor grants and Ometria accepts a worldwide,

sub-licensable, non-exclusive, royalty free licence to use the Sponsor’s Marks:

3.3.1. during the Term; and3.3.2. in perpetuity to promote and exploit the Event in any

format and media whether now known or yet to be invented (including in a computer game, on a website or mobile-device application) including by use on promotional material and merchandising.

4. TERM This agreement shall commence on the

Commencement Date and shall continue, unless terminated earlier in accordance with Clause 13, for the Term when it shall terminate automatically without notice.

5. SPONSORSHIP FEE 5.1. In consideration of the Sponsorship Arrangements

granted to the Sponsor, the Sponsor shall pay to Ometria the Sponsorship Fee.

5.2. Subject to clause 5.3, the Sponsorship Fee is payable within 30 days of the date of the invoice which Ometria will send to the Sponsor on the Sponsor’s signing of the Registration Form.

5.3. All Sponsorship Fees payable under this agreement are required, in any event, to be paid at least three weeks before the Event. Where monies are outstanding three weeks before the Event or where 6.1.5 or 6.1.6 below have not been complied with, Ometria reserves the right to refuse the Sponsor attendance at the Event.

5.4. The Sponsor acknowledges that sponsorship of the Event is on a first come first served basis and that Ometria is not bound by the terms of this Agreement nor to appoint the Sponsor as a sponsor for the Event until Ometria receives payment of the Sponsorship Fee in full.

6. OBLIGATIONS OF THE SPONSOR 6.1. The Sponsor undertakes to the Ometria:6.1.1. to exercise the Sponsorship Arrangements strictly in

accordance with the terms of this agreement. For the avoidance of doubt, the Sponsor shall not be entitled to use or exploit any of the Commercial Rights (other than the Sponsorship Arrangements) in any other way;

6.1.2. to comply with all requirements and obligations imposed on Ometria and the Sponsor in Ometria’s agreement with Venue Lab Limited t/a Printworks London (“Venue Agreement”). On request from the Sponsor, Ometria will make a redacted copy of the Venue Agreement available to the Sponsor;

6.1.3. where requested by Ometria, to submit to Ometria for its prior written approval, not to be unreasonably withheld or delayed, pre-production samples or drawings of all the Sponsor’s Event Materials, before their distribution, production or sale and to ensure the Sponsor’s Event Materials comply with Ometria approved sample or drawing;

6.1.4. to comply with all Applicable Laws, including but not limited to all data protection laws and requirements, relevant to the exercise of its rights and the performance of its obligations under this agreement;

6.1.5. to provide to Ometria, at the Sponsor’s sole cost and expense, all suitable material including artwork of the Sponsor’s Marks in a format and within print deadlines reasonably specified by Ometria for it to be reproduced under the control of Ometria for the fulfilment of the Sponsorship Arrangements;

6.1.6. to procure that the Sponsor’s employees, agents and/or any individual who will be acting on behalf of the Sponsor or will be in attendance at the Event completes Ometria’s GDPR compliance forms and copyright release forms which will be provided one week before the event;

6.1.7. to ensure that the Sponsor’s employees, agents and/or any individual who will be in attendance at the Event acts with in the manner expected of a professional entity.

6.1.8. where agreed on the Registration Form will assemble and disassemble, at the Sponsor’s own cost and expense, any stand or display, at a time and date to be agreed with the Ometria event director, with due skill and care and with attention to health and fire safety standards or requirements from the Venue. Should the Venue request any amendment to the set-up or assembly of the stand or display, the Sponsor will as soon as possible comply with any requirements;

6.1.9. to remove from the Venue and dispose of any rubbish or bi-product of the stand or display in a responsible manner at the end of the Event;

6.1.10. where agreed on the Registration Form that the

Sponsor will provide Sponsor Event Materials, where requested by Ometria in writing to make these available at least one working week ahead of the Event;

6.1.11. not to apply for registration of any part of the Event Marks or anything confusingly similar to the Event Marks as a trade mark for any goods or services;

6.1.12. not to use the Event Marks or any part of them or anything confusingly similar to them in its trading or corporate name or otherwise, except as authorised under this agreement;

6.1.13. not to do or permit anything to be done which might adversely affect any of the Commercial Rights or the value of the Commercial Rights;

6.1.14. to provide all reasonable assistance to Ometria in relation to Ometria’s exploitation of the Commercial Rights;

6.1.15. to use its best endeavours to assist Ometria in protecting the Event Marks and not to knowingly do, or cause or permit to be done, anything which may prejudice or harm or which has the potential to prejudice or harm the Event Marks or the Ometria’s title to the Event Marks or the image of the Event, the Ometria or the Venue;

6.1.16. to notify Ometria of any suspected infringement of the Event Marks, but not to take any steps or action whatsoever in relation to that suspected infringement unless requested to do so by the Ometria;

6.1.17. to execute any further documentation and provide any assistance, both during the Term and after termination, as may reasonably be requested by the Ometria to protect the Event Marks. This may include recording the terms of this agreement or any understanding or obligation under this agreement on any trade mark register or other register, or in any other way.

6.2. The Sponsor has no right to sub-licence, assign or otherwise dispose of any of the Sponsorship Arrangements without Ometria’s prior written consent.

6.3. The Sponsor shall not engage in joint promotions with any third party in relation to the Event without

6.4. The Sponsor shall vacate the Venue (including derigging) before 23:00 on 17 October 2019.

7. OBLIGATIONS OF OMETRIA 7.1. Subject to clause 6.1.7, Ometria shall organise and hold

the Event at the Venue at its sole cost and expense in accordance with the terms of this agreement.

7.2. Ometrira will generally promote the Event.7.3. Ometria confirms that whenever possible, it will ensure

that the Sponsor’s Marks will be present in accordance with this agreement and that the Sponsor’s Marks are incorporated into promotional, advertising and publicity material.

7.4. Ometria will provide the Sponsorship Arrangements as detailed on the Sponsor’s Registration Form as agreed with the Ometria events director.

7.5. Ometria accepts that, regardless of the obligations of Ometria to promote the Event within the terms of this agreement, the Sponsor shall be entitled to advertise, publicise, promote and otherwise commercially exploit its own products, goodwill and reputation through the Sponsor’s association with the Event on and subject to the terms of this agreement.

7.6. Ometria will ensure that appropriately trained and qualified staff are used to run the Event.

8. REPRESENTATIONS AND WARRANTIES 8.1. The Sponsor warrants and undertakes to Ometria that:8.1.1. it has full authority to enter into this agreement and is

not bound by any agreement with any third party that adversely affects this agreement; and

8.1.2. it has and will maintain throughout the Term, all necessary powers, authority and consents to enter into and fully perform its obligations under this agreement.

8.2. Ometria represents to the Sponsor that:8.2.1. Ometria owns or controls the Event and the Event

Marks and that the Sponsor’s use of the Event Marks and its exercise of the other Sponsorship Arrangements in accordance with the provisions of this agreement shall not infringe the rights of any third party; and

8.2.2. it has entered into a bona fide written agreement for the use of the Venue for the Event and can grant the Sponsorship Arrangements in relation to the Venue to the Sponsor.

8.3. The Sponsor represents and warrants that:

8.3.1. it owns or is solely entitled to use the Sponsor’s Marks and any other material supplied to Ometria in relation to this agreement;

8.3.2. Ometria’s use of the Sponsor’s Marks in accordance with this agreement will not infringe the rights of any third party.

9. INDEMNITIES 9.1. In addition to clause 16.6, the Sponsor shall indemnify

Ometria against all liabilities, costs, expenses, damages and losses (including but not limited to any interest, penalties, taxes and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by Ometria arising out of or in connection with:

9.1.1. any claim made against Ometria by a third party for actual or alleged infringement of a third party’s Intellectual Property Rights or moral rights arising out of or in connection with Ometria’s use of the Sponsor’s Marks in accordance with this agreement;

9.1.2. any claim made against Ometria by a third party arising out of or in connection with the manufacture, production, distribution, assembly, arrangement, handling, advertising, consumption or use of, or otherwise relating to, the Sponsor’s Event Materials, whether or not any claim arises during the Term. For the avoidance of doubt, any approval by Ometria of any use of the Event Marks on the Sponsor’s Event Materials, relates only to the use of the Event Marks and does not amount to approval of any the Sponsor’s Event Materials and shall not affect this right of indemnification; and

9.1.3. any breach, claim or complaint against Ometria under the Venue Agreement caused by the Sponsor’s actions or omissions.

10. LIMITATION OF LIABILITY 10.1. Ometria will not be liable for losses that result from

Ometria’s failure to comply with the Agreement, tort or otherwise in conditions that fall into the following categories: loss of income or revenue; loss of business; loss of profits; loss of anticipated savings; loss of goodwill; loss of or damage to data; waste of management or office time; or any indirect, consequential or special damages, costs or expenses.

10.2. Nothing in this Agreement excludes or limits either party’s liability for death or personal injury caused

by that party’s negligence or for fraud or fraudulent misrepresentation.

10.3. Ometria’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of this Agreement shall in all circumstances be limited to the Sponsorship Fees paid by the Sponsor.

11. INTELLECTUAL PROPERTY RIGHTS 11.1. Ometria and the Sponsor acknowledge as follows:11.1.1. all rights in the Sponsor’s Marks, including

any goodwill associated with them, shall be the sole and exclusive property of the Sponsor, and, save as expressly provided in Clause 2.5, Ometria shall not acquire any rights in the Sponsor’s Marks, nor in any developments or variations of them;

11.1.2. all rights in Ometria’s Marks, including any goodwill associated with them, shall be the sole and exclusive property of Ometria and, save as expressly provided in Clause 2.1(a), the Sponsor shall not acquire any rights in Ometria’s Marks, including any developments or variations of them;

11.2. All Intellectual Property Rights in and to any materials produced for the Event by or on behalf of Ometria or jointly by Ometria and the Sponsor shall, with the exception of the Sponsor’s Marks, be the sole and exclusive property of Ometria and if the Sponsor acquires, by operation of law, title to any such Intellectual Property Rights it shall assign them to Ometria on request, whenever that request is made.

12. EVENT CANCELLATION 12.1. Ometria reserves the right to cancel the Event for any

reason (including, without limitation, by reason of a Force Majeure Event). Ometria shall notify the Sponsor of the cancellation as soon as possible. The parties agree that:

12.1.1. Ometria shall not be in breach of this agreement by virtue of that cancellation or abandonment;

12.1.2. on Ometria notifying the Sponsor of such cancellation

Terms & conditionsthis agreement shall automatically terminate and the provisions of Clause 12.2 below shall apply.

12.2. Where the Event is cancelled and a rescheduled date in 2019 or 2020 is not offered, Ometria shall refund the Sponsor the Sponsorship Fee unless the cancellation is a result of a Force Majeure Event, in which case Ometria will refund to the Sponsor a prorated amount, acting reasonably, of the Sponsorship Fee.

12.3. Where the Event is cancelled and a rescheduled date for 2019 or 2020 is offered to the Sponsor, the Sponsor will not be entitled to a refund.

12.4. The Sponsor shall not be entitled to any refunds, expenses or reimbursements other than in accordance with this clause 12.

12.5. Where Ometria deems the Venue to no longer be suitable, appropriate, safe or ideal for the Event, Ometria may change the Event Venue without prior notice to the Sponsor to one of a similar layout as the Venue.

13. TERMINATION 13.1. Ometria may terminate this agreement without

affecting any other right or remedy available to it, by giving written notice to the Sponsor if the Sponsor fails to pay any amount due under this agreement on the due date for payment and remains in default not less than 14 days after being notified in writing to make such payment

13.2. Either party may terminate the Agreement immediately at any time on written notice to the other if the other:

13.2.1. is in material or persistent breach of any of the terms of this agreement and either that breach is incapable of remedy or the other party fails to remedy that breach within 30 days after receiving written notice requiring it to remedy that breach; or

13.2.2. is unable to pay its debits (within the meaning in of section 123 of the Insolvency Act 1986), or becomes insolvent, or is subject to an order or a resolution for its liquidation, administration, winding-up or dissolution (otherwise than for the purposes of a solvent amalgamation or reconstruction), or has an administrative or other receiver, manager, trustee, liquidators, administrator or similar officer appointed over all or any substantial part of its assets, or enters

into or proposes any composition or arrangement with its creditors generally, or is subject to any analogous event or proceeding in any applicable jurisdiction

13.3. On termination or expiry of this agreement13.3.1. the Sponsorship Arrangements granted by Ometria to

the Sponsor under this agreement shall immediately terminate and revert to Ometria and each party shall promptly return to the other any property of the other within its possession or control.

13.3.2. the following clauses shall continue in force: Clause 1, 9, 10, 12, 13, 15, 16, and 26.

14. FORCE MAJEURE Neither party shall be liable to the other for any

delay or non-performance of its obligations under the Agreement arising from any cause beyond its control including, without limitation, any of the following: telecommunications failure, destruction (full or partial of the Venue), safety of the Venue, internet failure, act of God, act of a third party unless an approved sub-contractor of Ometria, governmental act, war, terrorism, fire, flood, explosion or civil commotion. For the avoidance of doubt, nothing in this clause shall excuse the Sponsor from any payment obligations under the Agreement.

15. CONFIDENTIALITY 15.1 The Sponsor agrees that it may use the Confidential

Information only in the exercise of its rights and performance of its obligations under this Agreement and that during the term of this Agreement and for a period of two years following termination of this Agreement it shall not disclose the Confidential Information except in accordance with this clause 15 and in relation to clause 17 (Announcements).

15.2 The Sponsor may disclose the other party’s confidential information to those of its employees, officers, advisers, agents or representatives who need to know the other party’s Confidential Information in order to exercise its rights or perform its obligations under this Agreement provided that the disclosing party shall ensure that each of its employees, officers, advisers, agents or representatives (“Representatives”) to whom Confidential Information is disclosed is aware of its confidential nature and complies with this clause 15 as if it were a party.

15.3 Each party may disclose any Confidential Information required by any Regulatory Body, any other authority of competent jurisdiction or under any Applicable Law.

15.4 At the absolute discretion of Ometria, Ometria reserves the right to require the Sponsor to procure that its Representatives enter into direct confidentiality agreements with Ometria prior to its distribution of the Shared Data to the Sponsor.

16. DATA PROTECTION 16.1. One week before the Event, Ometria will

provide Sponsors with a list of Attendees who have consented to their personal data being shared with the Sponsors.

16.2. This clause 16 sets out the governance of the Shared Data.

16.3. Each party shall ensure that it processes the Shared Data fairly and lawfully in accordance with the Data Protection Legislation and in accordance with clause 16.4 during the Term of this agreement.

16.4. Each party shall ensure that it has legitimate grounds under the Data Protection Legislation for the processing of Shared Data.

16.5. The Sponsor undertakes to inform the Data Subjects, in accordance with the Data Protection Legislation, of the purposes for which it will process their personal data, the legal basis for such purposes and such other information as is required by Article 14 of the GDPR including:

16.5.1. if Shared Data will be transferred to a third party, that fact and sufficient information about such transfer and the purpose of such transfer to enable the data subject to understand the purpose and risks of such transfer; and

16.5.2. if Shared Personal Data will be transferred outside the EEA that fact and sufficient information about such transfer, the purpose of such transfer and the safeguards put in place by the controller to enable the data subject to understand the purpose and risks of such transfer.

16.6. The parties each agree to provide such assistance as

Terms & conditionsis reasonably required to enable the other party to comply with requests from Data Subjects to exercise their rights under the Data Protection Legislation within the time limits imposed by the Data Protection Legislation.

16.7. The Sponsor shall not retain or process Shared Personal Data for longer than is necessary to carry out the Agreed Purposes and any event not longer than the Term.

16.8. The Sponsor shall indemnify Ometria against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by Ometria arising out of or in connection with the breach of the Data Protection Legislation by the Sponsor, its employees or agents, provided that Ometria gives to the Sponsor prompt notice of such claim, full information about the circumstances giving rise to it and reasonable assistance in dealing with the claim.

17. ANNOUNCEMENTS Other than required by law, court order or other

authority of competent jurisdiction, the Sponsor shall not make, or permit any person to make, any public announcement, communication or circular (announcement) concerning the existence, subject matter or terms of this agreement, the wider transactions contemplated by it, or the relationship between the parties, without the prior written consent of Ometria and will consult Ometria on the timing, contents and manner of release of any announcement.

18. NO PARTNERSHIP OR AGENCY 18.1. Nothing in this agreement is intended to, or shall be

deemed to, establish any partnership or joint venture between the parties, constitute any party the agent of another party, or authorise any party to make or enter into any commitments for or on behalf of any other party.

18.2. Each party confirms it is acting on its own behalf and not for the benefit of any other person.

19. THIRD PARTY RIGHTS A person who is not a party to the Agreement shall not

have any rights under or in connection with it under the Contracts (Rights of Third Parties) Act 1999.

20. VARIATION No variation of this agreement shall be effective

unless it is in writing and signed by the parties (or their authorised representatives).

21. ASSIGNMENT AND OTHER DEALINGS This agreement is personal to the parties and neither

party shall assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any of its rights and obligations under this agreement.

22. WAIVER No failure or delay by a party to exercise any right

or remedy provided under this agreement or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

23. SEVERANCE If any provision of the Agreement is judged to be

illegal or unenforceable, the continuation in full force and effect of the remainder of the provisions shall not be prejudiced.

24. ENTIRE AGREEMENT This agreement together with the Registration

Form constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

25. NOTICES All notices given by the Sponsor to Ometria must be

given to [email protected]. Ometria may give notice to the Sponsor at either the e-mail or postal address the Sponsor provides to Ometria, or any other way Ometria deems appropriate. Notice will

be deemed received and properly served immediately when posted on the Ometria Service or 24 hours after an e-mail is sent or three days after the date of posting of any letter. In proving the service of any notice, it will be sufficient to prove, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an e-mail that such e-mail was sent to the specified e-mail address of the addressee

26. GOVERNING LAW AND JURISDICTION 26.1. The Agreement shall be governed by and

construed in accordance with English law and each party hereby submits to:

26.1.1. the exclusive jurisdiction of the English courts, where the Sponsor’s registered

office is situated in England and Wales; and 26.1.2. the non-exclusive jurisdiction of the

English courts, whether the Sponsor’s registered office is outside of England and Wales.
