Thank you for discussing Enron's program to bring 60-80 Stroytrongas natural gasconstruction workers to the United States as part of the pipeline expansion program of ourNorthern Natural Gas Pipeline Company in Nebraska, which was outlined in U.S.Deprtmentof Energy Deputy Secretary Bill White's letter to Enron Chairman Ken Lay.

During our discussion, I raised a question relating to the issuing of visas to an advance groupof welders who will be receiving training regarding the U.S. pipeline welding standards priorto beginning work in Nebraska. You advised me that, recognizing the short time remainingbefore that group is to leave Moscow for the Lincoln Electric Co. training facility inCleveland, Ohio, you would be glad to work with those assisting in the filing of visaapplications on an expedited basis.

Mr. Andrew Lowenstein and Ms. Larissa Kozinova who are Enron employees located inMoscow are coordinating this effort. They are being assisted by Coleen Raker, an attorney inour Houston office and outside counsel in Houston, Harry Gee, Jr.

Two weeks ago I visited senior Mexican energy officials. I think there will be muchopportunity after the election. Enclosed all frontrunners for positions as EnergySecretary and Director General of Pemex are progressive, and market-oriented.

Of particular importance to improved Mexican air quality and increased market fornatural gas is adoption of the electricity planning document referred to as the'Prospectiva.' Enclosed is a copy. It is not yet translated into English.

I talked to Rojas and Lozoya specifically about Enron.

SUBJECT: Information: Meeting with Mr. Robert-C-'Kelly of the EnronCorporation

On July 28, 1994, representatives of my utilities' staff had the opportunityto meet with Mr. Robert C. Kelly, Executive Vice President of the EnronCorporation, and President of Enron Emerging Technologies, Inc., a subsidiarywith interests in developing technologies such as photovoltaics. Representat-ives of Energy Efficiency and Renewable Energy's Office of Solar EnergyConversion, and Office of Federal Energy Management Programs, the Office ofGeneral Counsel for Technology Transfer and Procurement, and the Office ofProcurement, Assistance, and Property also participated in the meeting. Themeeting permitted Mr. Kelly to inform us of Enron's proposal to participate inNevada's Solar Enterprise Zone.

The Nevada Solar Enterprise Zone is being pursued to promote environmental andenergy efficiency, develop new technologies for export, and to provideeconomic opportunity for the Las Vegas area. Enron's proposal is in responseto a Nevada Operations Office Request for Concepts for solar projects at theNevada Test Site. Enron's response is one of about 25 received. The Goldenfield Office will assist the Nevada Operations Office in evaluating theproposals.

Enron proposes to build, finance and operate a IO megawatt photovoltaicfacility at the Jackass Flats section of the Nevada Test Site, adding five toten megawatts per year to reach ]00 megawatts in about 15 years. They proposeselling power to DOE and other Federal agencies at rates competitive to the:ocal utility. In return, Enron would require certain commitments from DOE,such as a 30-year lease of DOE property, providing a market for the powerproduced, and indemnification against pre-existing environmental liabilitiesat the site. Additionally, Enron proposes to construct a production facilityin the Las Vegas area that would employ 50 to 100 people.

Upon completion of the subject meeting, Mr. Kelly stated that he was going tothe House of Representatives to brief the Nevada congressional delegation, andthat on Saturday, July 30, he would give the same briefing at a public meetingin Las Vegas, with the attendance of DOE, local, and State governmentofficials expected.

I wrote to you earlier this year to explain Enron's international development strategy for pipelines,power plants, exploration and marketing of natural gas. Our successes have been aided by worldwidechanging attitudes that privatization and open markets are positive for all concerned countries.

Hopefully, the full Senate soon will have an opportunity to consider the implementing legislationnecessary for the United States' approval of the GATT (Uruguay Round). We ask you to vote infavor of this important trade agreement because a liberalized trading system could result in'morenations opening their infrastructure development not only to large corporations such as Enron, butalso to tens of thousands of United States subcontractors.

You may be interested in a few recent Enron examples which we believe give reason to conclude thatthe world wants United States produced goods and services. At this time, 54 Russian pipelineconstruction workers are learning our pipeline construction methods, including stringent safety andenvironmental standards, while training on Enron's Northern Natural Gas Pipeline in Nebraska.When they complete their training assignment, they will export our techniques to their own system.We believe it highly probable that they may buy the same U.S. manufactured equipment theypresently are using.

Further, Enron recently announced an agreement to build a power plant in China and a natural gaspipeline between Bolivia and Brazil, and we soon should be producing oil and gas at an off-shore sitein Bombay, India, for use in their domestic market.

The market for energy facilities and clean energy is maturing rapidly, anid U.S. companies have thecapability to win contracts to build, operate and own facilities worldwide. Demand growth for U.S.goods and services by other countries is projected to be as high as 96%, and meeting that demandthrough GATT will foster long-term economic and political relationships among nations which arejust beginning to fully understand the value of liberalized trading systems and privatization. Passageof the GATT (Uruguay Round) Implementing Legislation strongly reinforces the value of such freemarket policies and builds upon the successes of other free trade agreements, including NAFTA.

Your prompt and favorable consideration of the GATT legislation would be deeply appreciated.

Thank you for your letter dated November 22, 1994, expressing your support for theNevada Solar Enterprise Zone. I agree that the solar enterprise zone is a tremendousopportunity to commercialize solar energy technology. Moreover, I am aware of theimportance of long-term market commitments, the availability of tax exempt financing,and site access.

During the December 6, 1994, task force meeting in Las Vegas, Nevada, the task forcevoted unanimously to establish an independent, non-profit development authority. In theshort term, this authority will issue a Request for Proposal that includes at least 100 MWof solar projects to be located in the solar enterprise zone, along with the otherrecommendations accepted by the task force. The task force, recognizing that this initial100 MW is only the beginning, made recommendations that could stimulate long-termcommercialization of solar technologies. The task force recommendations are enclosed.

I am hopeful that the new authority and its procurement actions, as well as its long-termagenda, will address your concems and the concerns of the entire solar industry. TheDepartment of Energy is looking forward to working in cooperation with the authority andwelcomes your continued support.

NEVADA SOLAR ENTERPRISE ZONE TASK FORCE RECOMMENDATIONS

I. Task Force Findings and Recommendations

Whereas the Task Force reviewed the initial Solar Enterprise Zone (SEZ) feasibility study andconducted a six month in-depth analysis for developing 1000 MW of solar projects at the SEZ inNevada, the Task Force finds that:

The SEZ will provide the State of Nevada and the nation with environmental benefitsfrom solar technologies;

* The SEZ will enhance local and national economic development by helping to build acompetitive, growing solar energy industry in Nevada;

* The SEZ will advance the solar industry and technology development to achieve cost-competitive solar energy and expand domestic and export markets;

* There are no insurmountable barriers to proceeding with SEZ.

Accordingly, the Task Force members intend to establish an independent, non-profitdevelopment authority with the following charter

* Obtain and leverage a broad portfolio of public and private resources for solar energydevelopment, including low-cost financing, Federal and State funding, and foundationdevelopment funds;

* Structure supports provided by the public sector to provide for a payback to the publicfrom successful commercialization efforts;

* Develop market commitments sufficient to commercialize solar technologies,- with 1000MW of new capacity as a concrete objective;

* Develop a master plan for employing the resources made available for the SEZ.

IL Short-Term Requirements

The.Task Force finds that sufficient market, land, and finance opportunities for developing anear-term 100 MW solar project exist; therefore, we urge that as soon as possible after theestablishment of the independent, non-profit development Authority, the Authority issue aRequest for Proposal (RFP) that includes at least 100 MW of solar projects to be located in theSolar Enterprise Zone and the following support negotiated by the Authority and offered to

prospective developers:

* Land, environmental assessment and mitigation, and site preparation assistance for solarproject development provided by the Department of Energy Nevada Operations Office(DOE/NV);

* Market for at least 100 MW structured in yearly increments provided by federalauthorities, Western Area Power Administration (Western) and other organizations (theRFP should offer as firm a contract as possible to potential developers);

Industry use of DOE/NV equipment and labor to assist in project construction oncompetitive, incremental cost terms that:

account for opportunities for the Solar Enterprise Zone to use Nevada Test Site----- __._ _ (NTS) resources that.would_otherwise beidle_ o.r nderemplyed, and thus reduce

the overall costs of continuing defense program missions at the NTS by payingfor the incremental costs of downtime; andwill help provide skilled labor and specialized equipment at a low incrementalcost for Solar Enterprise Zone development by making dual use of labor andequipment at the NTS that are already fully paid for by DOE;

Defense Conversion funding, applied for from existing appropriations based on theSEZ's ability to assist in worker and community transition;

Power transmission, administration, load shaping, storage and marketing assistance to theSEZ provided by DOE and Western;

* Ten million dollars in Industrial Development Bond (IDB) financing available for solarproject development, obtained from the. State of Nevada to provide start-up support untilother financing options can be developed;

* Tax exempt financing available for project developers obtained by the Authoritycontingent upon IRS approval.

m. Long-Term Requirements

In addition to the near-term actions, the Task Force recognizes that the initial RFP is only thebeginning of a long-term commercialization effort; therefore, the Task Force recommends that:

In cooperation with the State of Nevada, Department of Business and Industry, theAuthority file for 501(c)3 non-profit status and seek the authority to issue $150 million in

tax-exempt bond financing to support solar projects, displace reliance on State IDBfinancing, and enhance the State's capability to expand economic development;

.* · DOE Defense Programs and Energy Efficiency and Renewable Energy Programs allocate$150 million over five years to support projects developed at the SEZ;

* DOE coordinate the efforts and resources of the Office of Defense Programs and theOffice of Energy Efficiency and Renewable Energy to make funds and technicalresources available to support the development organization while it develops the firstsolar projects;

* . The Authority work with Western, utilities, state public service commissions, and theDOE/NV, to identify and secure market commitments for solar projects;

--...-.. -.... - --_.-Nevada agencies coordinate with the Authority to.assist solar industry development; ___

* DOE support initial operations of the Authority until it can establish sufficient fundingand returns on project investment to sustain its own operations.

IV. Organization and Management

The Task Force directs that Task Force members Senator Richard Bryan, William Martin,Claude Evans, Tim Carlson (for the Governor of Nevada), Rose McKinney-James, Scott Sklar,Dina Titus, and Nick Aquilina reconstitute themselves as the founding Board of Directors for theAuthority in order to legally incorporate the Authority and establish a permanent Board ofDirectors.

The Task Force directs that the Authority be organized according to the following guidelines:

Acting as a Board of Directors for the Authority, Task Force members will establish rulesfor nominating and confirming a permanent Board of Directors;

Nominations for board membership will be solicited from private industry, and not lessthan one-half of the board members will'be from the private sector,

Other board members will be selected to represent participating Federal and Stateagencies, consistent'with Federal and State laws and regulations',

The Acting Board of Directors will develop conflict of interest.standards for Boardmembers to prevent gaining unfair advantage or directly benefiting from Board activities.

V. Legislative Long-Term

In addition to establishing the Authority and charging it with both short- and long-term tasks, theTask Force recognizes that critical changes to current statutes could greatly expand thecapabilities of the Authority; given the overriding importance and benefits of the Authority, the'Task Force directs the following legislation be examined:

A "bullet" exemption from Internal Revenue Code restrictions to allow the Authority touse its 501(c)3 status to:

issue bonds beyond the $150 million cap,relax restriction on benefits to private, for-profit entities, andexpand options for combining Federal funds and bond proceeds for projectdevelopment without jeopardizing tax-exempt status;

* Legislation to make solar tax credits, accelerated depreciation, and other incentivesoffered to assist renewable 'energy development available to for-profit project developersassisted by the Authority;

* Legislation to make the 10 percent solar investment tax credit available to a utility thatbuilds a project in the SEZ;

·* Legislation to permit DOE to make long-term power purchase commitments beyond thecurrent 10-year limit;

* Legislation to allow/require Federal agencies to purchase renewable power from the SEZif its price is less than 10 percent over market rates;

* Nevada legislation supporting renewable energy that assists in the development of theSEZ.
