MEMBERSHIP RULES AND REGULATIONS

SECTION I GENERAL RULES 1. Use of the W&B Spa facilities are for use of resort guests and members only.2. Membership cards must be presented upon entering the Spa facilities.3. Membership cards must be presented at time of purchase in spa retail boutique and spa facility to receive discount privileges.4. It is prohibited to bring personal food, beverage and picnic coolers into the Resort facilities.5. Membership cards and privileges are not assignable or transferable.6. A single membership consists of a single member and does not extend to family.7. Members must always accompany their guest and are responsible for any charges incurred by said guests.8. Members are responsible for the conduct of their guests.9. Members are required to register guests and pay fees at W&B Spa upon arrival to the property.10. Facility reserves the right to limit number of guests.11. Membership does not cover costs of gratuity. Members must cover gratuity on Spa treatments and services for themselves and their guests (if applicable).12. Discounts cannot be combined with other services, offers, or products that are discounted as a result of a monthly special or promotional event. In the event the promotional price is less than the Member’s discounted price, the lower price will be charged.

SECTION II RULES PERTAINING EXCLUSIVELY TO THE W&B AT WILLOW STREAM 1. Children under the age of 16 are not permitted anywhere within the W&B Spa Facility. Those under 18 must be accompanied by a member adult.2. Proper attire is required, including shirt and shoes at all times.3. Day use lockers are available.4. No robes or towels may be taken out of the W&B Spa.5. All personal services require a 4-hour cancellation notice to avoid being charged. Spa packages require a 24- hour cancellation notice. If the proper notice is not provided, the Spa will charge the full amount for the service or package.6. Hours of operation 6:00 a.m. – 9 p.m. daily. (Subject to seasonal changes)7. Posted hygiene rules must be followed.

SECTION III RULES PERTAINING TO THE ROOFTOP SPA POOL 1. There will be no lifeguard on duty; therefore members and guests swim at their own risk.2. All persons using the swimming pool must take a shower before entering the pool enclosure.3. Persons having cuts, blisters, infections or communicable diseases are prohibited from entering the pools.4. No glassware, pets, diving, jumping, running, splashing, rough play, excessive noise, tubes rafts or inflatable’s or radios without headsets are allowed in the pool enclosure.5. Rest rooms are available poolside.6. The management reserves the right to refuse admittance to, or eject from the pool premises, any persons failing to comply with the rules.

SECTION IV RULES PERTAINING TO THE ROOFTOP SPA POOL 1. These rules and regulations may be amended in whole or in part at any time by The Fairmont Scottsdale Princess or by W&B Spa in their sole discretion. The decision of the Resort or the Spa with respect to the interpretation of these rules shall be final.

MEMBERSHIP TERMS AND CONDITIONS It is understood and agreed that membership entitles the member to use the facilities. It is further understood and agreed that the Member has no equity or ownership investment or interest in the Facility or the right to participate in any management thereof. It is further understood and agreed that this membership is not transferable.

DUES: In order to service your account in a timely and efficient manner, a credit card is required to be placed on file in our Accounting Department. Your credit card will be automatically charged on the last business day of each month for your membership dues for the month in advance and any monthly charges. A summary statement will be provided upon request of the Member.

PAYMENT BY CREDIT CARD: The member is responsible for advising the Facility of any changes to their credit card information. Dues will not be reduced or suspended if the Facility finds it necessary to restrict the use of any part of its facilities. The Facility may raise or lower the monthly dues on its sole discretion.

RIGHT OF CANCELLATION: Notice to Customer: As a member, you are entitled to a copy of this Agreement, together with the corresponding Membership Rules and Regulations, at the time of your signature. You may cancel this Agreement at any time before midnight of the third Operating Day after receiving a copy of this Agreement. If you choose to cancel this Agreement, you must either: a) send a signed and dated written notice of cancellation by certified mail, return receipt requested, OR b) personally deliver a signed and dated written notice of cancellation to the Accounting Office at The Fairmont Scottsdale Princess at7575 E. Princess Drive, Scottsdale, Arizona 85255. If you cancel this Agreement within the three-day period, you are entitled to a full refund of your money. If the third Operating Day falls on a Sunday or holiday, notice is timely given if it is mailed or delivered as specified in this section on the next Operating Day. Refunds will be made within 30 days of receipt of the cancellation notice by the Facility. “Operating Day” means any calendar day on which patrons may inspect and use the facilities and services of the health spa during a period of at least eight hours.

DEATH OF MEMBER: This Agreement is subject to cancellation by notice sent by certified mail, return receipt requested, or personally delivered, to the address noted above in the “Right of Cancellation” provision upon the Member’s death or permanent disability. In the event of a cancellation as set out in this provision, the Facility is entitled to retain a portion of the contract price representing the services used plus reimbursement for the expenses incurred by the Facility in an amount not to exceed twenty-five percent of the total contract price.

SIGNIFICANT RELOCATION: This Agreement is subject to cancellation by notice sent by certified mail, return receipt requested, or personally delivered, to the address noted above in the “Right of Cancellation” provision upon the Facility’s receipt of satisfactory proof of the Member’s change of permanent residence to a location more than twenty-five miles from the Facility at no additional expense to the Member. In the event of a cancellation as set out in this provision, the Facility is entitled to retain a portion of the contract price representing the services used plus reimbursement for the expenses incurred by the Facility in an amount not to exceed twenty five percent of the total contract price.

CHARGE PRIVILEGES: At its sole option, the Facility may extend privileges at The Fairmont Scottsdale Princess’ various outlets to Members to make charge purchases. Members will be required to present a Membership Card in order to charge a purchase.

PHYSICAL CONDITION: Member warrants that he/she is in good physical condition and that he/she has no physical impairment or disabilities that would prevent him/her from using the Facility and equipment for the Health Spa’s physical conditioning program. Member recognizes that the Facility is a spa and wellness center and is in no way a medical clinic, hospital, or doctor’s office. and the Member further agrees to assume the risk of any and all accidents or injuries of any kind which may be sustained by the Member by reason of, or in connection with, the Member’s participation in the Facility.

WAIVER AND RELEASE OF LIABILITY: By utilizing the services and facilities at the W&B Spa at the Fairmont Scottsdale Princess, you hereby acknowledge and agree on behalf of yourself, your successors and assigns, to the following: You will indemnify and hold harmless W&B Spa at the Fairmont Scottsdale Princess and their respective affiliated companies, together with officers, directors, shareholders, employees, agents and representatives of the aforesaid companies and all successors and/or assigns (collectively the “Spa Indemnified Parties”) from and against any and all actions, cost, claims, losses, expenses and/or property damage in any manner resulting from your use of the services and facilities of the Spa. You acknowledge that the Spa Indemnified Parties will not accept responsibility for the theft of or damage to your personal property left in a locker or any areas within the Spa, pool area, its public areas, or the fitness center. You acknowledge that you have been requested not to leave valuables in any locker or any areas within the Spa. You understand that exercise as well as various equipment and spa activities have varying effects on individuals based upon their size, age, physical condition and/or state of health and may require personal knowledge in their proper use. You further understand that it is your sole responsibility to determine your physical fitness for any exercise or spa activity based on your physical condition and personal knowledge on the use of the equipment. You declare that you are physically capable of utilizing the services and facilities of the W&B Spa at the Fairmont Scottsdale Princess. You declare that you are over the age of 18 years. Minors are not permitted in the Facility unless a separate Release of Liability has been executed by a parent or guardian authorized to act on behalf of the minor, agreeing to the foregoing on behalf of the minor. You acknowledge that you have read this Release of Liability carefully and understand its meaning and you agree to be bound by this Release of Liability.

PERSONAL PROPERTY: The Member agrees that the Facility or the Releases are not responsible for damages to or lost or stolen articles of clothing or any lost articles or personal property. This includes motor vehicles parked at the Facility parking lot and personal property left inside automobiles.

RULES AND REGULATIONS: The Member agrees to abide by and follow the Facility’s membership rules and regulations which may be changed at any time by the Facility in its sole discretion.

RESIGNATION: The Member may resign from the Facility by giving a 30–day written notice of cancellation to the Accounting Office at The Fairmont Scottsdale Princess at 7575 E. Princess Drive, Scottsdale, Arizona 85255. The resignation becomes effective at the end of the notice period and after the surrender of the Membership Card and payment of accumulated dues and charges. Resignation of membership hereunder from the Facility shall not result in the refund of any portion of the initiation fees or monthly dues.

CANCELLATION OF MEMBERSHIP: The Facility may terminate a membership for any violations of the Facility’s rules and regulations, failure tomake timely payment of dues or resort charges or fraudulent use of aMembership Card. Termination of membership from the Facility for the foregoing reasons shall not result in the refund of any portion of the initiation fees ormonthly dues. In addition, the Facility, at its sole discretion, may terminate a membership without cause, provided the Facility gives 30 days written notice to the Member. In this event, the Member shall receive a pro-rated refund of monthly dues.

DAMAGES: The Member agrees that the Member shall be responsible for any and all damages to Facility property caused by themember and/or his or her family members and/or his or her guests.

ACKNOWLEDGEMENT: The Member agrees that this Agreement is the only and entire agreement between the Member and the Facility (including The Fairmont Scottsdale Princess) and supersedes any and all agreements as between the Member and the Facility or the Member and The Fairmont Scottsdale Princess. This Agreement shall be governed by the laws of the State of Arizona. The Member acknowledges that the only statement of theMember has relied upon in signing this Agreement are statements contained in this Agreement. The Member acknowledges that he/she has read and received an exact copy of this Agreement and of the Facility’smembership rules and regulations upon signing of this Agreement.

MEMBERSHIP AGREEMENT Request is hereby made by the undersigned for membership at Well & Being Spa at the Fairmont Scottsdale Princess. The undersigned has read and understands and agrees to be bound by terms and conditions of membership and membership rules and regulations (all of which are attached hereto), as may be amended from time to time.
