Tools for Maximum PerformanceNAHAD’s Hose Assembly Guidelines are the industry standard for the specification, design and fabrication of hoseassemblies for industrial, hydraulic, fluoropolymer, corrugat-ed metal and composite hose. To support the Guidelines’effective implementation by hose manufacturers and distrib-utors and to maximize end-user use and acceptance,NAHAD offers specific tools designed to assist members’reference, training and marketing needs.

The NAHAD Hose Assembly Specification Guidelinesmanuals offer an important base-line performance measure

to ensure safer, higher quality, more reliable hose assemblies.Intended for member and public use, the manuals provide a comprehensive set of basic recommendations for the specifica-tion of fabricated hose assemblies.

The Specification Guidelines have been developed to assist hoseassembly fabricators and their customers by providing basic perform-ance factors related to the selection of components, fabrication proce-dures, testing and packaging of hose assemblies. Perfect training and reference resources and terrific marketing tools to use with your

customers, the Specification Guidelines are a means to raise indus-try safety and quality and to better serve the needs of end-users.

New this year are the online NAHAD Hose Assembly DesignGuides and the online NAHAD Hose Assembly FabricationGuides for each of the five product groups, providingNAHAD members with additional valuable training and reference tools.

The purpose of the Hose Assembly Design Guides is to assistsales engineers in designing hose assemblies for specificapplications. These guides supplement the five NAHADHose Assembly Specification Guidelines.

The purpose of the Hose Assembly Fabrication Guidesis to assist sales engineers, fabricating distributors and

Listed Members Program, a unique and powerful marketing initiative providing valuable

exposure and recognition for eligible hose assembly fabricators and providers.The NAHAD Listed designation is granted to participating company locationsthat fabricate or provide hose assemblies for any of the five defined productgroups and whose assemblies comply with the Guidelines.

BYLAWS


In compliance with the requirements of 15 Pa.C.S.s5101 et seq., as amended, (TheNonprofit Corporation Law of 1988) and as amended and adopted by the Membersof the Association on June 18, 2002.

ARTICLE I

NAMEThe name of the organization shall be TheAssociation For Hose and AccessoriesDistribution.

ARTICLE II

OBJECTIVESThe objectives of the Association, as per-mitted by law, are:

(a) To promote a high standard of profes-sionalism and integrity within the hoseand accessory industry.

(b) To promote a better understanding andfeeling of cooperation among members.

(c) To collect and distribute such informa-tion for the good of the trade as theAssociation may desire.

(d) To provide a medium through which itsmembership may be enabled to confer,consult and cooperate in the solution ofproblems affecting the industry.

ARTICLE III

OFFICES

Section 1. Principal Office.

The principal office shall be in the City ofWashington, District of Columbia.

Section 2. Office Locations.

The Association may also have offices atsuch other places both within and withoutthe Commonwealth of Pennsylvania, as theBoard of Directors may from time to timedetermine or the business of theAssociation may require.

Section 3. Registered Office.

The registered office shall be c/o CTCorporation System located in Philadelphia,Pennsylvania, or such place as may bedetermined, from time to time, by the Boardof Directors.

ARTICLE IV

MEMBERS

Section 1. Classifications.

There shall be four (4) classes of Members:Distributors, Manufacturers, Associates,and Affiliates.

Section 2. Qualifications.

The qualifications and eligibility require-ments of each class of members shall, fromtime to time, be fixed by the Board ofDirectors. Such qualifications and eligibilityrequirements shall be reasonable and ger-mane to the purposes of the Association,and equally enforced as to new applicantsand all existing members of the same class.

Section 3. Membership ApplicationProcedures.

(a) Applications for all classes of member-ship shall be made to the Board ofDirectors in writing and signed by theApplicant. Applicants meeting the eligi-bility requirements adopted by theMembers entitled to exercise a majorityof the voting power of the Associationentitled to vote at any meeting shall beapproved by the Board of Directors.

(b) Where an Applicant is engaged in dis-tribution, manufacturing and/or stockingas a marketing representative of a for-eign manufacturer of hoses, coupling,clamps, or related accessories, theapplicant shall be classified as aDistributor, Manufacturer, or AssociateMember based upon whether its pri-mary function is distribution, manufac-turing, or marketing respectively. TheBoard of Directors shall decide which isthat Applicant’s primary function, takinginto consideration volume of sales, bothabsolute and portion attributable to dis-tribution.

(c) Applicants for Affiliate Membershipshall be companies providing goodsand/or services to members of theindustrial hose and couplings industry,where those goods and/or services arenot in conflict or competition with thosemanufactured, marketed, or distributedby Distributor, Manufacturer orAssociate members.

(d) Any reclassification of membership orrejection of membership shall be com-municated to the Applicant in writingalong with the reasons therefor, and theapplicant shall be given an opportunityto produce additional information inwriting to the Executive Committee ofthe Board of Directors no later thansixty (60) days after receipt by theApplicant of the reclassification orrejection. Decisions of the ExecutiveCommittee will be reviewed by the fullBoard of Directors and confirmed orrejected by a majority vote. The deci-sion of the full Board shall be final.

(e) Upon written application and approvalfor membership pursuant to the proce-dures contained herein and upon thepayment of any membership fee ordues and prescribed by the Board ofDirectors, the Applicant shall become aMember of the Association entitled toall the rights, privileges and obligationspertaining to the respective class ofmembership granted.

Section 4. Resignation andTermination of Membership.

(a) Resignation of Members shall be madein writing to the Board of Directors andshall be considered at a meeting of theBoard following the receipt of the resig-nation. A tender of resignation shallnot become effective until acted uponand accepted by a majority of theBoard of Directors, provided, however,that no resignation shall be accepted ifthe resigning Member is in any wayindebted to the Association for fees orotherwise. The tender of a resignationby a Member before the close of theAssociation’s fiscal year shall not alterthe financial obligations of such resign-ing Member to support the Associationuntil the end of its fiscal year.

(b) A two-thirds vote of the Board ofDirectors is required for termination ofmembership, provided, however, theMember is given written notice ten (10)days prior to the action and is grantedan opportunity to be heard by theBoard of Directors before any action istaken.

(i) Termination shall be effected forfailure by a member, for whateverreason, to maintain the eligibilityrequirements.

(ii) Termination may be effected for one or more of the following reasons:

1) Commencement of bankruptcy,receivership, reorganization,arrangement of liquidation proceedings, State or Federal,by or against any member.

2) A transfer of control of the business of a member whetherby sale, merger, consolidationor however else effected.

3) Evidence of a Manufacturer orAssociate Member competingdirectly with DistributorMembers at user accountsthereby failing to market theirproducts “primarily through distribution”.

4) Evidence of an Affiliate Membercompeting directly with anyDistributor, Manufacturer orAssociate member at useraccounts.

(c) The failure by a Member to pay anydues, subscriptions, assessments, orfees specified by the Board of Directorswithin sixty (60) days from the time thesame becomes due shall be reportedto the Executive Vice President orConsulting Director and to the Board of Directors who may, at their option,suspend the member until payment isreceived or terminate the membershipas specified in these By Laws.
