JOB DESCRIPTION Title: Real Estate Paralegal – Lease Administration Department: Real Estate Reports To: In-House Counsel – Real Estate Pay Status: Salary Exemption Status: Exempt General Summary: The Real Estate Paralegal will oversee the Lease Administration Department (“LAD”) and reports directly to the company’s in-house real estate counsel. This position will assist in-house real estate counsel and outside counsel in drafting and negotiation of all real estate legal documents, including, but not limited to, leases, lease amendments, memoranda, estoppels, non-disturbance agreements and other documents related to the company’s real estate assets and needs. The Real Estate Paralegal’s role will include, but is not limited to, (i) management of LAD functions to ensure compliance with company policies and standards, (ii) working with Excel and other software programs to prepare lease and deal tracking spreadsheets and reports to senior management and other departments, (iii) creating, updating and tracking LAD calendar and scheduling meetings with in-house real estate counsel and other departments as required; (iv) assisting in-house real estate counsel with all projects and tasks as required, and (v) handling daily and on-going projects and keeping the LAD organized and on track. Primary Duties & Responsibilities: Assist in-house real estate counsel in preparation of legal documents and prepare execution package for submission to authorized officer for signature (to include abstract and all required documentation for executive approval). Prepare and record, or require landlord compliance with recordation requirements, of lease memoranda. Administer the company’s lease-related obligations; ensure lease compliance, management and tracking of critical dates and lease-related financial obligations. Track and maintain critical dates, such as renewal options and construction delivery dates. Maintain LAD departmental calendar to include critical dates, task deadlines, departmental meetings and similar events. Primary Duties & Responsibilities: Assist in-house real estate counsel in preparation of legal documents and prepare execution package for

Prepare and record, or require landlord compliance with recordation requirements, of lease memoranda. Administer the company’s lease-related obligations; ensure lease compliance, management and tracking of

critical dates and lease-related financial obligations. Track and maintain critical dates, such as renewal options and construction delivery dates. Maintain LAD departmental calendar to include critical dates, task deadlines, departmental meetings and

similar events. Coordinate new store opening process with internal groups and the landlord related to rent

commencement, rent acknowledgement and rentable square footage. Abstract new leases, amendments and other related documents, including quality control of incoming

abstracts from outside lease abstractor (produce abstracts internally and/or confirm accuracy of abstracts produced for the company).

Manage and maintain proposed store opening plan (PSOP), Lease Status Report and 3-Year Plan Report. Manage any/all incoming default notices from landlords and distribute to the appropriate internal contacts

responsible for resolution; follow up through completion. Resolution of landlord/tenant disputes and issues. Manage the electronic and hard filing systems for all real estate legal documents. Attend Real Estate Committee meetings to document action to be taken in connection with existing lease

renewals / extensions and kick outs. Pursue lease standardization and improvement prior to option renewals, consents etc. Act as internal professional, official administrator and point of contact for lease administration system;

stay current with latest updates, available upgrades and vendor contract related to lease administration software and systems.

Direct interaction with landlords to foster positive relationships and to discuss and resolve potential issues. Review and analyze leases. Interpret lease language and assess risks and rewards. October 19, 2015; JN

Provide advice and counsel on day-to-day basis to management, staff and other departments as necessary. Set-up and maintain systems and policies to ensure data integrity of all physical and electronic lease

files. Transmit all real estate legal documents to internal and external parties. Follow-up with external parties on the status of all documents. Administrative support to in house real estate counsel. Monitor compliance with lease provisions, including rent increases, performance kick-out options,

renewals and co-tenancy requirements. Prepare all estoppels and non-disturbance agreements and other real estate legal documents, subject to

review and oversight of in-house real estate counsel. Conduct research of store issues and other lease-related defaults and/or issues, assesses proper course

of action and consult with in-house counsel to bring to resolution. Draft, proof and finalize correspondence and other lease related documents. Review and verify requests for insurance certificates, as well as initiate requests to the insurance

broker or appropriate internal department. Utilize, update and manage all tools and resources available to manage workload, including checklists,

databases, logs and other related reporting tools

Requirements (knowledge, skills, and abilities):  BA or BS preferred (paralegal certificate required) Minimum of 3 – 5 years of experience performing the functions of a real estate paralegal or

substantially similar experience in a high volume lease administration department, preferably retail tenant lease administration

Experience working with real property databases (experience with AMT direct preferred) Understanding of retail lease language and contracts from the tenant and landlord side Excellent verbal and written communication skills with a strong attention to detail Ability to coordinate with and become the point of contact for multiple internal departments including

Accounting, Real Estate and Facilities Proficiency in Word, Excel and Lease Administration Software (preferably AMT direct) Ability to understand, interpret and analyze commercial lease documents Experience in contract negotiation Effective at meeting tight deadlines and turning documents around quickly Ability to prepare reports and legal correspondence in a concise and effective manner Ability to converse on the telephone in a professional manner Ability to work effectively in a fast-paced environment and manage various tasks at once Critical thinking and analysis skills Highly self-motivated and proactive with a strong work ethic
