AGREEMENT

BETWEEN

JON A. EMERTON, M.D.

and

THE CITY OF WATERTOWN, NEW YORK

This Agreement, made this ______ date of ___________________, 2013, by andbetween the City of Watertown, New York, chartered under the Laws of New York State,having a principal place of business at the Municipal Building, 245 Washington Street,Watertown, New York 13601, herein referred to as City and Jon A. Emerton, M.D.,

who resides at 178 Thompson Boulevard, Watertown, New York, herein referred to asHealth Officer.

WITNESSETH

WHEREAS the City is interested in contracting for Health Officer services fromJon A. Emerton, M.D., such that he may act as the local Health Officer of the City ofWatertown.

NOW THEREFORE IN CONSIDERATION of the mutual covenants herein, andother good and valuable consideration, it is agreed as follows:

Section 1: The Health Officer will be charged with the enforcement of theprovisions of Chapter 172 of the City Code. He shall have the jurisdiction and power totake such steps as may be necessary to carry out the provisions of that Chapter and ofTitle 2 of the New York Public Health Law. The Health Officer, or his duly authorizedrepresentative appointed by him, shall examine complaints and notices concerningconditions dangerous or detrimental to life or public health and may, when in hisjudgment imminent danger exists or is believed to exist, enter into and examine premises,buildings, lots and enclosures where such conditions are known or reasonably believed toexist.

Section 2: Payment for Services. For Health Officer services, under Section 1, theHealth Officer shall be compensated at an annual rate of $1,200 per year. Such paymentshall be made monthly in the amount of $100. In addition to the annual rate, the Cityshall pay Dr. Emerton at the rate of $250.00. per hour for work directed by the City.

Section 3: Office Space. It is hereby agreed that the City will be under noobligation to provide office space for the services of the City Health Officer.

Section 4: Precedence of State Laws. This Section shall refer most particularly tothe Public Health Law and Sanitary Code of the State of New York and such other State

Laws as delegate the authority of enforcement to the local Health Officer.

Term. The term of this Agreement shall be for a four-year period commencing onJanuary 1, 2014, and running through December 31, 2017, and shall continue until asuccessor is appointed and qualifies. Subject to agreement by both parties, thisAgreement may be extended for an additional four-year term.
