Minimum Order Requirement:

Products are shipped in case quantities only. Orders of less than $100.00 are subject to a $20.00 service charge for processing.

Terms of Payment:

Net 30 days, from date of invoice. All past due invoices will be assessed a 1.5% monthly finance charge (18% annually) from due date. All unpaid finance charges may be deducted from any promotional funds or merchandise credit due customer.

Transportation:

Title to the goods sold passes to the customer upon delivery of the goods to the carrier whether shipment is by mail, express, motor or rail freight. The responsibility of Bimeda, Inc. for the goods ceases when so delivered to the post office or transportation companies. Extra transportation costs must be borne by the customer when special handling or routing is requested. For shipments of Bimectin® Pour On with a value of less than US $5,000, a Hazardous Material Shipping fee of US $30 will be added to the freight cost. Shipping charges are prepaid by Bimeda, Inc. on orders of $5,000 or more. Freight charges are billed to the customer for orders totaling less than $5,000. Bimeda, Inc. will only ship to approved customer locations (excluding drop shipments). On orders totaling $5,000 or more that a customer chooses to pick up at our warehouse, Bimeda, Inc. will credit the customer with a freight allowance on the related invoice. This freight allowance will be based on Bimeda, Inc.’s lowest available rate. Drop-shipments to points other than approved customer locations are honored on the same basis as above and are subject to minimum order requirements.

Shipping Claims:

The customer is responsible for verification of shipments from Bimeda, Inc. Bimeda is not responsible for losses that may occur in the transportation of merchandise. The transportation company acts as an agent for the purchaser, and we must refer the customer to them for reparation in case of loss after the customer signs the receipt of delivery. Bimeda is not responsible for collecting claims from the transportation company; but when requested, Bimeda will be of any assistance possible to the purchaser.

Shipping errors and hidden damage should be reported to the Bimeda Customer Service Department within 3 business days after receipt of the shipment. Upon verification, replacement product will be dispatched or credit issued.

Returns of Outdated & Other Products:

A. Outdated Products: All outdated product returns must have Prior Approval from the Bimeda, Inc. Customer Care Department. Return authorization will be given at the time of request. Authorized returns are eligible for (1) merchandise credit (100% in like product) or for (2) credit only (75% of current list price). If authority is given, outdated product may be accepted for merchandise credit if it meets each of the following criteria:

1. Returned by the original purchaser only. 2. Returned 90 days prior to expiration. 3. The products are in their original, unbroken packages with labeling intact and have not been damaged by fire, smoke, heat, water or

price tag removal. 4. The Customer prepays transportation charges to a location of our choice. 5. Returned products may not include any products expressly offered and sold as short-dated. 6. Returned Products may not exceed three percent (3%) of the previous year’s purchases.

Unauthorized Product Returns to our distribution center will not be considered for credit and/or replacement.

B. Restocking Charge: Products ordered and requested for return, other than dating, that are merchantable are subject to a 25% restocking charge.

C. Quality Guarantee: Should the product not meet labeled specifications, or upon recall, the purchase price of the product and any transportation charges incurred by the customer will be refunded in full.

D. Non-returnable Products: The following products are non-returnable when outdated: Oxytocin Injection, Dexium, and all Penicillin products. Additionally, all undated products are sold on a non-returnable basis.

E. Defective Products: Defective products or products subject to recall do not apply to this policy.

F. Restocking Adjustments: Requests for restocking adjustments after 120 days will not be accepted.

All prices and terms are subject to change without notice.

In the event of price increases, every reasonable effort will be made to notify the customer of those increases prior to shipping. All invoices will show pricing in effect at the time of shipment.
