116-390 Village Blvd. Princeton, NJ 08540 609.452.8060 | www.nerc.com Minutes Board of Trustees Actions Without a Meeting July 5, 2009 On July 5, 2009, the members of the Board of Trustees of the North American Electric Reliability Corporation consented in writing to waive notice and take action without a meeting, and approved two resolutions: (1) approval of Violation Risk Factors (“VRFs”) for WECC Regional Differences related to two Facilities Design, Connections, and Maintenance Reliability Standards (“FAC Standards”): FAC-010-1 R1.1, R1.2 and R1.3; and FAC-011-1 R1.1, R1.2 and R1.3.; and (2) establishing the board’s search committee for a new CEO. Attached to these minutes are the memorandum from the General Counsel requesting the votes, the written votes of the trustees, and the Proposed Violation Risk Factors for WECC Regional Differences as Exhibits A, B, and C respectively.
