(A) Members related Activity WIRC of ICAI and ICAI-Ahmedabad Chapter have jointly organized Member's Meet on 24th Jan'2014 to discuss and finalize the action plan regarding the Draft Cost Audit Report Rules 2013 issued by MCA on 21st Nov'2013. CMA Ashish Thatte – Chairman, WIRC, CMA Amit Apte – CCM, ICAI, CMA Chandra Wadhwa – Past President, ICAI and CMA D.V. Joshi-Past President ICAI expressed their views and feelings. Large numbers of members have attended the program and participated the discussion actively. The program proved the unity among the members. ICAI Ahmedabad Chapter has also organized a full day program on “Service Tax” on 25th January'2014 at Hotel Lords inn,Ahmedabad. The program was inaugurated by Shri Navneet Goel – Commissioner Central Excise and Customs – (II) Ahmedabad. The eminient speaker CMA V.S. Datey, explained in detail point of taxation rules 2011,place of provision of service rules 2012 and also service tax(Determination of value)rules 2006 during first two technical sessions. The third technical session was taken by CMA S R Bhargave- CCM, ICAI and CMA N K Nimkar, practicing cost accountant from Pune took the last technical session. More than 100 participants from various Industries and practicing members attended the program. All sessions were very interactive. The overwhelming response from various members and also from the industries motivated the organizers to arrange more and more programs for members in industries and also in practice. At this juncture we hope the same cooperation will continue in future ICAI Ahmedabad Chapter has organized CEP Program on 1st March 2014 on the topic “Techno Economic Viability Study” by CMA Atul Bhatt. Role or Opportunities for CMAs in Companies Act, 1956/2013 apart from Cost Audit/Cost Compliance Report

We CMAs had studied company Law as a part of our CMA curriculum, and after getting our CMA degree we all are focusing or trying to focus mostly on costing and related work, finance, Accounts, Taxation etc. The object of this article is to make members aware about role of Practicing CMAs in Company Law/ Companies Act, 1956/2013. Where the practicing professional of our sister institutes viz. CS & CA are comfortably taking assignments providing services. As on date 99 Sections of 2013 Act, have been notified and a few circulars have been issued clarifying the applicability of these sections (by the time this article get published complete new Act, 2013 might become fully operational). The Companies Act has not discriminated amongst all the three practicing professionals viz. CS, CA & CMA and all-most all the Forms are required to be digitally certified by either of the Practicing CMA/CS/CA in addition to digitally signing it by Director or CS of the Company. Companies Act has given all-most equal opportunities to PCMAs. Now let’s understand some of the important stages in the company viz -a-viz role of CMAs: A. INCORPORATION OF COMPANY*:

1. Form DIN-1 - DIN (Director Identification No.) required for the person who is becoming director first time.

1. Form DIN-1 is to be digitally certified by PCMA.

2. In the mandatory Affidavit by the applicant as per Annexure - 1 of the DIN Rules, applicant can authorize CMA

2. Form 1A i.e. application for availability of name for incorporation or change of name of Company

Director of the Company can digitally sign this Form

3. Filing of Form 1, Form 18 & Form 32 once name is granted as per the stage no. 2 above

Form 1 could be signed either by Director of the Company or Advocate or CS or CA. However From 18 & 32 could be signed by either of CS, CA, CMA. (It is transpires from this that if CMA wants to engaged himself /herself in Company formation task he shouldnot to depend upon any other professional)

*For the sake of easy understanding incorporation of the Company here discussed is Private Limited Company. Few further steps are required for Incorporation of Limited Company and Company under Part IX i.e. conversion of Partnership Firm into Company.

B. ANNUAL FILING FORMS:

Annual filing forms as name suggests means; once company is registered these forms are required to be filed on an annual basis; even if Company does not carry out any activities. There forms are as under:

EVENT BASED FORMS

Event based forms means which are required to be filed on the happening of particular (prescribed under the Companies Act) even. Some of the Forms are as under:

modification of charge by asset reconstruction companies in

terms of

Securitization

and Reconstruction of Financial

Assets and Enforcement of Securities Interest Act, 2002 (SARFASI)

PCMA is authorized to Certify the said form at par with PCS or PCA without any discrimination.

Above are some of most frequently happening event based and basic forms in the history of the company.

For some overview and keeping things simple, very basic and minimum companies act area have been discussed for the benefit of the members who are willing the start focusing in Companies Act also.

Apart from the Companies Act, 1956 in the new Act 2013 forms are not yet come up but it may be in the line with the old act. However Rules under Companies act, 2013 Chapter XXVII i.e. National Company Law Tribunal Rules (NCLTR), 2013

allows Practising CMA to appear before NCLT at par with Practising Advocates, CS & CA

before NCLT.

CONCLUSION

As far as Company Law Forms certification is concerned,

PCMAs are considered at par with PCS or PCA without any discrimination under the Companies Act, 1956 and most likely similar position will continue even in the New Act 2013 too.

In line with our (CMA’s) national slogan “Behind every successful business decision there is always a CMA”

CMAs should not stay behind

in

grabbing the

opportunities given by the statues to prove ourselves.

I take this opportunity to congratulate all the members of our young brigade who are successful in the Foundation, Intermediate and Final examinations for December 2013 term and wish them a bright career. It is the beginning of a new journey and not the destination as a lot of opportunities and challenges are ahead in this era of competition. I also wish all the best to those students who due to some reason or the other could not make it possible to have their name in the list of successful students and sincerely hope that they will work harder and come out with flying colors next time. I request all the final pass students to be the member of the chapter and also of institute and also for active participation in various professional activities.

ICAI Ahmedabad Chapter has organized Student's felicitation program on 12th March 2014 to felicitate Dec-2013 Exam pass students at Haribhai hall, C.G Road, Ahmedabad. The concept behind such program was to motivate the students and appreciation by chapter. Many students of Foundation, Inter and Final attended the program with their parents

ICAI Ahmedabad Chapter has successfully completed ICMAT training program for final students appearing in June 2014 exam. More than 22 students appeared for training program at chapter office

On 20th march I along with CMA P D Modh, Chairman-Oral Coaching Committee visited Ganpat University – Kherva, Mehsana to address more than 100 students of B.B.A and M.B.A. We were invited by the management of the college to explain about the institute's activities, course contain and future of CMA's.ICAI Ahmedabad chapter has decided to open Regional oral Coaching center from July 2014. I am very much thankful for the cooperation extended by K M Chudasama Principal, V.M. Patel College of Management Studies.

I am happy to announce that Ahmedabad Chapter is organizing practical Training on Advanced Excel for the Final completed as well as students who are appearing in June 2014 final examination. About 50 participants will take benefit of this program.

It is a matter of proud for ICAI Ahmedabad Chapter that Mr. Dhaval G Shah, Student of Ahmedabad Chapter secured the highest marks in Group IV among the students appears in Exam at all India Level. He is awarded J N Bose memorial Gold Medal by ICAI, Kolkata for securing highest marks in Group IV of Final (Syllabus 2008) examination of Dec-2013.Congratulations from ICAI Ahmedabad Chapter.

Campus placement program for the December 2013 qualified CMA's is scheduled on 9th & 10th May 2014 at Ahmedabad. I hope that more and more companies will participate and students will take the maximum benefit from the campus placement program.

ICAI Ahmedabad Chapter has organized “Investors Awareness Program” on 10th March 2014 at Chapter office and large number of participants from various fields attended the program. All members and students are requested to visit the website for latest updates.

The Financial year is marching towards the end. During last few days the Senex and Nifty have reached at all time top. The rupee is also strengthen against the dollar and traded below 60. We wish that new financial year will bring new hope and happiness in the life of all the members and students of our profession.

Summer days have already started. All members must be busy in the exam of their children. I wish all the best to all the students. I also wish all the members and their family members very happy and joyful festivals like Chetichand, Ram Navmi and Good Friday.
