Corporate e-mail and Workflow Backbone for Reserve Bank of India. 2.1 Reserve Bank of India plans to implement Corporate e-mail and Workflow Backbone in all its Regional Offices/locations, connected through a wide area backbone network called Indian Financial Network (INFINET) based on VSATs, leased lines, ISDN, etc in a phased manner. In the first phase of implementation, setting up of Corporate e-mail and Workflow Backbone at Reserve Bank of India’s Central Office Building, Mumbai is already at the advanced stage of completion. In the second phase of implementation, about 22 Regional Offices/locations of Reserve Bank of India in the country connected to the VSAT hub site at the Institute for Development and Research in Banking Technology (IDRBT), Hyderabad through TDM/TDMA and Hybrid VSATs of upto 64 Kbps bandwidth will be covered. Reserve Bank of India is also having X.25 Network – BANKNET, based on the Leased Lines and Department of Non-Banking Supervision, Reserve Bank of India, World Trade Centre, Mumbai has implemented WAN using ISDN lines. All the 22 Offices of Reserve Bank of India are also being connected using leased lines. IP is the protocol used on this network. Reserve Bank of India is in the process of setting up of Local Area Networks (LANs) in all its Regional Offices/locations. Sixteen centres of Reserve Bank of India to be covered presently with the implementation of the e-mail and Workflow Backbone are given in Annexure I. Six other locations specified in Annexure I where Lotus Notes based Workflow is implemented/being implemented will be connected to the proposed Corporate e-mail and Workflow Backbone using necessary connectors. 2.2 Each of the sixteen locations of Reserve Bank of India (Annexure II and III) will have an individual e-mail server, Firewall/NAT/Proxy Server, Domain Controller server, Internet Information Server, etc. Central server (e-mail) setup at IDRBT, Hyderabad forming hub and spokes architecture will act as a Gateway for routing e-mail. 2. Corporate e-mail and Workflow Backbone for Reserve Bank of India.

2.1 Reserve Bank of India plans to implement Corporate e-mail and WorkflowBackbone in all its Regional Offices/locations, connected through a wide areabackbone network called Indian Financial Network (INFINET) based onVSATs, leased lines, ISDN, etc in a phased manner. In the first phase ofimplementation, setting up of Corporate e-mail and Workflow Backbone atReserve Bank of India’s Central Office Building, Mumbai is already at theadvanced stage of completion. In the second phase of implementation, about22 Regional Offices/locations of Reserve Bank of India in the countryconnected to the VSAT hub site at the Institute for Development and Researchin Banking Technology (IDRBT), Hyderabad through TDM/TDMA andHybrid VSATs of upto 64 Kbps bandwidth will be covered. Reserve Bank ofIndia is also having X.25 Network – BANKNET, based on the Leased Linesand Department of Non-Banking Supervision, Reserve Bank of India, WorldTrade Centre, Mumbai has implemented WAN using ISDN lines. All the 22Offices of Reserve Bank of India are also being connected using leased lines.IP is the protocol used on this network. 2.2 Each of the sixteen locations of Reserve Bank of India (Annexure II and III)will have an individual e-mail server, Firewall/NAT/Proxy Server, DomainController server, Internet Information Server, etc. Central server (e-mail)setup at IDRBT, Hyderabad forming hub and spokes architecture will act as aGateway for routing e-mail. Internet e-mail will also be routed through this

Gateway. Intra-location or inter-building e-mail will be dynamically routedthrough wide area backbone network based on VSAT, ISDN and X.25network. In respect of other locations/offices of the Bank (Annexure IV),where Lotus Notes based e-mail and Workflow solutions are alreadyimplemented or being implemented, shall have a Firewall/NAT/Proxy serverand connected to Reserve Bank of India’s Corporate e-mail and WorkflowBackbone by using necessary connectors.

2.3 The log of Intra-location/building e-mail will be maintained at the respectivee-mail servers and the log of all the Inter-locations/buildings, Intra-bank andInternet e-mail, which will be routed through the Central e-mail server at hubsite, IDRBT, Hyderabad will be maintained there at.

2.4 Microsoft Exchange Server 5.5 on Microsoft Windows 2000 platform hasbeen identified for implementing Corporate e-mail and Workflow Backbone ateach of the Regional Offices/locations of the Bank specified in Annexure IIand III. Microsoft Proxy Server on Microsoft Windows 2000 has beenidentified as Firewall/NAT/Proxy server for all the locations of the bankspecified in Annexure I. On the Client side, Microsoft Out Look will be usedeither on Microsoft Windows 95/98/NT 4.0 Workstation or Windows 2000(Prof.) workstation. Where Lotus Notes based e-mail and Workflow is beingused at present, the same shall be continued to be used by using necessaryconnectors for connecting to Microsoft Exchange Servers.

3. Scope of Work

2.1 The Local Area Network (LAN) at all the Regional Offices/locations of theBank specified in the Annexure I is already in place or being setup andTDM/TDMA based VSATs have already been installed. A private Class B IPaddress (172.16.x.x) with Fixed Length Subnet Mask is used on the LAN withprivate Class A IP address (10.x.x.x) with Variable Length Subnet Mask(VLSM) is used on the VSAT. The Institute for Development and Research inBanking Technology (IDRBT), Hyderabad has already installed necessaryhardware and software at VSAT hub site, Hyderabad for routing Intra-Bank,Inter-bank and Internet e-mail. The Corporate e-mail and Workflow Backbonefor Reserve Bank of India will be implemented on INFINET and Leased lines.Reserve Bank of India is also in the process of acquiring Routers for routingWAN traffic on VSATs as well as leased lines and ISDN lines. The scope ofwork is to supply, install and operationalise the Computer Systems, systemssoftware, Microsoft server products, etc., by the vendor for implementation ofe-mail and Workflow Backbone, Firewall/NAT/Proxy Server, DomainController, Domain Name Server, Certification Server, Key ManagementServer, Systems Management Server, SQL Server, Site Server, SNA Serverand Internet Information Server, at the sixteen Regional Offices/locationsspecified in Annexure II and III and Firewall/NAT/Proxy Server at the sixoffices/locations of the Bank specified in Annexure IV.

2.2 The e-mail and Workflow Backbone setup at each Regional Office/location asthe case may be, will be as under:

i. Domain Controller: The hardware for Domain Controller server will bePentium III based 600 MHz premium brand multi-user system as per theconfiguration specified in Annexure VII. Microsoft Windows 2000 will be theoperating system using Microsoft Windows 2000 Std. edition. The vendor willsupply the hardware and software for the Bank’s sixteen RegionalOffices/locations specified in Annexure II and III, install, configure andoperationalise the Domain Controller as per Reserve Bank of India’srequirement. User login accounts, Global address folder, replication of Globaladdress folders at all locations, etc., have to be done by the Vendor with hostname resolution (DNS) in consultation with Reserve Bank of India. TheSecondary Domain Controller will be installed on e-mail and Workflowserver.

ii. Firewall/NAT/Proxy server: The hardware for Firewall/NAT/Proxy serverwill be Pentium III based 600 MHz premium brand multi-user system as perthe configuration details given at Annexure VII. Microsoft Proxy Serversoftware on Microsoft Windows 2000 platform will be used forFirewall/NAT/Proxy Server using Microsoft BackOffice Suite 4.5. The vendorwill supply the hardware and software at all the Regional Offices/locationsgiven in Annexure I, install, configure, test and operationaliseFirewall/NAT/Proxy server as per the requirements of Reserve Bank of India.Local Area network (LAN) will have to be integrated with INFINET, leasedlines, ISDN lines and X.25 Network (IP over X.25) through Proxy Serverusing NAT. It should be possible to route network traffic dynamically both onthe INFINET, leased lines, ISDN lines and X.25 network.

iii. e-mail and Workflow server: The hardware required for setting up of e-mailand Workflow server will be Pentium III Xeon based premium brand multi-user system as per the configuration details given in Annexure V and VI. ForOffices specified in Annexure II, the server configuration shall be 2 x PentiumIII (dual processor) 550 MHz Xeon server expandable to 4 processors and forOffices/locations listed in Annexure III will be 1 x Pentium III (singleProcessor) 550 MHz Xeon server expandable to 2 processors. MicrosoftExchange server 5.5 on Windows 2000 will be the e-mail and Workflowserver software using Microsoft BackOffice Suite 4.5. The vendor will supplythe hardware and software, install, configure and operationalise MicrosoftExchange server at each of the sixteen Regional Office/location of the Bankand customise as per the requirement of Reserve Bank of India. The MicrosoftExchange server 5.5 installation and setup should include creation ofindividual user e-mail boxes with the following features in consultation withReserve bank of India:

a. Public folders.b. Forms Managementc. Security- Encryption and Digital Certificate support.d. Web connectivity.e. POP3 connectivity.f. IMAP4 Connectivity.g. LDAP Connectivity.

h. Audit Trail: Log of Intra-office/location e-mail will be maintained at therespective e-mail servers.

iv. The vendor will supply, install, configure, and operationalise SystemManagement Server for software distribution and remote help desk activitiesas well as hardware and software inventory on the Domain Controller serveras per Reserve Bank of India’s requirement.

v. Client machines shall be configured by the vendor for TCP/IP protocol andload Microsoft outlook and configure as required. Network login to the e-mailserver from the client will have to be established, tested and operationalisedfor e-mail messaging as required. Similarly SMS client software is installedand configured on each client machine as per Reserve Bank of India’srequirement. The number of clients/individual users at each of the sixteenRegional Office/locations is also furnished in Annexures II and III.

vi. The vendor shall configure at each Regional Office/location, the entire setupof Domain Control Server, Firewall/Proxy Server and Exchange Server or asthe case may be so that external connectivity is established with Central e-mailMicrosoft Exchange server at IDRBT, Hyderabad, e-mail and WorkflowBackbone setup at Reserve Bank of India’s Central Office Building, Mumbaiand as also with e-mail and Workflow Backbone setup at each of the RegionalOffices/locations now proposed to be setup. End-to-end connectivity betweenany client and any other client (local/remote) will have to be established,tested and operationalised by the vendor.

vii. The vendor should ensure inter-operability with UNIX mail, CC Mail, LotusNotes Mail, etc.

viii. The supply, installation, configuration and operationalisation ofFirewall/NAT/Proxy server at each of the six locations of the Bank specifiedin Annexure IV, shall also include configuration of exiting Lotus Notes Mailmessaging and workflow with the Microsoft Exchange e-mail servers acrossthe Bank both on INFINET and X.25 network.

4.0 Hardware Configuration and software:

1. Domain Controller and Systems Management Server: Hardware requiredfor setting up of Domain Controller server at the sixteen RegionalOffices/locations of the Bank specified in Annexure II and III shall be PentiumIII 600 MHz based premium brand multi-user system expandable to 2processors. The detailed configuration is given in Annexure VII. MicrosoftWindows 2000 will be the operating system, using Microsoft Windows 2000Std. Edition. The details of software products required at each location aregiven at Annexure VIII.

2. e-mail and Workflow server: Hardware configuration for setting up of e-mailand Workflow server at six Regional Offices/locations listed in Annexure IIshall be 2 x Pentium III 550 MHz Xeon based premium brand multi-usersystem expandable to 4 processors. Hardware configuration for Regional

Offices/locations listed in Annexure III shall be 1 x Pentium III 550 MHzXeon based premium brand multi-user system expandable to 2 processors. Thedetailed configuration for both the systems is given in Annexure V and VIrespectively. Microsoft Exchange Server 5.5 on Windows 2000 platform shallbe the e-mail messaging and Workflow Backbone software (using MicrosoftBackOffice Suite 4.5). The details of software products required are given inAnnexure VIII.

3. Firewall/NAT/Proxy Server: Hardware specifications for all the locations issame as Domain Controller server given in Annexure VII. Microsoft ProxyServer on Windows 2000 platform shall be Firewall/NAT/Proxy serversoftware (using Microsoft Back Office Suite 4.5). The details of softwareproducts required is given at Annexure VIII.

4.1 The computer systems, hardware and software offered by the vendor should befully Y2K compliant.

4.2 The vendor should quote only the latest versions of the Operating system andother software packages listed in Annexure VIII. Other system softwarebundled with the hardware should be the latest and complete and the vendorshould specifically confirm this.

4.3 Any other additional hardware and software products that are required forimplementing the entire e-mail and Workflow backbone at each centre shouldbe specified and quoted by the vendor.

5.0 General Instructions:

5.1 The capabilities, operating characteristics and other technical details of thehardware and software offered should be furnished together with productbrochures, literature, etc. The make and model of each component shall beindicated.

5.2 The technical literature on architecture, scalability and high availability of thehardware quoted, giving details of the processors, memory, cache(internal/external), controllers, Network interface cards, power supply, serialand parallel ports, expandability of the systems offered, etc. should be given.The redundancy, high availability, hotswapable parts, etc. of the systemsoffered should be explained. Scalability and other features of the hardwareoffered should be explained/furnished in Annexure IX.

5.3 The technical literature explaining the special features of BackOffice Suite4.5, Windows 2000 operating system, Microsoft Server products (softwareproducts bundled in BackOffice Suite and Windows 2000 Std. Edition), etc.should be furnished along with the quotation.

5.4 Infrastructural requirements including power requirements, air conditioning,dust and humidity control, etc., necessary for successful and efficientoperation of the installation should be specified. Also dimensions and weight

of each piece of equipment offered shall be specified with necessary powerand wiring requirements.

5.5 The vendor will have to co-ordinate with the Network Support Engineers ateach site as also with IDRBT, Hyderabad and resolve any problem, which maybe encountered in the course of installation of network connections andsmooth operationalisation of e-mail and Workflow Backbone at each RegionalOffice/location as per Reserve Bank of India requirement.

5.6 The systems will be delivered and installed at each Regional Office/locationwithout disturbing any existing processing and other activities.

5.7 Names and addresses of reference sites where similar systems and productswere offered, installed and operationalised by the vendor in the recent pastshall be furnished for the reference of Reserve Bank of India.

5.8 If deemed necessary, the vendor is required to give presentation on thesystems offered.

5.9 The quotations shall be submitted strictly in conformity with the specificationsgiven in Annexures V, VI and VII. Any deviations from the specifications andor the terms and conditions of the tender document should invariably befurnished by the vendor as per the format furnished in Annexure X, specifyingthe reasons and justifying such deviation.

5.10 The audited TPC-C and TPC-D benchmark results of the systems offered bythe vendor shall also be furnished separately along with the quotation.

5.11 The Company profile shall be furnished in the format indicated in theAnnexure XI.

5.12 Price/cost of hardware and software offered and prices of anyadditional/optional hardware and software items required for setting up of e-mail and Workflow Backbone in Reserve Bank of India shall be furnished inAnnexure XII. M/s Microsoft Corporation has extended special MOLP pricesfor Reserve Bank of India for implementing this project and the vendors’ offerfor Microsoft server products including BackOffice Client Access Licensesshould be priced accordingly.

5.13 The tenders not supplied in the prescribed formats and incomplete in detailare likely to be rejected.

5.14 The quotations received after due date and time are liable to be rejected.

5.15 The Reserve Bank of India is not responsible for non-receipt of quotationwithin the specified date and time due to any reason including postal holidays.

5.16 The Reserve Bank of India reserves the right to accept or reject any quotationwithout assigning any reason thereof and Reserve Bank of India’s decision inthis regard is final.

5.17 Reserve Bank of India reserves the right to alter or increase or decrease thehardware and software requirements as the case may be to meet Reserve Bankof India’s requirements.

5.18 The company profile, past experience of the company in the area of e-mail andWorkflow setup, cost of hardware and software offered, technical features ofthe hardware/software offered, delivery schedule, past experience of theReserve Bank of India with the company, etc. shall be the criteria.

5.19 Local presence and nature of support (direct/indirect) available at each siteshall also be considered while evaluating the tenders submitted by the vendors.

5.20 The successful bidder will be required to sign an agreement on requiredstamped paper containing the Reserve Bank of India’s terms and conditions ofpurchase.

5.21 Vendors should submit Technical Bids and Commercial Bids separately insealed covers and Reserve Bank of India reserves the right not to process theCommercial Bids of the vendors whose Technical Bids found to be unsuitableand not fulfill eligibility criteria specified in the Tender Notification/TenderDocument.

5.22 Separate Technical and Commercial Bids in duplicate duly sealed andsuperscribed `Quotations for Supply, Installation, Operationalisation ofComputer Systems and implementation of e-mail and Workflow Backbone,Firewall/NAT/Proxy server, Domain Controller, Domain Name Server,Certification Server, Internet Information Server (IIS), System ManagementServer, etc for Reserve Bank of India –Technical Bids’ and `Quotations forSupply, Installation, Operationalisation of Computer Systems andimplementation of e-mail and Workflow backbone, Firewall/NAT/Proxyserver, Domain Controller, Domain Name Server, Certification Server,Internet Information Server (IIS), System Management Server, etc for ReserveBank of India – Commercial Bids’ addressed to Shri S. R. Mittal, ChiefGeneral Manager-in-Charge, Department of Information Technology, CentralOffice, 14th Floor, Reserve Bank of India, Central Office Building, ShahidBhagat Singh Road, Mumbai – 400 001 should reach us before 3.00 pm on30th June 2000. Quotations submitted after due date and time and incompletein any respect are liable to be rejected. Technical bids shall be opened at 4.00pm on the same day.

6.0 Validity of Quote:

6.1 All the prices, technical specifications and other terms and conditions of theoffer proposed by the vendor should be valid for a minimum period 6months.

7.0 Prices:

7.1 The prices quoted by the tenderer shall be in Indian Rupees, firm and notsubject to any price escalation, if the order is placed within the validity period.

7.2 The price quoted should be inclusive of all Central/State Government levies,taxes, sales tax, excise duty, custom duty, etc. excluding Octroi/Entry Tax,which, if any, will be paid as per actuals on production of relevant originaldocuments.

7.3 Further, subsequent to orders being placed/agreement executed, the vendorshall pass on to Reserve Bank of India all fiscal benefits arising out ofreductions in Government levies viz. sales tax, excise duty, custom duty, etc.

7.4 The Reserve Bank of India reserves the right to re-negotiate the prices in theevent of change in the international market prices of both the hardware andsoftware.

8.0 Time Schedule:

8.1 The Bank would like to have the following time schedule for completion ofthe activities from the date of placement of orders.

i. Delivery: 4 weeks.ii. Installation and operationalisation: 2 weeks

The vendor should specify minimum and maximum possible period ofdelivery.

8.2 The systems and software will be delivered and installed at each RegionalOffice/location of the Bank specified in Annexures II, III and IV.

8.3 The delivery of the computer systems will be deemed complete when thefollowing are received in good working condition at each RegionalOffice/location of the Bank.

♦ Computer systems, accessories and associated documentation.♦ System software and associated documentation.♦ Microsoft server products and associated documentation.

8.4 The installation will deemed to be complete, when all the hardware, systemssoftware, Microsoft server products, etc as per the technical specificationsalong with the accessories, necessary to make the hardware functional areinstalled and all the features as per the technical specifications aredemonstrated and implemented as required on the systems to the satisfactionof Reserve Bank of India. The vendor has to resolve any hardware, operatingsystem, Microsoft server products, system software problems duringsuccessful installation of LAN and WAN of the e-mail and WorkflowBackbone. In addition, supply of all associated documentation relating to thehardware, system software, Microsoft server products should have beencompleted.

8.5 All the software (operating system, system software, Microsoft serverproducts and other accessories/software) supplied by the vendor shall be legaland the vendor shall give indemnity to that effect in the format specified inAnnexure XIII.

9.0 Warranty:

9.1 The warranty should be for a minimum period of one year from the date ofacceptance of the systems by Reserve Bank of India. During the warrantyperiod, the vendor will have to undertake comprehensive maintenance of thehardware, systems software, Microsoft server products and other accessories.

9.2 In respect of all the software (operating system, system software, Microsoftserver products, etc) the vendor should give the policy and price of supplyingnew versions/s, releases, upgrades, updates, etc. This should be specificallyquoted by the vendor in the offer.

9.3 Besides the above, the vendor will have to confirm the terms and conditions ofwarranty in Annexure XIV.

10. Vendors’s maintenance support during and after warranty period

10.1 The information about service support available at each site shall be given inAnnexure XV.

10.2 The selected vendor shall ensure that services of a team of professionallyqualified persons is available for hardware and software support duringwarranty period at each Regional Office/location. Such service support shallinclude reloading of Microsoft products in case of systemcrash/malfunctioning, corruption of data, reconfiguration of entire e-mail andWorkflow backbone, if required, reconfiguring of client machines includingporting of required software, etc.

10.3 The selected vendors shall provide the preventive maintenance schedules permonth which shall be specified in advance.

10.4 In the event of system break down or failures at any stage, protection availableshall be specified which would include the following.

♦ Diagnostics for identification of systems failures♦ Protection of data♦ Recovery / restart facilities♦ Back-up facilities

10.5 The selected vendor shall ensure that in case of a break down/malfunctioningof hardware, accessories, systems software, MS Server products, etc.,provided by them, the relevant defect is attended to and rectified within 24hours of the receipt of the complaint. The hot swappable parts should bereplaced immediately for which the selected vendor should store all the criticaland hot swappable spares at each site. The list of critical and hot swappable

spares, the vendor proposes to stock at each site should be furnished inAnnexure XVI. Further, during warranty period, proportionate penalty will belevied in case of down time of the systems, which shall include extension ofwarranty period to the extent of down time.

10.6 The post warranty maintenance shall be at a rate not exceeding 8% of theequipment cost. This rate shall remain unchanged for the first three years.

10.7 The comprehensive maintenance during warranty and post warranty would beinclusive of all spares and excluding consumables. The list of consumablesand spares should be furnished.

10.8 The vendor will have to guarantee the availability of spares for a period of atleast 5 years.

11. Training

11.1 Officers and staff of the Bank shall be trained on the Operating System,Microsoft Exchange server, Microsoft Proxy server and other softwarepurchased from the vendor, by Microsoft trained engineers. Training charges,if any, shall be specified by the vendor separately in the quotation. The vendorshould specify a training schedule for a batch of 10 officers of the Bank ateach site on Operating System, System Administration, Microsoft Exchangeserver, Proxy Server, etc for a minimum duration of two weeks at MicrosoftCertified Training Institute/Engineers of the vendor as per Reserve Bank ofIndia’s requirement. Clients/users (equal to the actual number Client AccessLicenses to be purchased by the Reserve Bank of India) at each site should begiven orientation training on the use Microsoft Outlook, send/receive e-mail,etc for a day. Such training programme/s shall be conducted by the vendor atvendor’s premises.

12. Purchase Price

12.1 The cost per unit (hardware and software) shall be indicated separately. Theprice should be inclusive of all taxes and duties. Octroi/Entry Tax, ifapplicable will be paid as per actuals on production of original documents.Installation, customization, etc. charges, if any, should be quoted separately.

13 Right to verification

13.1 The Reserve Bank of India reserves the right to verify any or all statementsmade by the vendor in the tender document and to inspect the vendor’sfacilities, if necessary to establish to its satisfaction the vendor’s capacity toperform the job.

13.2 Reserve Bank of India, if deemed fit will inspect any or all of the computersystems at vendor’s manufacturing site before shipment to respective RegionalOffice/locations of the Bank, to verify that the computer systems shipped toReserve Bank of India are as per the technical specification specified in thepurchase agreement.

14 Terms of payment

14.1 The following will be terms of payment applicable for hardware, operatingSystem, System Sofware, Microsoft Server products, etc.

• 20% of the Total cost of for hardware, System Software, MS Server products,etc. on acceptance of the terms and conditions of the purchase order andexecution of the agreement, against bank guarantee as per the format specifiedby the Bank.

• 70% on Delivery and Successful Installation, Operationalisation andAcceptance of computer systems by the Reserve Bank of India.

• 10% on expiry of the warranty period or against Bank Guarantee as perReserve Bank of India’s format.

• The vendor shall submit performance bank guarantee for performing all theobligations arising on acceptance of all the terms and conditions of purchaseorder and execution agreement. Such performance bank guarantee shall be tothe extent of 20% of the total purchase consideration or purchase order valueand such performance bank guarantee submitted by the vendor shall be inforce till the completion of warranty period.

15. Indemnity to the Bank

15.1 The Vendor should furnish a photocopy of the Agreement with their Principalsin respect of hardware and software products offered. Further, the vendor shallindemnify Reserve Bank of India and keep indemnified against any loss ordamage that the Reserve Bank of India may sustain on account of anyviolation of patents, trademark etc., by the vendor in respect of hardware,system software, Microsoft server products, etc. supplied.

16. Delay in performance of the obligations by the vendor

16.1 The vendor must strictly adhere to the implementation schedule, specified inthe purchase agreement to be executed between the Reserve Bank of India andthe vendor for performance of the obligations arising out of the purchaseagreement and any delay will enable the Reserve Bank of India to resort to anyor both of the following :

• Claiming liquidated damages at 5% of the total purchase consideration.• Termination of the purchase agreement fully or partly and claim liquidated

damages

17 All disputes of any kind arising out of supply, commissioning, acceptance,warranty, maintenance etc., shall be referred by either party (Bank or Vendor)after issuance of 30 days notice in writing to the other clearly mentioning thenature of dispute to a single arbitrator acceptable to both the parties. Thevenue for arbitration shall be specified in the purchase agreement.
