1. Tolling Uninterruptible Power Supply Units (UPS) - (Attachment) Purpose: To upgrade the 6 year old UPS units currently servicing THEA’s tolling in-

lane equipment. Funding: Capital Project Budget: $73,665 Action: Approval of a Purchase Order for AccuTech to provide the hardware needed

to complete the installation of UPS upgrade.

2. Tolling Manual Image Review Application (MIRA) Hardware Implementation - (Attachment)

Purpose: To procure final hardware and software-license components necessary to

implement THEA’s Manual Image Review Application. The MIRA software project was approved by the Board of Directors on September 26, 2016 and is scheduled to go live on July 01, 2017.

Funding: Capital Project Budget: $159,050 Action: Approval for staff to procure the components listed on the Manual Image

B. Planning Committee – John Garcia, Chair / Bob Frey, Staff

1. General Planning Consultant Miscellaneous Planning & Design Services –

(Attachment) Purpose: To provide on-call technical and personnel support for THEA staff for various

miscellaneous planning services and meetings. This task provides the opportunity to utilize consultant services for smaller, quick turn-around tasks that require accessibility to a variety of technical resources. These services may relate to agency meetings, work plan development, planning studies, data collection & research, traffic analysis, Intelligent Transportation System (ITS), public involvement and/or communications, mapping and graphic, and general project support.

Funding: Capital Project Budget: $160,000 Action: Approval of a task order with Parsons Brinckerhoff, Inc. to provide on-call

technical support to THEA staff for various miscellaneous planning services in the amount not to exceed $160,000.

2. Connected Vehicle (CV) Pilot Deployment – Phase 2 & 3

Purpose: The THEA Board previously authorized the budget for Phase 2 & 3 of the CV Pilot Deployment on July 25, 2016. As part of the CV Pilot Deployment THEA has asked Brandmotion to add up to 100 SiriusXM satellite based On-Board Units in order to evaluate how satellite technology performs in the CV environment. In order to accommodate the addition of this technology $100,000 of the CV Pilot Deployment contingency funds will be moved to Brandmotion. There is no change in the financial outcome for this project.

Funding: No Financial Impact Action: This is an informational item, no action is necessary by the Board.

3. On-Demand Project Cost Estimating & RFP Support– (Attachment)

Purpose: To provide on-demand support to THEA staff for Miscellaneous Planning &

Design Services. Rummel, Klepper & Kahl, LLP (RK&K), as one of the Miscellaneous Planning & Design Services Consultants for THEA, shall act as an extension of THEA staff to assist in the development and/or the review of Requests for Proposals (RFP) and to provide independent 3rd party cost estimating for projects. Services to be provided by RK&K shall include on-demand support for THEA staff for a two year period.

Purpose: To comply with Section 5.07 Toll Covenant of the Series 2012 Master

Authorizing Resolution Action: Adoption of Resolution #652, authorizing the Chief Financial Officer to

certify, on behalf of the Authority, that pledged funds are sufficient to meet the Toll Covenant requirements of the Series 2012 Master Authorizing Resolution for Fiscal Year 2018.

D. General Counsel – Patrick Maguire

1. Design/Build Selmon West Extension Retainer Agreement (Attachment)

Purpose: To retain construction attorney for review of procurement documents,

contracts and available for construction claims involving the Selmon West Extension.

Funding: Capital Project Budget: $50,000* 24 months

* Does not include protest or litigation services

Action: The Board selects Gray Robinson to serve on an as needed basis for legal services associated with the Selmon West Extension Project. Contract is for 3 years, subject to available funding and fiscal year budget approvals.

Dr. Sisinnio Concas addressed the Board with a presentation on the findings of the economic impact analysis and benefits of the Tampa Hillsborough County Expressway Authority (THEA). Dr. Concas explained THEA retained the Center for Urban Transportation Research (CUTR) at the University of South Florida (USF) to estimate the economic impacts and benefits of its operations and infrastructure investments. Through its capital investments THEA increased transportation accessibility to commuters and businesses. Improved accessibility promotes the clustering of businesses and residential units in proximity of the expressway points of access. This leads to a larger pool of workers and customers, which in turn positively affect business location decisions, employment and sales. This study looked at these impacts. In addition, the study evaluated the impact on property prices. THEA’s capital infrastructure investments and operations contribute substantially to economic growth in Hillsborough County and the state of Florida. Since its inception, THEA’s strategic investment planning decisions have generated $1.2 billion in local and state gross domestic product and a combined 13,200 jobs. Authority operations provide a significant contribution toward area employment by supporting jobs in the most relevant industries of the region. All monetary amounts are reported in 2015 dollars unless otherwise indicated. This study found that by improving business and residential accessibility, THEA’s strategic investments increased business clustering and specialization, resulting in 14.1 percent more business establishments than in comparable areas within Hillsborough County over the past 10 years. This increased development resulted in a 5.4 percent higher employment growth rate than comparable locations for the same time period. THEA’s Selmon Expressway produces substantial benefits in terms of travel time reductions, increased safety, and a decrease in harmful emissions. This study finds that the Selmon Expressway saves its users $274 million annually. Of these, $142 million are in terms of travel time and out-of-pocket cost savings. Each person saves on average 3.8 hours in travel time per year. This represents a 7.4 percent reduction in the 52 hours of travel time spent annually in congested conditions. Households save $16.2 million per year in out-of-pocket transportation costs due to reduced vehicle fuel and operating expenditures. In 2015, more than 54,000 motor vehicle crashes occurred in the Tampa-St. Petersburg MSA. This amounts to approximately 14.6 percent of the total crashes in the state. This study finds that THEA’s Selmon Expressway contributes to increased safety by reducing the number of crashes, which also decreases property and injury damage by about $89.7 million annually. Through an extensive analysis of the changes in residential and commercial parcels, this study found empirical evidence that improved transport accessibility positively affected the property prices of both residential and commercial parcels located in proximity to the Selmon Expressway. During the period 2002-2016, single-family residential units exhibit on average 14.9 percent higher property sale prices than comparable parcels not located in proximity to the Selmon Expressway. Commercial properties exhibit 16.2 percent higher sale prices than comparable parcels located in the control areas.

Chairman Cassidy requested clarification on the statement related to increased business activity, (i.e. 14% more businesses established). Dr. Concas confirmed this is growth in terms of number of establishments. Mr. Waggoner mentioned the first study on this topic was completed several years ago and THEA has seen significant change and anticipates the next study will reflect an even more significant change as a result of the impact from the I-4 Selmon Expressway connector. Mr. Alvarez questioned if this study will be available on the website. III. APPROVAL OF MINUTES OF THE NOVEMBER 14, 2016 BOARD MEETING

Mayor Buckhorn moved for approval of the November 14, 2016 Board Meeting Minutes, seconded by Mr. Garcia. The motion passed unanimously.

IV. INFORMATIONAL / ACTION ITEMS

A. Operations & Maintenance Committee – Bennett Barrow, Chair / David May, P.E., Staff

1. Continuation of Cleaning the Underside of the REL

Mr. May reported the first item brought before the Board is the continuation of the cleaning of the underside of the REL. Phase I of the pressure washing has been completed from Twiggs to 31st Street. It was noted THEA initially performed a statewide search and although three firms were identified only one firm, Finishing Systems of Florida, provided a responsible bid that was consistent with the estimate provided by HNTB. The bidder was the firm that washed and painted the REL during original construction. In addition, Finishing Systems of Florida is on the State of Florida approved vendor list and is a certified Woman-Owned enterprise. Funding for this project is from the renewal and replacement budget in the amount of $1,446,866. Mr. Bennett requested Mr. May explain how often this maintenance is required. Mr. May explained THEA anticipates an 8-10 year cycle although a function of many variables in existing conditions affect longevity.

Mr. Alvarez made the following motion, seconded by Mr. Barrow for approval of a contract with Finishing Systems to pressure wash the underside of the REL from approximately 31st through approximately 78th Streets (1,572,680 SF). Contract execution is subject to final review and approval by THEA General Counsel. There being no questions the motion passed unanimously.

2. Construction Engineering Inspection Brandon Parkway Resurfacing

Mr. May reported on the construction engineering and inspection for the Brandon Parkway resurfacing to provide CEI services and testing. THEA used a consultant for the miscellaneous planning and design contract to do this assignment and hourly rates were negotiated through THEA’s GEC, HNTB, and are consistent to similar projects in the industry. The funding is coming from the renewal and replacement budget in the amount of $135,179.

Chairman Cassidy requested Mr. May continue with the next Agenda Item with one motion from the Board for two separate task orders being that the work is similar with the same vendor.

3. Construction Engineering Inspection Meridian Avenue Project

Mr. May explained the Meridian Project is with the same firm; however they are separate project numbers with separate budgets and therefore were split into two separate Agenda items and two separate task orders; however similar work. Mr. May continued to explain the construction engineering inspection for Meridian Avenue as above. Funding again from the renewal and replacement budget in the amount of $146,148. This includes the recommendations from the study performed with DOT for Meridian pedestrian improvements changing some walkways and incorporate items that will be compatible with the connected vehicle project down the road.

Mr. Alvarez made the following motion, seconded by Mr. Garcia for approval of two task orders with RK&K to provide Construction Engineering and Inspection services for the Brandon Parkway project and Meridian Avenue project in the amounts not to exceed $138,179 and $146,148 respectively. There being no questions the motion passed unanimously.

4. Florida’s Centralized Customer Service System (CCSS) - Rafael Hernandez

Mr. Hernandez reported a continuation of the Florida Centralized Customer Service System project to outsource software engineering services to support the integration of THEA’s Tolling Operational Back-office with the new Florida’s CCSS. Funding is not to exceed $354,000 from the Capital Project Budget. Mr. Cassidy requested an explanation of what specifically is going to be done. Mr. Hernandez explained funds will be applied for time and material towards software engineers capable of making modifications to the software and hardware we have in-house for processing toll transactions.

Mayor Buckhorn made the following motion, seconded by Mr. Garcia authorizing staff to issue a Task Order for the amount not to exceed $354,000 for Infotech, a SBE firm, to provide software engineering support services under existing THEA contract No. I-01715.

B. Planning Committee – John Garcia, Chair / Bob Frey, Staff

1. Design-Build Selmon Greenway Pocket Parks Mr. Frey explained this item has been postponed until the January 2017 Board meeting. Chairman Cassidy thanked Mr. Garcia for tabling the project in an effort to further explore proposed design plans and cost estimates. Mr. Garcia explained plans are to go out, “boots on the ground”, to see exactly what is proposed and look at first hand to better understand where dollars will be spent.

2. Selmon West Extension Investment Grade Traffic & Revenue Study

Mr. Frey explained the Selmon West Extension Investment Grade Traffic and Revenue study is the second phase for the Selmon West Extension and the full Tampa-Hillsborough Expressway Authority’s toll system. Funding will be $92,467 from the Capital Project Budget.

Mr. Garcia made the following motion, seconded by Mayor Buckhorn for the approval of a Task Work Order with Jacobs Engineering Group, in the amount not to exceed $92,467, to conduct the second phase of the investment grade traffic and revenue study (T&R Study) for the Gandy Extension and the full Tampa-Hillsborough Expressway Authority toll system.

There being no questions, comments or request for clarification the motion passed unanimously.

3. Planning/Feasibility Study Selmon East RFP

Mr. Frey reported the planning and feasibility study for the Selmon East request for proposals for east of Meridian Avenue to I-75 will provide THEA with an evaluation of existing and future traffic on the Reversible Express Lanes and local lanes of the expressway in order to maximize capacity and safety. This study will include not only traffic but also geometrics of future improvements and constructability of those and incorporating into the work program. The work will be funded from the Capital Budget.

Mayor Buckhorn made the following motion, seconded by Mr. Garcia for the approval of a Task Work Order with RS&H in an amount not to exceed $1,871,226, to conduct the planning and feasibility study for Selmon East from east of Meridian to I-75. RS&H will apportion approximately 5.2% of contract dollars to SBE(s).

Chairman Cassidy commented as we think about the work THEA has accomplished on Selmon West and Connected Vehicle and we heard CUTR’s report on economic impact, this is just another example of this organization looking at another point in the roadway on how to address concerns and putting more money to work in our community. Chairman Cassidy thanked the Executive Director and congratulated him on being able to effectively balance and manage it all.

There being no further questions, comments or request for clarification the motion passed unanimously.

C. Audit Committee – Commissioner Les Miller, Chair / Jon Stein, Rivero Gordimer & Company

1. FY2016 Financial Statements

Mr. Douglas introduced himself and Mr. Stein with Rivero Gordimer & Company who are here to present the results of the audit. Mr. Douglas stated that he and Mr. Stein had met with Commissioner Miller on December 5, 2016 for review of the audit results. He reported that there were no findings or disagreements and that they had received good cooperation from THEA management and staff during the process. Mr. Stein proceeded to review the statements by way of PowerPoint slides, attached hereto as “Exhibit A”. Commissioner Miller noted being Chair of this committee for six years and in the legislature for 14 years and this agency has truly been turned around full circle which he attributes to Ms. Paul, Mr. Waggoner and all the THEA staff. Commissioner Miller stated this is reflected in these audit results. Chairman Cassidy thanked Commissioner Miller for his comments and Messrs. Douglas and Stein for their presentation.

Commissioner Miller made the following motion, seconded by Mayor Buckhorn to accept the audited Financial Statements for Fiscal Year 2015-2016 as audited by Rivero Gordimer & Company. There being no questions the motion passed unanimously.

V. STAFF REPORTS

A. Operations & Maintenance (Dave May, P.E.)

Mr. May provided results of the November maintenance rating program. This is performed three times a year and noted this past rating cycle achieved a rating of 94.2% which is consistent with THEA’s goals of maintaining a first class facility. Fencing was the only concern which will be addressed this quarter.

B. Financial / Traffic & Revenue (Lynne Paul)

Ms. Paul reported information provided in the packets is through October 31, 2016. Toll revenues and expenditures are within normal limits. Cash and investments are sufficient to cover the needs of the Authority. Toll revenue is approximately 6% over for the year based upon last year and 2% over projected which is seasonally adjusted. Approximately 3.5% over from last year for traffic. Ms. Paul explained because we have video tolls, it depends on how much cash comes in from video.

C. Communications (Sue Chrzan)

Ms. Chrzan highlighted the FAV coverage as well as additional coverage listed in the packets for October and November 2016. Ms. Chrzan thanked Ms. Sally Dee and Mr. Todd Josko for their assistance in the Florida Automated Vehicle Summit. There were over one hundred more attendees this year as compared to last year. As a result of it being such a success it has been confirmed the summit will be back in Tampa for the next 2 years. Ms. Chrzan also highlighted earned media value has reached over $100,000 with viewership of 1.6 million.

D. Toll Operations (Rafael Hernandez)

Mr. Hernandez reviewed October 2016 activity. Mr. Hernandez reviewed the customer base for the month of October. Working to surpass activity, this matrix demonstrates achieving those efforts. Mr. Hernandez explained the breakdown into groups of the Selmon Expressway with the THEA administration building as the demarcation point between the west and east groups. Historical data was reviewed denoting exponential growth secondary to the Selmon I-4 connector project completion. Average daily traffic was reviewed by sector groups with corresponding impacts. Westbound traffic could be impacted by construction activity within the downtown area. Overall the whole west group is performing at 1.1% higher when compared to last year. The whole east group is 7.9% higher when compared to last year. Mr. Waggoner explained there is current tracking analysis ongoing based out on Bayshore for data mining purposes to provide important information for innovative multi-modal transportation solutions.

VI. EXECUTIVE REPORTS

A. Executive Director (Joe Waggoner) – Mr. Waggoner reported rescheduling the January 2017 Committee as a Whole meeting date to January 17th. Critical elements related to the Selmon West Extension as far as cost estimates and schedules will be on the Agenda. The February 13th Committee as a Whole

Meeting will pose an opportunity to update the Board on some potential ways to finance the project going forward. No actions expected; informational discussions with an opportunity to workshop and open Q&A with Board Members on the project. Mr. Waggoner reported an e-mail sent to Board Members regarding submitting a letter of support to the FDOT Secretary for the Airporter Regional Express Service. This is a new service that the Airport and HART would like to explore and are seeking state funding to stand up the service. This draft letter of support was distributed to each Board Member for review prior to this meeting via email correspondence.

Mayor Buckhorn made the following motion, seconded by Commissioner Miller for the approval for THEA’s Chairman of the Board to execute this letter of support and send forward on behalf of THEA supporting a funding request for this project. There being no questions the motion passed unanimously.

All Tolling Sites: New UPS Coordination

Purpose

The purpose of this quotation is to provide THEA with the coordination and installation of new Uninterrupted Power Supply (UPS) units for each of the tolling sites. The current UPS units at all THEA tolling sites are out of date and end of life. THEA is procuring new UPS units; TransCore will configure and install these units and all associated components.

Each UPS comes with an Ethernet card for communication with THEA’s tolling network. Prior to installation, TransCore’s network team will configure each UPS for compatibility with THEA’s network. This will allow THEA and TransCore staff to remotely monitor the UPS through a system GUI and the Nagios alert system.

Due to the nature and functionality of the UPS, each tolling site will have to be shut down during installation. A TransCore developer will be available to assist with rebooting the tolling site to ensure that the system boots correctly and that all processes are running. Because of these factors, the installation will be performed during off-peak hours (at night).

Scope

The scope of this quotation includes the coordination of all installation and configuration efforts of new UPS units by TransCore at all tolling sites. This includes physical installation of these parts by the tolling technicians during off-peak hours with a software engineer available to reboot the tolling lane. Finally, this quote includes the network configuration for each UPS – for compatibility with THEA’s network and Nagios alerts.

Rafael Hernandez Director of Toll Operations Tampa Hillsborough Expressway Authority December 22, 2016 Rafael, Attached is the Bill of Materials for the hardware and server software for the MIRA project. Based on the hardware analysis meetings held and the various discussions on acceptable configuration sizing based on current and future transaction volumes, the attached hardware and software BOM contains the recommended setup. Specifically, the setup recommendation includes:

4 PowerEdge R430 servers – These servers (two primary, 2 backup) will provide appropriate capabilities for both current transaction workflow and future growth, and allow for active/active configurations to prevent system downtime in the event of one server going offline.

2 PowerEdge R530 servers – These servers (one primary, 1 backup) will contain the transaction databases separate from the application servers. This reduces processing impact on database calls from impacting the application speed, which is of significant importance to the manual review process.

Miscellaneous Planning and Design Services Task Work Order: General Planning Consultant Task 

Overview Following  the adoption and  implementation of  the Tampa Hillsborough Expressway Authority  (THEA) 

Strategic Blueprint in May 2015, multiple planning projects and studies are advancing as part of the THEA 

Work Program for further analysis and consideration. In order to quickly and efficiently progress planning 

and design efforts, THEA requires the professional services of an on‐call General Planning Consultant to 

expedite studies and provide technical support. The work involves a variety of technical resources for the 

research and data collection, analysis, study management, mapping, and graphical support necessary to 

prepare various aspects of studies and initiatives.  The General Planning Consultant task provides THEA 

with an extension of staff to serve its needs and provide resources on necessary assignments.  

Services

Objectives The objective of the General Planning Consultant task is to provide on‐call technical support to THEA for 

various miscellaneous planning services needed. This task provides the opportunity to utilize consultant 

services for smaller, quick turn‐around tasks that require a faster response, with accessibility to a variety 

of technical resources. These services may relate to planning studies, data collection and research, traffic 

analysis,  minor  design,  Intelligent  Transportation  System  (ITS),  public  involvement  and/or 

communications, mapping and graphic, and general project support.   

General Planning Consultant Services WSP | Parsons Brinckerhoff will provide THEA with on‐call support on minor miscellaneous planning and 

design efforts as needed. The general services task work order provides the mechanism  to assist with 

smaller studies, technical support, and technical reviews as they arise. 

The Consultant may be required to perform the following types of activities to assist THEA under the terms 

of this task order: 

Special Transportation Studies – Conduct special analyses and studies as needed to address 

specified transportation issues, travel behaviors, policies, operating procedures, and other 

factors impacting THEA and the community’s transportation system. Where transportation 

deficiencies and needs are revealed, the Consultant may need to provide potential solutions 

and analyze alternative impacts. 

Sketch‐Level Corridor Analyses – The Consultant may provide preliminary research and 

analysis on the effectiveness of potential alternatives for further evaluation. This could 

include developing minor, sketch‐level analyses to consider potential impacts, fatal flaws,

and opportunities. This may include development of typical sections, graphics, fact sheets, 

and project investment forms (PIFs) as needed.  

Multi‐modal System Planning Support – Provide multimodal planning support as needed on 

projects that coordinate with various modes of transportation such as highway/roadway, 

rail, freight, transit, premium transit, bicycle and pedestrian, and systems planning. This 

includes system integration and mobility planning.  

Traffic analysis and simulations – Minor traffic modeling efforts and/or analyses that may 

include preparation of required model inputs, network development, analysis, and reporting 

of results. Consultant may provide technical review for validity of data, parameters, and 

assumptions. The Consultant may need to assess existing and future traffic data to consider 

quality and level of service.  

Minor Design – The Consultant may assist with minor roadway and multimodal design 

activities as needed. This may include preparation and development of concepts, oversight 

review of project submittals and costs, and comparison review of Work Program project 

phase estimates and project cost development for consistency and updates needed. Minor 

design efforts could include identifying small, low‐budget projects that could be 

implemented quickly to address traffic, mobility, or safety concerns. The Consultant may be 

required to apply appropriate design standards and applications to develop concept designs 

that may be used for project justifications, benefit analyses, and basis for design plans. The 

Consultant may also be required to assist in safety and evacuation, and traffic operations 

improvements. 

Intelligent Transportation System (ITS) Support – The Consultant may support ITS efforts 

through review and development of conceptual plans or other activities as required. The 

Consultant may provide coordination on tolling systems, as well as technical resources for 

integration and implementation of automated and connected vehicles (C/AV). 

Asset Management – Support THEA needs in minor development, implementation or 

management of assets. 

Review of Planning Studies – The Consultant may support THEA in the review of THEA 

planning studies; as well as the review and impacts related to other studies by: local 

governments, Metropolitan Planning Organizations (MPOs), the Florida Department of 

Transportation (FDOT), local governments, private developers, and consultants of other 

agencies.  

Plans Review – The Consultant may need to provide technical review of design and/or 

construction plans to ensure that they are consistent with adopted plans and planning 

efforts, and that they comply with appropriate policies, standards, and guidelines of 

communities, governments and agencies, and multimodal planning requirements.   

Public Involvement/Communications – Assist with or provide public engagement support 

as needed between or as part of projects. The Consultant may be required to produce 

materials such as PowerPoints, fact sheets/brochures, and provide project review of public 

documents as needed.  

Data Collection – The Consultant may support THEA with data collection for potential 

corridor analyses or sub‐corridor analyses, collecting existing and future conditions, 

developing future forecasts, and analyses of future forecasts to determine viability of

potential improvements. The Consultant may also conduct peer and technical research on 

various planning and agency related topics.  

Land Use – The Consultant may support THEA in land use and development studies and 

reviews. This may require reviewing existing and future land use plans and development 

activities to apply existing and future needs related to a project and/or study area. This may 

also require incorporating urban planning concepts where appropriate, coordination with 

infrastructure planning and design in and around the urban area, and planning of parks, 

parklets, pocket parks, and trails where appropriate.  

Policy Planning – The Consultant may support THEA in policy initiatives and 

agency/stakeholder coordination. 

Mapping and Graphics ‐ Provide mapping, Geographic Information Systems (GIS), and 

graphics support as needed to support ongoing activities.  

Documentation – The Consultant will complete necessary documentation, white papers, 

and/or fact sheets to support the activities associated with the General Planning Consultant 

task or projects.  

Project Controls Support ‐ The Consultant staff will be available to provide in‐house support 

or assist in projects as necessary. Activities related to project controls includes, but is not 

limited to: 

o Assistance with preparation and/or review of project controls, such as critical path 

method schedules for projects and phases, and their associated cost estimates.  

o Maintain and provide support on project schedules and program management. 

o Meeting Attendance ‐ Attend THEA meetings, agency meetings, and public meetings 

as needed or directed by THEA staff. Prepare meeting summaries and updates as 

requested.  

o Scope Development – Develop scopes of work and fee estimates  

o Grant Support – Provide assistance in monitoring and developing grants 

o Schedule Development – Identification and coordination related to projects 

milestones and schedule development, coordination, and major elements for 

consideration.  

o General Assistance – on‐call services to support project management needs to 

ensure schedules, study products, and study programs.    

Management and Coordination WSP | Parsons Brinckerhoff will conduct ongoing meetings with THEA staff and other THEA consultants 

as  needed  throughout  the  entire  process,  provide  evaluation  updates,  and  present  any  findings  or 

recommendations  to  THEA  for  consideration.  The  Consultant  will  also  coordinate  with 

agencies/stakeholders as needed, and other THEA consultants on planning project initiatives.  

Task Work Order Fee The General Planning Consultant Services task order is an on‐call task order to provide planning support. 

The estimate of work provides for one year of planning support with 20 hours of senior planner support 

per week. The estimated cost is $159,713.74 for 1,040 hours.

Connected Vehicle (CV) Pilot Deployment

Phase 2 & 3

Purpose: The THEA Board previously authorized the budget for Phase 2 & 3

of the CV Pilot Deployment on July 25, 2016. As part of the CV Pilot Deployment THEA has asked Brandmotion to add up to 100 SiriusXM satellite based On-Board Units in order to evaluate how satellite technology performs in the CV environment. In order to accommodate the addition of this technology $100,000 of the CV Pilot Deployment contingency funds will be moved to Brandmotion. There is no change in the financial outcome for this project.

Jacobs conducted a traffic and toll revenue study to forecast toll revenue for fiscalyear (FY) 2018 in order to provide this certification. The FY2018 is defined as July1 ,2017 through June 30, 2018. The analysis used actual traffic and toll revenuethrough September 2016, representing the first quarter of FY2017, to aid in thedevelopment of traffic and toll revenue forecasts for FY2018.

The Net System Revenue Test identified as Test (i) in the Master Resolution ispresented in Table 2. The net system revenues are estimated to meet therequired coverage levelfor FY18.

RESOLUTION 652

A RESOLUTION OF THE TAMPA-HILLSBOROUGH COUNTY EXPRESSWAY AUTHORITY CERTIFYING THAT PLEDGED FUNDS HAVE BEEN DETERMINED TO BE SUFFICIENT FOR FISCAL YEAR ENDING JUNE 30, 2018 TO COMPLY WITH THE TOLL COVENANT PROVISIONS REQUIRED BY SECTION 5.07 (E) OF THE MASTER AUTHORIZING RESOLUTION, AND PROVIDING FOR AN EFFECTIVE DATE.

WHEREAS, an amended and restated Master Bond Resolution (the "Master Resolution") of the Tampa-Hillsborough County Expressway Authority ("the Authority") was adopted November 19, 2012, authorizing the issuance by the Authority of its revenue bonds (various series) to provide for the financing or refinancing of the costs of acquisition, construction, and equipping of capital improvements to the Authority's expressway system and other purposes of the Authority, and

WHEREAS, Section 5.07(E) of the Master Resolution specifies that on or before February

1, in each fiscal year, the Authority will review the financial condition of the Expressway System and the Bonds in order to estimate whether the Net System Revenues for the following Fiscal Year will be sufficient to comply with the provisions stated in Section 5.07(B) of the Master Resolution, and shall by resolution make a determination with respect thereto, and

WHEREAS, the Authority has reviewed the revenue sufficiency certificate prepared by the

Traffic Engineer who has determined that Net System Revenue will be sufficient to comply with the provisions stated above for fiscal year ending June 30, 2018.

NOW, THEREFORE, BE IT RESOLVED by the Tampa-Hillsborough County Expressway Authority as follows:

1. The Chief Financial Officer is hereby authorized on behalf of the Authority

to certify that Net System Revenues are sufficient to meet the Toll Covenant requirements of the Master Authorizing Resolution for Fiscal Year Ending June 30, 2018 (the "Toll Covenant Certification").

2. The Toll Covenant Certification may be based upon and given in reliance

upon a revenue sufficiency certificate prepared by the Traffic Engineer.

OUTSIDE COUNSEL AGREEMENTFOR

CONSTRTI ON SERVICES

THIS OUTSIDE COUNSEL AGREEMENT("Agreement") is made and entered intoby and between the TAMPA IIILLSBOROUGH EXPRESSWAY AUTHORITY, hereinafterreferred to as the "Authority," a body politic and corporate organized under and existing byvirtue of the laws of the State of Florida, whose address is 1104 E. Twiggs Street, Suite 300,Tampa, Florida 33602, and GRAYROBINSON, a Florida professional association, hereinafterreferred to as the "Firmr" whose address is 401 E. Jackson Street, Suite 2700, Tampa, Florida33602.

WITNESSETH:

WHEREAS, the Tampa Port Authority ("Port Authority") solicited requests forqualifications from interested law firms qualified in the practice areas of construction servicesand solicited responses to its Request for Qualifications No. Q-007-16 (the "RFQ") for thoseservices; and

V/HEREAS, the Firm responded to the RFQ and on September 2A,2016, the Tampa PortAuthority Board of Commissioners approved the selection of the Firm for the award of anOutside Counsel Agreement for the areas of construction services; and

WHEREAS, the Port Authority negotiated contract terms for outside counsel in the areasof construction services; and

WHEREAS, the Port Authority and the Firm entered into that certain Outside CounselAgreement for Construction Services ("Existing Agreement") and the Authority wishes toutilize cooperative purchasing, i.e. "piggy-back" on the procurement process by which the Firmentered the Existing Agreement and therefore is entering into this Agreement where all of thesame material terms, conditions and provisions of the Existing Agreement with the PortAuthority and the Firm.

NOW THEREFORE, in consideration of the following and the mutual covenants andconditions described below, the parties agree as follows:

1. ENGAGEMENT AND TERM

The term of this Agreement is for three (3) years, beginning on December I,2016,andending on November 30, 2019. Any altemations or change of terms or conditions, includingbilling rates, will be considered a modification to the Agreement that requires the mutual consentof both parties.

This Agreement is non-exclusive in nature and does not obligate the Authority to utllizethe Firm's services.

2. SCOPE OF SERVICES

Services to be provided by the Firm shall be on an as-needed basis and may include, withoutlimitation, those services as set forth on Exhibit ßA" - Scope of Services - ConstructionServices, attached hereto and incorporated by reference herein.

3. SUPERVISION AND STAFFING

In connection with its representation of the Authority, the principal contact person at theAuthority will be Patrick Maguire, General Counsel, or such other person designated by theGeneral Counsel.

The contact person at the Firm regarding assignments from the Authority shall be DavidL. Smith or his designee, George Spofford. As such, the contact person, who is the coordinatingattorney for purposes of this Agreement, shall be responsible for supervising assigned Authoritymatters at the Firm and submiuing required reports and budgets with the Authority.

All tasks should be performed by the most cost-effective, qualified person. Inappropriate circumstances, therefore, work may be delegated to an associate attorney, law clerk,or paralegal with applicable experience and qualifications to achieve this goal. The Firm shouldmake all reasonable efforts to avoid duplication of effort. The Firm should also avoid havingmore than one person involved in a task that can be professionally handled by one person (suchas review of documents, performing legal research, or attendance at meetings, status conferences,depositions, or hearings). The Authority will not pay for the time of suÍrmer associates, lawclerks, or inexperienced attorneys whose presence is primarily for the purpose of instruction ortraining. Additionally, the Authority must pre-approve the engagement by the Firm of any third-party contractors or consultants that will perform work on Authority matters, and the Authoritymust pre-approve the third-party's hourly rates and budget for the proposed services.

4. \ilORK ASSIGNMENTS

Each time the Firm receives an assignment from the Authority with an estimated legalbudget in excess of 810,000, the Firm if requested by the General Counsel shall submit to theAuthority a detailed outline ("Outline") describing the proposed goals and strategies for theassignment. The Firm sha1l submit the Outline to the Authority within thirty (30) days of thedate of the assignment.

In the Outline, the Firm should set forth its assessment of the tasks that will be required tocomplete the assignment and a preliminary analysis of the likely outcome, with theunderstanding that any assessments or other written communications may be subject to Chapter119, Florida Statutes (the "Florida Public Records Law"). In addition, the Firm should set

forth a good faith estimate of the anticipated professional fees and costs associated with theFirm's representation for the assignment (the "Initial Budget"). The Initial Budget shouldinclude a swnmary of hours anticipated to be billed by the attorney(s), paralegals, and law clerks,as well as an estimate of legal research time, if any. The Initial Budget will be reviewed and,where circumstances require, ffiây be amended as approved by the General Counsel.

5. TIMELY COMMUNICATIONS

AII communications sent to Authority staff must be copied to the General Counsel.All communications should display the matter number assigned by the firm. Non-urgentcommunications should be sent by regular mail or other economical means. Overnight deliveryservices should be used only when reasonably necessary. The Authority discourages the use ofovernight delivery/courier services for the intra-city transmittal of documents from the Firm tothe Authority. The Authority encourages the use of e-mail to reduce costs and facilitate thetimely transmittal of documents. E-mailed documents are to be transmitted in Word formatwhenever possible, and both the Authority and the Firm should ensure documents are virus*freebefore transmittal to the other party. The Firm should remain cogrizant that the Authority issubject to the Florida Public Records Law before initiating any written communication with orsending any documents to the Authority.

6. ONGOING CONSULTATION

Outside counsel shall endeavor to have the General Counsel participate in all strategicdecisions and review all documents and pleadings before service, submission, or delivery to athird party. The Firm's contact person or coordinating attorney will noti$ the General Counselof all deadlines and key dates and provide timely status updates as described in Section 7 below.In addition, the Firm's contact person or coordinating attorney should keep the General Counselreasonably informed as to changes in substantive and procedural laws within the constructionservices field of law during the term of engagement to the extent related to the Scope of Services.

7. PERIODIC STATUS REPORTS

After submitting its initial Outline, the Firm should periodically provide the Authoritywith a Status/Budget Update as required by the General Counsel. The Status/Budget Updateshould include a summary of developments since the last report, or confirmation that there hasbeen little or no activity, together with a brief explanation of the significance of suchdevelopments to the overall matter. The Firm should also include in the Status/Budget Updateits recommendations for firther activities.

8. BILLING PRACTICES

The Firm shall submit invoices to the Authority, Attn: General Counsel, on a monthlybasis by email no later than the 25th day of each month. The General Counsel will reviewsubmitted professional fees and expenses, and summarize monthly expenditures for approval bythe Authority's Board (the "Board") at its regular monthly business meetings or by Authoritystaff as appropriate. The Authority will monitor expenditures to ensure professional fees andcosts do not exceed the Firm's submitted budget on a particular assignment or the Authority'sExecutive Director's authorization limits. Budget increases beyond the Authority's ExecutiveDirector's spending authorization limits require Board approval and pending invoices will besuspended until Board approval. The Authority will reduce or strike any charges inconsistentwith the general guidelines described in this section.

The Firm's bills should display the Authority's matter number and the Firm's taxidentification number. The Firm's time slips should also specify: (1) the date each task wasperformed, (2) a description of the task, (3) the person who performed the task, (4) the actualtime spent on the task, (5) the hourly rate, and (6) the actual fee (time spent times hourly rate).The Firm should include some indication of the subject matter and/or participants for time entriessuch as "telephone calls, "research," or "preparation." Vague or overly broad charges will notbe accepted for payment, e.g. "prepare for conference: 4 hours." Please avoid multiple tasks fora single time entry over one (1) hour.

When outside services are approved by the Authority, the Firm should pay invoices fromoutside service vendors in amounts of five hundred dollars ($500.00) or less and include thepayments as disbursements in its monthly bill to the Authority without mark-up; bills fromoutside service vendors in excess of five hundred dollars ($500.00) should be forwarded to theAuthority for direct payment. The Firm should also include any disbursement receipts with itsmonthly bills to the Authority. Any charge for computerized legal research must be pre-approved by the General Counsel.

The Authority will not pay fees or costs arising out of review and revision of files,documents, correspondence, pleadings, motions, or other unnecessary repetitive tasks, and willnot pay attorney or paralegal rates for clerical tasks. The Authority should be billed for onlyone (1) attomey's attendance at depositions, hearings, and meetings unless the presence of anadditional attorney is necessary for effective representation and the attendance of an additionalattorney has been approved, in advance, by the General Counsel. Similarly, the Firm should notbill the Authority for routine intra-office conferences or meetin9S, €.g., reviewing the status ofthe matter with colleagues, except where conferences are required to address substantive legalissues.

Professional fees must be described in sufficient detail that the Authority can review andverify billed professional time. Paralegal and law clerk billable hours should be for substantivework associated with the matter, which would have otherwise been performed by an attorney.The Authority will not approve time submitted that is clerical or administrative in nature.However, as with any document submitted to the Authority, invoices for legal professionalservices are public records, and descriptions should not jeopardize any statutory exemptions orattorney/client privilege.

The Authority will reimburse the Firm for copying charges in accordance with Section119.07(4)(d), Florida Statutes, and in accordance with its Policyfor Copying Charges, which isattached as Exhibit "8." The Authority will reimburse the Firm for facsimile transmissions at$0.25 per page, and reimbursement requests shall include the name of the receiving party ororganization.

Expert witness or investigator fees, and any expenses other than unit priced costs such as

photocopying that are not provided in the Firm's approved Budget must be pre-approved byGeneral Counsel.

10. TRAVEL

Travel and per diem expenses shall be governed by Section 112.061, Florida Statutes, as

amended from time to time, and the regulations that supplement this law. To the extent theFlorida Statutes fail to provide guidance on acceptable travel andlor per diem expenses, theAuthority will only pay coach fare for air travel and the mid-sized rates for rental cars and $.44per mile for travel outside of fifty (50) miles from Tampa in an attomey's own automobile. TheAuthority will not pay for luxury lodging or first-class air travel. Per Diem costs for meals fornecessary travel more than fifty (50) miles outside Tampa will be negotiated.

11. GENERAL MATTERS

In order that the Authority may conduct a review of the file whenever it chooses to do so,the Firm should retain all materials relating to its representation of the Authority including, butnot limited to, daily time slips, pre-bills, receipts, etc. and make the file available to theAuthority promptly upon request. The Authority reserves the right to evaluate thereasonableness of the Firm's professional fees and expenses at any time. Payment of the Firm'sinvoices shall not be deemed a waiver of the Authority's right to subsequently seek recovery ofamounts remitted to the Firm.

12. INDEMNIFICATION

The Firm shall indemnif', hold harmless, and defend the Authority and the Board ofCommissioners, their agents, and employees, and anyone directly or indirectly employed byeither of them, from and against any and all liabilities, losses, claims, damages, demandsexpenses, or actions, either at law or in equity, including court costs and attorney's fees, that mayhereafter at any time by made or brought by anyone on account of personal injury, propertydamage, loss of monies, or other loss, allegedly caused or incurred, in whole or in part, as aresult of any negligent, wrongful, or intentional act or omission, or based on any action of fraudor defalcation by the Firm, or anyone performing any act required of Firm in connection withperformance of the Outside Counsel Agreement. These obligations shall survive acceptance ofany goods andlor performance and payment therefore by the Authority.

13. TERMINATION

Either party may terminate this Agreement, with or without cause, upon thirty (30) dayswritten notice by the other party prior to the date of expiration. Written notice shall be sent byregistered or certified mail, return receipt requested.

14. NOTICE

Any notice required by this Agreement shall be given in writing to the followingrepresentatives of the parties by first class mail addressed to the following:

15. CONFLICT OF INTEREST

The Firm shall immediately notify and discuss with the Authority if a legal or legislativeposition taken on behalf of the Authority conflicts with the Firm's position on behalf of anotherclient or vice versa. In no instance shall the Firm take a position on behalf of another client tothe detriment of the position of the Authority.

16. SMALL BUSINESS ENTERPRISE (SBE) POLICY

The Firm shall utilize the SBE partner(s) identified in its response to the RFQ, if any, thatwas a material part of the selection of the Firm to provide the Services for this Agreement. TheFirm shall obtain written approval of the General Counsel before changing, modifuing, or addingto the list of SBE partners submitted by the Firm.

I7. INSURANCE

The Firm shall comply with the insurance requirements as set forth in RFQ, attached as

Exhibit "C" and incorporated by reference herein.

18. SITE VISITS TO AUTHORITY'S PROPERTY

If, during the course of the Firm's representation of the Authority, it becomes necessaryfor Firm personnel to make site visits to Authority property, arrangements for escort andtransportation should be scheduled through the office of the General Counsel. Under nocircumstances should Firm personnel enter onto or travel upon Authority property without anescort provided by the Authority.

19. PUBLIC RECORDS

This Agreement shall allow public access to all documents, papers, letters, or othermaterial made or received by the Firm in conjunction with the Agreement, unless the records areexempt from section24(a) of Article I of the State Constitution or subsection 119.07(1), FloridaStatutes. Authority may unilaterally terminate the Agreement if the Firm refuses to allow publicaccess as required in this section.

If, under this Agreement, the Firm is providing services and is acting on behalf of theAuthority, as provided under subsection 119.011(2), Florida Statutes, the Firm, subject to theterms of paragraph 287.058(1)(c), Florida Statutes, and any other applicable legal and equitableremedies, shall:

a) Keep and maintain public records that ordinarily and necessarily would be requiredby the Authority in order to perform the service.

b) Provide the public with access to public records on the same terms and conditions thatthe Authority would provide the records and at a cost that does not exceed the costprovided in Chapter 119, Florida Statutes, or as otherwise provided by law.

c) Ensure that public records that are exempt or confidential and exempt from publicrecords disclosure requirements are not disclosed except as authorized by law.

d) Meet all requirements for retaining public records and transfer, at no cost, to theAuthority all public records in possession of the Firm upon termination of theAgreement and destroy any duplicate public records that are exempt or confidentialand exempt from public records disclosure requirements. All records storedelectronically shall be provided to the Authority in a format that is compatible withthe information technology systems of the Authority.

If the Firm considers any portion of any documents, data, or records submitted to theAuthority to be confidential, proprietary, trade secret or otherwise not subject to disclosurepursuant to Chapter 119, Florida Statutes, the Florida Constitution or other authority, the Firmshall simultaneously provide the Authority with a separate redaeted copy of the information itclaims is confidential and briefly describe in writing the grounds for claiming exemption fromthe public records law, including the specific statutory citation for such exemption. Thisredacted copy shall contain the Agreement name and number, and shall be clearly titled"Confidential". The redacted copy shall only redact those portions of material that the Firmclaims is confidential, proprietary, trade secret or otherwise not subject to disclosure.

In the event of a public records or other disclosure request pursuant to Chapter 1 19,Florida Statutes, the Florida Constitution, or other authority, to which documents that are markedas "confidential" are responsive, the Authority will provide the Firm-redacted copies to therequestor. If a requestor asserts a right to the Confidential Information, the Authority will notifythe Firm such an assertion has been made. It is the Firm's responsibility to assert that theinformation in question is exempt from disclosure under Chapter 119 or other applicable law. Ifthe Authority becomes subject to a demand for discovery or disclosure of the confidentialinformation of the Firm under legal process, the Authority shall give the Firm prompt notice ofthe demand prior to releasing the information labeled "confidential" (unless otherwise prohibitedby applicable law). The Firm shall be responsible for defending its determination that theredacted portions of its response are confidential, proprietary, trade secret, or otherwise notsubject to disclosure.

The Firm shall protect, defend, and indemnifi'the Authority for any and all claims arisingfrom or relating to the Firm's determination that the redacted portions of its response areconfidential, proprietary,trade secret, or otherwise not subjectto disclosure. If the Firm fails tosubmit a redacted copy of information it claims is confidential, the Authority is authorized toproduce all documents, data, and records submitted to the Authority in answer to a public recordsrequest for these records.

20. GENERAL PROVISIONS

t. Governinq Laws. This Agreement is to be read and construed in accordancewith the laws of the State of Florida. Any disputes relating to this Agreement must be resolvedin accordance with the laws of the State of Florida.

b. Jurisdiction and Venue. The Firm, by execution of this Agreement, herebyacknowledges that it is doing business in the State of Florida. In the event the Firm fails orceases to have a registered agent or resident agent for service of process located in the State ofFlorida, the Firm shall be deemed to constitute and appoint the Secretary of State of Florida as

its agent for the service of process in any civil action begun in the courts of the state against theFirm. The execution of this Agreement by the Firm is signification of its agreement thatprocess against it which is so served is of the same validity as if served personally on the Firm.It is further agreed that venue for all disputes hereunder lies and shall be maintained exclusivelyin the federal and state courts with jurisdiction in Hillsborough County, Florida, and the Firm

hereby expressly waives any right it has to object to the venue of any action coÍtmenced in anycourts in Hillsborough County, Florida.

c. Amendments. This Agreement may be amended from time to time providedAuthority and the Firm mutually agree to such amendment and the amendment is stated inwriting, executed by both parties, and attached to the original executed copies of this Agreement.

d. 'Waivers. Any waiver at arry time by either party of any breach of, or default in,any of the terms, covenants, provisions, and conditions of this Agreement or these generalAgreement conditions shall not be construed to be a waiver of any other terms, covenants,provisions, and conditions hereof or a waiver of any breach of default other than that specificallywaived. The Authority's failure at any time to compel a fulfillment of any one or more of thecovenants or agreements contained in, or to exercise any one or more of its rights or remediesunder this Agreement shall not be construed to be a waiver of the Authority's right thereafter toenforce any such covenant or agreement or to exercise any such right or remedy. No waiver bythe Authority shall be deemed to have been made unless expressed in writing and signed by theAuthority.

e. Severabilitv. If any term, covenant, condition, or provision of this Agreement isheld by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder ofthe provisions shall remain in full force and effect and shall in no way be affected, impaired orinvalidated.

f. No Asency Relationship Created. Nothing contained in this Agreement shall bedeemed or construed by the parties or by any third person to create the relationship of principaland agent or of partnership or of joint venture or of any association between Authority and theFirm.

g. Gender Neutral. The neuter gender includes the feminine and masculine, andthe singular number includes the plural, and the word "person" includes a corporation,partnership, form, or association wherever the context so requires.

h. Remedies Cumulative. No remedy or election given by any provision in thisAgreement shall be deemed exclusive unless expressly so indicated. Wherever possible, theremedies granted hereunder upon a default of the other party shall be cumulative and in additionto all other remedies at law or equity arising from such event of default, except where otherwiseexpressly provided.

i. Disputes and Attornevs' Fees. The Services shall be performed by the Firm tothe reasonable satisfaction of the Authority, and all questions, difficulties, and disputes of anynature whatsoever that may arise under or by reason of this Agreement, the prosecution andfulfillment of the Services hereunder and the character, quality, amount, and value thereof, whichcannot be settled by mutual agreement of the parties shall be settled by recourse to litigationunder Florida law. In the event of default or breach of any portion of this Agreement, should theparty not in default employ attorneys to protect or enforce its rights hereunder and prevails, thedefaulting party agrees to pay the reasonable attorneys' fees incurred by the prevailing party,

including, without limitation, any fees and costs incurred during mediation, appellate, oradministrative proceedings.

j. Time of Essence- Time is of the essence with respect to each date or timespecified in this Agreement by which an event is to occur

k. Assignment. This Agreement may not be assigned by the Firm without the priorwritten consent of the Authority.

l. Parties Bound. This Agreement binds and inures to the benefit of the parties and

their respective successors and assigns where assignment is permitted by this Agreement.

m. Captions. All captions in this Agreement are for reference and convenience onlyand shall not modi$' or affect the provisions of this Agreement in any manner.

n. Interpretation. Both Authority and the Firm and their respective legal counsel

have reviewed and have participated in the preparation of this Agreement. Accordingly, no

presumption will apply in favor of either Authority or the Firm in the interpretation of thisAgreement or in the resolution of the ambiguity of any provision hereof.

o. Entire Agreement. This Agreement constitutes the parties' final and mutual

agreement. There are no written or oral representations or understandings that are not fullyexpressed in this Agreement. No change, waiver, or discharge is valid unless in writing that is

signed by the party against whom it is sought to be enforced.

p. Counterparts. The parties hereto may execute this Agreement in counterpart and

such signatures shall have the same effect as if signed all at the same time. Regardless of the

specif,rc dates executed by the Firm, the binding date for purposes of execution shall be the date

signed by Authority.

q. Third Parties. In no event shall any of the terms of this Agreement confer upon

any third person, corporation, or entity other than the parties hereto any right or cause of action

for damages claimed against any of the parties to this Agreement arising from the performance

of the obligation and responsibilities of the parties herein or for any other reason.

r. Pavment Oblieations. To the extent the Authority has payment obligationshereunder, such obligations are not secured by a specific lien upon any "Pledged Funds" as

defined in the Authority's outstanding bond documents, but are secured solely by a covenant ofthe Authority to budget and appropriate adequate non ad valorem revenues for the payment

therefor.

s. Ad Valorem Taxes. This Agreement shall not constitute a general indebtedness

secured by ad valorem taxes of the Authority, or any other political subdivision of the State ofFlorida. No holder of this Agreement shall ever have the right to (i) compel, directly, orindirectly, the exercise of any ad valorem taxing power of the Authority, or any other politicalsubdivision of the State of Florida, or taxation, in any form, of any real property, in either

instance, to pay the cost of operation and maintenance of the properties of the Authority or to paypayments hereunder or the interest thereon.

t. Miscellaneous. The Firm represents and warrants that it is duly formed and in goodstanding, and has taken all corporate action necessary to carry out the terms and conditions of thisAgreement so that when executed, this Agreement shall constitute a valid and binding obligationenforceable in accordance with its terms. The Firm further represents and warrants that theundersigned offrcer of the Firm has good corporate power and authority to enter into this Agreementon behalf of the Firm.

u. Conflict of Terms. If there is a conflict between the terms and conditions of thisAgreement and any Exhibits attached hereto, this Agreement shall prevail.

v. Non-Exclusivifv of Agreement. The Firm understands and agrees that thisAgreement is non-exclusive and the Authority reserves the right to seek similar or identicalservices elsewhere if deemed in the best interest of the Authority.

EXHIBIT *A'

SCOPE OF SERVICES

The scope of this Agreement is for outside legal services that will advise Authority onconstruction laws generally and represent Authority as authorized before administrative agenciesand various courts on specific matters relating to construction issues. The Firm will demonstratea broad knowledge and experience relating to both federal and state construction laws and thejudicial interpretation of those laws; the rules promulgated by all governmental agenciesenforcing such laws; and the administrative procedures required to resolve compliance issues.

Services to be provided shall include, but are not limited to, the following ("Seruices"):

(a) Advise Authority regarding the affect of procedural and substantive laws andregulations governing public construction projects, competitive bidding process,and construction lien/bond laws;

(b) Advise and represent Authority in the defense of claims and litigation related tothe contract award, competitive bidding process, or other claims arising from orassociated with contractor performance;

(c) Provide legal direction, support, and representation on all matters related toconstruction agreements (examples: drafting and updating construction contracts,interpretation of construction contracts, required insurance provisions,procurement process, competitive bidding process);

(d) Perform other construction law assignments not specifically mentioned, butreasonably anticipated within the scope of services requested; and

(Ð Assist in the research of legal issues and the drafting of documents as may berequired.

1.01

GENERAL INSURANCE REOUIRBMENTS:

During the term of the Agreement, the Firm shall provide, pay for, and maintain with insurancecompanies satisfactory to the Tampa Hillsborough Expressway Authority ("Authority"), thetypes of insurance described herein.

All insurance shall be from responsible insurance companies eligible to do business in the Stateof Florida. The required policies of insurance shall be performable in Hillsborough Count¡r,Florida, and shall be construed in accordance with the laws of the State of Florida.

The Authorþ shall be specifically included as an additional insured on the Firm's CommercialGeneral Liability, Umbrella Liability and Business Automobile Liability policies and shall alsoprovide the "Severability of Interest" provision (alWa"Separation of Insured's" provision). TheAuthority's additional insured status should be extended to the Completed Operations coverage.ISO's standard "Blanket Additional Insured" will not be acceptable.

The Firm shall deliver to the Authority, prior to the Authority issuing the Notice to Proceed,properly executed "Certificate(s) of Insurance", setting forth the insurance coverage and limitsrequired herein. The Certihcates must be personally, manually signed by the authorizedrepresentative of the insurance company(s) shown on the Certificate of Insurance with proof thatthe person signing the certificate is an authorized representative thereof. In addition, certified,true and exact copies of the insurance policies required herein shall be provided the Authority, ona timely basis, if requested by the Authority.

Ten days after the Authority has issued the Notice to Proceed, if the Firm refuses or otherwiseneglects to deliver the required Certificate(s) of Insurance personally and manually signed by theauthorized representative of the insurance company(s), the Authority may, at the Authority's solediscretion,(a) terminate or suspend this Agreement and seize the amount of the Firm's bidsecurity (Bid Bond, cash or other security acceptable to the Authority) or, (b) purchase suchinsurance coverage and charge the Firm for such coverage purchased plus fifteen percent (15%)for administrative costs. The Authority shall be under no obligation to purchase such insuranceor be responsible for the coverage purchased or the financial stability or responsibility of theinsurance company used. The decision of the Authority to purchase such insurance coverageshall in no way be construed as a waiver of its rights under this Agreement.

The Fi¡m shall take immediate steps to make up any impairment to any Aggregate Policy Limitupon notification of the impairment. If at any time the Authority requests a written statementfrom the insurance company(s) as to any impairment to the Aggregate Limit, the Firm shallpromptly authorize and have delivered such statement to the Authority.

The Firm authorizes the Authority andlor its insurance consultant to confirm all informationfurnished to the Authority, as to its compliance with its Bonds and Insurance Requirements, withthe Firm's insurance agents, brokers, surety, and insurance carriers.

All insurance coverage of the Firm shall be primary to any insurance or self-insurance programcarried by the Authority. The Authority's insurance or self-insurance programs or coverage shallnot be contributory with any insurance required of the Firm in this Agreement.

The acceptance of delivery to the Authority of any Certificate of Insurance evidencing theinsurance coverage and limits required in the Agreement does not constitute approval oragreement by the Authority that the insurance requirements in the Agreement have been met orthat the insurance policies shown in the Certificates of Insurance are in compliance with theAgreement requirements.

1.10 No work or occupancy of the premises shall commence at the site unless and until the requiredCertificate(s) of Insurance are in effect and the written Notice to Proceed is issued to the Firm bythe Authority.

l.li The insurance coverage and limits required of the Firm under this Agreement are designed tomeet the minimum requirements of the Authorþ. They are not designed as a recommendedinsurance program for The Firm. The Firm alone shall be responsible for the sufficiency of itsown insurance program. Should the Firm have any question concerning its exposures to lossunder this Agreement or the possible insurance coverage needed therefore, it should seekprofessional assistance.

l.l2 The Authorþ and its Tenants may continue to operate their businesses on the Authority'spremises during the activities of the Firm. No property used in connection with their activitiesshall be considered by the Firm's insurance company as being in the care, custody, or control ofthe Firm.

1.13 Should any of the required insurances specified in this Agreement provide for a deductible, self-insured retention, self-insured amount, or any scheme other than a fully insured program, and theinsurance company providing the coverage will not agree in writing to pay the deductible orretention including the costs of defense as provided for in its policy without consideration of thedeductible or retention in the settlement of insured claims, then the Firm agrees, if required by theAuthority, to provide, pay for, and maintain a suret¡r bond acceptable to the Authority from aninsurance company acceptable to the Authority (or a standby irrevocable Letter of Creditacceptable to the Authority) in the amount of the deductible or retention, guaranteeing payment ofthe deductible or retention. Said guarantee is to continue for four (4) years following completionof the work.

l.l4 All of the required insurance coverage shall be issued as required by law and shall be endorsed,where necessary, to comply with the minimum requirements contained herein.

1.15 All policies of insurance required herein shall require that the insurer give the Authority thirty(30) days advance written notice of any cancellation, intent not to renew any policy andlor anychange that will reduce the insurance coverage required in this Agreement, except for theapplication of the Aggregate Limits Provisions. Such notice shall be delivered by certified orregistered mail and shall be given to:

1.16 Renewal Certificate(s) of Insurance shall be provided to the Authority at least twenty (20) daysprior to expiration of current coverage so that there shall be no interruption in the work due tolack of proof of the insurance coverage required of the Firm in this Agreement.

l.l7 If the Firm fails to provide or maintain the insurance coverage required in this Agreement at anytime during the term of the Agreement, the Authority may terminate or suspend this Agreement,or, at the Authorþ's sole discretion, be authorized to purchase such coverage and charge theFirm for such coverage purchased plus fifteen percent (15%) for administrative costs. TheAuthority shall be under no obligation to purchase such insurance or be responsible for thecoverage purchased or the financial stability or responsibility of the insurance company used.The decision of the Authority to purchase such insurance coverage shall in no way be construedas a waiver of its rights under this Agreement.

1.18 If the Firm utilizes contractors or sub-contractors to perform any work governed by thisagreement, the Firm will ensure all contractors and sub-contractors maintain the same types andamounts of insurance required of the Firm. In addition, the Firm will ensure that the contractorsand sub-contractors insurances comply with all of the Insurance Requirements specihed for theFirm contained within this Agreement. The Firm shall obtain Certificates of Insurancecomparable to those required of the Firm from all contractors and sub-contractors. SuchCertificates of Insurances shall be presented to Authorþ upon request.

SPECIFIC INSI]RAI\CE COVERAGES AND LIMITS:

All requirements in this Insurance Section shall be complied with in full by the Firm unlessexcused from compliance in writing by the Authority.

The amounts and types of insurance must conform to the following minimum requirements.Current Insurance Service Office (ISO) or National Council on Compensation Insurance (NCCÐpolicies, forms, and endorsements or broader shall be used where applicable. Notwithstandingthe foregoing, the wording of all policies, forms, and endorsements must be acceptable to theAuthority.

2.02.01 Workers' Compensation and Employers' Liability fnsurance shall be maintained inforce during the term of this Agreement for all employees engaged in this work underthis Agreement, in accordance with the laws of the State of Florida, and, if applicable tothe work involved, shall include U.S. Longshore and Harbor Workers' CompensationAct Coverage. The minimum acceptable limits shall be:

Coverage shall include but not be limited to Premises andOperations, Personal Itrj,rry, Contractual for this Agreement, Independent Contractors,Broad Form Property Damage, and Products & Completed Operations Coverage andshall not exclude coverage for the "X" (explosion), "C (collapse) and "lJ" (underground)Property Damage Liability exposures. Limits of coverage shall not be less than:

Completed Operations Liability Coverage shall be maintained by the Firm for a periodof not less than four (4) years following Final Completion and Acceptance by theAuthority.

The use of an Excess and/or Umbrella policy shall be acceptable if the level ofprotection provided by the Excess andlor Umbrella policy is no less restrictive than thePrimary General Liability policy.

2.42.03 Business Automobile Liability Insurance shall be maintained by the Firm as toownership, maintenance, use, loading, and unloading of all owned, non-owned, leased,or hired vehicles with limits of not less than:

Industries.

I had the pleasure of meeting Tom Shivers and Malcolm Wells of ETAN Industries at the April 28 & 29, 2016 Team FL

Meeting in Tampa, FL.

ETAN selected Validity Solutions as their SBE for their THEA contract. Validity Solutions provides staff;ng, recruiting andoutsourcing services, For EIAN's THEA contract, we hired the Project Manager, Superuisor and all of their Call CenterAgents. Working with EIAN has been a true collaborative partnership and I can't say enough about the level ofprofessíonalism and support my staff and I have received. ETAN is our best prime/sub relationship to date.

The Team FL April meeting was the most productive matchmaking session I have attended. The prime contractors wereengaged and serious about identifying and working with small and diverse businesses.
