Agenda item C02

Excerpt from IGCC By-laws Purpose

The purpose of the Insulating Glass Certification Council shall be: 1. To promote public benefit by encouraging maintenance of the highest standards of excellence in the

manufacture of insulating glass. 2. To encourage and cooperate in developing standards related to performance characteristics of

insulating glass products. 3. To plan, organize, direct, coordinate and sponsor a certification program for insulating glass

manufacturers to assure that their products meet applicable standards and/or performance requirements, adopted or approved by the Council.

ARTICLE VII. COMMITTEES Section 2. CERTIFICATION COMMITTEE

The Board of Governors shall establish a permanent standing committee to be known as the Certification Committee. Membership and voting privileges on the Certification Committee shall be extended to the following INSULATING GLASS CERTIFICATION COUNCIL Participants: (a) Each of the Public Interest Governors, (b) Each of the Business Community Governors, and (c) Each Participant Licensee, as defined in Article III, Section 5 of these Bylaws, who designates a representative to serve on the Certification Committee, and (d) each participant supplier. Further, membership and voting privileges on the Certification Committee shall be extended to the following INSULATING GLASS MANUFACTURERS ALLIANCE (IGMA) participants: (a) Participant Licensees of the IGMA certification program, (b) Supplier members of IGMA, and (c) Public Interest representatives appointed by the IGMA and IGCC Boards. The President shall appoint the Chairman of the Certification Committee, who shall serve, ex officio, as a member of, and liaison with, the Board of Governors but shall have no voting power thereon unless also serving as an independently elected Governor, and further, shall serve for no more than one term of two years. The Chairman of the Certification Committee shall appoint a Vice Chairman, who shall perform such duties as from time to time may be assigned to him. The Chairman may appoint sub-committee chairmen at his discretion. Section 4. COMMITTEE CHAIRMAN One member of each committee shall be appointed by the President to act as Chairman. Section 6. QUORUM For all committees, except the Certification Committee and unless otherwise provided for in the resolution of the Board of Governors designating a committee, a majority of the whole committee shall constitute a quorum and the act of the majority of the members present in person and voting at a meeting at which a quorum is present, shall be the act of the committee. For the Certification Committee, twelve members or one-fourth of the total committee, whichever is less, including the Chairman or Vice Chairman, shall constitute a quorum and the act of the majority of the members present in person and voting at a meeting at which a quorum is present shall be the act of the committee.

Excerpt From IGCC Policy Manual VIII Voting Rights and Responsibilities A. See above Sec. IV, sub-sections 12 and 13, regarding conflict of interest policy and fiduciary duty

of loyalty when voting.

B. The IGCC/IGMA certification program is structured such that policies and decisions are made by open participation committees with impartial review and implementation.

C. The members of the IGCC Certification Committee, as the primary working committee of the IGCC

certification program, are subject to the IGCC conflict of interest policy and fiduciary duty of loyalty to IGCC when voting, and must act accordingly to avoid any conflicts of interest when voting.

D. Participation in IGCC meetings and in casting any vote throughout the certification program

operations shall be deemed to indicate full understanding of, and agreement to abide by, the above policies and principles regarding impartiality, avoiding conflicts of interest when voting, and respecting confidentiality as appropriate and requested in light of the duty of loyalty to the IGCC not-for-profit corporation.

E. IGCC By-laws Articles II, III and V reference IGCC’s “public benefit” purposes and provide for

“Public Interest Participants” on IGCC’s Board of Governors. F. The rationale of Articles II, III and V reasonably suggests that, in addition to the definitional

limitations of Articles III and V, a “Public Interest Participant” serving as an IGCC Governor may be defined further as follows:

a. A “Public Interest Participant Governor” shall be a person who possesses no discretionary

financial interest in or by any Business Community Participant in the IGCC Program, whether a Licensee Manufacturer Participant or a Supplier Participant or a Non-Supplier Participant (e.g. Test Laboratory), and further shall offer relevant technical expertise and/or public consumer experience to assist in IGCC Board of Governors’ deliberations so as to best help IGCC (1) “promote (the) public benefit by encouraging maintenance of the highest standards of excellence in the manufacture of insulating glass” and (2) fully respect considerations of due process in all IGCC Program deliberations and actions.

b. “Public Interest Participants” who serve as IGCC Governors possess the same legal fiduciary

duties to the IGCC corporation as do the “Business Community Participants” who serve as IGCC Governors.

themselves. 10.29.15.2 (See Attachment #1) A quorum was declared. Requirements for a quorum, committee

membership, voting rights and responsibilities were reviewed. 10.29.15.3 The minutes of the February 3 and 4, 2015 meeting in Ft. Lauderdale, Florida were reviewed. A

motion was made by Monroe/Hutchinson to approve the minutes.

(See Attachment #2) The standing committees within the certification process were reviewed. The attachment to these minutes show the results of volunteers or appointments made during this meeting.

10.29.15.5 Legal Counsel’s Report – Lee Badger (See Attachment #3) A) Legal guidance as to IGCC Antitrust Compliance Program and written guidelines were

discussed and provided to all in attendance. B) Legal guidance and comments were provided regarding IGCC operation in light of:

1. Illinois Not for Profit Corporation Act, as amended (under which IGCC is incorporated).

2. Internal Revenue Code sec. 501 (c) (3) under which IGCC maintains tax exempt status.

3. U.S. Trademark Law and U.S. Patent and Trademark Office matters concerning the IGCC mark.

4. Relevant U.S. Department of Justice Antitrust Division and Federal Trade Commission Matters.

10.29.15.9 Certification Appeals Committee – Joe Erb (See Attachment #7) Guideline G.22 which addresses appeals to the certification process does not require the certification committee to approve of any submitted appeal, however the activity of the appeals committee was reviewed by the group for information.

A) (See Attachment #11) Laboratory Status - The status of IGCC/IGMA Approved Laboratories was reviewed. In accordance with the laboratory agreement, laboratories shall be reviewed and re-approved every 2 years. A motion was made by Cooper/Kaskel to approve all current laboratories.

Vote: Unanimous Affirmative

B) (See Attachment #12) Laboratory Committee and Workshop Update – The laboratory committee has been discussing where to go next with the output from the April 1st 2014 Laboratory workshop. Several of these issues cross over to several organizations (IGMA, ASTM). There was no specific direction as to what should be next for this committee. Revisions to the laboratory audit form have been made as a result of discussions from the lab workshop.

C) Sequence of Testing – IGCC has had several instances where licensees have requested

specific sequences in testing to ASTM E2190 (delaying fog test or frost point

determination). The question was raised if IGCC should provide some direction or policy on this matter. After discussion hearing no motion, IGCC will remain silent but there was some appreciation that some requests should be considered.

10.29.15.14 CPD Guidelines and Equivalency

A) Component Specifications - The current “List of Reviewed” Sealants, Desiccants and Spacers was presented and discussed. There had been earlier support for establishing requirements for component specifications. After further discussion the chair so directed further development. (Note: 2/3/2016 – After further consideration, the chair directed this issue to the Material Finger Print Sub-Committee)

B) Material Finger Print – The concept of taking material finger prints to determine

changes or variability in supplied materials has been presented as a way to better understand variability in total unit performance. A proposal has been provided, including pricing, as to how this might be done. After discussion a motion was made Ernst/Braun to form a sub-committee and proceed with the concept of material finger printing.

C) Desiccant - A motion was made Rogers/Boutelle to accept revisions to Guideline A.DE.2

as below:

Motion Passed D) Multi-Cavity – Guideline G.15 was reviewed as to the application of coated glass in

multi-cavity test units. Hearing no motion the guideline will remain as is. 10.29.15.15 Provisional Certification (PC)

(See Attachment #13) An update of the Provisional Certification effort (PC) was provided and the attachment reviewed. Brian White provided recommendations for the acceptance criteria for frost point. The PC committee will likely need to meet again to finalize the pilot program which

will be initiated in the first half of 2016. The IGCC Board may need to approve funding. The target is to include 30 sets in the pilot program.

10.29.15.16 Training Requirements

Personnel Training is critical to all organizations but often easy to ignore. Higher levels of training are a fundamental component of better performing IGU’s and thus consistent with IGCC’s purpose. The group was asked to consider IGCC requiring some form of formalized training curriculum for fabricators, possibly offered by IGMA, which could improve IGU performance. After discussion, the feeling was that IGCC could incentivize or endorse but not necessarily require. The group requested a future report on the IGMA training program.

10.29.15.17 Expiration dates

Some materials and components have expiration dates. Should IGCC monitor expiration dates? After discussion, the feeling was that IGCC should make note but monitor through a fabricators Quality System requirements.

10.29.15.18 Testing and Transfers

Question was raised if IGCC/IGMA certification would accept a self-test report under IGCC/IGMA approved lab witness, or a transfer from another IG certification program to allow initial certification with IGCC/IGMA. The feeling of the group was “NO”, though some felt this was too ridged a position and asked that the topic be revisited.

10.29.15.19 High Altitude Gas Content This committee has had several meetings and made good process but feel more work is needed. The group will try to be ready with a full proposal at the next meeting.

10.29.15.20 Gas Content Initial and After Weathering (GCIA)

A) Gas testing process improvement – The laboratory workshop data continues to be reviewed. An ASTM committee under the direction of Randi Ernst has taken the lead on this and is working toward proposing revisions to ASTM E2649.

B) What do we do with readings at or below 50% - No new developments C) Gas content of units with muntins – ASTM has agreed to reduce the number of

required muntins in the standard test unit. Once that is done, then this topic should be revisited.

D) Certification of exotic gases – Request was made of the Gas Content Subcommittee to move this issue along.

E) MOCON Optech Update – Need to solve N2O2 issue first, which is being reviewed under item A) above.

F) Gasglass Laser – The devise is currently for sale but no further update was available.

10.29.15.21 Point Support Designation

There have been several inquiries asking how to certify “Point Support” IG units. To date, guideline G.5 has been applied, an “IC” designation assigned, and a note included in documentation, but no specific “public” designation exists for point support. After discussion the following sub-committee was formed to provide a recommendation at the next meeting (Geoff Francis, Jeff Haberer, Bill Lingnell, Cliff Monroe, Rick Wright).

IGCC Antitrust Compliance Program Guidelines

A. It is the policy of IGCC to comply fully with the antitrust laws applicable to not-for-profit membership corporation activities involving competitors. The federal Sherman Antitrust Act, the Federal Trade Commission Act, and other applicable antitrust laws are intended to promote vigorous competition and to combat various types of restraints of trade. IGCC is a not-for-profit organization incorporated under, and governed by, the Illinois Not-for-Profit Corporation Act.

B. In furtherance of this policy, IGCC legal counsel shall either attend all IGCC meetings or be available (on call) for such meetings.

C. Each person who is a participate member of IGCC or who is employed by a corporate participant member of IGCC and who participates in IGCC activities has a responsibility to his/her employer, to himself/herself and his/her family, and to IGCC to avoid any improper conduct from and antitrust standpoint. The following guidelines will assist in meeting this responsibility:

1. IGCC meetings and open due-process discussions are held pursuant to notice and statedagendas and governed by the IGCC Corporate Bylaws and parliamentary principles. IGCCmeetings are held solely to manage and operate the IGCC not-for-profit corporation and itsindustry certification program in accordance with the IGCC Bylaws and as described in theIGCC “Certified Products Directory” (most current edition), which also includes printed“Guidelines and Interpretations” utilized by IGCC in administering the certification program.

2. In view of antitrust considerations (both civil and criminal) and to avoid any possible unlawfulrestraints on competition, the following legally-sensitive subjects as to a given company or itscompetitors must be avoided during any discussion between competitors during IGCCmeetings:a. Future marketing plans of specific competitors should not be discussed between

competitors;b. Any complaints or business plans relating to specific customers, specific suppliers, specific

geographic markets or specific products should not be discussed between competitors;agreements between competitors to allocate markets (customers or products) are illegalunder the antitrust laws; agreements between competitors to refuse to deal with a supplieror a customer are illegal under the antitrust laws;

c. Purchasing plans or bidding plans should not be discussed (except privately between twoparties with a vertical commercial relationship such as supplier and customer);

d. Current and future price information and pricing plans, bidding plans, refund or rebateplans, discount plans, credit plans, specific product costs, profit margin information andterms of sale should not be discussed between competitors. All of the above are elementsof competition.

e. Any question regarding the legality of a discussion topic or business practice should bebrought to the attention of IGCC legal counsel or a company’s own legal counsel for advice.

13. Laboratory Agrees that initial approval by the IGCC Certification Committee is contingent upon an initial audit of Laboratory's test facilities by the IGCC. Laboratory agrees to pay the cost of the initial

audit of the testing facilities. In order for a test facility to be considered for initial approval, a letter of intent or intent to use must be provided from 5 certified fabrication facilities. Ongoing laboratory

approval is subject to approval by the IGCC Certification Committee and shall be for a period of two (2) years. During this period the laboratories facilities shall undergo a surveillance audit and all non-

conformances arising from this audit shall be resolved. A non-refundable fee of $5000 annually for each facility shall be charged for IGCC Laboratory approval and surveys. This fee shall be waived

under the following conditions:

1. During the first 2 calendar years of initial IGCC Lab approval

2. When 5 or more IGCC participating plants have selected the facility as their designated testing laboratory for that year.

When the fee is waived and the test facility is located outside North America, time and travel expenses shall be charged for the initial and once each two (2) year re-survey.

There had been earlier support for establishing requirements for component specifications. After further discussion the chair so directed further development. Currently Technoform has 2 spacers on the IGCC/IGMA reviewed spacer list. Criteria for inclusion on the list is as follows:

In order for a spacer or integrated spacer system to appear on this list and be eligible for equivalency within a generic class, a passing ASTM E2190 test report, a technical specification for the component, and if applicable a gas content (GCIA) test report utilizing the spacer or spacer system must be submitted and reviewed by the IGCC®/IGMA® Administrative Office.

Technoform is requesting a product “MW” be included on the IGCC/IGMA Reviewed List. The “MW” is identical to the “M” except for the addition of wire to improve rigidity.

• ASTM E2190 testing will be initiated in the coming months• The “MW” product has been widely used in Europe for several years and has

passed EN1279 testing• The wires add rigidity, have no negative effect on durability and mainly help with

efficiencies during production of larger units• FEA analysis was done to confirm extra rigidity

Proposed G.32 Cavity Pressure Compensation Systems Defined as any IG unit component or process which is designed to manage the cavity pressure of an IG unit. An IG construction incorporating a cavity pressure compensation system (CPC) may be certified (durability and GCIA) with the same IGCC®/IGMA® number as non CPC units provided, each category of CPC system(s) is listed and tested initially and once each 4 years with all the components and processes of the system. The below G.32 additional test exposure conditions shall be applied to all 6 accelerated weathering units prior to normal ASTM E2190 testing. This exposure is intended to simulate a transitional condition (i.e. shipping). All CPC system processes must be performed by the IG fabricator or an affiliated partner under contract or agreement. Evidence of SOP’s and training for all steps of the process shall be available. Unit installation and/or final sealing instructions must be supplied to the laboratory and performed at the laboratory prior to testing. Instructions to the lab shall reproduce the in service condition as closely as possible. The criteria for passing with the CPC system is the same as standard sealed IG units. It is the responsibility of the manufacturer to ensure gas fill is protected during all phases of production and installation. (Modified 8/6/13)

(Additional Test Exposure Condition)

Differential pressure of 1.45 ± 0.05 psi is intended to simulate altitude changes from 0 to 3000 feet or 3000 to 0 feet. This was deemed an appropriate standard target. Units built high and shipped low shall be placed under vacuum. Units built low and shipped high shall be placed under pressure. Special arrangements need to be made if regulatory compliance is required for alternate altitudes.

1) Units built at ambient altitude with all components of CPC system in place and sealed as if at final elevation (no compensation).

2) Units placed into chamber and pressurized/vacuumed to 1.45 psi compared to ambient over 1 hour ± 5 minutes (controlled ramp).

3) Units stay under pressure/vacuum of 1.45 psi compared to ambient for 96 hours ± 5 minutes (4 days)

4) Units undergo a controlled ramp from 1.45 psi from ambient to ambient over 48 hours ± 5 minutes (2 days).

5) Units run through 2190 as normal

Total time in chamber is 145 hours (6 days and 1 hour). A Controller shall be used to automate time so that ramp up and down will be linear. Initial ramp period of 1 hour is to reduce chances of pressure/vacuum spikes from regulators.

There have been several inquiries asking how to certify “Point Support” IG units. To date, guideline G.5 has been applied, an “IC” designation assigned, and a note included in documentation, but no specific “public” designation exists for point support.

2) Certify with base model but test once each 4 years (Like Triples) G. 15 Multi-Cavity G.XX Point Support Attachments Multiple air space Point support attachment units may be certified with the same IGCC®/IGMA® number as the base model non-point support single air space unit, provided that the construction of each space complies with the guidelines for single space units; pressure communication of spaces is permitted, but not required. This guideline shall apply to multiple air space products that use glass or a suspended coated film (SCF) as an airspace barrier. Testing of point support multiple air space units shall be performed initially and in lieu of the base model non-point support single air space unit testing at least once each (4) years. Only one point support attachment shall be present in each test unit and the center of the support shall be located 3 to 4-inches vertically/horizontally from the edges of glass at one corner of the unit. Changes in the shape or geometry will not require retesting but changes in the generic material of the seal or hardware components of the point support attachment will require retesting. Please Note: Due to special design considerations of point support systems, a design professional experienced in glass structures should be involved in projects that use point support. When testing multiple air space units with coated glass, the coated glass shall be on at least one outer lite for the units intended to be tested for volatile fog in accordance with ASTM E2189. (Approved XX/XX/XX) With changes accepted G.XX Point Support Attachments Point support attachment units may be certified with the same IGCC®/IGMA® number as the base model non-point support units provided testing of point support units shall be performed initially and in lieu of the base model non-point support unit testing at least once each (4) years. Question was raised if there should be an exact location; suggest alternate language: … and the center of the support shall be located half way between a corner and the center of the unit (6-inched on the diagonal. 3 to 4-inches vertically/horizontally from the edges of glass at one corner of the unit.

10.29.15.1 President D. Boutelle called the meeting to order at 1:30pm. 10.29.15.2 Roll Call – Since the meeting immediately followed the certification committee meeting and

attendees were the same for both meetings, minutes of the certification committee should be referenced for attendance.

Report, and Board of Governors Report, since these reports had been earlier provided in the certification committee meeting.
