Sioux Falls Pays When You Stay Official Rules The following promotion is intended for viewing in the 50 United States and shall only be construed and evaluated according to United States law. Void where prohibited by law. Participation constitutes entrant’s full agreement and acceptance to these rules. Sioux Falls Pays When You Stay promotion is hosted by the Sioux Falls Convention and Visitors Bureau (“administrator”). Promotion includes one free $25 U.S. Bank Rewards Visa Card (“rewards card”) given to eligible participants who stay at minimum one night in a Sioux Falls hotel between December 1, 2011 and March 31, 2012. Rewards card is limited to one per room, per stay and one per household. Limited to the first 500 people who meet the eligibility guide lines further defined below. The U.S. Bank Rewards Card cannot be reloaded with additional funds, nor can it be used at an ATM (Automated Teller Machine). Terms and conditions apply and other fees may apply to Rewards Cards. Open to legal residents of the 50 United States who are at least 18 years of age, who are legal residents and have a physical address in the United States. This promotion is governed by US law and is subject to all applicable federal, state and local laws and regulations. Employees of the Sioux Falls Convention and Visitors Bureau and parent companies, affiliates, subsidiaries, advertising, promotion and fulfillment agencies and members of the immediate family or household of each are not eligible to participate. Immediate family member is defined as a parent, sibling or any person residing in the same household as an employee. Promotion begins on December 1, 2011 and ends on March 31, 2012 at 11:59:59p.m. CST ("promotion period"). To be eligible participants must stay at least one night in a Sioux Falls hotel and show proof of purchase (“hotel invoice”) by email or U.S. Postal mail. Only one hotel invoice will be accepted per room for the duration of your visit. Limited to one per household for the duration of the promotion period. Hotel invoice will serve as official documentation to meet age requirement and should include your name, address, e-mail address, and phone number. Hotel invoice must be postmarked prior to April 15, 2012. Upon receipt of hotel invoice to the Sioux Falls Convention and Visitors Bureau office, eligibility requirements will be evaluated. Qualified participants will be officially entered and mailed their reward card within 10 business days. All entries become the property of the Sioux Falls Convention and Visitors Bureau and will not be returned. Reward cards will not be distributed in person, they will be sent only by U.S. Postal mail service. Promotion entities and each of their respective shareholders, employees, parents, directors, officers, affiliates, representatives, agents, successors, and each of their related companies, agencies, distributors, sponsors and all reward card suppliers/participants are not responsible for lost, damaged, stolen, late or misdirected entries, and all such entries are ineligible. Administrator reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the promotion. Promotion entrants release and hold harmless the Sioux Falls Convention and Visitors Bureau and their respective parents, subsidiaries, affiliates, directors, officers, employees and agents, from any and all liability or any injuries, loss or damage of any kind arising from or in connection with this promotion. Entrants agree that the promotion entities shall not be responsible or liable for losses or injuries of any kind resulting from participating including, but not limited to, typographical or other human or technical errors in the offer or administration of this promotion, errors in advertising or in these Official

Rules, the distribution of the reward card, the acceptance/possession and/or use/misuse of any part of the reward card and/or any injury or damage to entrant's or third person's property related to or resulting from any part of the reward card or any part of this promotion. The Sioux Falls Convention and Visitors Bureau, in its sole discretion, may disqualify any entrant from participation in the use of any or all portions of this promotion, and refuse the reward card if entrant engages in any conduct deemed to be improper, unfair or otherwise adverse to the operation of the promotion or detrimental to other entrants. Administrator reserves the right at its sole discretion to disqualify entrant, if entrant attempts to tamper with the promotion process, undermine the legitimate operation of the promotion by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other participants or promotion entities representatives. Administrator reserves the right to cancel, terminate, modify or suspend the promotion in the event the fairness or integrity of the promotion is compromised. This promotion is governed by the laws of the United States and the State of South Dakota, without respect to conflict of law doctrines. As a condition of participating in this promotion, participants agree that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or in connection with this promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in South Dakota having jurisdiction. Further, in any such dispute, under no circumstances will entrants be permitted to obtain a reward card for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys' fees, other than entrant's actual out-of-pocket expenses (e.g. costs associated with participating), and entrant further waives all rights to have damages multiplied or increased.
