INTRODUCTION2

In February and March 2004, Fronteer Development Group contracted Dan Patrie Exploration, of Massey, Ontario to conduct a ground magnetics survey on its Swain East and Sol D'Or properties.

The survey was carried out over two discreet blocks within the property boundaries.

A total of 32 kilometres of grid line was cut at a cost of S13,600 at S4257km. 32 kilometres of ground magnetic survey was then run over the cut grids, at a cost of SlOO/km, for a total cost of 33,200.00. The total combined cost of the survey was S19,260.00

The survey was carried out with the aim of providing higher resolution magnetics for the targeting of diamond drill holes.

The Swain East and Sol D'Or properties comprise part of a Joint Venture agreement between Fronteer Development Group Inc, of 1640-1066 West Hastings Street, Vancouver, BC and Red Lake Resources (formerly Glenhaven Ventures), of Suite 400, 905 West Fender Street, Vancouver, BC. All properties are currently held on a 50/50 basis based on Red Lake Resources expending 5500,000 in exploration over the past 3 years. Included in the Joint Venture is a claim block, 1248661, optioned by Red Lake Resources from Jilbey Enterprises, of 1150 Bedford Highway, Suite 802 Bedford, Nova Scotia.

Previous work done by the Joint Venture includes Airborne Magnetics and Electromagnetics, detailed soil geochemistry, prospecting and geological mapping. A four hole diamond drill program was carried out by Fronteer and Red Lake Resources in the spring of 2003.

PROPERTY DESCRIPTION AND LOCATIONAfter Fingler, Klatt and Stammers, 2003

The properties of the Birch Lake Project are located in North western Ontario, between latitudes 51 0 17' N and 51"30'N and longitudes 92" 28' W and 92 0 40' W on NTS map sheets 52N707and 52N/08 (Figure 1). The town of Red Lake is located 80 kilometres to the WSW of the Swain East property, which represents the south western limit of the project area. The project area is comprised of two blocks separated by 20 kilometres in a NNE direction, with the Mink property comprising the northern block and the Swain East-Sol D'Or-Grace properties as the southern block. The properties have a combined area of 5440 hectares (13,600 acres) consisting of 340 mineral claim units in 28 claims. Details of the locations and tenure of each property are provided below and the status of the mineral claims are presented in Table l. All claims are currently in good standing, and assessment requirements are before the pending submissions for the 2002 field activities. The claim dispositions for the Swain-Sol D'Or-Grace and Mink properties are shown in Figures 2 and 3.

Swain East PropertyThe Swain East Property is located at the eastern end of Swain Lake. Universal Transverse Mercator (UTM) co-ordinates for the center of the property are 528300 E, 5683000 N (Map Datum NAD 83 Zone 15). The property holdings are displayed on the Ontario Mining Tenure Map Plans G1881 (Shabumeni Lake Area) and G3752 (Honeywell).

Sol D'Or PropertyThe Sol D'Or Property is located on Grace Lake and lies between the Swain East and Grace properties. Universal Transverse Mercator (UTM co-ordinates for the center of the property are 532300 E, 5681200 N (Map Datum NAD 83 Zone 15). The property holdings are displayed on the Ontario Mining Tenure Map Plans G1874 (Satterly Lake Area) and G3752 (Honeywell).

ACCESSIBILITY, CLIMATE AND PHYSIOGRAPHYAfter Fingler, Klatt and Stammers, 2003

The properties comprising the Birch Lake Project lie within an area 80 to 110 kilometers east-northeast of the town of Red Lake, Ontario. During the spring to fall season, the area can accessed via floatplane from Red Lake. Green Airways of Red Lake provide transport and expediting services. There are presently no roads to the project area from established infrastructure. A winter road exists from the South Bay Mine Site to the south of the project area. However, access via this road is dependent on ice conditions.

Exploration crews have been recently accommodated at the Woman Lake and Poplar Grove (on western side of Birch Lake) fishing camps, from which the Swain East, Sol

D'Or and Grace properties can be accessed daily via motorboat. Alternatively, access to these properties can be gained by way of secondary roads leading northeast off highway 105 at Ear Falls to a staging point allowing boat access via Woman Lake and then to Swain Lake.

Lakes cover approximately 30-40 07o of the project area. Topography is generally gentle with elevations ranging from 400 to 440 meters above sea level. A mixed forest of mostly spruce, balsam, poplar and birch covers the both claim blocks, with swampy vegetation in low-lying areas and local areas of forest blow-down. Temperatures range from highs of 35 0 C in summer to lows of-30" C in winter, with snow cover between November and May. The best season for exploration is between June and October, although in lake covered or swampy areas exploration activities such as geophysical surveys and diamond drilling might best be conducted after winter freeze up.

Swain East PropertyThe Swain East Property has been previously known as the Guest Prospect, Signal Property and the Swain Lake Prospect.

In 1963 Gunnex Ltd. drilled 5 holes, totaling 2050 feet, to the south of Swain Lake in an area which is now partially covered by the Swain East property. Hole 5 which was drilled in the vicinity of the Beaver Pond Showing yielded Q.1% copper over 5 feet, with negligible gold (Zeemel 1963). This sample is described as ropey rhyolite with disseminated pyrite, pyrrhotite and chalcopyrite.

In 1965 the property was staked by A.L. Guest and optioned to Asarco Exploration Company of Canada Ltd. who entered into a joint venture with Noranda Exploration in 1966. Asarco conducted ground magnetic, electromagnetic and induced polarization surveys to the northeast from Swain Lake (Nicholls 1966). Geological mapping, trenching and packsack drilling was also carried out by Asarco (Gray 1966). Twelve short packsack drill holes totaling 528 feet were drilled at and nearby the South Showing. Only limited assay data is available but significant assays included hole PS-1 which assayed 2.15 07o copper over 6.3 feet and hole PS-6 with 4.0407o copper across 1.4 feet. Drill core is described as chlorite-altered rhyolite, breccias, siliceous green volcanics, frequently with disseminations of pyrite, chalcopyrite, pyrrhotite and magnetite.

Vanco Exploration of Ontario Ltd. conducted airborne geophysical surveys, geological mapping and ground magnetic and self-potential geophysical surveys from 1969 to 1970 (Parker and Atkinson 1992).

In 1973 and 1974 St. Joseph Exploration drilled 4 holes, totaling 2311 feet, south of Swain Lake in an area now partially covered by the Swain East property. Three holes, totaling 1,823 feet, were also drilled on the north side of Swain Lake within the area of the current property. Limited results are available but hole BU-3-74, drilled to the north of the lake, yielded an intersection of .08 oz/ton gold and Q.11% copper over 5 feet (Hlava 1973-1974).

Labrador Exploration (Ontario) Ltd. conducted geophysical surveys and drilled 2 holes, totaling 264 meters, on the property between 1983 and 1984 (Parker and Atkinson 1992).

In 1987 Falconbridge Limited conducted ground magnetometer and electromagnetic surveys to the south of Swain Lake (Band 1987).

Explorco Properties Inc. conducted magnetic and electromagnetic geophysical surveys as well as geological mapping and rock, soil and humus geochemical surveys on the property to the northwest of Swain Lake in 1987 (Watts et. al. 1988).

In 1989 Noranda Exploration Co. Ltd. conducted prospecting and lithogeochemical sampling on the property (Parker and Atkinson 1992).

The property was staked in 1991 by D. Smith (Parker and Atkinson 1992).

In 1992 R. Hodgson conducted a program of geological mapping and rock sampling on the property, with grab sample results from 16 ppb up to 9230 ppb gold (Hodgson 1992).

Grab samples taken on the property by Ontario government geologist B.T. Atkinson assayed as high as 6.707o copper with 640 ppb gold. (Parker and Atkinson 1992).

In 1995 R Hodgson completed a program of prospecting, sampling and limited VLF on the property northeast of Swain Lake. Channel sampling across quartz/carbonate/chert/pyrite veins within sheared sericite schist returned an averaged grade of 0.05 oz/ton gold over 35 feet (Hodgson, 1996).

In 2001, Fronteer staked the property entered into an option agreement with Red Lake Resources (formerly Glenhaven Minerals) in October 2001. Additional claims were added to the claim group in September 2002. Exploration on the property during the 2001, 2002 field seasons was conducted by Fronteer, on the behalf of Red Lake Resources. Activities consisted of an airborne magnetic/EM survey and field reviews of historic occurrences with limited prospecting, mapping, rock sampling and selective soil grids.

A spring diamond drill program carried out by Fronteer totaled 298.71m in two holes.

Sol D'Or Property

The history of the Sol D'Or gold prospect is outlined in Ontario Geological Survey Report 177 (Johns, G.W., 1979) where it states:

The original Sol D'Or claims were staked in 1927 for the T.W. Bathurst Syndicate. They were then taken over by the newly organized Rainbow Lake Gold Mining Company Limited in 1927. A camp was erected and development of the mine site consisted of a small shaft 10.4 m deep. The name of the company was changed in 1930 to Rainbow Lake Gold Mines Limited. The ground then came open for staking, and in 1932, was re-staked by Earl McDougall, and then leased to T. W. Bathurst. A 3-ton Jack Nutt Mill was installed, and in the winter of 1932 - 1933, 100 tons of were treated and Sl,500 worth of gold was shipped to the mint in Ottawa. In 1934, the property was acquired by the Sol D'Or Gold Mines Limited, and in 1935, a 5 - ton Straub Mill with amalgamation plates and concentrating table were installed. Mining operations were almost exclusively confined to the open-cut veins. Up to July, 1935, about 400 tons of ore were milled to yield S7,500 worth of gold.

Parts of Honeywell and McNaughton Townships were staked during the gold exploration rush in 1926 and 1927. The Sol D'Or, a result of this activity, produced S7,500.00 in gold (20 dollars and 76 cents per ounce, 1929) before it ceased operation after 1936 (dollars were presumably Canadian). The average grade of the material mined is calculated by the author to be 1.11 ounce gold per ton. Prospecting activity in the area was quiet until 1969 - 1970 when all available ground in Honeywell Township was staked after the discovery of the South Bay Mine in Dent Township.

In 1969 Cyril Williams held 5 claims covering a portion of the southern part of the Sol D'Or claim block. Williams conducted stripping, blasting, trenching on what is now called the Williams, C Occurrence (Parker, J.R. and Atkinson, B.T, 1992). Johns (1979) reported that a sample of crushed quartz taken from a deep water filled pit and assayed by Geoscience Laboratories, Ontario Geological Survey returned 0.27 ounces of gold per ton and trace silver. The quartz veins that were pitted and trenched are hosted by a medium- grained gabbro, which is carbonatized close to the veins (Johns, G.W., 1979).

Also in 1969 an airborne electromagnetic, magnetic and radiometric survey was flown over the Sol D'Or property by Long Lac Mineral Exploration Ltd. (Firth, 1969: AFRI file# 52N08SE0056).

In 1974 Rhonda Copper Mines Limited conducted an IP survey over claims that covered the Sol D'Or Mine site, which identified two anomalous zones trending approximately east-west. A geologic survey was also conducted in 1974 and in early 1975. In 1975 another IP survey was conducted followed by diamond drilling in 1976 (Johns, G.W., 1979). Five holes, totaling 323 metres, were drilled during the 1976 program (Parker and Atkinson, 1992).

In 1980 Harry Shlesinger drilled 18 AX holes (916 metres), 2 holes near the Sol D'Or mine and 16 near the Cyril Williams gold showing about a kilometer west of the Sol D'Or mine. The holes were between 103 and 374 feet long. One hole intersected a sediment hosted pyrite horizon with approximately 3 07o pyrite (Shlesinger 1980 AFRI file# 52N07SE0083).

In 1982 J. Green reportedly conducted trenching and sampling near the Sol D'Or mine shaft (Parker and Atkinson, 1992).

In 1986 Parflo Mines Se Energy Corp. conducted a humus geochemical survey, VLF-EM, Geological mapping and magnetic survey over the Sol D'Or property (Tisley et al., 1986: AFRI file # 52N07SE9950).

In 1987 Kidd Creek Mines Ltd. (Falconbridge) conducted mapping and geochemical sampling and drilled hole HO-1 and HO-2. The two holes, totaling 283 metres, were drilled 40 m apart on a conductor located near the center of the Sol D'Or property. Hole HO-1 intersected a zone of sulfides (Py and Po up to 55 07o) hosted by intermediate - felsic tuff and felsic lapilli tuff. Hole HO-2 intersected 2 zones of sulfides (py, po l - 507o)

hosted in intermediate agglomerate and lapilli tuff/agglomerate. Geological mapping, rock and soil geochemistry (Cu, Zn, Au) was done in 1989 ( Bosowec, 1987: AFRI file # 52N07SE0024; Hodges and Lutz, 1989: AFRI file # 52N07SE0006; Falconbridge 1988: AFRI file #52N 0015).

In 1996 Maple Minerals Ltd. conducted line cutting and an IP survey over part of the Sol D'Or property. The survey identified a chargeability anomaly along the southern part of the property and extending into Grace Lake (Patrie, 1996: AFRI file # 52N05SE0013).

In 2001 the current claim block was staked by Perry Vern English and subsequently optioned to Red Lake Resources. The property was accepted into the Birch Lake Project option with Fronteer, according to the underlying terms of this agreement. Exploration on the property during the 2002 field season was conducted by Fronteer, on the behalf of Red Lake Resources.

Activities consisted of an airborne magnetic/EM survey and field reviews of historic occurrences with limited prospecting, mapping, rock sampling and selective soil grids

A two hole diamond drill program was carried out by Fronteer in the spring of 2003. The program totaled 359.67m.

GEOLOGICAL SETTING

Regional GeologyAfter Fingler, Klatt and Stammers, 2003

The following geological summary is provided by Mark O'Dea of Fronteer Development Group Inc, and is based on his personal knowledge of the geology of the area as well as on reports by Stott 8i Corfu 1992 and Thurston 1985. Recent additional information on the regional geological setting is given in Devaney, 2001. A geological interpretation of the Birch-Uchi greenstone belt by Fronteer (based on regional mapping and airborne magnetics) is presented in Figure 4. The compiled regional airborne magnetics for the belt is presented in Figure 5.

The Birch Lake project area lies within the Archean Birch-Uchi Greenstone Belt of the western Uchi Subprovince of NW Ontario (Figure 2). This belt records a stratigraphic history that spanned approximately 290 Ma, involving repeated episodes of rifting, and associated depositional and magmatic phases. Unconformity-bounded sequences of mafic to felsic volcanic strata and primarily clastic sedimentary strata accumulated between ea. 2992 Ma and 2700 Ma upon a complex extensional architecture, which largely formed the template upon which later compressional structures were superimposed.

Supracrustal strata in the belt have been subdivided into 3 volcano-sedimentary mega cycles (Stott 8t Corfu 1992, Thurston 1985) each comprising variably mafic to felsic volcanic strata and subordinate clastic sedimentary strata. From oldest to youngest these mega-cycles are comprise the following assemblages:

The Balmer Assemblage (2987 Ma) is primarily an Fe-tholeiitic sequence of mafic volcanic strata, with minor interbeds of banded iron formation. The distribution of this assemblage is restricted to the extreme western edge of the Birch-Uchi Belt immediately adjacent to the Trout Lake Batholith.

The Woman Assemblage (2858 Ma) is also primarily an Fe-tholeiitic sequence of mafic volcanic strata, with minor interbeds of banded chemical sediments and pyritic siltstones and shales. This assemblage is unconformable or paraconformable on the Balmer assemblage and occurs along the western edge of the Birch-Uchi Belt stratigraphically above the Balmer Assemblage.

The Confederation Lake Assemblage (2750-2700Ma) is by far the most aerially extensive assemblage in the belt. It is comprises an assemblage of intermediate to felsic flows and pyroclastic strata, which are unconformably overlain by conglomeratic to argillaceous rift-related sediments. The Confederation Lake Assemblage also has minor interbeds or banded iron formation.

Pluton emplacement and coeval explosive felsic volcanism between ea. 2731 Ma and 2700 Ma heralded the onset of the Kenoran Orogeny. This precursor magmatic event thermally weakened the crust and induced the localization of compression-related polyphase deformation and regional greenschist facies metamorphism within an overall compressional regime.

At least 3 phases of regional deformation affected the area resulting in the widespread development of folds, axial planar fabrics, and ductile shear zones. DI deformation involved NW-SE shortening, the development of NE to N-striking folds and faults. Evidence for this DI event is best preserved in the southern part of the belt in the Confederation Lakes area. D2 deformation involved NE-SW to N-S shortening and the development of ~E-W to WNW-ESE striking regional folds, faults and fabrics. This event is manifested to varying degrees throughout the belt from the Casummit Lake area in the north to the Slate Lake area in the south.

D3 deformation appears to have involved renewed E-W shortening and is restricted to the northern part of the belt in the Mink Lake/Casummit Lake area. This shortening event resulted in the buckling of the regional S2 foliation into N-S folds. This event was accompanied by N-S striking S3 crenulation cleavage and ENE plunging F3 fold development.

Property Geology: Swain East-Sol D'Or-Grace PropertiesAfter Fingler, Klatt and Stammers, 2003

The geology of the Swain East-Sol D'Or-Grace properties was compiled by H. Klatt, based on limited traverses, a preliminary review of historic information and interpretation of airborne magnetics (Figure 6).

The Swain East, Sol D'Or and Grace properties cover portions of a deformation zone that forms an easterly splay off the regional northeast trending Swain Lake Deformation Zone. The name of Grace Lake Deformation Zone is applied to this east to southeasterly trending deformation zone (Ontario Geological Survey Map P.2387, marginal notes). Both the Swain Lake and Grace Lake Deformation Zones are considered to be strike-slip fault zones (Thurston et. al, 1981). Ontario Geological Survey Map P.3118 shows the regional and property scale geology fairly well (Beakhouse et. al. 1989). The map also shows a portion of the Grace Lake Deformation Zone. Ontario Geological Survey Maps P.2387 (Thurston et. al., 1981) and Map 2404 (Johns, G.W., 1979) together with the Fugro airborne magnetic survey were used to assist in interpreting the geology of areas not mapped during the 2001 and 2002 exploration programs.

In general, to the north and northeast of the Grace Lake Deformation Zone lies a thick sequence of predominantly clastic metasediments consisting of polymictic conglomerate, greywacke, siltstone, phyllite and magnetite iron formation. To the south of the Grace Lake Deformation Zone lies a package of metavolcanics consisting of pillow basalt, intermediate and felsic volcaniclastics. The northwest side of the Swain Lake Deformation Zone consists of predominantly intermediate volcaniclastics. Three major intrusive bodies are present on the Swain East, Sol D'Or, Grace claim block. The intermediate to felsic Swain Lake Stock on the Swain East property and two un-named gabbro-diorite bodies on the Sol D'Or property. The intrusions are located south of the Grace Lake Deformation Zone.

Ontario Geological Survey mapping (Johns, G.W., 1979) indicates Balmer Assemblage mafic and intermediate volcanics on the southeastern part of the Sol D'Or property. Woman Assemblage volcanics underlie most of the Swain East and Sol D'Or properties. Woman Assemblage mafic volcanics containing a thin iron formation can be traced onto the Sol D'Or and Swain East claims from Okanse Lake approximately 5 kilometers to the south of the property. The Woman assemblage volcanics also include intermediate and felsic volcanics. Confederation Lake Assemblage mafic to intermediate volcanics are mapped in the area south and west of the Beaver Pond prospect on the Swain East property. The Confederation Lake Assemblage also includes clastic sediments and minor iron formation. Confederation Lake Assemblage clastic sediments are interpreted to underlie the Grace property, the northern part of the Swain East property and the area northwest of the Beaver Pond prospect on the Swain East property.

2004 SPRING GROUND MAGNETIC SURVEY

From February 24 to March 12, Fronteer Development Group contracted Dan Patrie Exploration of Massey, Ontario to complete a ground based magnetic survey on the Swain East and Sol D'Or properties covered by the Red Lake Resources Joint Venture. The program consisted of 32 kilometres of ground based magnetics.

A total of 32 kilometres of grid line was cut at a cost of SI 3,600 at S4257km. 32 kilometres of ground magnetic survey was then run over the cut grids, at a cost of

^ * -JSlOO/km, for a total cost of S3,200.00. The total combined cost of the survey was S 1 9,260.00

The survey was carried out with the aim of providing higher resolution magnetics for the targeting of diamond drill holes.

Once the survey crew arrived on the property, it was determined that a grid would have to be cut, using line cutters, due to the thick windfall on the property.

The survey covered two grids, the Swain East grid and Sol D'Or grid. The Swain East grid is located to the East of Bobarris lake and to the North of Canoe Lake. Line spacing on the grid was 50m in the east west direction, with grid lines running North-south. Magnetic readings were taken every 12.5m on the grid lines. UTM NAD 83 Co ordinates for the center of the grid are 530222mE and 5683040mN.

The Sol D'Or grid is located to the North of and East of Grace lake, to the immediate North West of the historic Sol D'Or Mine. Line spacing on the grid was 50 in the east west direction, with grid lines running North-south. Magnetic readings were taken every 12.5m on the grid lines. UTM NAD 83 co-ordinates for the center of the grid are 532545mEand5681335mN.

Dan Patrie Exploration completed the magnetics portion of the survey using a hand held magnetometer and local base station.

Dr. Rick Valenta, VP exploration, Fronteer Development Group Inc., provided preliminary processing of the data and produced the images used in this report.

PROPERTY OPTION AGREEMENT

THIS AGREEMENT is dated for reference the 3rd day of October, 2001.

AMONG:

FRONTEER DEVELOPMENT GROUP INC. (Fronteer), a company duly incorporated under the laws of the Province of British Columbia and Ontario and having offices at 710 - 800 West Fender Street, Vancouver, British Columbia, V6C 2V6

(the "Optionor")

OF THE FIRST PART

AND:

GLENHAVEN VENTURES INC. (Glenhaven), a company duly incorporated under the laws of the Province of British Columbia and having offices at 501-675 West Hastings Street, Vancouver, BC, V6B 1N2

(the "Optionee")

OF THE SECOND PART

WHEREAS

A. Fronteer Development Group Inc is the registered legal owner of a l OO^o interest in and to the Properties (as hereinafter defined);

B. The Optionor wishes to grant and the Optionee wishes to acquire the right to earn a 50^0 interest in and to the Properties on the terms and subject to the conditions set out in this Agreement.

NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the mutual promises, covenants, conditions, representations and warranties contained herein, the parties agree as follows:

1. INTERPRETATION

l. l For the purposes of this Agreement, including the recitals and any schedules hereto, unless there is something in the subject matter of context inconsistent therewith, the following words and expressions shall have the following meanings:

a) "Agreement" means this Agreement, as amended from time to time;

b) "After Acquired Properties" means any and all mineral interests staked, located, granted or acquired by or on behalf of any party during the currency of this Agreement, which are located in whole or in part, within one (1) kilometres of the perimeter of the Mink Lake Property, Swain East Property, Grace Property, Poplar Property and Superstition

Property, which comprise the Properties and which are made part of the Properties pursuant to Subsection 14.1 hereof;

c) "Exchange" means the Canadian Venture Exchange;

d) "Expenditures" mean all cash, expenses, obligations and liabilities, other than for personal injury or Properties damage, of whatever kind or nature spent or incurred directly or indirectly in connection with mineral exploration.

e) "Mining Work" means every kind of work done on or in respect of the Properties or any part thereof, or the products therefrom by or under the direction of or on behalf of or for the benefit of a party and, without limiting the generality of the foregoing, includes assessment work, geophysical, geochemical and geological surveying, studies and mapping, investigating, drilling, designing, examining, equipping, improving, surveying, shaft sinking, raising, crosscutting and drifting, searching for, digging, trucking, sampling, working and procuring minerals, mineral products, ores, metals and concentrates, surveying and bringing any mineral claims or other interests to lease or patent, reporting and all other work usually considered to be prospecting, exploration, development and mining work;

f) "Option" means the option granted by the Optionors to the Optionee under Subsection 3.1 of this Agreement; and

g) "Properties" means the Mink Lake Property, Swain East Property, Grace Property, Poplar Property and Superstition Property, as more particularly described in Appendix "A" and "B" hereto, and any part or parts thereof, together with the surface rights, mineral rights, personal Properties and permits associated therewith, and shall include any renewal thereof and any other form of successor or substitute title thereto, and any After Acquired Properties.

1.2 In this Agreement, all dollar amounts are expressed in lawful currency of Canada, unless specifically provided to the contrary.

1.3 The titles to the respective articles hereof shall not be deemed to be a part of this Agreement but shall be regarded as having been used for convenience only.

l .4 Words used herein importing the singular number shall include the plural, and vice- versa, and words importing the masculine gender shall include the feminine and neuter genders, and vice-versa, and words importing persons shall include firms, partnerships and corporations.

2. REPRESENTATIONS AND WARRANTIES

2. l The Optionee represents and warrants to the Optionors that:

(a) it is a company duly incorporated, validly subsisting and in good standing with respect to filing of annual reports under the laws of the Province of British Columbia and is or will be qualified to do business and to hold an interest in the Properties pursuant to the laws of the Province of British Columbia;

(b) it has full power and authority to carry on its business and to enter into this Agreement and any agreement or instrument referred to in or contemplated by this Agreement and to carry out and perform all of its obligations and duties hereunder; and

(c) it has duly obtained all authorizations for the execution, delivery, and performance of this Agreement, and such execution, delivery and performance and the consummation of the transactions herein contemplated will not conflict with, or accelerate the performance required by or result in any breach of any covenants or agreements contained in or constitute a default under, or result in the creation of any encumbrance, lien or charge under the provisions of its constating or initiating documents or any indenture, agreement or other instrument whatsoever to which it is a party or by which it is bound or to which it may be subject and will not contravene any applicable laws.

2.2 The Optionors, jointly and severally represent and warrant to the Optionee that:

(a) they are the sole legal and beneficial owners of an undivided 10007o interest in and to the Properties;

(b) the Properties are in good standing under the laws of the Province of Ontario;

(c) to the best of their knowledge and belief, the Properties are free and clear of all liens, charges and encumbrances and is not subject to any right, claim or interest of any other person;

(d) they have complied with all laws in effect in the Province of Ontario with respect to the Properties and the Properties have been duly and properly staked and recorded in accordance with such laws;

(e) to the best of their knowledge and belief, there is no adverse claim or challenge against or to the ownership of or title to the Properties, or any portion thereof nor is there any basis thereof and there are no outstanding agreements or options to acquire or purchase the Properties or any portion thereof or interest therein and no person has any royalty or interest whatsoever in production or profits from the Properties or any portion thereof, and the Properties are not the whole or substantially the whole of the Optionors' assets or undertaking;

(f) to the best of their knowledge and belief, there has been no material spill, discharge, leak, emission, ejection, escape, dumping, or any release or threatened release of any kind, of any toxic or hazardous substance or waste (as defined by any applicable law) from, on in or under the Properties or into the environment, except releases permitted or otherwise authorized by such law;

(g) to the best of their knowledge and belief, no toxic or hazardous substance or waste has been disposed of or is located on the Properties as a result of activities of the Optionor or their predecessors in interest;

(h) to the best of their knowledge and belief, no toxic or hazardous substance or waste has been treated on or is now stored on the Properties;

(i) to the best of their knowledge and belief, there are no pending or ongoing actions taken by or on behalf of any native persons pursuant to the assertion of any land claims with respect to lands included in the Properties;

(j) they shall be liable and shall indemnify and save the Optionee harmless from all loss, damage, costs, actions and suits arising out of or in connection with any breach of any covenant, representation or warranty contained in this Agreement. The Optionors acknowledge and agree that the Optionee has entered into this Agreement relying on the covenants, representations and warranties of this Agreement;

(k) they hereby agree to defend at their sole cost and expense the rights of the Optionee under this Agreement against all persons whomsoever claiming or purporting to claim the same or any part thereof or any interest therein except as set forth in this Agreement; and

(1) they shall remain liable and indemnify the Optionee from and against any liability, loss, costs, claims or damages arising out of any matter or thing relating to their interest hereby assigned occurring or arising prior to the date of this Agreement.

2.3 The representations and warranties herein before set out are conditions on which the parties have relied in entering into this Agreement, are to be construed as both conditions and warranties and shall, regardless of any investigation which may have been made by or on behalf of any party as to the accuracy of such representations and warranties, survive the closing of the transaction contemplated hereby and each of the parties will indemnify and save the other harmless from all loss, damage, costs, actions and suits arising out of or in connection with any breach of any representation or warranty contained in this Agreement, and each party shall be entitled, in addition to any other remedy to which it maybe entitled, to set off any such loss, damage or costs suffered by it as a result of any such breach against any payment required to be made by it to any other party hereunder.

3. OPTION

3. l The Optionors hereby grant to the Optionee, the sole and exclusive right and option to acquire a 5007o interest in and to the Properties, such option to be exercisable by the Optionee:

a) Incurring minimum exploration expenditures on the Property of 3750,000 within 3 years of the Approval Date, including a commitment of:

* 3100,000 during the initial 4 months of the Approval Date.* An additional 5250,000 before April 3rd, 2003.

* An additional S400,000 before April 3rd 2004.

b) Issuing Common Shares of Glenhaven to Fronteer according to the following schedule:* 100,000 common shares on execution of the Formal Agreement.* An additional 100,000 common shares on October 3, 2003.

c) Issuing cash payments to Fronteer according to the folowing schedule

* S10,000 on October 3rd, 2002.

* An additional 520,000 on October 3rd, 2003.

" An additional S30,000 on October 3rd, 2004.

4. OPERATOR DURING EARN-IN PHASE

Fronteer will be designated as the operator of the Project during the Earn-In Phase. As compensation for general overhead expenses that the operator may incur, an amount equal to 10 07o of all exploration expenditures may be charged as a management fee against the expenditures incurred during the Earn-In phase. However, compensation for individual contracts in excess of S100,000 shall be limited to a 5 07o management fee.

5 PROGRAMS AND BUDGETS DURING EARN-IN PHASE

During the Earn-In Phase, Fronteer will be the operator and as such will design work programs, details and budgets pertaining to the current phase of work, for review and comment. However, Glenhaven will have final approval.

6. VESTING OF INTEREST

6. l Forthwith upon the Optionee exercising the Option by performing the requirements of Subsection 3.1 hereof, a 50 07o interest in and to the Properties shall vest, and shall be deemed for all purposes hereof to have vested, in the Optionee.

7. TERMINATION OF OPTION

l In the event of default in the performance of the requirements of Subsection 3.1, then ibject to the provisions of Subsections 19. l of this Agreement, the Option and this Agreement shallrmmcitp

7.1suterminate.

7.2 The Optionee shall have the right to terminate this Agreement at any time by giving written notice of such termination to the Optionors. This Agreement shall terminate on the date the Optionors are deemed to have received such notice, pursuant to Subsection 15.2. Upon such termination, this Agreement shall be of no further force and effect except that the Optionee shall be required to make any payments or share issuances due and owing at the time the notice of termination is received by the Optionors.

8 REPORTS AND ACCESS TO DATA

Fronteer will supply Glenhaven with copies of its field reports on the Properties as the exploration program develops as well as reports at reasonable intervals based on approximate annual project milestones. Glenhaven will have access to all data generated on the Properties, and will have the right, at its own cost, to visit the Properties and review activities and results, upon reasonable notice to Fronteer.

9 OBLIGATIONS DURING EARN-IN

Fronteer shall be responsible for ensuring that all claims are kept in good standing during Glenhaven's respective earn-in periods.

10 PRE-EMPTIVE RIGHTS

Should one participant decide to encumber or sell its interest in the Property to a third party, not including a transfer to an affiliate, the non-selling participant will have the right to purchase the seller's interest on terms no less advantageous to those offered by the third party, or for cash where there is a non-cash component.

11 PRESS RELEASES

The Parties agree to provide each other with the text of any proposed news release or public domain information update at least 24 hours prior to the release of such information to third parties. The Party receiving notice of a proposed news release shall review and comment on the text thereof within 24 hours of receipt of the proposed release. The Party proposing to make the release shall review the comments provided and shall take reasonable steps to modify the release according to the concerns raised. The required consent shall not be unreasonably withheld by the non-disclosing party.

12 COSTS AND FEES

Each party shall pay their respective costs in executing this agreement including but not limited to all legal and regulatory fees.

13. CONFIDENTIALITY

13.1 The parties shall keep all information regarding Mining Work confidential from other persons, except for such disclosure as may be required by law, securities regulatory bodies, or stock exchanges governing one or more of the parties.

14. AFTER ACQUIRED PROPERTIES

14. l The parties covenant and agree, each with the other, that any and all After Acquired Properties shall be subject to the terms and conditions of this Agreement and shall be added to and deemed, for all purposes hereof, to be included in the Properties. All costs incurred in staking," locating, recording, or otherwise acquiring any After Acquired Properties shall be borne by both parties on a pro rata basis.

15. NOTICE

15.1 Any notice, direction, or other instrument required or permitted to be given under this Agreement shall be in writing and shall be given by the delivery of same or by mailing same by prepaid registered or certified mail or by sending same by telefacsimile or other similar form of communication, in each case addressed to the intended recipient at the address of the respective party set out on the first page hereof.

15.2 Any notice, direction, or other instrument aforesaid will, if delivered, be deemed to have been given and received on the day it was delivered, and if mailed, be deemed to have been given and received on the fifth business day following the day of mailing, except in the event of disruption of the postal service in which event notice will be deemed to be received only when actually received and, if sent by telefacsimile or other similar form of communication, be deemed to have been given and received on the day it was actually received.

15.3 Any party may at any time give notice in writing to the others of any change of address, and from and after the giving of such notice, the address therein specified will be deemed to be the address of such party for the purposes of giving notice hereunder.

16. FURTHER ASSURANCES

16.1 Each of the parties covenants and agrees, from time to time and at all times, to do all such further acts and execute and deliver all such further deeds, documents and assurances as maybe reasonably required in order to fully perform and carry out the terms and intent of this Agreement.

17. TIME OF THE ESSENCE

17.1 Time shall be of the essence in the performance of this Agreement.

18. ENUREMENT

18.1 This Agreement shall enure to the benefit of and be binding upon the parties and their respective successors and permitted assigns.

19. FORCE MAJEURE

19.1 No party will be liable for its failure to perform any of its obligations under this Agreement due to a cause beyond its reasonable control (except those caused by its own lack of funds) including, but not limited to, act of God, fire, storm, flood, explosion, strike, lockout or other industrial disturbance, actions taken by or on behalf of Native persons pursuant to the assertion of land claims, act of public enemy, war, riot, law, rule and regulation or order of any duly constituted governmental authority, or unavailability of materials or transportation (each an "Intervening Event").

19.2 All time limits imposed by this Agreement will be extended by a period equivalent to the period of delay resulting from an Intervening Event.

19.3 A party relying on the provisions of Subsection 19.1 hereof, insofar as possible, shall promptly give written notice to the other party of the particulars of the Intervening Event, shall give written notice to all other parties as soon as the Intervening Event ceases to exist, shall take all reasonable steps to eliminate any Intervening Event and will perform its obligations under this Agreement as far as practicable, but nothing herein will require such party to settle or adjust any labour dispute or to question or to test the validity of any law, rule, regulation or order of any duly constituted governmental authority or to complete its obligations under this Agreement if an Intervening Event renders completion impossible.

20. l If a party is in default of any requirement herein set forth (the "Defaulting Party"), the party affected by such default (the "Non-Defaulting Party"), shall give written notice to all other parties within thirty (30) days of becoming aware of such default, specifying the default, and the Defaulting Party shall not lose any rights, remedies or cause of action pursuant to this Agreement, or otherwise hereunder as a result of such default, unless within thirty (30) days after the giving of notice of default by the Non-Defaulting Party, the Defaulting Party has failed to cure the default by the appropriate performance, and if the Defaulting Party fails within such period to cure such default, the Non-Defaulting Party shall only then be entitled to seek any remedy it may have on account of such default.

21. SEVERABILITY V \1, * *f-vf v

21.1 If any one or more of the provisions contained herein should be invalid, illegal or unenforceable in any respect in any jurisdiction, the validity, legality and enforceability of such provisions shall not in any way be affected or impaired thereby in any other jurisdiction and the validity, legality and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired thereby.

22. AMENDMENT

22.1 This Agreement may not be changed orally but only by an agreement in writing, signed by the party against which enforcement, waiver, change, modification or discharge is sought.

23. ENTIRE AGREEMENT

23.1 This Agreement constitutes and contains the entire agreement and understanding between the parties and supersedes all prior agreements, memoranda, correspondence, communications, negotiations and representations, whether oral or written, express or implied, statutory or otherwise between the parties or any of them with respect to the subject matter hereof.

24. OPTION ONLY

24. l This Agreement provides for an option only, and except as specifically provided otherwise, nothing herein contained shall be construed as obligating the Optionee to do any acts or make any payments hereunder and any act or acts or payment or payments as shall be made hereunder shall not be construed as obligating the Optionee to do any further act or make any further payment.

25. CONDITIONS PRECEDENT

25.1 The obligations of the Optionee under this Agreement are first subject to the acceptance for filing of this Agreement on behalf of the Optionee by the Exchange.

26. GOVERNING LAW AND ARBITRATION

26. l This Agreement shall be governed by and interpreted in accordance with the laws of the Province of British Columbia.

26.2 All disputes arising out of or in connection with this Agreement, or in respect of any defined legal relationship associated with or derived therefrom, shall be referred to and finally

resolved by arbitration under the rules of the British Columbia International Commercial Arbitration Centre.

26.3 The appointing authority shall be the British Columbia International Commercial Arbitration Centre and the case shall be administered at Vancouver, British Columbia, by the British Columbia International Commercial Arbitration Centre in accordance with its "Procedures for Cases under the BCICAC Rules".
