2. GUESTROOM RATES

We are pleased to confirm the following guestroom rates for THE ABLE TRUST contracted pattern:

All guestroom rates noted above are net, non-commissionable, and are quoted exclusive of appropriate state and local taxes, currently 12.5%, and an Orange County Convention Center District (OCCCD) fund, currently 1%.

Taxes are subject to change and may increase during the term of this agreement. At the time the increase becomes effective, THE ABLE TRUST will incur any additional charges.

ROSEN CENTRE HOTEL has an agreement with the Orange County Convention Center District and other properties in the OCCCD to pay one percent of the guestrooms rate as a fund (not subject to tax exemption). The OCCCD 1% fund shall be used to promote the Orange County Convention Center and tourist services in the vicinity of the Orange County Convention Center District.

Additionally, our family plan will be applicable; no charge for children under the age of seventeen (17) who are utilizing existing bedding.

3. TAX EXEMPTION

The group is tax exempt pending the Hotel's receipt of a current and valid Florida Tax Exemption Certificate. The name on the form of payment is to match the name of the Tax Exemption Certificate. Case, cashier's checks and money orders are not tax exempt. The 1% OCCCD Fund noted above is not a tax and is not applicable for tax exemption.

4. INTERNET POLICY

HOTEL requests that rate information be published on a secondary page of the GROUP's registration site. Rate information is exclusively intended for the use of GROUP's registered attendees, and potential attendees. Negotiated rate should not be published to the general public. Please refer to www.rosencentre.com for approved pictures, and approved logos.

5. RESERVATIONS

We understand reservations for your meeting will be made by rooming list. Please begin providing guestroom count figures to the GROUP's Housing Coordinator beginning three (3) months prior to arrival as requested. Your final rooming list is due on or before Reservation Due Date, Monday, Ma'{.28;'i019, which is �ays prior to GROUP's arrival date. Please note: Individual departure dates will be reconfirmed upon check-in. Any adjustments to departure date should be made at that time. Thereafter, shortened lengths of stay will result in a one-time $50.00 administrative fee. Fee excusable in the event of a documented family emergency. Shortened lengths of stay may also increase GROUP's liability for attrition.

11. CONCESSIONS

Please note concessions relating to suites are reflected in the guestroom grid section. We will provide the following value added concession items for your meeting:

• Guestroom rates are good three (3) days pre and post the convention dates of Arrival Date of Wednesday, June19, 2019, and Departure Date of Saturday, June 22, 2019 and are based on room type availability.

• Complimentary basic wired and wireless Internet in all guestrooms.

• One (1) One-Bedroom Executive Suite upgrade at the group rate for the designated VIPs, (three (3) nightsmaximum), as outlined in section 1- Guestroom Commitment.

• Discounted Self-Parking at $8.00 to all attendees within the Hotel's capacity.

• 20% discount on Presentation Services (PSAV) or current in-house electric providers published pricing,excluding tax and service charge, over the dates of the meeting, if Presentation Services (PSAV) or the currentin-house electric supplier is used for any electric/power feed needs.

• 20% discount on all pre-ordered Internet services within the client's contracted convention space. Internetconnectivity requires acceptance if terms and conditions via login/portal page. Orders must be pre-ordered andsigned a minimum of 14 days prior to the GROUP's first arrival date to receive discounted rate. Discounts donot apply to exhibit halls and on-site orders. All orders must be placed and confirmed directly with MillenniumTechnology Group, the HOTEL's in-house Technology Provider.

12. SCHEDULE OF EVENTS

The following is a tentative meeting schedule as we understand GROUP events at this time. HOTEL reserves the right to re-assign meeting space and to re-evaluate the amount of space being held in the event of reductions in the program and/or guestroom block. Any additions and/or modifications to the program outlined herein are always subject to space availability. Requested changes must be submitted in writing and, if agreed, will be confirmed back to you in writing.

We understand that with the confirmation of this agreement comes the designation of Headquarter HOTEL for the

The Able Trust meeting. With this designation, we anticipate that most of the Food and Beverage events within

your control will be placed at ROSEN CENTRE HOTEL.

Minimum guarantee of catered banquet Food and Beverage totaling (exclusive of tax and service charge).

Should The Able Trust not achieve the above guarantee; the shortfall will be charged to the Master Account.
