1.GENERAL RULES & INSTRUCTIONS FOR THE GUIDANCE OF TENDERERS

1. Tenders are invited on behalf of Indian Bank Zonal office Chennai - North, No. 66, RajajiSalai (5th Floor), Chennai – 600 001. Tenders for Proposed Interior work for IndianBank branch at Alwal (Thirumalagiri). Tender documents consisting of the plans,complete specifications, the schedule of quantities of the various classes of work to be done,and the set of conditions of contract to be complied with by the person whose Tenders maybe accepted, can be purchased from the office of M/s. Raghuram Architects, 3-6-460,101/A & 102, Gokulkunj Street – 5, Hardikarabagh, Himayat Nagar, Hyderabadbetween the hours of 10.00am to 4.00pm from 05.10.2017.

The site for the work is available / or the site for the work shall be made available in parts asspecified below.

2. Tenders, which should always be placed in a sealed cover, with the name of the projectwritten on the envelope will be received by The Assistant General Manager, Indian BankZonal office , Hyderabad (Premises & Expenditure Dept.) No : 3-6-365, LibertyPlaza, 4th floor, Himayat Nagar, Hyderabad up to 3.00 pm on 12.10.2017 The tenderswill be opened on 13.10.2017 4.00 pm

3. The time allowed for the carrying out of the work be 21 days from the date of writtenorders to commence work.

4. The contractors should quote in figures as well as in words the rates, and amounttendered by them. The amount for each item should be worked out and the requisite totalsgiven.

5. Earnest money, amounting to Rs. 8,000 /-(Rupees Eight Thousand Only) in the formof Bank draft draw in favour of “INDIAN BANK” Zonal office, Hyderabad. mustaccompany each tender and each tender is to be in a sealed cover subscribed . Tender forProposed Interior work for Indian Bank Alwal (Thirumalagiri) Branch . The EMD ofthe contractor whose tender is accepted, shall be forfeited in full in case he does not remitthe Initial Security Deposit within the stipulated period or start the work by the stipulateddate mentioned in the award letter.

6. The acceptance of tender will rest with “INDIAN BANK” which does not bind itself toaccept the lowest tender, and or reserves to itself the authority to reject any or all of thetenders received without the assignment of a reason. All tenders in which any of theprescribed conditions are not fulfilled or are incomplete in any respect are liable to berejected.

INDIAN BANK reserves the right to accept the tender in full or in part and the tenderershall have no claim for revision of rates or other conditions if his tender is accepted in parts.

7. Canvassing in connection with tenders is strictly prohibited and the tenders submitted bythe contractors who resort to canvassing will be liable to rejection.

8. All rates shall be quoted on the proper form of the tender alone.

9. An item rate tenders containing percentage below/ above will be summarily rejected.

10. On acceptance of the tender, the name of the accredited representative (s) of thecontractor who would be responsible for taking instructions from the Employer/ Architectsshall be communicated to the Employer.

11. Special care should be taken to write the rates in figures as well as in words and theamounts in figures only, in such a way that interpolation is not possible. The total amountshould be written both in figures and words. `p’ after the decimal figures, E.g Rs. 2.15 “p”,and in case of words, the word “Rupees” should precede and the word “Paise” should bewritten at the end, unless the rate is in whole rupees and followed by the words `only’ itshould invariably be up to two decimal places. While quoting the rate in schedule ofquantities, the word `only’ should be written closely following the amount and it should notbe written in the next line.

12. INDIAN BANK does not bind itself to accept the lowest or any tender and reserves toitself the right of accepting the whole or any part of the tender and the tenderer shall bebound to perform the same at the quoted rates.

13. Sales Tax or any other tax on material or on finished works like work’s contract tax,Turnover Tax etc., in respect of this contract shall be payable by the contractor and theINDIAN BANK will not entertain any claim whatsoever in this respect. This particularaspect should be mentioned in tender notice.

14. The tender for works shall remain open for acceptance for a period of 3 months from thedate of opening of tenders. If any tenderer withdraws his tender before the said period, thenthe bank shall be at liberty to forfeit Earnest Money paid along with the tender.

15. The tender for the work shall not be witnessed by a contractor or contractors whohimself/ themselves has/have tendered or who may and had/have tendered for the samework. Failure to observe these conditions would render tenders of the contractors tenderingas well as witnessing the tender liable to summary rejection.

16. It will be obligatory on the part of the tenderer to tender and sign the tender documentfor all the component parts and that, after the work is awarded, he will have to enter into anagreement for each component with the competent authority INDIAN BANK.

17. The tenderer, apart from being a competent contractor must associate himself withagencies of the appropriate class who are eligible to tender for other works.

18. The quoted price shall be firm & no discounts are acceptable on the final price.

19. If the contractor or his representatives are found to be absent from the site for morethan 3 days the contract is deemed to be terminated by him.

2.GENERAL CONDITIONS OF CONTRACT

Except where provided for in the description of the individual item in the schedule ofquantities and in the specifications and conditions laid down here in after and in the drawings,the work shall be carried out as per standard specification and under the direction ofEmployer/ Architects.

1. INTERPRETATION

In construing these conditions, the specifications, the schedule of quantities, tender andagreement, the following words shall have the meaning here in assigned to them exceptwhere the subject or context otherwise requires.

Employer: The term Employer shall denote Indian Bank Zonal office , Hyderabad No :3-6-365, Liberty Plaza, 4th floor, Himayat Nagar any of its employees representativeauthorized on their behalf.

Architects: The term Architects shall mean M/s. Raghuram Architects, 3-6-460, 101/A& 102, Gokulkunj Street – 5, Hardikarabagh, Himayat Nagar, Hyderabad or in theevent of his/their ceasing to be Architects for the purpose of this contract such other personsas the employer shall nominate for the purpose.

Contractor: The term Contractor shall mean his/their heirs, legal representative, assigneesand successors.

Site: The site shall mean the site where the works are to be executed as shown withinboundary in red border on the site plan including any building and creations thereon allottedby the Employer for the contractor use.

Drawings: The work is to be carried out in accordance with drawings, specifications, theschedule of quantities and any further drawings which may be supplied or any otherinstruction, which may be given by the Employer during the execution of the work. Alldrawings relating to work given to the contractor together with a copy of schedule ofquantities are to be kept at site and the Employer/ Architects shall be given access to suchdrawings or schedule of quantities whenever necessary.

In case any detailed drawings are necessary the contractor shall prepare such detaileddrawings and / or dimensional sketches there for and have it confirmed by the Employer /Architects prior to taking up such work. The contractor shall ask in writing for all clarificationson matters occurring anywhere in drawings, specifications and schedule of quantities or foradditional instructions at least 5 days ahead from the time when it is required forimplementation so that the employer may be able to give decision thereon.

“The Works” shall mean the work to be excited or done under this contract.

“Act of Insolvency” shall mean any act as such as defined by the Presidency TownsInsolvency Act or in Provincial insolvency Act or any amending statuaries.

“The Schedule of Quantities” shall mean the schedule of quantities as specified andforming part of this contractor.

2. Scope

The work consists of construction of Employer’s (details of work) in accordance with the“drawings” and Schedule of Quantities”. It includes all materials, labour, tools and equipmentand management necessary for and incidental to the construction and completion of thework, during its progress and upon completion, shall conform to the lines elevations andgrades as shown on the drawings furnished by the employer/architects. Should any detailessential for efficient completion of the work be omitted from the drawings and specificationsit shall be for responsibility of the contractor to inform the Employers / Architects details withEmployers/ Architects concurrence, so that upon completion of the proposed work the samewill be acceptable and ready for use.

Employer / Architects may in their absolute direction issue; further drawings and writteninstructions, details, directions and explanations, which are, here after collectively referred toas “The Employers’ / Architects Instructions” in regard to:

a. The variation or modification of the design quality or quality of works or the additionor omission or substitution of any work.

b. Any discrepancy in the drawing

c. The removal from the site of defective material brought there on by the contractorand the substitution of any other material there of.

d. The demolition, removal and re-execution of any work executed by the contractors.

e. The dismissal from the work any persons employed there upon.

f. The opening from the work of any persons covered up.

g. The rectification and making good of any defects under causes hereinafter Mentionedand those arising during the maintenance period (retention period)

The contractor shall forthwith comply with and duly execute any work comprised in suchEmployer’s /Architect’s instruction, provided always that verbal instructions, directions andexplanations given to the contractor or his representative upon the works by the Employer/Architects shall if involving a variation be confirmed in writing to be contractor’s with in fivedays. No works for which rates are not specifically mentioned in the period schedule ofquantities shall be taken up without written permission of the Employer / Architect’s. Ratesof items not mentioned in the priced schedule of quantities shall be fixed by the employer inconsultation with the Architects as provided in Clause “variation”.

Regarding all factory make products for which BIS (Burcau of Indian Standard) markedproducts are available, only products bearing BIS marking shall be used in work.

3. TENDERER SHALL VISIT THE SITE

Intending tenderer shall visit the site and make himself thoroughly acquainted with the localsite conditions, nature and requirements of the works, facilities of transport condition,effective use of materials, access and storage for materials and removal or rubbish. Thetenderer shall provide in their tender for cost of carriage, Freight and other charges as alsofor any special difficulties including police restriction for transport etc. for proper execution ofwork as indicated in the drawings.

The successful tenderer will not be entitled to any claim of commencement of the work orwhich in the opinion of employer/Architects might be deemed to have been inferred to soexist before commencement of work.

4. TENDERS

The entire set of tender papers issued to the tenderers should be submitted fully priced andalso signed. On the page together with initials on every page. Initial/signature will indicatethe acceptance of the tender papers by the tenderer.

The Schedule of quantities shall be filled as follows:

XIX. The rate column to be legibly filled in ink in both English figures and EnglishWords.

XX. Amount column to be filled in for each item and the amount for each subhead as detailed in “Scheduled of Quantities”

XXI. All corrections are to be initialed.

XXII. The Amount column for alternative items for which the quantities are to bementioned shall not be filled up.

XXIII. In case of any errors, the rates given in the tender marked `original’ shall betaken as correct rates.

No notification, writings or corrections can be made in the tender papers by thetenderer, but may at his option offer his comments or modification in a separatesheet of paper attached to the original tender papers.

The employer reserves the right to reject the lowest or any tender and also toDischarge any or all the tenders for each section or split up and distribute any item ofwork to any specialist firm of firms, without assigning any reason.

The tenderers should note that the tender is strictly on the item rate basis and theirattention is drawn to the fact that each and every item should be correct, workableand self-supporting. If called upon by the employers / Architects detailed analysis ofany or all rates shall be submitted. Employer /Architects shall be not be bound torecognize the contractor’s analysis.

The works will be paid for as “measured work” on the basis of actual work done and not as`lump sum’ contract.

All items of work described in the schedule of quantities are to be deemed and paid ascomplete works in all respects and details including preparatory and finishing works involved,directly, related to and reasonably detectable from the drawings, specifications and scheduleof quantities and no further extra charges will be allowed in this connection. In the case oflump sum charges in the tender in respect of any item of works, the payments of such itemsof work will be made for the actual work done on the basis of lump – sum – charges as willbe assessed to be payable by the Employer/ Architects.

The employer has power to add, omit from any work as shown in drawings or described inspecification include in schedule of quantities and intimate the same in writing, but no

addition, omission or variation shall be made by the contractor without authorization fromthe Employer. No variation shall vitiate the contract.

5.AGREEMENT

The successful contractor may be required to sign an agreement as may be drawn up to suitlocal conditions and shall pay for all stamps and legal expenses, incidental there to.

6.TAXES AND DUTIES

The tenderers must include in their tender prices quoted for all duties royalties, less andsales for or any other taxes, GST or local charges if applicable.

7.PROVISIONAL SUMS

All provisional sums described in the schedule of quantities as P.S. shall beexclusively allotted to the purchase of materials and not for any handling and fixing to bedone by the contractor. Such costs of handling and fixing with profit (including transportcharges if the contractor) shall be separately included in the contract price as described inthe schedule of quantities. The disposal of the amounts covered under this head will beabsolutely at the description of the Employer. The contractor is to make payments for thesematerials given to them by suppliers on certificate or order issued by the Employer/Architects and realize them through his bill from the Employer/Architects.

8.QUANTITY OF WORK OF BE EXECUTED

The quantities shown in the schedule of quantities are intended to cover the entirenew structure in the drawings but the employer reserves the right to execute only a part ofthe whole or any excess thereof without assigning any reason therefore.

9.OTHER PERSONS ENGAGED BY THE EMPLOYEES

The employer reserves the right to execute that part of the work included in thiscontract or any work, which is not included in this contract by other agency or persons andcontractor shall allow all reasonable facilities and use of his scaffolding for the execution ofsuch work; The main contractor shall extend all cooperation in this regard.

10. EARNEST MONEY AND SECURITY DEPOSIT

The tender will have to deposit an amount equivalent to Rs. 8,000/- (Rupees EightThousand Only) in the form of Bank Draft in favour of Indian Bank, Zonal office,Hyderabad at the time of submission of tender as an Earnest Money Deposit. The Employeris not liable to pay any interest on the Earnest Money. The Earnest Money of theunsuccessful tenderers will be refunded without any interest soon after the decision to awardthe work is taken or after the expiry of the validity period of the tender.

The successful tenderer to whom the contract is awarded will have to deposit as initialsecurity deposit a further sum to make up 2% of the value of the accepted tender includingthe Earnest Money. The initial security Deposit will have to be made within 3 days from thedate of acceptance of tender, failing which the Employer at his discretion may revoke theletter of acceptance and forfeit the Earnest Money deposit furnished along with tender. Theinitial security deposit will be refunded after satisfactory completion of work (as certified byarchitect). Apart from the initial security deposit made as above, retention money shall bededucted from progressive running bill @ 8% of the gross value of each running bills.

The retention amount will be refunded to the contractor 14 (fourteen) days after theend of defect liability period provided he has satisfactorily carried out all the work andattended to all defects in accordance with the conditions of the contract. No interest inallowed on retention money.

11.CONTRACTOR TO PROVIDE EVERYTHING NECESSARY

The contractor shall provide everything necessary for the purpose of execution of theWork according to the intent and meaning of the drawings, schedule of the drawings,schedule of quantities and specifications taken together whether the same may or may notbe particularly shown described therein provided that the same can reasonably be inferredthere from. The contractor shall provide himself for ground and fresh water carrying out ofthe works at his own cost. The Employer shall on no account be responsible for the expensesincurred by the contractor for hired ground or fresh water obtained from elsewhere.

The rates quoted against individual items will be inclusive of everything necessary tocomplete the said items or work within the contemplation of the contract, and beyond theunit price no extra payment, will be allowed for incidental or contingent work. Labour and /ormaterials inclusive of all taxes and duties what ever except for specific items, if anystipulated in the tender documents.

The contractor shall at all times give access to workers employed by the Employer orany employed on the buildings and to provide them with water and leave or make any holes,grooves etc., in work. Where directed by the employer as may be required to enable suchworkman to lay or fix pipes, electrical wiring special fittings etc. The quoted rates of thetenderers shall accordingly include all these above mentionable contingent works.

12.TIME OF COMPLETION / EXTENSION OF TIME & PROGRESS CHART

The entire work is to be completed in all respects within the stipulated period of 21 days .The work shall deemed to be commenced within 2 days from the date of acceptance letter ordate of handing over of site, whichever is earlier. Time is the essence of contract and shall bestrictly observed by the contractor.The work shall not be considered as complete until the Employer / Architects have certified inwriting that this has been complete and the Defects Liability Period shall commence from thedate of such certificate.

Extension of Time: If in the opinion of the Employer/Architects the works are delayed (a)by reason of any exceptionally inclement weather or (b) by reason of instructions from theemployer in consequences of proceedings taken or threatened by or disputes, with adjoiningor neighboring owners or (c) by the works, or delay of other contractors nominated by theemployer and not referred to in the specification or (d) by the reason of authorized extra andadditions or (e) by reason or any combination or works men or strikes or lock – out affectingany of the building trade or (f) from other causes which the Employer may consider arebeyond the control of the contractor, the Employer at the completion of the time allowed forthe contract for the control shall make fair and reasonable extension of time for completionin respect therefore. In the event of the employer failing to give possession of the site uponthe day specified above, the time of completion shall be extended suitably.

In case of such strikes or lockouts as are referred to above, the contractor, shall,immediately give the employer, written notice thereof. Nevertheless he shall use his bestendeavors to prevent delay, and shall do all that may be reasonably required, to the

satisfaction of the Employer for any extension of time for completion hereunder (which shallbe final and binding on the contractor) shall be promulgated at the conclusion of such strikeor lock – out and the Employer shall be then, in the event of an extension being, granted,determine, and declare the final completion date. The provision in clause 13 with respect topayment of liquidated damages shall be construed as if the extended date fixed by theEmployer was submitted for and the damages shall be deducted accordingly.

Progress of Work: During this period the contractor shall maintain proportionate progresson the basis of Program me Chart submitted by the contractor immediately beforecommencement of work and agreed to by the Employer/Architects. Contractor should alsoinclude planning for procurement of scarce material well in advance and reflect the same inthe program me Chart so that is no delay in completion of the project.

13.LIQUIDATED DAMAGESThe entry for the quantum of LD per week of delay, appropriate for the case in hand, shouldbe selected from the following:

For contracts having time for completion 6months and less.

1.00% of the estimated amount shown inthe Tender per week.

For contracts having time for completionExceeding 6 months But not exceeding 2years (24 months)

0.50% of the Estimated amount shown inthe tender per week

For contracts having Time for completion Inexcess of 2 years

0.25% of the Estimated amount shown inthe tender per week.

The entry of the quantum of the maximum LD, the accrual of which entitles the Bank toconclude the the contract should be selected from the following as may applicable:For contracts having Time for completion 6months and less

10.0% of the accepted Contract Sum

For contracts having Time for completionExceeding 6 months But not exceeding 1year

7.5% of the accepted contract sum. Subjectto the provision of para below.

14.NOTICE AND PATENTS OF APPROPRIATE AUTHORITY AND OWNERS

The contractor shall conform to the provisions of any acts of the legislature relating tothe work, and to the Regulations and Bye laws of any authorities and / or any water, lightingand other companies, and / or authorities with whose systems the structures were proposedto have connection.

The contractor shall arrange to give all notices required for by the said Acts.Regulations or Bye – laws to be given to any authority and to pay such authority or anypublic officer all fees that may be properly chargeable in respect of the work and lodge thereceipt with the Employer.

The contractor shall indemnify the Employer against all claims in respect or patentrights, royalties damages to building, roads or members of public in case of execution ofwork and shall defend all actions arising from such claims and shall keep the Employer savedharmless and indemnified in all respects from such actions, costs and expenses.

15.ACCESS:

Any authorized representative of the employer shall at the reasonable times havefree access to the workshop, factories or other place where materials are being prepared orconstructed for the works and also to any place where the materials are lying or from wherethat are being obtained, and the contractor shall give every facility to the bank or theirrepresentative everything necessary for inspection and examination and test of the materialsand workmanship. Except the representative of the employer no person shall be allowed atany time without the written permission of the Employer.

16.MATERIALS, WORKMANSHIP, SAMPLE, TESTING OF MATERIALS

All the works specified and provided for in the specifications or which may be requiredto be done in the manner with materials of the best and approved quality of the respectivekinds in accordance with the particulars contained in and implied by the specifications as anyfrom their entire satisfaction. If required by the Employer / Architects during the execution ofthe work, and their entire satisfaction. If required by the employer / Architects the contractorshall carry tests on materials and workmanship in approved materials testing labouratoriesor as prescribed by the Employer/Architects at his own cost to prove that the materials etc.under test conform to the relevant B.I.S. or as specified in the specifications. The necessarycharges for preparation of mould (in case of concrete cube) transporting, testing etc, shallhave to be borne by the contractor. No extra payments in this account should in any case beentertained. All the materials (Except where otherwise described) stores equipment requiredfor the full performance of the work under the contract must be provided through normalchannels and must include charge for import duties, sales, tax control and other charges andmust be the best of their kind available and the contractor’s must be entirely responsible forthe proper and efficient carrying out of work.

The work must be done in the best workman like manner. Samples of all materials tobe used would be submitted to the Employer / Architects when so directed by the Employer /Architects and written approval from Employer / Architects must be obtained prior toplacement of order. Should the work be suspended by reason of rain, strike, lock out or anyother cause the contractor shall take all precautions necessary for the protection of work athis own expenses and shall make good any damage arising from, any of these causes. Thecontractor shall cover up and protect from damage from any cause, all new work and supply,temporary/doors, protection to windows and any other requisite protection for execution ofthe work whether by himself or special trades men or sub contractor and any damage causedmust be made good by the contractor at his own expense

17.REMOVAL OF IMPROPER WORK

The Employer shall during the progress of the work have power to order in writingfrom time to time the removal from the work within such reasonable time or time as they bespecified in the order of any materials which in the opinion of the Employer/Architects arenot in accordance with specification or instructions. The substitution or proper re-executionof any work executed with materials or workmanship not in accordance with the drawingsand specification or instructions, in case the contract or refuses to complete and pay otheragencies to carry out the work and all expenses consequent thereon or incidental therein orincidental thereto as certified by the Employer / Architects shall be borne by the contractoror may be deducted from any money that may become due to the contractor. No certificate,which may be given by the Architects, shall relieve the contractor from his liability in respectof unsound work or bad work.

18. CONTRACTOR EMPLOYEES

The contractor shall employ technically qualified and competent supervisor for the work whoshall be available (by turn) throughout the working hours to receive and comply withinstructions of Employer / Architects. The Contractor shall engage at least new-experiencedEngineer as site – in – charge for execution of the work. The contractor shall employ inconnection with the work persons having the appropriate skill or ability to perform their jobefficiently.

The contractor shall employ labourers on the work as far as possible.

No one below the age of sixteen years and who is not an Indian National shall be employedon the work.

Any worker supplied by the contractor to be engaged on the work on day – work basis eitherwholly or partly under the direct order or control of the Employer or his representative shallbe deemed to be a person employed by the contractor.

The contractor shall comply with the provision of all labour legislation including therequirements of:

a. The payment of Wages Actb. Employer’s Liability Actc. Workmen’s Compensation Act.d. Contract Labour (Regulation & Abolition) Act, 1970 and Central Rules 1971.e. Apprentices act 1961.f. Any other Act or enactment relating thereto and rules framed there under

from time to time.

The contractor shall keep the Employer saved harmless and indemnified against claims if anyof the workmen and all costs and expenses as may be incurred by the Employer inconnections with any claim that may be made by any workman.

19. DISMISSAL OF WORKMEN

The contractor shall on the request of the Employer immediately dismiss from works anyperson employed thereon by him, who in the opinion of Employer is unsuitable orincompetent or who may misconduct himself. Such discharge shall not be the basis of anyclaim for compensation damages against the Employer or their office or employees.

20.DAMAGE TO PERSONS AND PROPERTY INSURANCE ETC.,

The contractor shall be responsible for any injury to the work or workmen to persons,animals or things and for all damages to the structural and / or of any sub-contractor or ofany of his or sub-contractor’s employees, whether such injury or damages arise fromcarelessness, accident or any other cause whatsoever in any way connected with thecarrying out of this contract. The causes shall be held to include inter – alias, streets, footpath or ways as well as damages caused to the buildings and the works forming the subjectof this Contract by rain, wind or other inclemency of the weather. The contractor shallindemnify the employer and hold harmless in respect of all and any expenses arising fromany such injury or damages to persons or property as aforesaid or damage consequent uponsuch claim.

The employer shall be at liberty and is hereby empowered to deduct the amount ofany damages, compensation, costs charges and expenses arising or accruing from or inrespect of any such claim or damage from any sums due or to become due to the contractor.

21.INSURANCE

Unless otherwise instructed the contractor shall insure the works and keep theminsured until the virtual completion of the contract against loss or damages by fire and/orearthquake flood. The insurance must be placed with a company approved by the employer,in the joint names of the Employer and the contractor for such amount and for any furthersum if called to do by the employer, the premium, of such further sum being allowed to thecontractor as an authorized extra.

The contractor shall deposit the policy and receipt for premiums paid with theEmployer within 7 days from the date of issue of work order unless otherwise instructed. Indefault of the contractor insuring as provided above, the employer on his behalf may insureand may deduct the premium paid from any bills which may become due to the contractor.The contractor shall as soon as the claim under the policy is settled or the work reinstatedby the Insurance Company should they elect to do so, proceed with due diligence with thecompletion of the works in the same manner as through the fire has not occurred and inrespects of the conditions of the contract.

22. ACCOUNTS RECEIPT AND VOUCHERS

The contractor shall, upon the request of the Employer/Architects furnish them all theinvoices, accounts, receipts and other vouchers that they may require in connection with theworks under this contract. If contactor shall use materials less then what he is requiredunder the contract, the values of the difference in the quantity of the materials he wasrequired to use and that he actually used shall be deducted from his dues. The decision ofemployer shall be final and binding on the contractor as to the amount of materials thecontractor is required t use for any work under this contract.

Before taking any measurement of any work, the Site Engineer or subordinatedeputed by him shall give reasonable notice to be contractor. If the contractor fails to attendat the measurements after such notice or fails to countersign or to record the difference witha week from the date of measurement in the manner required by the Site Engineer then inany such event the measurement after such notice taken by the Site Engineer or bysubordinate deputed by him as the case may be is final and binding on the contractor andcontractor shall have no right to dispute the same.

23.ADVANCE PAYMENTS AND SECURED ADVANCES

Advance payment for works actually executed but not measured and billed for, shouldnot be made generally. Payment should only be made after the detailed measurements ofthe work are taken recorded and the contractor’s bill for the same is approved by thecompetent Authority.

However, advance payment on the running bills to the extent of 75% of the Architectcertified amount might be made whenever found necessary. In such cases, it shall be thetest checking of the measurements & scrutiny of bills are completed before payment of thenext running bills.

Secured advances on the security of materials brought to site may be made to thecontractors whose contract is for finished work. In such cases, the competent Authority maysanction advances up to an amount not exceeding 75% of the value (invoiced/assessedvalue) of such materials, provided that they are of a durable / non – failure nature and thatan Indemnity Bond is required on the materials and is a safeguard against losses due to thecontractor postponing the execution of the work or to the shortage or misuse or thematerials, and against the expense entitled, if any, for their proper watch and safe custody.Recoveries of advances so made should not be postponed until the whole of the workentrusted to the contractor is completed. They should be made from his bills for works doneas the materials are used, the necessary deductions being made wherever the item of workin which they are used are billed for.

24.PAYMENTS

All bills shall be prepared by the contractor in the form prescribed by theEmployer/Architects. One interim bill shall be prepared every week subject to minimum valuefor interim certificate as stated in these documents. The bills in proper forms must be dulyaccompanied by detailed measurements in support of the quantities or work done and mustshow deductions for all previous payments etc.,

The Employer/Architects shall issue a certificate after due scrutiny of the contractor’sbill stating the amount due to the contractor from the Employer and the contractor shall beentitled to payment thereof, within the period of honouring certificates named in thesedocuments.

The Amount stated in an interim certificate shall be the total values of work properlyexecuted and 70% of invoiced value of materials brought to site for permanent incorporationinto the work up to the date of the bill less the amount to be retained by the employer asretention money vide clause 10 of these conditions and less installment previously paidunder these conditions provided the certificate shall only include the value of said materialsand goods as from such time as they are reasonably, properly and not prematurely broughtand placed adjacent to the work and then only if adequately protected against weather orother causalities.

The employer will deduct retention money as described in clause 10 of theseconditions. The refund of retention money will be made as specified in the said clause. If theEmployer has supplied materials or goods to the contractor, the cost of any such materials orgoods will be progressively deducted from the amount due the contractor, in accordance. Allthe interim payments shall be regarded as payments for work actually done and completed,and imperfect or unskilled work to be removed and taken away and reconstructed or re-erected or be considered as an admission of the due performance of the contract, or any partthereof in any respect or the according of any claim, nor shall, it determine or affect inanyway the power of the employer under these conditions or any of them as to the finalsettlement and adjustment of the accounts or otherwise or in any other way affect thecontract. The final bill shall be submitted by the contractor within one week of the date fixedfor completion of the work or of the date of certificate of completion furnished by the SiteEngineer. All final payments shall be made within 3 months.

25.FINAL PAYMENTS

The final bill shall be accompanied by a certificate of completion from the Architects.Payments of final bill shall be made after deduction of Retention Money as specified in clause10 of these conditions, which sums shall be refunded after the completion of Defects LiabilityPeriod after receiving the Architects’ certificate that the contractor has rectified all defects tothe satisfaction of Employer. The acceptance of payment of the final bill by the contractorwould indicate that he will have no further claim in respect of the work executed.

26.VARIATON /DEVIATION

The price of all such additional items/non – tendered items will be worked out on thebasis of rates quoted for similar items in the contract wherever existing or on engineeringrate analysis based on prevalent fair price of labour, material and other components arerequired. The tender rates shall hold good for any increase or decrease in the tenderedquantities upon variation of 25%. For variation beyond + or – 25% the rate for therespective item may be reviewed on mutually agreed terms.

27.SUBSTITUTION

Should the contractor desire to substitute any materials and workmanship, he/theymust obtain the designated in this specification indefinitely by such terms as “Equals” or“Other approved” etc. specific approval of the Employer/Architects has to be obtained inwriting.

28.PREPARATORY OF BUILDING WORKS FOR OCCUPATION AND USE ONCOMPLETION

The Whole of the work will thoroughly be inspected by the contractor and deficienciesand defects put right. On completion of such inspection the contractor shall inform theEmployer/Architects that he has completed the work and it is ready for inspection.

29.CLEARING SITE ON COMPLETION

On the completion of the works the contractor shall clear away and remove from thesite all construction plan, surplus materials, rubbish and temporary works of every kind andleave the whole of the site and the works clean and in a workman like condition to thesatisfaction of the Employer / Architects.

30.PERIOD OF FINAL MEASUREMENT

The entry for the period of final measurement after completion shall be made aftertaking into account the complexity of the work and staff available for carrying outmeasurements.

All hidden works shall have already been measured as the work progressed.

It should be noted that unless a longer period is stipulated, the condition of contractgenerally lays down three months (maximum) from the date of completion of the contract asthe period of final measurement.

Even though the maximum period of three months is mentioned, it shall beendeavored to complete the measurements as expeditiously as possible.

31.VALUE OF WORK FOR INTERIM CERTIFICATE

The maximum value of work done, entitling the contractor to receive an interimpayment is generally arrived at after dividing the estimated value of the contract (asannounced in the Notice of Tender) by the time (in months) allowed for completion of work.

The above value rounded off to the nearest thousand is entered.32.DEFECTS AFTER COMPLETION

The contractor shall make good at his own cost and to the satisfaction of employer alldefects, Shrinkage, settlements or other faults, which may appear within 12 months aftercompletion of work. In default the Employer may employ a person and amend and makegood such damage, losses and expenses consequent thereon or incidental thereto shall bemade good and borne by the contractor and such damages, loss and expenses shall berecoverable from his by the Employer or may be deducted from the contractor deduct fromany money due to the contractor a sum equivalent to the cost of amending such work and inthe event of the amount retained being insufficient, recover that balance from thecontractor from amount retaining under clause No.10 together with any expenses theEmployer may have incurred in connection their with.

33.ESCALATION

The rate quoted shall be firm throughout the tenure of the contract (including extension oftime, if any, granted) and will not be subject to any fluctuation due to increase in cost ofmaterials, sales tax, octroi, etc., Unless specifically provided in the documents. The pricevariation clause being adopted by the RBI may be followed, if such a situation arises on acase – to – case basis.

34.IDLE LABOURWhatever the reasons may be, no claim for idle labour, additional establishment cost

of hire and labour charges of tools and plants would not be entertained under anycircumstance.

35.SUSPENSION

If the contractor except on account of any legal restraint upon the Employerpreventing the continuance of the work or in the opinion of the employer shall or fail toproceed with due diligence in the performance of his part of the contract or if he shall morethan once make default, the Employer shall have the power to give notice in writing to thecontractor requiring the work be proceeded within a reasonable manner and with reasonabledispatch, such notice purport to be notice under this clause.After such notice shall have been given the contractor shall be at liberty to remove from thesite of the works or from any contiguous there to any plant or materials to subsist from thedate of such notice being given until the notice shall have been complied with.

36.TERMINATION OF CONTRACT BY EMPLOYER

If the contractor being a company into liquidation whether voluntary or compulsory or beinga firm shall be dissolved or being an individual shall be adjudicated insolvent or shall makean assignment or a composition for the benefit of the greater part, in numbers of amount ofhis creditors or shall enter into a Deed or arrangement with his creditors, or if the officialAssignee in insolvency, or the Receiver of the contractor in solvency, shall repudiate thecontract, or if a insolvency, or if a Receiver of the contractor’s firm appointed by the courtshall be unable, within fourteen days after notice to him requiring him to do so, to show to

the reasonable satisfaction of the employer that he is able to carry out and fulfill the contract,and if so required by the employer to give reasonable security therefore, or if the contractorshall suffer execution to be issued, or hall suffer any payment under this contract to beattached by or on behalf of and of the creditors of the contractor, there under, or shallneglect or fail to observe and perform all or any of the acts matters of things by contract, tobe observed and performed by the contractor within the clear days after the notice shalluse improper materials on workmanship in carrying on the works, or shall in the opinion ofthe employer not exercise such due diligence and make such due progress as would enablethe work to be completed within due time agreed upon, and shall fail to proceed to thesatisfaction of the employer after three clear days notice requiring the contractor so to doshall have been given to the contactor as hereinafter mentioned or shall abandon thecontract, then and in any of the said case, the employer may notwithstanding previouswavier determine the same by a notice in writing to the effect as hereafter, mentioned, butwithout hereby effecting the powers of the employer of the obligations and liabilities of thecontactor the whole of which shall continue in force as fully as if the contract, had not beenso determined and as if the works subsequently executed had been executed by or on behalfof the contractor (without thereby creating any trust in favour of the contractor) further theemployer or his agent, or servants, may other power, utensils ad materials lying upon apremises or the adjoining lands or roads and sell the same as his own servants andworkmen in carrying on and completing the works or by the employing any other contractoror other persons or person to complete the works and the contractor shall not in anywayinterrupt or contractor or others person to complete the works and finishing or using thematerials and plants for the works when the works shall be completed, or as soon thereafteras conveniently may be the employer shall give notice writing to the contractor to removehis surplus materials and plants and should the contractor fail to do so within a period of 14days after receipt by him the employer may sell the same by public auction and shall givecredit to the contractor for the amount so realized. Any expenses or losses incurred by theemployer in getting the works carried out by other contactor shall be adjusted against theamount payable to the contractor by way of selling his tools and plants or due on account ofwork carried out by the contractor prior to engaging other contractor or against the securitydeposit.

37.ARBITRATION

All disputes or difference of any kind whatsoever which shall at any time arise between theparties to touching or concerning the works or the execution or maintenance there of thiscontract or the rights over the remaining operation or effect therefore or to the right orliabilities of the parties or arising our of in relation thereto whether during or afterdetermination foreclosure or breach of the contract (other than those in respect of which thedecision of nay person is by the contract expressed to be final and binding) shall afterwritten notice by either party to the contract to the either of them to employer hereinaftermentioned be referred for adjudicating to a sole arbitrator to be appointed as hereinafterprovided. For the purpose of appointing the sole arbitrator referred to above, the employeeshall send within thirty days of receipt of the notice, to the contractor a panel of threenames of persons who shall be presently unconnected with the organization for which thework is executed. The contractor shall on receipt of the names as aforesaid, select any oneof the persons name to be appointed as a sole arbitrator and communicate his name to theemployer within thirty days of receipt of the names. The employer shall thereupon withoutany delay appoint the said person as the sole arbitrator. If the contractor fails tocommunicate such selection as provided above within the period, specified the competentauthority shall make the selection and appoint the selected person as the Sole Arbitrator.

The work under the Contractor, shall, however, continue during the arbitration proceedingsand no payment due or payable to the contractor shall be withheld on account of suchproceedings.

The arbitrator may from time to time, with the consent of the parties, enlarge the time formaking and publishing the award.

The arbitrator shall give a separate award in respect of each dispute of difference referred tohim. The Arbitrator shall decide each dispute in accordance with the terms of the contractand give a reasonable award. The venue of arbitration shall be such place as may be fixedby the Arbitrator at his sole discretion.

The fees, if any, of the arbitrator, shall, if required, to be paid before the award is made adpublished, be paid half and half by each of the parties. The cost of the reference and of theaward including the fees, if any, of the Arbitrator who may direct to and by whom and inwhat manner, such costs or any part there of shall be paid and, may fix or settle andamount of costs to be so said.

The award of the Arbitrator shall be final and binding on both the parties.

Subject to aforesaid the provisions of Arbitrator Act 1940 or any statutory modification orreenactment thereof and the rules made there under, and for the time being in force, shallapply to the arbitration under this clause.

The Employer and the contractor hereby also agree that arbitration under clause shall be acondition precedent to any right to action under the regard to the matter hereby expresslyagreed to be so referred to arbitratio

4. ADDITIONAL CONDITIONS OF CONTRACT

1.SCOPE OF WORK

The schedule of Quantities and the tender drawings are only indicative of the scope ofwork. There may be variation in quantities of individual items as well as in the totalquantum of work of upto + 20%. The contractor will not be liable to omission altogetherof some of the items.

2.COMPLETION SCHEDULE

The contractor will be required to work according to a program me given to them by theConsulting Architects, based on the priorities of the Employers. The contractor will berequired to prepare bar charts on the basis of the program me given to them and getthese approved by Employer/Architects. While the overall completion program me of thework will be 14 days, certain items may be required to be completed in shorter periods,varying from 7 to 14 days.

3. WATER AND ELECTRICAL ENERGY

Water and electrical energy required for work be provided by the employer at one pointfree of charge, and the contractor will be required to make his own distribution andarrangements for them. Cost of electrical energy consumed would be payable by thecontractors according to Government tariffs.

4.OTHER RULES AND REGULATIONS

a. All E.S.I formalities or prescriptions under Workmen Compensation Act will beadhered to by the contractor. He will have to observe the regulations prescribed underthe contracts Labor – Regulations & Abolition Act, 1970 and rules formed hereunder.

b. The contractor shall not employ labor below the age of 18 years and shall pay themnot less than the wages paid for similar work on the fair wage. Fair wage men’s wagewhether for time of piece work as defined in the Minimum Wages Act.

5. PREAMBLE TO SCHEDULE OF QUANTITIES

1. Tender shall be on the basis of item rates which shall include the cost of materials,labour, all taxes, duties, and all other appurtenant services required for the completeinstallation, testing and commissioning in accordance with relevant drawings and meetingthe requirements of the specification and relevant I.S Specification including the fees forinspection together with the liabilities and obligations as detailed in the general conditions ofcontract.

2. Prices shall remain firm and free from variation due to rise and fall in the cost ofmaterials and labor or any other price variation whatsoever whether during the stipulated

period of execution or during extended period of completion if any, except direct statutory,increases by the Act of Govt. or Local bodies.

3. Item rates shall remain valid for any variation in the estimated quantities given in theschedule of quantities.

4. In order to facilitate the technical scrutiny of various quotations, the tenderer mustsupply with their quotations detailed technical particulars, make catalogues and erectiondrawings for various items under different parts specified in the schedule of quantities.

5. The drawings and specifications lay down minimum standards for equipments andworkmanship. Deviations, if any, shall be clearly set down. In the absence of any deviations,it will be deemed that the tenderer is fully satisfied with the intents or the specifications anddrawings and their compliance with the statutory and fire insurance provision including localcodes. Where the drawings and specifications conflict the more stringent shall supply.

6. All installations shall be tested as specified and a test certificate in the prescribed formrequired by the authorities shall be furnished.

7. The entire installation shall be guaranteed against defective materials of workmanshipfor a period of 12 months from the date of installation as certified by the Architects andtaken over by the owner. During the guarantee period, all the defects shall be rectified bythe contractor, free of cost.

8. Water and power required for the works may be made available at site. Use of electricalpower will be on chargeable basis. If the water available at site in unsuitable for constructionpurpose, the contractor will have to make their own arrangement for water.

9. The tenderer must acquaint themselves of the site conditions and take note of allfactors while quoting the rates, so no extra will be allowed on any ground.

10. The successful tenderer shall supply completion drawings of the entire installations asexecuted at site drawn to a scale approved by the architects after the completion of the workbut before completion certificate is given by the Architects.

11. The materials of the Ist preference shall be used and the contractor may excludehimself of not doing so only if the required range as per tender specifications is notmanufactured, by the particular manufacture. The evidence of such case shall be supportedby a letter from the respective manufacturer. Samples of all fittings and accessories shall beapproved by the Employer/Architects prior to their installation.

6. ARTICLES OF AGREEMENT

describing the work to be done by Raghuram Architects (herein after referred to as theConsulting Architects)

WHEREAS the said Drawings and the specifications and the priced Schedule ofQuantities have been signed by or on behalf of the parties hereto and

WHEREAS the Contractor has agreed to execute upon and subject to the conditions,set forth herein (hereinafter referred to as “the conditions”) the work shown upon “the saidDrawings” and described in “the said Specification” and “the said Priced Schedule ofQuantities” at the representative rates mentioned in the priced Schedule of Quantities.

NOW IT IS HEREBY AGREED AS FOLLOWS:

1. In consideration of the payment to be made to the Contractor as hereinafter heshall upon and subject to said conditions, execute and complete the works shownupon said drawings and such further detailed drawings as may e furnished to himby the said consulting architects and described in the said specification and thesaid priced Schedule of Quantities.

2. The term “Consulting Architects” in the conditions shall mean the said RaghuramArchitects or in the event of their death or ceasing to be the Consulting Architectsfor that purpose of this contract, such other person as shall be nominated for thatpurpose by the Employer, not being a person to whom the Contractor shall objectfor reasons considered to be in sufficient by the Employer. Provided always thatno persons subsequently appointed to be consulting Architects under this contractshall be entitled to disregard or over-rule any decision or approval or direction orexpressed in writing by the consulting Architects for the time being.

3. The plan, agreement and documents above mentioned shall form the basis of thiscontract and the decision of the said Consulting Engineers/Architects for the timebeing as mentioned in the Conditions of contract in reference to all matter ofdispute as to the materials, workmanship or account and so as to the intendedinterpretation of the clauses of the Agreement of any other document attachedhereto shall be final and binding on both parties and may be made a Rule of Court.

4. The said contract comprises the works above mentioned and all subsidiary worksconnected therewith within the same site as may be ordered to be done from timeto time by the said employer through the consulting Architects or other theConsulting Architects for the time being, even though such works may not beshown on the drawings or described in the said specifications or the PricedSchedule of quantities.

5. The Employer reserves to himself the right of altering the drawings and nature ofthe work and of adding to or omitting any items of work or of having portions ofthe same carried out without prejudice to this contract.

6. The said conditions shall be read as forming part of this Agreement, and theparties hereto will respectively, abide by and submit themselves to the conditionsand stipulations and perform the agreement on their parts respectively in suchconditions contained.

7.SPECIFICATIONS

All works should conform to Standards laid down by the Bureau of Indian Standards.

Wherever detailed specifications are not given, the works shall be carried out as perCPWD specifications Vol I & II with latest addition and corrections.

SPECIFICATIONS – GENERAL REQUIREMENTS

1A. List of Tender drawings is given elsewhere in the Tender Documents. Thesedrawings are meant for Tenders and Construction also. These drawings may be revisedand fresh revised copies issued to the contractor from time for adoption in the work tosuit the final Designs and the physical conditions encouraged during the progress of thework.

1B. Figured dimensions on drawings shall only be followed and drawings to large scaleshall take precedence over these to smaller scale.

1D. The contractor shall prepare, at his own cost, detailed shop drawings and shallobtain the approval of the consultant / Client before adoption.

2A. The specification is intended for general description of quality and workmanship ofmaterials and finished work. They are not intended to cover minute details. The workshall be executed in accordance with sound engineering and other professional practice.

2B. Where reference is made to any standard specification of Bureau of IndianStandards or any other similar body, the information and provision of the latest revisededition of the specification on the date of submission of such standard specification are inconflict with the provisions standard in these specifications the latter provisions shallhave procedures.

2C. All materials shall be of standard quality manufactured by reputed concernsconforming to Indian Standard or equivalent and shall have “BIS” mark as far as possibleunless otherwise approved by the Consultant/ Client. The contractor shall get allmaterials approved by the Consultant / Client prior to procurement and use.

3.MEASUREMENT AND PAYMENTS

3A. The quantities stated in the Bills of Quantities are tentative. The contractor shall bepaid at the quoted rate and on the basis of actual measured dimensions of the finishedwork, limited however by those dimensions shown in the drawings, or as directed by theconsultant / Client.

3B. Measurement of work shall be generally in accordance with IS: 1200 “Method ofMeasurement of Building and Civil Engineering Work” except where the stipulations of theTender are contradictory.

4.LAYOUT AND SURVEYS

The contactor shall be responsible for the true and proper setting out of works, for thecorrectness of position, levels, dimension and alignment of all part of the works and forthe provision of all necessary instruments, appliances and labor in connection there with.If at dimensions or alignments of any part of work, the Contractors, on being required todo so, shall at his expenses rectify such errors. Checking of any setting out or of any lineor level by the Consultant / Client shall not in any way relieve the Contractor of hisresponsibility for the corrections there of.

5.CONSTRUCTION SHCEDULE AND TIME OF COMPLETION

5A. A BAR chart shall be submitted by the contractor detailing out the completeconstruction activities for each work with in 7 days of start of work at site. This chartshall be reviewed by the Consultant / Client and alterations, if any, shall be made by thecontractor; this chart will form the basis or reappraisal to evaluate the progress of workat site.

5B. The drawings shall be issued to the contractor at least one week in advance beforecommencement of work.

5C. No extension of time shall be granted on the plea of drawings not having beenreceived in time provided the above time schedule is adhered to.

6.CO-OPERATION WITH OTHER AGENCIES

6A. During the course of implementation of this contract, several other agencies andcontractors shall be working at site simultaneously. In order to effect proper co-ordination and avoid delays, it shall be the responsibility of the contractor of this Tenderto give adequate notice and exact dates of the work proposed to be executed by himwhich requires the placement and fixation of embedment, et., by the other agencies. Thesafety and prevention from damage of all materials, plant etc., of other agencies or theowners during construction activities would remain with the contractor. In the event ofdamage or

loss, caused, indirectly or directly by contractor or his labour, he will be responsible tomake good the same as advised/instructed by the Consultant /Client.

7.DELIVERY OF WORKS

Every portion of the work shall be kept clear of accumulation from time to time anddelivered up clear and free from all defects of every kind at the conclusion of the work.

8.RELATION TO OTHER DOCUMENTS

8A. The technical specification is intended for general description of items listedin the Bills of quantities. All works specified or implied in the Technical Specification forma part of the items in the Bills of Quantities. Similarly, all indications in drawings andGeneral description of works, whether specified or implied. form a part of the items in theBills of Quantities.

8B. The quoted rates in the bills of Quantities shall be assumed to include all thespecified and implied work of the Technical specifications, drawings and GeneralDescription of works even when not specifically mentioned in the Bills of quantities.

9.LIFTS AND LEADS

9A.The rates quoted for all items of work shall include all lifts and leads whereapplicable.

9B.All debris and waste materials shall be disposed away from the site to a far offplace as directed.
